美國棉花進(jìn)口合同中英文對照全套美國棉花進(jìn)口合同(中英文對照)CONTRACTOFAMERICANCOTTONTRADE合同編號ContractNo.:簽訂日期DateofSignature:簽訂地點(diǎn)PlaceofSignature:賣方:Seller:地址:Address:電話Tel:傳真Fax:電子郵箱E-mail:買方:Buyer:地址:Address:電話Tel:傳真Fax:電子郵箱E-mail:TABLEOFCONTENTS數(shù)量Quantity2.單價UnitPrice3.規(guī)格Specification4.包裝Package5.裝船嘜頭ShippingMarks6.裝運(yùn)條件PackageCondition7.裝船通知ShipmentAdvice8.付款Payment9.單據(jù)Documents10.品質(zhì)與重量QualityandWeight11.棉花品質(zhì)降級差價PriceDifferenceWithCottonQuality12.檢驗(yàn)費(fèi)InspectionFee13.病蟲害熏蒸FumigationofInsectPests14.不可抗力ForceMajerue15.仲裁Arbitration中國紡織品進(jìn)出口總公司(以下簡稱買方)與美國公司(以下簡稱賣方)按下列規(guī)定的條款達(dá)成協(xié)議,作為買賣雙方棉花買賣成交合同的條件。TheagreementhasbeenenteredintoandconcludedbyandbetweenChinaNationalTextilesImportandExportCorporation(hereinafterreferredtoasbuyer)andCorporationLtd.ofUnitedStatesofAmerica(hereinafterreferredtoasseller)asperfollowingtermsandconditionsofcottontransactionbetweenpartieshereto.1.數(shù)量Quantity按公噸或按包裝計算總重量,允許多交或少交1%。Totalweightofgoodswillbecaculatedbymetrictonorpackage,moreorlessthan1%maybeallowed.2.單價UnitPrice重量以磅為計量單位。Weightismeasuredinpounds.FOBSTOWED:將棉花裝入船艙內(nèi)并整理好。FOBSTOWED:Putcottoninthecabinandtidyitup.FAS:將棉花運(yùn)至船的吊鉤下。如FOB集裝箱條款,須把箱運(yùn)到集裝箱場站。FAS:Thecottonistransportedtotheplaceunderhookofship,whereFOBcontainerclauseapplicable,thecontainershouldbetransportedtothecontaineryardstation.CANDF:班輪條款,運(yùn)費(fèi)已定不變。CANDF:Freightratefixedforlinerterm.3.規(guī)格Specification按美國陸地棉統(tǒng)一標(biāo)準(zhǔn)或憑樣。SubjecttothecottonstandardofAmericancontinentaloronsample.4.包裝Package4.1適合于海運(yùn)的緊縮機(jī)出口包裝,外裹麻布、棉布或其他包皮,用牢固的打包鐵皮或粗鐵絲箍緊。每包凈重約磅(公斤),平均體積立方米。在適用FOB、FOBSTOWED、FASVESSEL貿(mào)易術(shù)語交易的情況下,如果每噸毛重超過規(guī)定的體積,其超過部分的運(yùn)費(fèi)則由賣方負(fù)擔(dān)。Theexportpackagesuitableforoceantransportationispackedbyretrenchmentmachine,wrappedinlinen,cotton-clothorotherwrapping,bandingtightlybystrongironorthickiron-wire.Thenetweightofeachpackageisaboutpounds(kg),withanaveragevolumeofcubicmeters.ProvidedthatthetradetermsofFOB,FOBSTOWED,FASVESSELareapplied,ifthegrossweightpertonexceedsthestipulatedvolume,theexcesspartoffreightwillbebornbyseller.4.2棉花包裝內(nèi)不得混雜麻絲、破布、木屑、鐵屑及鐵釘?shù)入s物。如有發(fā)現(xiàn)雜物混入棉花包裝內(nèi),買方可根據(jù)中國商品檢驗(yàn)局(以下簡稱CCIB)或用戶在使用過程中提供的證明及有關(guān)的嘜頭,向賣方提品質(zhì)索賠。Cottonpackagesshallnotbemixedwithfibrilia,rags,woodchips,ironchips,ironnailsandothersundries.Whereanysundriesarefoundtobemixedintothecottonpackage,buyermaylodgeaclaimagainstselleronthebasisofthecertificateprovidedbyChinaCommodityInspectionBureau(CCIB)orthecustomerinthecourseofuseandtherelevantshippingmarks.5.裝船嘜頭ShippingMarks5.1在棉包的一端和兩側(cè)面用不褪色的顏料按下列項目逐包刷嘜。A.合同號,B.樣子或等級長度,C.批號,D.包號。Ononeendandtwosidesofeverycottonpakageshouldbebrushedthemarksusingundadingpigments,includingA.ContractNo.,B.SampleorRanklength,C.Batchnumber,D.Packagenumber.5.2如賣方?jīng)]有在嘜號刷合同號,由此而產(chǎn)生的混嘜理貨費(fèi)由賣方負(fù)擔(dān)。WheresellerfailstobrushcontractNo.inthepackagemarks,thecostofmixedmarktallyingresultingtherefromwillbeforaccountofseller.6.裝運(yùn)條件PackageCondition6.1如按FOB成交,買方在裝船前十五天左右,將船名通知賣方(允許買方以后更改船名)賣方可隨時向買方了解裝船時間的安排。船長在船到前24小時用電報通知船代理轉(zhuǎn)告賣方,說明該船預(yù)計到達(dá)目的港的時間。賣方收到船長備裝通知后,應(yīng)立即做好貨物裝運(yùn)準(zhǔn)備。ProvidedthatthetransactioniseffectedbyFOB,buyershould,onapproximate15dayspriortoshipment,notifysellerofthevesselnamewhichmaybechangebybuyerlater,andsellercanatanytimeinqurireofthearrangementofshipmenttimefrombuyer.Thevesselmasterwillgiveselleracableadvicewithin24hoursbeforearrivaltonotifytheestimatedtimeofarrivalofthevesselattheportofdestination.Sellershould,uponreceiptofnoticefrommasterforshipingarrangement,effectthepreparationofgoodsshipmentassoonaspracticable.6.2除人力不可抗拒的原因外,如買方在合同規(guī)定的交貨期內(nèi),超過十天未能安排船到裝運(yùn)港,買方需負(fù)擔(dān)倉儲費(fèi)。Exceptforthereasonsofforcemajeure,wherebuyer,withintheperiodofshipmentstipulatedhereof,failstoarrangevesseltotheportofshipmentformorethantendays,buyershallundertakethestorageexpenses.6.3如買方在合同規(guī)定的裝船期內(nèi)通知賣方裝船,除人力不可抗拒的原因外,當(dāng)船到后賣方延遲交貨或不能交貨,賣方應(yīng)賠償由此而產(chǎn)生的滯期費(fèi)和空船損失。如賣方超過合同規(guī)定的交期45天仍不能裝船,買方有權(quán)決定合同是否有效。Exceptforthereasonofforcemajure,wherebuyernotifysellerofshipmentwithintheloadingperiodstipulatedincontract,afterarrivaloftheshipsellerdefersorfailstoeffectshipment,sellershouldmakecompensationsofthelossesofdemurrageanddeadfreightarisingtherefrom.Providedthatsellerisstillunabletoeffecttheshipmentinexcessof45daysthanthedeliveryperiodwhichstipulatedhereof,buyerhasrighttodecidewhetherthecontractisvalidornot.6.4如以C&F貿(mào)易術(shù)語成交,賣方在交貨期內(nèi)不能裝船,賣方從超過交貨期的第天起,按照每天%貨值的損失支付給買方。未經(jīng)買方同意,不允許轉(zhuǎn)船和分運(yùn)。InthetransactionofC&Fterm,wheresellerfailstoeffectshipmentwithinthedeliveryperiod,shouldpaythelossasper%ofgoodsvalueperdaytobuyerfromdayinexcessofdeliveryperiod.Transshipmentandpartialshipmentarenotallowedwithoutbuyer'sconsent.7.裝船通知ShipmentAdvice7.1如為FOB成交,賣方在裝船后須在兩個工作日內(nèi)電告買方合同號、等級長度或樣品、包裝、凈重、金額;船名、裝船日期、裝船口岸,并航寄裝船單據(jù)副本一式三份給買方。IntransactionofFOBterm,sellershould,within2workingdays,advicebuyeracableofthecontractnumber,gradelengthorsample,packing,netweight,amount;vessle’sname,thedateandportofshipment,andairmailthecopiesofshippingdocumentsintriplicatetobuyer.7.2如為C&F成交,賣方在裝船前十五天左右,將船名及預(yù)計到港日期通知買方。IntransactionofC&Fterm,sellershould,onapproximate15days,advicebuyerofthevesselnameandestimatedarrivaldate.7.3如賣方未及時電告買方,以致買方未能及時保險,由此而產(chǎn)生的損失由賣方負(fù)擔(dān)。Failureofsellertoadviceincableintimetobuyerresultinbuyer’sfailuretoeffecttheinsuranceofgoods,thelossarisingtherefromshallbebornbyseller.8.付款Payment8.1在裝船前十五天左右,由買方通過中國銀行開出以賣方為受益人的不可撤銷的信用證,憑第9條規(guī)定的單據(jù)電匯付款。信用證的金額為合同金額的98%,其余2%在目的港卸貨后70天內(nèi)憑目的港的檢驗(yàn)機(jī)構(gòu)對棉花質(zhì)量檢驗(yàn)和重量的鑒定證書進(jìn)行最后結(jié)算。信用證的有效期至到裝船后15天為止。Buyershall,onapproximate15dayspriortoshipmentthroughChinaBank,establishanirrevocableLetterofCreditinfavourofsellerandeffectpaymentagainstthedocumentsstipulatedinarticle9hereof.Theremaining2%will,within70daysafterunloadingofgoodsattheportofdestination,beeffectedfinalsettlementagainstCertificateofCottonQualityInspectionandCertificateofWeightInspectionissuedbytheinspectionauthorityatdestinationport.Theletterofcreditisvaliduntil15daysaftershipment.8.2如買賣雙方同意不開信用證、憑單托收時,買方憑全套裝船單據(jù)由中國銀行北京分行見單、按發(fā)票金額98%付款,其他約定按照前條規(guī)定。ProvidedthatthepartiesheretoagreethepaymentbycollectionagainstdocumentsinsteadofL/C,buyershalleffectpaymentwithBankofChinaBeijingBranchforamountof98%ofinvoiceva?lueagainstfullsetofshippingdocuments.Otheragreementsshallbesubjecttothestipulationsofprecedingarticle.9.單據(jù)Documents賣方應(yīng)將下列單據(jù)提交銀行議付/托收:Sellershallpresentthefollowingdocumentsrequiredtobankfornegotiation/collection:A.匯票一式兩份。Thebillisinduplicate.B.商業(yè)發(fā)票一式六份(詳細(xì)注明嘜頭)。Commercialinvoiceisinsextuplicate(markedindetail).C.逐包過重的重量碼單一式二份。Thebillofweightwitheachpacketweighedisinduplicate.D.全套可轉(zhuǎn)讓的清潔海運(yùn)提單(棉包的取樣洞除外)正本一式三份。Fullsetofnegotiablecleanoceanbillsoflading(exceptsamplingholesincottonbags)intriplicate.E.裝船通知電報副本一份。提單和發(fā)票按照每份合同單獨(dú)開具,提單上面注明合同號。Onetelegramcopyofshipmentadvice.BillofLadingandinvoiceismadeseparaelyforeachcontractwiththecontractnumberindicatedontheBillofLading.10.品質(zhì)與重量QualityandWeight到岸品質(zhì)、到岸重量。ArrivalQualityandArrivalweightA.重量:由目的港的檢驗(yàn)機(jī)構(gòu)隨機(jī)抽樣5%檢驗(yàn)回潮率,并逐包過重,出具重量鑒定證書?;爻甭什坏贸^8.5%,每超過%,價格相應(yīng)下浮%。Weight:Theinspectionauthorityoftheportofdestinationwilleffectinspectionofmoisturecontentbymeanseof5%randomsamplingandweightbyeachpackagebeforeissuanceofWeightCertificate.Themoisturerateshallnotexceed8.5%,whereexceed%,thepriceshalldecrease%correpondingly.B.皮重:檢驗(yàn)機(jī)構(gòu)根據(jù)每批貨物的數(shù)量及包裝材料,隨機(jī)抽取3-5%的包數(shù),以確定平均皮重。按實(shí)際平均皮重計算到岸凈重。TareWeight:Theinspectionauthorityshall,onthebasisofthequantityandpackingmaterialofeachconsignment,effectrandomsampleof3–5%packetnumbertoconfirmtheaveragetareweight.TheCIFnetweightwillbecalculatedsubjecttotheaveragetareweight.C.每批貨物交付數(shù)量的溢短裝不得超過合同規(guī)定數(shù)量的1%。Themoreorlessofdeliveredeachconsignmentwillnotexceed1%ofthesamestipulatedhereof.D.品質(zhì):從每批貨中隨機(jī)抽樣10%作為品質(zhì)檢驗(yàn)的樣品。如果抽樣檢驗(yàn)的樣品質(zhì)量低于合同規(guī)定的等級,即棉花的纖維長度、強(qiáng)力或細(xì)度與合同規(guī)定的質(zhì)量標(biāo)準(zhǔn)不符時,以檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證書為雙方結(jié)算貨款的依據(jù)。Quality:randomsamplingof10%eachconsignmentwillbeforqualityinspection.Providedthatthesamplequalityofsamplinginspectionislowerthanthegradespecifiedinthecontract,towit,thefiberlength,strengthorfinenessofcottondoesnotconformtothequalitystandardstipulatedherein,theinspectioncertificateissuedbytheinspectionauthotityshallbetakenasthebasisforthesettlementofthepayment.11.棉花品質(zhì)降級差價PriceDifferenceWithCottonQuality如降等級超過1/2級、降長度超過1/8英寸時,買方有權(quán)按合同規(guī)定的降級差價25%處理。Wherethedemotionofcottongradeisoverthan1/2gradeandthedemotionoffibrelengthoverthan1/8inch,buyershallbeentitledtosettlepricedifferenceofprice25%asperthestipulationhereof.12.檢驗(yàn)費(fèi)InspectionFeeA.重量鑒定費(fèi)由賣方負(fù)擔(dān),每公噸50美分(包括回潮率檢驗(yàn)費(fèi))。TheweightInspectionfeeshallbeat50USDcentspermetricton(includinginspectionfeeofmoistureregain).B.品質(zhì)檢驗(yàn)費(fèi)由買方負(fù)擔(dān),每包一美元,即每份樣品10美元。如品質(zhì)降級賣方應(yīng)負(fù)擔(dān)不符合同規(guī)定部分的檢驗(yàn)費(fèi)。Thequalityinspectionfeeshallbeatthebuyer'sexpenseatUS$1perpack,i.e.US$10persample.Ifthequalityisdegraded,sellershallbeartheinspectionfeeforthepartwhichisnotinaccordancewiththecontract.13.病蟲害熏蒸FumigationofInsectPests賣方所交付之棉花,不得帶有法定檢疫的病蟲害。如貨到岸后有病蟲害存在,買方將根據(jù)檢疫規(guī)定需要熏蒸處理時,因熏蒸而產(chǎn)生的各項費(fèi)用,均由賣方負(fù)擔(dān)。Cottondeliveredbysellershallnothavetheinsectpestswhichareprohibitedbystatutoryquarantine.Providedthattheinsectpestsarefoundthereinatthearrivalofthegoods,thefumigationthereofwillbeforaccountofseller.14.不可抗力ForceMajerue14.1由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時不能全部或部分履行本協(xié)議,該方不負(fù)責(zé)任。但是,受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方,并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對方。Eitherpartyshallnotberesponsibleforfailureordelaytoperformalloranypartofthiscontractduetoflood,fire,earthquake,drought,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelevantparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftershallsendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.14.2由于雙方公認(rèn)的人力不可抗拒的原因而致延遲執(zhí)行合同或不能執(zhí)行合同之一部分或全部,雙方都不承擔(dān)責(zé)任。但是,遭受不可抗力的當(dāng)事方應(yīng)向另一方提供政府機(jī)關(guān)或商會發(fā)給的災(zāi)害證明文件,以資證明。Neitherpartyshallbeliableforthedelayofexecutionhereofornon-performanceofpartorallhereofduetoforcemajeurewhichbeingmutuallyrecognizedbybothparties.However,thepartysufferingfromforcemajeureshallprovidetotheotherpartyadocumentaryevidentissuedbythegovernmentauthorityorcommercialchamber.15.仲裁Arbitration本合同在執(zhí)行中,如發(fā)生任何糾紛,應(yīng)通過雙方友好協(xié)商進(jìn)行解決。如協(xié)商不成,任何一方可以提起仲裁。仲裁在被告
