PriortopreparingtheBid,eachBiddershallcarefullyreviewtheINSTRUCTIONSTOBIDDER,theenclosedContractandallEXHIBITStotheContract.

1 INTRODUCTION

Bidderisurgedtocomplystrictlywitheachandeveryoneoftheitemsstipulatedtherein.BiddermustreviewthisBidDocumentcarefullyandensurethattheycansupplyallthenecessaryitems,infrastructureandpersonneltofullysupporttheoperationsandachievethegivenobjectivesofthescopeofWork.

2 INTENTIONTOBID

2.1.BidderisrequestedtochecktheBidDocumentsuponreceiptandtoadviseCompanyifthereisanyomissionorpagesmissing.

3 PRICEQUOTATIONS

3.1. AllratesproposedbyBiddershallbequotedinUSDollars(USD)andshallbefirmedthroughoutthedurationoftheContractinaccordancewiththerelevantclauseoftheCONTRACTFORM.

Companywillnotmakeanytypeofadvancepaymentforthestart-uporperformanceoftheworkhereunder,andwillconsequentlyrejectanyoptionproposingthesame.

3.2. PricequotedshallprevailthroughoutthedurationofthisContractandshallnotbesubjecttorevisionbyreasonofcostescalationorcurrencyfluctuation.

3.3. EXHIBITV-“COMPENSATION”mustbeentirelycompletedbyBidderasrequired.EverypageofthisEXHIBITmustbeproperlyinitialedbyBidder'sauthorizedofficer.

3.4. PaymentsunderthetermsofthisContractshallbeinaccordancewiththerelevantClausesoftheCONTRACTFORM.

4 CONTRACTEXCEPTIONS

4.1. IfBidderhasanychangesthatareconsideredofmutualbenefitorifthereareanyexceptionstothetermsandconditionsoftheCONTRACTFORMoranyotherpartofthisdocument,BiddermuststatethechangesorexceptionsproposedbyusingtheformatinATTACHMENT2andgivingspecificreasonsthereof.Biddermustindicateclearlythespecificreasonsthereof.Biddermustindicateclearlytheeffect,ifany,thesechangesorexceptionsmayhaveonBidder'spricequotationandworkscheduleifthechangeorexceptionsweretobeacceptedbyCompany.Companywillrevieweachchangeorexceptiononacase-by-casebasis,butinnoeventshallBidder'sbasequotationbequalifiedbyanysuchchangeorexceptionnorwillCompanybeobligatedtoacceptanysuchchangeorexception.Inanyevent,Companyreservestherighttoacceptorrejectanyoralloftheproposedchangesorexceptions.

4.2. Anychange(s)orexception(s)totheContractexpressedaftertheclosingdateoftheBidshallnotbeentertained.

4.3. IfBiddercannotacceptCompany'swordingatanyprice,andiswillingtoriskhavingitsBidproposalrejectedonthisbasis,thenBiddermustmakethefollowingstatementasfollowing:

“FIRM-willnotacceptCompany’swordingatanyprice”

4.4. Biddershallquotethefirmamount(lumpsumand/orunitrate)bywhichtheContractPricewillbeadjusted(eitherupordown)intheEXHIBITVshouldBidder'sproposedchangesorexception(s)beacceptedbyCompany.

5 BANKGUARANTEE/PERFORMANCEGUARANTEE

5.1. Bidder'sattentionisdrawntotheCONTRACTFORMwherebythesuccessfulBidderisrequiredtoprovideanirrevocableandunconditionalfirstcallBANKGUARANTEEissuedbyInternationalorlocal[country’sname]commercialbanksacceptabletoCompanytoguaranteeperformanceofContractor'sobligationundertheContract.TheformatoftheBANKGUARANTEEshallbeasprovidedinATTACHMENT4.

5.2. InthecasewhereBiddersareonlyagentsrepresentingaprincipalcompany,Companyshall,inadditiontotheabove,havetherighttorequiretheBiddertofurnishCompanywithaPERFORMANCEGUARANTEEissuedbyitsprincipal,orparentcompany.SuchPERFORMANCEGUARANTEEshallbeintheformatassetoutinATTACHMENT4.CompanyshallnotifythesuccessfulBidderofitsrequirement,ifany,inthisregardpriortoawardofContract.

5.3. BidderisrequiredtosubmitaBidBondtoCompanybywayofanirrevocableandunconditionalfirstcallBankGuaranteeissuedbyareputablecommercialinternationalbankthathasaAAratingfromStandardandPoororatleastanAA3ratingofitslongtermdebtandacceptabletoCompany.TheoriginalBidBondshallbeattachedtotheTechnicalProposal.

TheamountofBidBondforBidder’sproposalshallbeUSD[number](UnitedStatesDollars[]only).AcopyoftheBidBondshallbeattachedtotheCommercialProposal.

TheBidBondshallbeeffectivefortheperiodofvalidityoftheBidwhichis[number]daysstartingfromtheCLOSINGDATEoftheBidandshallbeintheformatasspecifiedintheFormofBidBond,ATTACHMENT3.

5.4. BidBondwillbereturnedfreeofinteresttounsuccessfulBiddersandtothesuccessfulBidderuponsigningoftheContractbyBidderandafterreceiptandacceptancebyCompanyoftheBankGuaranteeand/orPerformanceGuarantee,asthecasemaybe,fortheContract.

IntheeventthattheBidderwithdrawsitsproposalor,havingbeenawardedtheContract,BidderrefusestoexecutetheContractorfailstoprovidethePerformanceGuaranteeintheformsetoutintheBidDocumentswithintheBidvalidityperiod,andthenthesaidBidBondwillbeforfeited,withoutrecourse,toCompany.

6 TAXESANDDUTIES

6.1. Bidderisresponsibletoseekclarificationthroughtheirtaxadvisorontheapplicabilityofthoseprovisionspriortosubmittingtheproposal.

6.2 BiddershallensurethatBiddersatisfiesalltherequirementsintheCONTRACTFORMforimportationofContractorEquipment.Ifequipmentistobeimportedbyland,Biddershallberequiredtodosounderbond.Bidderisadvisedtoconsultthe[country’sname]CustomsauthoritiesatthePoint(s)ofEntryorCompanyrelevantdepartmentforadvicepertainingtotheimportationoforonanymattersrelatedthereto.

6.3 Biddershallensurethatallapplicabletaxes(includingwithholdingtaxes)anddutiesareincorporatedintheproposal.

6.4 Intheabsenceoftheaboveassurance,CompanyisentitledtowithholdtherequiredpercentagefromallpaymentsduetoBidder’scompanyforservicesfallingwithinthewithholdingtaxprovisionsoftheAct.CompanyisthenentitledtopaytheamountwithheldtotheTaxationAuthoritywithin[number]month(s)ofthedateofpayingorcreditingsuchpayments.

7 PROPOSALFORMAT

Theproposalshallbesubmittedintwo(2)separatesealedpackagesi.e."COMMERCIALPROPOSAL"and"TECHNICALPROPOSAL"andshallbeinaccordancewiththeformatbelow.Biddermustensurethatthe“TECHNICALPROPOSAL"doesnotcontainanypricingorcost.FailuretocomplywiththeseinstructionsmayrenderBidder'sproposalinvalid.

7.1 TECHNICALPROPOSALPACKAGE

TechnicalProposalPackageshallincludebutisnotlimitedtothefollowing:

8 SUBMISSIONOFPROPOSAL

8.1 BiddershallsubmittheirtechnicalandcommercialpackagesmentionedaboveinoneoriginalsetplustwophotocopysetofeachandoneCDsetforthetechnicalandcommercialproposalpackagerespectively.Intheeventofdiscrepancybetweentheoriginalsetandthecopies,theoriginalshallprevail.

8.2 Theoriginalsetsmustbestampedwiththewords"ORIGINAL-COMMERCIAL”or"ORIGINAL-TECHNICAL"oneverypageoftherespectivepackage.Similarly,thephotocopysetsmustbestampedwiththewords"COPY1-COMMERCIAL”,"COPY2-COMMERCIAL”or"COPY1-TECHNICAL","COPY2-TECHNICAL"oneverypageofthephotocopysets.TheCDsetshallbemarkedclearlyonitscoverwiththewords”COMMERCIALPROPOSAL”or“TECHNICALPROPOSAL”.

8.3 Biddershallproperlywrapandsealtheoriginalset,photocopysetofTechnicalProposalPackageandCDsetofTechnicalProposalPackageinoneenvelope,andtheoriginalset,photocopysetofCommercialProposalPackageandCDsetofCommercialProposalPackageinanotherenvelope.Eachsealedenvelopeshallalsobelabeledproperlywiththewords“TECHNICALPROPOSAL”or“COMMERCIALPROPOSAL”asappropriate,includingtheBidder'snameandaddress,andthisTendernumberandtitle.

8.4 Biddershallsubmittheirabove-mentionedproposalstothefollowingaddress:[place].

BiddershallensurethattheproposalisdeliveredtotheaddressgivenabovenolaterthantheBidClosingDate.

8.7 BidderisstronglyadvisedtodelivertheproposalbyhandinordertoassuretimelyreceiptbyCompany.IfBidderelectstomailtheproposal,Bidderisadvisedtouseafastandreliabledeliveryservice(e.g.,courier).BiddershouldadviseCompanybyfax,whichnumberismentionedintheACKNOWLEDGEMENTOFBIDINVITATION,thedateanddetailsofthedeliveryservices.

8.8 AllcorrespondenceswithregardtoBidclarificationsshallbeinwritingandmustindicatethetendernumberandtitleandsenttotheaddressgiveninClause8.4above.

8.9 FailureofBiddertocomplywithanyoftheinstructionsunderthisSubmissionofProposalsClauseshallrenderBidder’sproposalinvalid.

9 ACCEPTANCE

9.1 Companymay,atitsoption,rejectallBidproposalsreceivedormayacceptanyproposalwhich,inCompany'ssolejudgment,isthemostadvantageoustoCompany.CompanyreservestherighttoacceptorrejectallorpartoftheproposalatCompany'sdiscretionandwillbeundernoobligationtoexplainthereasonsthereof.Also,CompanyreservestherighttoawardtheContractatitsowndiscretion.

9.2 Companyshallnotbedeemedtohaveacceptedalloranypartsofaproposalunlessanduntilwrittenacceptanceisissued.

9.3 ThesuccessfulBidderwillbeinvitedtoenterintoanagreementwithCompany.Priortosuchaninvitation,CompanymaysendthesuccessfulBidderaletterorfaxofintent.

9.4 Companydoesnotundertaketoacceptthelowestoranyproposal,theacceptanceofanyproposalshallconstituteabindingagreementbetweenCompanyandtheBidder.

9.5 AllproposalsreceivedshallbedeemedtobetheBidder'suniqueandfinalofferandanyunsolicitedre-tenders,ofanykindshallnotbeconsideredandmayresultindisqualification.Unjustifiableormaliciousproposalshallnotbeconsideredandmayresultindisqualification.

9.6 AllcorrespondencetoCompanyandBidssubmissionMUSTbeinEnglish.Submissioninotherlanguage(s)willbedeemedasnoncompliancetoBidsubmissionrequirementandwillbedisqualifiedfromfurtherconsideration.
