“JD360.hk”O(jiān)penPlatformShopService本協(xié)議由協(xié)議正文、附件及依據(jù)本協(xié)議公示于”開放平臺(tái)（以下簡(jiǎn)稱“京東國(guó)際平臺(tái)”）的各項(xiàng)規(guī)則所組成，協(xié)議附件及規(guī)則與本協(xié)議具有同等法律效力，如規(guī)則與本協(xié)議約定不一致的，以公布生效ThisAgreementconsistsofthemainbody,theschedulesandtherulesthatarepublicizedonthe“JD360.hk”O(jiān)penPlatform(hereinafterreferredtoasthe“JingDongInternationalPlatform”)pursuanttothisAgreement.AlltheschedulesandrulesareequallyasvalidasthisAgreement;incaseofanydiscrepancybetweensuchrulesandtheclausesofthisAgreement,thedocumentthatispublicizedorexecutedonthelaterdateshallprevail.TheheadingsofthearticleshereofareforconvenienceofreadingonlyandwillnotconstituteapartoraffectthemeaningorinterpretationofthisAgreement.Article1Definitionsand[JingDongInternational:JD.COMINTERNATIONALLIMITED.referredtoas“JingDongInternational”orPartyA.ThisAgreementissignedbetweenPartyBand“JingDongInternational/PartyA”.“JD360.hk”Website:referstothewebsitewiththedomainnameofJD360.hkforwhich“JingDongInternational”providestechnicalsupportandservices.JingDongInternationalPlatform:referstothe“JD360.hk”openplatformoperatedonthe“JD360.hk”Website,i.e.theelectroniccommercetradingserviceplatformwherethe“JD360.hk”WebsiteenablesitsuserstopublicizeandexchangeinformationandthirdpartyoperatorstoestablishandoperateShops.“JingDongJD.COM”WebsiteUsers:referstothecorporations,individualsandotherorganizationsthatregisterasmembersof“JD360.hk”onthe“JD360.hk”Website.Theyaregenerallyreferredtoas“users”underthisAgreement;andtheword“users”shallhavesuchmeaningunlessotherwisespecified.RegistrationandEnrollmentofMerchants:RegistrationofaMerchantreferstotheprocedurethroughwhichamerchantwhowantstobecomeathird-partyoperator(hereinafterthe“Merchant”)ofthe“JingDongInternationalPlatform”completestheonlinesubmissionofinformationpursuanttotheenrollmentprocessandrequirementsofthe“JingDongInternationalPlatform”;withtheapprovalof“JingDongInternational”,theMerchantmaylogintothe“JingDongInternationalPlatform”withthemerchant’sself-setJingDongInternationalPlatformusernameandpasswordtoestablishandoperateaShop.EnrollmentofaMerchant,alsoknownas“EnrollmentofaShop”,referstotheprocedurethroughwhichathirdpartyoperatorcompletestheregistrationand,ifitpassesthequalificationreviewandsatisfiestheenrollmentqualificationofaShopasprovidedinArticle4ofthisAgreement,becomesathirdpartyoperatorofthe“JingDongInternationalPlatform”.InthisAgreement,theMerchantreferstoPartyBinthisAgreement.JingDongInternationalPlatformUserName:alsotermed“ShopUserName”,referstotheaccountnamethatisobtainedbytheMerchantaftercompletingtheregistrationandusedtogetherwiththeself-setpasswordforloggingintotheMerchantmanagementsystemofthe“JingDongInternationalPlatform”tousethe“JingDongInternationalPlatform”Shopservices.EachJingDongInternationalPlatformusernamecorrespondstoauniqueShop.TheMerchantshallproperlykeepitsShopusernameandpasswordandshallnotassignorauthorizeanyotherpartytouseitsShopusernameorpasswordwithoutapproval,andisfullyandsolelyliableforanyconductperformedunderitsShopusername.Shop:referstoaweb-basedvirtualshopwithanindependentanduniqueID(abbreviationof“identity”,whichmeansaidentitynumber,referringtothe“MerchantID”hereunder)andaspecificname(whichmaybeadjustedpursuanttotherelevantPlatformrules)approvedby“JingDongInternational”onthebasisofPartyB’sapplicationinaccordancewiththisAgreementandtheJingDongInternationalPlatformRulesaftertheMerchantcompletestheregistrationandenrollmentprocedures,soastoenabletheMerchanttooperatelawfully.PartyBmayusetheusernameofJingDongInternationalPlatformtomanagetheShop,includingbutnotlimitedtouploading,modifyingordeletingproductinformationandtracingorcancelingatransaction,京東國(guó)際平臺(tái)規(guī)則：指標(biāo)示在“京東國(guó)際平臺(tái)”之上的，與商家經(jīng)營(yíng)有關(guān)的任何規(guī)范性文件，包括但不JingDongInternationalPlatformRules:referstoanynormativedocumentsthatarepublicizedonthe“JingDongInternationalPlatform”inrelationtotheoperationofMerchants,includingbutnotlimitedtotheMerchant’sManual,theBackstageAnnouncementforMerchantsandtheBackstageHelpCenterforMerchants,etc.TheMerchantunderstandsandagreesthatJingDongInternationalshallhavetherighttoupdate,adjustandamendtheJingDongInternationalPlatformRulesfromtimetotimeatitssolediscretionwithoutnotificationtoMerchant;Alltheupdated,adjustedandamendedJingDongInternationalPlatformRulesshallbecomeeffectiveimmediatelyuponitspublicationonthe“JingDongInternationalPlatform”,Merchant’scontinuanceoftheuseofservicesshallbedeemedasconsenttobeboundbythem.theMerchantfurtherunderstandsandagreesthatifitdoesnotaccepttoanyoftheupdated,adjustedandamendedJingDongInternationalPlatformRules,thisAgreementshallbeterminatedandtheMerchantshallceasetooperateitsShopontheJingDongInternationalPlatform.Deposit:referstotheamountpaidbytheMerchantto“JingDongInternational”forthepurposeofassuringtheperformanceofthisAgreementandguaranteeingthequalityofproductsandservices;theDepositmaybedisposedofby“JingDongInternational”inaccordancewiththisAgreement.PlatformUseFees:referstothefixedtechnicalservicefeespaidbytheMerchantinaccordancewiththisAgreementforusingtheservicesinrelationtheretoofthe“JingDongInternationalPlatform”.TechnicalServiceFees:referstothetechnicalservicefeespaidbytheMerchantto“JingDongInternational”onaproratabasisforeachsuccessfultransactionaccordingtothetypeofproduct.Article ServiceContentandOperationofPartyB’s甲方依照本協(xié)議第四條約定為乙方開通店鋪服務(wù)后，乙方可使用“京東國(guó)際平臺(tái)”發(fā)布商品信息，與愿意購買乙方商品的甲方其他用戶進(jìn)行在線交流，訂立買賣合同，并向通過“京東國(guó)際平臺(tái)”購買其商品“京東國(guó)際平臺(tái)”相關(guān)活動(dòng)及使用“京東國(guó)際平臺(tái)”同意提供的其他有償AfterPartyAmakestheShopserviceavailabletoPartyBinaccordancewithArticle4ofthisAgreement,PartyBmayusethe“JingDongInternationalPlatform”topublicizeproductinformation,communicateonlinewithotherusersofPartyAthatarewillingtopurchasetheproductsofPartyB,signthepurchasecontract,andprovideafter-salesservicestobuyersofitsproductsthroughthe“JingDongInternationalPlatform”;inaddition,PartyBmayalsoparticipateinrelevanteventsofthe“JingDongInternationalPlatform”anduseotherfee-basedservicesthe“JingDongInternationalPlatform”agreestoprovide.Inadditiontotheaforesaidservices,PartyBmayuseotherfee-basedservicesprovidedbyPartyAaslistedinthescheduleshereto.ThespecificcontentofsuchservicesshallbesubjecttotheschedulesheretoorthedocumentsfurthersignedbetweentheParties(includingdocumentssignedintheformofdatamessages,suchasanelectronicagreementbywhichPartyBacceptsfee-basedservices).OperationofPartyB’sShop:PartyB,astheseller,shalluploadandexhibitproductinformation,answerinquiries,sellproducts,issueinvoicesandprovidelogisticsandafter-saleservicesfortheproductssoldbyitsShoponitsownbehalf;incaseofanydispute,conflictorinvestigationbyanyrelevantgovernmentauthorityregardingPartyB’ssalesandservices,PartyBshallhandlesuchissuesinthecapacityofseller.“JingDongInternational”willneitherparticipateintheoperationofPartyB’sShopnordirectlyinterveneinanydisputeorconflictbetweenPartyBandanythirdparty,unlessotherwiseagreedinthisAgreement.Article EnrollmentQualificationsandSubmissionofSupportingTobecomeaMerchantandconductbusinessoperationonthe“JingDongInternationalPlatform”,PartyBmustsatisfythefollowingconditionsonacontinuousbasis:PartyBhasbeenregisteredinaccordancewiththelawsofthenationinwhichitsbusinesslicenseisregisteredandhasobtainedavalidbusinesslicenseandotherpermitsforbusinessoperation;theidentityinformationshallobjectivelyreflecttheMerchant’sactualstatus;PartyBacceptsthisAgreementandtherelevantJingDongInternationalPlatformThecommoditiestobedistributedbyPartyBcomefromlawfulsourcesandhaveallnecessaryPartyBhasprovidedallsupportingdocumentsrequiredunderArticle3.2hereof;PartyBhaspaidthePlatformUseFeesandtheDepositinthefullamountspecifiedinArticle7.1.1hereofandConfirmationofPartyB’sInformationandagreesthat“JingDongInternational”maydeducttheTechnicalServiceFeesthroughthesystemfromthemoneypaidbybuyersfortheproductstheyhavepurchasedonareal-timebasis.SubmissionofsupportingPartyBshall,inaccordancewiththerelevantJingDongInternationalPlatformRulesandrequirements,providePartyAwithsupportingdocumentsandotherrelevantcertificates,includingbutnotlimitedtoConfirmationofPartyB’sInformation,ApprovedTypesofShopProductsandFeeRates,acopyofthevalidoriginal(duplicate)ofcorporatebusinesslicense,taxregistrationcertificate,letterofauthorization,trademarkregistrationcertificateissuedbythelocalauthoritywherePartyBislocated,qualityinspectionreport,inspectionandquarantinecertificateandcertificateoforigin,etc.PartyBcovenantsthataforesaidsupportingdocumentsandotherrelevantcertificatesprovidedtoPartyAaretrue,lawful,accurateandvalid,andthatitwilltimelynotifyPartyAofanychangeorupdateofsaiddocumentsandotherrelevantcertificates;intheeventthatsuchchangeorupdateofthesaiddocumentsandotherrelevantcertificatescausesPartyBtofailtosatisfytheenrollmentqualificationssetforthinthisAgreement,PartyAmayrestrictPartyB’soperationinpartorinwholeatitssolediscretion,uptoanduntilterminationofthisAgreement.PartyBshallbewhollyandsolelyliableforthetrueness,lawfulness,accuracyandvalidityofsupportingdocumentsandotherrelevantcertificatesprovidedtoPartyA.IfPartyBsubmitsanyfalseoroutdateddocumentsorfailstoupdateornotifyanyupdateofsupportingdocuments,whichleadstoanydisputeorpunishmentbyanyrelevantgovernmentauthority,PartyBshallsolelyassumeallthelegalliabilities;ifitcausesanylosstoJingDongInternational(includingthepartners,agentsoremployeesof“JingDongInternational”),PartyBshallcompensateJingDongInternationalforsuchArticle AsforthespecificShoptobeoperatedbyPartyBasprovidedinthescheduleshereto,PartyAshallmaketheservicesavailabletoPartyBwithin7businessdaysafterPartyBsubmitstheapplicationforopeningaShopandsatisfiesthefollowingconditions;PartyAshallnotifyPartyBbyemailorfaxonebusinessdaybeforetheservicesofficiallybecomeavailable,andtheserviceperiodshallbesubjecttothetimeindicatedintheOnlineEnrollmentSystemofJingDongShops.PartyBhaspaidtheDepositinsuchfullamountandatsuchtimeasspecifiedinConfirmationofPartyB’sInformationannexedtothisAgreementorothersupplementaryagreements(ifany);PartyBhassubmittedsupportingdocumentsandotherrelevantcertificatesinaccordancewiththisAgreementandtheJingDongInternationalPlatformRulesandhasobtainedPartyA’sapproval;PartyBhasregisteredasauseroftheJingDongInternationalPlatformandthisAgreementhasbeensignedandenteredintoforce;andPartyBhasfullypaidthePlatformUseFeesforthecorrespondingserviceperiodforthespecificShopinaccordancewithConfirmationofPartyB’sInformationannexedheretoorothersupplementaryagreements(ifany).AfterPartyAmakestheservicesavailabletoPartyB,PartyBmayusetheJingDongInternationalPlatformUserNameandself-setpasswordtologintotheMerchant’sbackstage,uploadandpostproductinformationtothespecificShopofPartyBasspecifiedintheschedulestothisAgreementinaccordancewiththeJingDongInternationalPlatformRulesandrelevantprocedures,communicateandconcludetransactionswiththeusersanduseotherfee-basedservicesagreeduponinthisAgreement.TerminationofPartyB’sShopToterminateShopservices,PartyBshallapplytoPartyAforterminationatleast7businessdaysinadvance.TheShopserviceswillbeterminatedaftertheapplicationisreviewedandapprovedbyPartyA.TocompensatePartyAforitshumanresourceinput,materialresourceinputandtechnicalsupport,PartyBagreesthatPartyAwillnotrefundthePlatformUseFeesfortheremainingserviceperiodoftheShop.PartyAmayterminatePartyB’sShopservicesatanytimeunderanyofthefollowingPartyBfailstosatisfyenrollmentAnyqualificationdocumentprovidedbyPartyBisPartyBfailstofulfillthesalestargetofthePartyBprovidesfalselabelingofproductprices,specificationsorotherinformation,whichresultsinanypunishment,disputeorconflict;ThequalityorlabelofPartyB’sproductissubstandard,ortheproductissuspectedofbeingsmuggled,forged,usedorrepaired;PartyBuploadsproductsofabrandthathasnotbeenapprovedbyPartyAinPartyBfailstooperatetheShopnormallyforthirty(30)consecutivedaysorforty-five(45)daysaccumulatively;orPartyBotherwiseviolatesthisAgreementortheJingDongInternationalPlatformRules,orinfringesupontherightsorinterestsofJingDongInternationaloranyconsumerintheopinionofPartyAIfPartyBterminatestheShopoperationwithoutPartyA’sapprovalorShopservicesareterminatedbyPartyAunderanycircumstancesetforthinArticle4.3.2,thePlatformUseFeespaidbyPartyBforthespecificShopasspecifiedintheschedulesheretocorrespondingtotheremainingserviceperiodshallbetakenasthepenaltypayabletoPartyAbyPartyB;ifsuchamountisinsufficienttocoverthepenaltyandcompensationpayablebyPartyB,PartyBshallpaythedeficiencyseparately.Article RightsandObligationsofthe“京東國(guó)際”根據(jù)本協(xié)議向乙方提供電子商務(wù)交易平臺(tái)及相應(yīng)技術(shù)支持服務(wù)，盡力維護(hù)“京東國(guó)際平臺(tái)”的正常穩(wěn)定運(yùn)行，并努力提升和改進(jìn)技術(shù)，對(duì)平臺(tái)功能及服務(wù)進(jìn)行更新、升級(jí)，不斷提升平臺(tái)性能和“JingDongInternational”shallprovidePartyBwiththeelectroniccommercetradingplatformandrelatedtechnicalsupportservicesinaccordancewiththisAgreement,maintainproperandsteadyoperationofthe“JingDongInternationalPlatform”,strivetoupgradeandimprovetechnology,updateandupgradefunctionsandservicesoftheplatformandcontinuallyimproveplatformperformanceandtradingefficiency.“京東國(guó)際”對(duì)乙方在使用“京東國(guó)際平臺(tái)”過程中遇到的問題及提出的建議和意見積極予以回復(fù)，可依“JingDongInternational”shallrespondtimelytotheproblemsencounteredandsuggestionsorcommentsraisedbyPartyBinthecourseofusingthe“JingDongInternationalPlatform”andprovidePartyBwithreasonableguidanceandtrainingontheusageofthe“JingDongInternationalPlatform”atitsrequest.PartyBagreesthat“JingDongInternational”maycheckandadjustthetype,quantityandscopeofproductssoldbyPartyBonthe“JingDongInternationalPlatform”accordingtothescopeofbusinessindicatedonPartyB’sbusinesslicenseandthescopeofoperationPartyBappliesfor.PartyBagreesthat“JingDongInternational”orthethird-partyorganizationunilaterallyengagedby“JingDongInternational”mayexaminerelevantqualificationdocumentsandinformationprovidedbyPartyBatthecostofPartyB,forwhichPartyBshallprovideactivecooperation.Theexaminationby“JingDongInternational”isproforma.Suchexaminationandacceptancedoesnotconstituteanyconfirmationby“JingDongInternational”ofthetrueness,lawfulness,accuracyandtimelinessoftheexaminedcontentandPartyBshallstillbelegallyresponsibleforthetrueness,lawfulness,accuracyandtimelinessofsuchcontent.IfPartyBrefusestopayrelevantcosts,“JingDongInternational”willbeentitledtochoosetodeductsuchcostsfromtheoutstandingaccountsreceivablebyPartyB.QualityTosafeguardconsumerrightsandinterestsandsatisfyconsumerrequirementsonproductqualitymaximally,PartyBisobligedtoconductqualitycontrolofeachproductitdistributesonthe“JingDongInternationalPlatform”inaccordancewithrelevantlaws,industrialstandardsandtherequirementsforeachtypeofproductspublicizedby“JingDongInternational”(includingbutnotlimitedtolegalandregulatorycompliance,safety,accuracyoffunctionsandmaterialdescription,labelingandmarking,appearanceandpackagingofproducts).于乙方銷售商品的性能，質(zhì)量，材料成分，是否符合相應(yīng)法律法規(guī)要求等各方面，或要求乙方對(duì)““JingDongInternational”may,onthebasisofmarketfeedbacks,delegateathird-partyinspectionagencytoconductproductinspectionirregularly(theinspectionmayincludewithoutlimitationtheperformance,quality,materialofproductssoldbyPartyBandwhethertheycomplywithrelevantlegalandregulatoryrequirements),orrequirePartyBtoprovideproofsofpurchase,factoryinspectionreportsorthird-partytestreportsandotherqualitycertificatesfortherelevantproductsorbatchofproductsspecifiedby“JingDongInternational”.Notwithstandingtherulethat“JingDongInternational”mayirregularlyspot-checkorengageathird-partyorganizationtospot-checkproductssoldbyPartyBforthepurposeofprotectingconsumerrightsandinterests,“JingDongInternational”shallhavenoobligationtoconductanypriorexaminationofanytradingactivitiesofPartyBonthe“JingDongInternationalPlatform”andothermattersrelatedthereto.“京東國(guó)際”無義務(wù)對(duì)乙方在“京東國(guó)際平臺(tái)”上的交易行為以及與交易有關(guān)的其它事項(xiàng)進(jìn)行事先審查，但如存在下列任何情況：第三方通知甲方，認(rèn)為乙方可能有任何侵權(quán)、違法或違反本協(xié)議或有關(guān)規(guī)則的情況；或甲方有理由認(rèn)為乙方可能有侵權(quán)或違法或違反本協(xié)議或有關(guān)規(guī)則的情況，則甲方有權(quán)““JingDongInternational”shallhavenoobligationtoconductpriorexaminationoftradingactivitiesofPartyBonthe“JingDongInternationalPlatform”andothermattersrelatedthereto.However,intheeventthat:athirdpartynotifiesPartyAthatPartyBpossiblyhascommittedanyinfringementorviolatedlawsorbreachedthisAgreementoranyrelevantrules;orPartyAreasonablybelievesthatPartyBpossiblyhascommittedanyinfringementorviolatedlawsorbreachedthisAgreementorrelevantrules,PartyAshallhavetherighttoconductanyrelevantenforcementactionsagainstPartyB,includingbutnotlimitedtodeletinganyinformationcontentpublicizedbyPartyBontothe“JingDongInternationalPlatform”,imposingfunctionalrestrictionsontheShopofPartyBorceasingtoprovideservicestoPartyB.PartyAreservestherighttolodgelegalproceedingsagainstPartyBinrespectofitsviolationoflaws,infringementofanylegitimaterightsofthirdpartiesorbreachesofthisAgreement.IfPartyBsellssubstandardproductsasevidencedbythespot-checkresultorisunabletoprovide“JingDongInternational”withthequalitycertificatesfortherelevantproductsorbatchofproducts,“JingDongInternational”maydisciplinePartyBandrequireittotakecorrectiveactionwithinaspecifiedperiodinlinewiththeseverityofproblemandinaccordancewiththisAgreementandthemerchantrules,normsandstandardspublicized.PartyBmust,atitssolecost,takecorrectiveactionwithinthespecifiedperiodandcompletethird-partytestingofdesignatedproductspursuanttotherequirementsof“JingDongInternational”.IfPartyBrefusestodoso,“JingDongInternational”maytakerelevantmeasuresagainstPartyB,includingbutnotlimitedtoterminatingservicestoPartyB,terminatingthisAgreementandholdingPartyBliableforbreachofcontractand/orrequiringPartyBtopaydamages,etc.“IfanyproductqualityproblemofPartyBcausesanyloss(includingbutnotlimitedtofinancialorreputationalloss)to“JingDongInternational”,“JingDongInternational”mayrequirePartyBtocompensateallthecostsandexpensessoincurredandreservetherighttofurtherpursueotherrelevantliabilitiesofPartyB.“JingDongInternational”maysuperviseandcheckregistrationinformation,uploadeddataandotherinformationpublicizedandtransactionalactivitiesconductedbyPartyBonthe“JingDongInternationalPlatform”;ifanyinformationpublicizedbyPartyBonthe“JingDongInternationalPlatform”pertainsorrelatestoanyofthefollowinginformation,PartyBagreesthat“JingDongInternational”mayimmediatelydeletesuchinformationwithoutnoticeandtakeanyrelevantenforcementactionpursuanttorelevantrules:InformationintendedtoavoidpaymentofTechnicalServiceInformationintendedtohypeupcreditabilityorsalesvolumeonthe“JingDongInternationalInformationthat“JingDongInternational”reasonablybelievescontainsanyfraudulentorotherwisemaliciousorfalseelements;Informationthat“JingDongInternational”reasonablybelievesasirrelevanttotradingonthe“JingDongInternationalPlatform”;Informationthat“JingDongInternational”reasonablybelievesrelatestomaliciousbiddingorisprovidedinanattempttootherwisedisturbthenormalorderoftransactionsonthe“JingDongInternational5.6.5Informationthat“JingDongInternational”reasonablybelievesasdefamatory,slanderous,intimidatingorharassing,indecent,unpleasant,offensive,pornographicorharmfultominors;or5.6.7Informationthat“JingDongInternational”reasonablybelievesasagainstpublicinterestsorlikelytoseriouslyimpairthelegitimateinterestsof“JingDongInternational”and/orotherusers.IfPartyAreasonablybelievesthatPartyBviolatesanyprovisionofthisAgreement,relevantrulesorapplicablelawsorhasanydoubtorqueryaboutotherproblemsdiscoveredthereby,PartyAmaymakeaninquiryorissueademandforcorrectiontoPartyB.PartyBshallprovideclarificationortakecorrectiveactionimmediatelyafterreceivingthesaidinquiryordemand.IfPartyBcommitsanyoftheabovemisconduct,“JingDongInternational”maypursueitscontractualandtortliabilitiesand/orterminatethisAgreement.“京東國(guó)際”有權(quán)將生效法律文書或行政文書確定的乙方違法違規(guī)事件，或乙方已確認(rèn)的乙方違反本協(xié)議相關(guān)約定的事項(xiàng)，在“京東國(guó)際平臺(tái)”上予以公示；乙方多次違規(guī)或者有嚴(yán)重違約、違規(guī)情形的，“東國(guó)際”“JingDongInternational”maypublicizelegalorregulatoryviolationsonthepartofPartyBalreadyconfirmedbyanyeffectivelegalinstrumentoradministrativedocumentorPartyB’sbreachofthisAgreementasconfirmedbyPartyBonthe“JingDongInternationalPlatform”.IfPartyBhasviolatedanylaworregulationorthisAgreementrepeatedlyorseriously,“JingDongInternational”maysuspenditsShopoperation,forfeittheDepositoreventerminatethisAgreement;iftheaforesaidmeasuresareinsufficienttocoverthelossesofPartyA,“JingDongInternational”maypursuePartyB’sliabilityforfurtherdamages.IfPartyB’soperationfailstomeetrequirementsofthe“JingDongInternationalPlatform”andremainsunabletomeetsuchrequirementsaftertakingcorrectiveactionwithinthespecifiedperiod,“JingDongInternational”mayterminatethisAgreementandceasetoprovidePartyBwithserviceshereunder.“JingDongInternational”mayorganizepromotionalactivitiesaccordingtomarketconditionsandoperatingconditionsoftheMerchantsenrolledinthe“JingDongInternationalPlatform”,forwhichPartyBshallprovideactivesupportaccordingtoitsownoperatingandproductconditions.“京東國(guó)際”有權(quán)要求乙方提供與乙方商品、售后服務(wù)等相關(guān)的信息，以便于客戶直接向“京東國(guó)際平臺(tái)”客服中心進(jìn)行咨詢時(shí)予以回復(fù)，對(duì)于“京東國(guó)際”無法回答或?qū)僖曳秸莆盏那闆r，“京東國(guó)際”有權(quán)要求乙方在指定的時(shí)限內(nèi)予以回復(fù)或給出相應(yīng)方案，對(duì)乙方未及時(shí)解決的客戶咨詢及投訴，““JingDongInternational”mayrequirePartyBtoprovideinformationonitsproductsandafter-salesservicestofacilitateJingDong’sresponsetoinquiriescustomersmakedirectlytothecustomerservicecenterof“JingDongInternationalPlatform”.Ifsuchinquiryisbeyondtheknowledgeof“JingDongInternational”orcomeswithintheknowledgeofPartyB,“JingDongInternational”mayrequirePartyBtoprovideareplyorsolutionwithinthespecifiedperiod;ifPartyBfailstosolveanycustomerinquiryorcomplaintwithinthespecifiedperiod,“JingDongInternational”maytakerelevantmeasuresagainstPartyB.Iftheproductdistributed,theinformationpublicizedortheafter-salesserviceprovidedbyPartyBleadstoalawsuitorarbitrationlodgedbyanythirdpartyagainst“JingDongInternational”and/orthe“JingDongInternationalPlatform”,“JingDongInternational”and/orthe“JingDongInternationalPlatform”maydisclosePartyBasthedirectprovideroftheproductconcernedandPartyBshallassumeallthelegalliabilitiesarisingtherefrom;ifitcausesanylossesto“JingDongInternational”and/orthe“JingDongInternationalPlatform”,“JingDongInternational”mayrequirePartyBtocompensate“JingDongInternational”and/orthe“JingDongInternationalPlatform”forallsuchlosses.PartyBagreesandiswillingtoobservetheproceduresandchargestandards,etcof“JingDongInternational”asareupdatedoradjustedinaccordancewithrelevantlaws,regulations,policiesandtheplatform’soperatingconditionsandpublicizedonthe“JingDongInternationalPlatform”,whichwillautomaticallyenterintoforceuponpromulgationwithoutnotice.PartyBagreesthat“JingDongInternational”mayassignitsrightsandobligationshereunderinpartorinwholetoanyrelatedcompanyofPartyAaccordingtoitsbusinessadjustments,provideditnotifiesPartyBthereoffive(5)daysinadvance.Article
