傳真Fax:本合同經(jīng)買、賣雙方友好協(xié)商后在年月日簽訂。根據(jù)本合同簽訂的條款，買方同意向賣方購買、賣方同意向買方提供下列輕鋼結(jié)構(gòu)系統(tǒng)建筑材料一套(以下簡稱“鋼結(jié)構(gòu)”)：ThisContractismadebyandbetweentheBuyerandSelleron 元。Within5workingdaysofthesigningofthisContract,theBuyershallpaytotheSelleradepositequalto20%oftheContractPrice,i.e.Rmb.買方收到賣方的鋼結(jié)構(gòu)設(shè)計圖并確認后三個工作日內(nèi)，應(yīng)付予賣方合同總價之20%作為預(yù)付款，即人民幣一元。Within3workingdaysofitsreceiptandapprovalofthedesigndrawingsfortheMetalBuildingSystem,theBuyershallpaytotheSelleraprepaymentamountequalto20%oftheContractPrice,i.e.Rmb.鋼結(jié)構(gòu)制造完成后，并經(jīng)買方驗收后五個工作日內(nèi)，買方應(yīng)付予賣方合同總價之60%，即人民幣元。Within5workingdaysafterthemanufactureoftheMetalBuildingSystemhasbeencompletedandtheBuyerhasacceptedtheMetalBuildingSystem,theBuyershallpaytotheSeller60%oftheContractPrice,i.e.Rmb.買方支付賣方的所有款項均以銀行匯票或電］匚方式匯至賣方指定在—銀行所開之帳號，號碼086861-10224020560。所有付款日期均以賣方收款之銀行收款憑證日期為準(zhǔn)。如買方逾期五天付款，須從第六天起按日支付該筆逾期款項0.1%的滯納金。若買方之逾期付款超過應(yīng)付款日三十天后，賣方有權(quán)單方面取消整個合同，并沒收買方已支付之定金、預(yù)付款和其他款項作為賠償。若該筆款項不足彌補賣方之損失，則買方還需就不足部分支付賠償金。AllpaymentstobemadebytheBuyertotheSellerhereundershallbemadebybankdraftorwiretransfertotheSeller'sdesignatedaccountat_Bank,accountNo.086861-10224020560.Thedateofpaymentforallamountsshallbetheofficialdateofreceiptbytheseller’sreceivingbank.IftheBuyer’spaymentislateforfivedays,itshallpayapenaltyonthelatesumfromthesixthdayatarateof0.1%perday.IftheBuyer’spaymentislateformorethan30days,theSellerhasarighttounilaterallyterminatethisContractandforfeitthedeposit,prepaymentandanyothersumsascompensation.IfsuchsumsarenotsufficienttocompensatetheSeller’slosses,theBuyershallpaytheSellertheamountofsuchdeficiency.第五條設(shè)計、制造進度及期限Article5.ProgressandTimeLimitonDesignandManufacture賣方收到定金后四周內(nèi)，應(yīng)向買方提供設(shè)計所需的反力圖及地腳螺栓布置圖。買方應(yīng)盡快將以上資料提交負責(zé)設(shè)計地基和基礎(chǔ)的設(shè)計院。有關(guān)設(shè)計院的所有費用(包括圖簽費用)均由買方承擔(dān)。Withinfourweeksafteritreceivedthedeposit,theSellershallprovidetotheBuyerthereactiondrawingsandthedrawingsfortheplacementoftheanchorboltsrequiredforthedesignoftheMetalBuildingSystem.TheBuyershallgivethisinformationtothedesigninstituteresponsibleforthedesignofthefoundationassoonaspossible.Allcostsrelatedtothedesigninstitute(includingthecostofsigningthedrawings)shallbebornebytheBuyer.收到預(yù)付款后_周，賣方應(yīng)完成鋼結(jié)構(gòu)制造并通知買方派員到賣方工廠進行交貨發(fā)運前檢驗。Within_weeksafteritreceivedtheprepayment,theSellershallcompletethemanufactureoftheMetalBuildingSystemandnotifytheBuyertosenditsrepresentativetotheSeller’splanttoinspectthegoodsbeforetheirdeliveryandshipment.買方驗收后已付賣方第4.3條貨款后一周內(nèi)，賣方應(yīng)將產(chǎn)品運至工地現(xiàn)場。WithinoneweekaftertheBuyerhasinspectedandacceptedthegoodsandpaidSellertheamountsetforthinarticle4.3hereof,theSellershallhavethegoodsshippedtotheSite.買方若要求變更鋼結(jié)構(gòu)規(guī)格或設(shè)計，應(yīng)以書面方式通知賣方，賣方在可能的情況下盡量滿足買方要求，但賣方可視增加之工時和材料調(diào)整本合同價格及期限，經(jīng)買賣雙方同意后才生效。所有鋼結(jié)構(gòu)規(guī)格或設(shè)計之變更，若因買方未能于兩天內(nèi)簽署賣方所提供的有關(guān)確認文件，均視為買方取消變更要求，恢復(fù)原本規(guī)格或設(shè)計。如因此而造成鋼結(jié)構(gòu)設(shè)計或制造之延誤，則買方須承擔(dān)一切責(zé)任。ShouldtheBuyerrequestanychangestothespecificationsordesignoftheMetalBuildingSystem,itshallnotifythesellerinwriting.TheSellershalltrytosatisfytheBuyer’srequestasbestaspossible,butmayadjusttheContractPriceorthetimeframeforperformancebasedontheadditionalamountofwork,timeandmaterialsrequiredasaresultofsuchchanges.SuchadjustmentsshallbeeffectiveuponagreementbyboththeBuyerandtheSeller.IftheBuyershallfailtosigntherelevantconfirmationprovidedbytheSellerrelatingtosuchadjustmentswithin2daysthereof,suchadjustmentsshallbedeemedtobecancelledbytheBuyer.TheBuyershallnotberesponsibleforanydelaysinthedesignormanufactureoftheMetalBuildingSystemasaresultthereof.除天災(zāi)人禍等不可抗力因素及因買方未盡本合同責(zé)任之情形以外，如賣方逾期完成以上任何一項義務(wù)，須從逾期第四天起按日支付該筆逾期款項0.1%的罰款，但該罰款不應(yīng)超過本合同總價之3%。ExceptforforcemajeureorafailurebytheBuyertoperformitsobligationsunderthisContract,iftheSellerfailstocompleteontimeanyofitstaskssetforthabove,itshallpayapenaltyof0.1%perdayonthelateamount,commencingonthefourthdayofsuchdelay,providedthatsuchpenaltyshallnotexceed3%oftheContractPrice.第5.2及5.3條所提到的交貨時限是以買方在收到鋼結(jié)構(gòu)設(shè)計圖后七天內(nèi)把確認圖還給賣方和買方在收到驗收通知后七天內(nèi)派員到賣方工廠進行貨物檢驗為根據(jù)。買方每逾期一天確認設(shè)計圖或到賣方工廠驗貨，無論什么原因，賣方的交貨時限會延遲兩天，如該逾期超過七天，賣方有權(quán)根據(jù)其當(dāng)時的業(yè)務(wù)要求重新安排交貨時間。ThedeliveryschedulereferredtoinSections5.2and5.3hereofissubjecttothePurchaserreturningtheapproveddesigndrawingstotheSellerwithin7daysofreceiptthereofandinspectingthegoodsatSeller’splantwithin7daysofnoticethereoffromtheSeller.EachdayofdelayinthereturnofsuchapproveddrawingstotheSellerorsuchinspectionofthegoods,forwhateverreasons,willresultinatwo-daypostponementofthedateofdelivery.Ifanysuchdelayshallexceed7days,theSellershallbeentitledtore-schedulethedeliverydatebasedonitsthenexistingbusinesscommitments.買方應(yīng)賠償或補償賣方因買方造成的交貨延誤所受到的所有損失，包括（但不限于）貨物貯存的費用，該費用以每天每噸人民幣83元計算。ThePurchasershallindemnifytheSellerforallcostsincurredbyitasaresultofanydelayinthedeliveryoftheMetalBuildingSystemcausedbythePurchaser,including,withoutlimitation,thecostofstoragewhichshallbechargedattherateofRmb83pertonperday.第六條裝運和清點Article6.Packing,ShippingandInventory鋼結(jié)構(gòu)制造完畢、經(jīng)買方驗收后方能裝運到工地現(xiàn)場。賣方應(yīng)提前一周前通知買方其發(fā)運日期以便買方為賣方提供工作條件上的方便，例如提供現(xiàn)場物資存放的道路、場地及水電供應(yīng)等。TheMetalBuildingSystemmaybepackedandshippedtotheSiteonlyafterthemanufactureoftheMetalBuildingSystemiscompletedandtheBuyerhasinspectedandacceptedthegoods.TheSellershallnotifytheBuyeroneweekinadvanceoftheshipmentdatesothattheBuyercanprovidetheworkingconveniencefortheSeller,suchastheroadsandplaceforthestorageofthegoodsandwaterandelectricity,etc.貨物到達工地現(xiàn)場后，買方應(yīng)即時清點及驗查貨物質(zhì)量并簽收。如有損壞，買方應(yīng)即時通知賣方。AfterthegoodsarrivedattheSite,theSellershallimmediatelyinventoryandinspectthequalityofthegoodsandacceptthem.Ifthereisanydamagethereto,theBuyershallimmediatelynotifytheSeller.工地現(xiàn)場的卸貨由買方負責(zé)，如有延誤，所有費用由買方負責(zé)。TheBuyershallberesponsiblefortheunloadingofthegoodsattheSite.ThecostsofanydelaysshallbebornebytheBuyer.第七條產(chǎn)品檢驗Article7.InspectionofGoods7.1如在驗收過程中，買方發(fā)現(xiàn)貨物的質(zhì)量、規(guī)格、性能與合同不符合，賣方可按買方的要求退換或修復(fù)，達到合同要求。如有爭議，買方可申請上海進出口商品檢驗局就產(chǎn)品質(zhì)量、規(guī)格及性能進行檢驗，所有費用由買方承擔(dān)。IfduringthecourseofinspectiontheBuyerdiscoversthatthequality,quantity,specificationsofnatureofthegoodsdonotmeetwiththerequirementsintheContract,itmayrequesttoreturnthegoodsorhavethemrepairedorreplacedsoastomeettherequirementsintheContract.Ifthereisanydispute,theBuyermayapplytohaveShanghaiImport&ExportCommodityInspectionBureautoinspectthequality,quantity,specificationsandnatureofthegoods.AllcostsrelatedtheretoshallbebornebytheBuyer.第八條賣方聲明和保證Article8.Seller'sRepresentationsandWarranties賣方對產(chǎn)品質(zhì)量作出下列聲明及保證：TheSellermakesthefollowingrepresentationsandwarrantieswithrespecttothequalityandquantityofthegoods:鋼結(jié)構(gòu)設(shè)計以美國MetalbuildingMembersAssociation(MBMA)建筑規(guī)范(1986年版)及相關(guān)技術(shù)文本為標(biāo)準(zhǔn)。ThedesignoftheMetalBuildingSystemisbasedonthebuildingcodesoftheMetalBuildingMembersAssociation(MBMA)oftheUnitedStatesofAmerica(1986Edition)andrelatedtechnicaldocuments.賣方對產(chǎn)品的質(zhì)量保證期為一年，在產(chǎn)品送達工地現(xiàn)場一年內(nèi)，如產(chǎn)品在正常操作情況下出現(xiàn)質(zhì)量問題，賣方會免費提供維修服務(wù)。此產(chǎn)品質(zhì)量保證不包括因買方不當(dāng)處置產(chǎn)品引致之問題或原材料引致之間接損失或隨之發(fā)生的損害。TheSeller’swarrantyonthegoodsisoneyears.Ifthegoodsdevelopproblemduringnormaloperationwithinoneyears.ofitsarrivalattheSite,theSellershallprovidefreerepairservice.ThiswarrantydoesnotcoveranyproblemscausedbythemishandlingofthegoodsbytheBuyerorindirectlossescausedbytherawmaterialsoranyconsequentialdamages.第九條技術(shù)資料和單據(jù)Article9.TechnicalInformationandReceipts9.1賣方應(yīng)在產(chǎn)品送達工地現(xiàn)場一周前，把下列技術(shù)資料交給買方：由制造廠發(fā)出產(chǎn)品說明書一份；和施工圖一式三份。WithinoneweekofthedeliveryofthegoodstotheSite,theSellershallprovidethefollowingtechnicalinformationtotheBuyer:Acopyoftheproductdescriptionissuedbythemanufacturer;andThreecopiesoftheconstructiondrawings.9.2賣方應(yīng)于賣方在產(chǎn)品運出后，把下列單據(jù)交給買方：稅務(wù)發(fā)票，內(nèi)容注明本合同編號、項目名稱等；交貨清單一式四份；制造廠簽發(fā)的質(zhì)量證明書；和Afterthegoodshavebeenshipped,theSellershallprovidetheBuyerwiththefollowinginvoicesandreceipts:Ataxreceipt,thecontentofwhichshallincludethenumberofthisContract,thenameoftheproject,etc.Fourcopiesoftheinventorylistofthegoodsdelivered;Thequalityandquantitycertificateissuedbythemanufacturer;and第十條不可抗力ArticlelO.ForceMajeure買賣雙方中任何一方，由于人力不可抗力事故而影響合同執(zhí)行時，則延遲履行合同的期限，延遲的時間相當(dāng)于事故所影響的時間，受事故影響一方應(yīng)于事故發(fā)生后三天內(nèi)將所發(fā)生的不可抗力事故的情況用傳真方式通知對方，并在十天內(nèi)遞交有關(guān)證明文件給另一方確認。當(dāng)不可抗力事故終止后，受事故影響的一方應(yīng)于事故終止后三天內(nèi)用以傳真方式通知對方，并以信件證實。任何不可抗力事故影響合同執(zhí)行超過12周以上的，雙方應(yīng)應(yīng)合同執(zhí)行的有關(guān)問題進行協(xié)商。IftheperformanceoftheBuyerorSellerunderthisContractisaffectedbyaforcemajeure,thentheperiodforsuchperformanceshallbepostponedduringthedurationofsuchevent.Theaffectedpartyshallnotifytheotherpartybyfaxwithin3daysoftheoccurrenceofsucheventandshallprovidetheotherpartyevidenceofsucheventwithin10daysoftheoccurrenceofsuchevent.Aftertheforcemajeureeventhasterminated,theaffectedpartyshallnotifytheotherpartybyfaxwithin3dayaftertheterminationofsucheventfollowedbyalattertoevidencesuchtermination.ThepartiesshalldiscusstheproblemsofthisContractifanyforcemajeureeventshallaffectsuchperformanceformorethan12weeks.不可抗力事故包括任何預(yù)料之外事件，如戰(zhàn)爭、叛亂、暴動、騷動、火災(zāi)、罷工、自然災(zāi)害、禁運及任何其他賣方控制范圍以外之事件。Forpurposeshereof,forcemajeuremeansanyunforeseeableevent,suchaswar,insurrection,mobaction,civilcommotion,fire,strike,naturaldisaster,embargoandanyothereventoutsidethecontroloftheSeller.第H—條仲裁Article11.Arbitration11.1凡因執(zhí)行本合同所產(chǎn)生的或與本合同有關(guān)的一切爭議，雙方應(yīng)通過友好協(xié)商解決，如協(xié)商不成，任何一方可提交上海市經(jīng)濟貿(mào)易仲裁委員會進行仲裁，仲裁裁決是最終的，對雙方都有約束力。仲裁費用由敗訴方承擔(dān)。AlldisputesarisingoutoforinconnectionwiththisContractshallberesolvedbythepartiesthroughfriendlynegotiations.Ifthepartiesareunabletoresolvesuchdisputes,eitherpartymaysubmitsuchdisputestoarbitrationbytheChinaInternationalEconomicandTradeArbitrationCommission,whicharbitralawardshallbefinalandbindingonbothparties.Thecostsofarbitrationshallbebornebythelosingparty.第十二條其他條款A(yù)rticle12.OtherProvisions本合同經(jīng)雙方簽字及蓋章后生效。買賣雙方之所有責(zé)任和義務(wù)完畢時，本合同自然終止。ThisContractshallbeeffectiveafterbothpartieshavesignedandsealedit.WhenthedutiesandobligationsoftheBuyerandSellerarecompleted,th 法定代表或授權(quán)人(簽名)：LegalRepresentativeorProxy(Signature):LegalRepresentativeorProxy(Signature):合同附件Appendix設(shè)計及材料說明Design&MaterialsSpecification主框架：MainFrame:所有鋼性框架為焊接成型的變截面“I”形柱、梁；所有端墻屋面梁和端墻柱根據(jù)設(shè)計要求同樣選擇組合焊接丁型變截面，設(shè)計時根據(jù)AISC1989年6月1日版的“鋼結(jié)構(gòu)建筑規(guī)范”中允許應(yīng)力設(shè)計及塑性應(yīng)力設(shè)計：Allrigidframeswillbewelded,built-up“I”sections.Thecolumnsandtherafterswillbothselectwelded,built-up“I”accordingtodesignrequirementsThedesignwillbeinaccordancewiththestressdesignandplasticstressdesignpermittedbyAISC’sJune1,1989editionof“SpecificationforStructuralSteelBuildings”.所有底板，拼接板，蓋板和加強板應(yīng)在工廠焊接到結(jié)構(gòu)構(gòu)件上；螺栓孔以及所有底板，拼接板和翼緣板均在工廠預(yù)制，并打好螺栓連接孔；腹板的工廠預(yù)制包括對拉桿支撐及翼緣支撐的沖孔定位。Allbaseplates,spliceplates,capplates,andstiffenerswillbeweldedintoplaceonthestructuralpartsinthefactory.Anchorboltopeningsandallbaseplates,spliceplatesandflangeswillbepre-fabricatedatthefactoryandincludeboltconnectionholes.Webswillbeshopfabricatedtoincludecablebraceandrodbraceholesandflangebraceholes.組合焊接截面鋼材的材質(zhì)相當(dāng)于___鋼；鋼支架制作完畢后表面噴砂除銹，表面再涂覆醇酸快干底漆。Thequalityofsteelforallbuilt-upsectionswillbethesameas
