TRANSLATIONAGREEMENT

ThisTranslationAgreement(the“Agreement”)isenteredintobetween[InsertNameofTranslator],havingitsprincipalplaceofbusinessat[Address],(“Translator”)and[InsertNameofClient],havingitsprincipalplaceofbusinessat[Address],(“Client”),collectivelythe“Parties”andsinglya“Party”.

1.OBJECTIVE

ThisAgreementsetsforththetermsandconditionsunderwhichTranslatorshallprovidetranslationservicestoClient.

2.SERVICESTOBEPROVIDED

Translatorshallprovidethefollowingtranslationservice(s)toClient:

3.TIMEOFCOMPLETION

ThetranslationmustbedeliveredtotheClientby[InsertDate].IfitisnotdeliveredtotheClientbysuchdate,suchdatemaybeextendedbymutualagreementbetweentheParties.

4.COMPENSATION

TranslatorshallreceivecompensationasmutuallyagreedwiththeClient.Compensationforservicesperformedshallbepayablewithin[InsertNumber]daysofthereceiptofeachinvoicesubmittedbyTranslatortoClient.

5.OWNERSHIPANDCONFIDENTIALITYOFDOCUMENTS

ClientwarrantsthatthedocumentssubmittedfortranslationareownedbyClientorthatClienthasobtainedallnecessarypermissionsforthetranslationtotakeplace.

TranslatoragreesnottodiscloseanyinformationaboutthecontentofthedocumentssubmittedfortranslationorthedetailsofthetransactionbetweenTranslatorandClient.

6.WARRANTIESANDINDEMNIFICATION

Translatorwarrantsthatthetranslationwillcomplywithstandardindustrypracticesandwillbefreefromanyerrorsthatwouldcauseareasonablepersontoquestiontheaccuracyorcompletenessofthetranslatedtext.

Ifanythird-partyclaimsaremadeagainstClientasaresultofTranslationservicesprovidedbyTranslator,TranslatorshallindemnifyClientandholdClientharmlessfromallsuchclaimsandexpenses,includingreasonableattorney’sfees.

7.TERMINATION

EitherPartymayterminatethisAgreementatanytimeupon[InsertNumber]dayswrittennoticetotheotherParty.IftheAgreementisterminated,Translatorshallbecompensatedforservicesperformeduptothedateoftermination.

8.ENTIREAGREEMENT

ThisAgreementsetsforththeentireagreementbetweenthePartiesandsupersedesallpriornegotiations,understandingsoragreementsbetweenthem.ThisAgreementmaynotbemodifiedoramendedexceptinwritingsignedbybothParties.

ThisTranslationAgreementisgovernedbyandconstruedinaccordancewiththelawsoftheStateof[InsertState]andanylegalactionarisingoutoforrelatingtothisAgreementshallbesettledbyarbitrationinaccordancewiththerulesofthe[InsertNameofArbitrationAssociation].
