1.CONTRACT’SSUBJECTMATTER1.1.賣方如約生產(chǎn)、交付買方指定的奶粉產(chǎn)品（以下統(tǒng)稱為“貨物”）；買方如約支付相應(yīng)的費(fèi)用。賣方實(shí)際交付的貨物及其票據(jù)應(yīng)與訂單約定的貨物數(shù)量、種類、質(zhì)量、價(jià)格等要求相符。1.1.TheSellershall,inaccordancewiththeagreement,manufactureanddelivertheproductsofmilkpowderwhichspecifiedbytheBuyer(hereinaftercollectivelyreferredtoasthe"Goods");andtheBuyershallpaythecorrespondingcostsasagreed.ThegoodsactuallydeliveredbytheSelleranditsdocumentsorbillsshallconformtothequantity,type,quality,priceandotherrequirementsofthegoodsstipulatedintheOrder.1.2.貨物按最有利于買方接收且最有利于保障貨物品質(zhì)的方式交付。1.2.ThegoodsshallbedeliveredinthemannermostfavorabletotheBuyer’sreceptionandtoensurethequalityofthegoods.1.3.買賣雙方確定訂單合同后，應(yīng)根據(jù)訂單合同約定付款。1.3.Thepaymentshall,upontheparties’confirmationoftheOrdercontract,beeffectedinaccordancewiththeagreementofOrdercontract.2.合同價(jià)格和總額2.CONTRACTPRICEANDTOTALAMOUNT2.1.貨物價(jià)格以訂單合同約定為準(zhǔn)。2.1.ThegoodspriceshallbesubjecttothestipulationofOrdercontract.2.2.賣方按照買方訂單上載明的內(nèi)容發(fā)貨。訂單上應(yīng)列明貨物的具體品牌、分類、數(shù)量、價(jià)格，結(jié)算貨幣和付款方式以及其他應(yīng)當(dāng)在訂單中予以明確的內(nèi)容。賣方應(yīng)在收到買方訂單之日起三日內(nèi)向買方發(fā)送確認(rèn)函并反饋備貨情況。經(jīng)雙方協(xié)商一致，雙方可通過訂單及確認(rèn)函的方式對(duì)合同的履行作出補(bǔ)充約定，與本合同約定具有同等效力。2.2.TheSellershalldeliverthegoodsinaccordancewiththecontentsoftheBuyer'sOrderwhichshouldspecifythespecificbrand,classification,quantityandpriceofthegoods,thecurrencyofsettlementandmethodofpaymentinadditiontootherdetailswhichshallbespecifiedintheOrder.TheSellershall,withinthreedaysuponreceiptoftheBuyer'sOrder,submittheConfirmationLetterthereofandfeedbackontheavailabilityofthegoodstotheBuyer.Thepartiesheretomay,bymutualnegotiation,makeadditionalagreementsontheperformanceofthecontractbymeansoftheOrderandConfirmationLetter,whichshallhavethesameeffectasthiscontractualagreement.4.貨物的數(shù)量和質(zhì)量4.QUANTITYANDQUALITYOFTHEGOODS4.1賣方應(yīng)提供符合買方銷售區(qū)域同類商品在市場(chǎng)合法流通的證明文件。4.1TheSellershallprovidedocumentaryevidenceofthelegalcirculationorsaleofsimilargoodsintheBuyer'smarketarea.4.2.貨物的驗(yàn)收應(yīng)按照訂單及運(yùn)輸單證中載明的內(nèi)容辦理。如貨物未通過驗(yàn)收，買方有權(quán)拒絕接受貨物。4.2.TheinspectionoracceptanceofthegoodsshallbecarriedoutinaccordancewiththecontentsoftheOrderandthetransportdocuments.Providedthatthegoodsfailtopasstheinspectionoracceptance,theBuyershallbeentitledtorejectreceiptofthegoods.4.3.因賣方原因?qū)е碌呢浳镔|(zhì)量問題，給買方造成經(jīng)濟(jì)損失的，應(yīng)由賣方承擔(dān)。4.3.TheSellershallundertaketheresponsibilitiesofanyeconomiclosswhichcausedtotheBuyerduetotheSeller’sreasonofthegoodsquality.5.裝運(yùn)條款5.SHIPMENT5.1.賣方有義務(wù)將貨物按時(shí)裝載到買方提供的運(yùn)輸工具上。5.1.TheSellerisobligedtoloadthegoodsontheconveyanceoftransportationwhichprovidedbytheBuyer.5.2.賣方應(yīng)向買方提供全部確保貨物得以合法按期運(yùn)輸?shù)南嚓P(guān)文件（包括且不僅限于：貨物清單、裝箱單、提貨單、出口報(bào)關(guān)資料、貨物原產(chǎn)地證書、質(zhì)量檢測(cè)證明、英文標(biāo)簽等）。5.2.TheSellershallprovidetheBuyerwithallrelevantdocumentsandbills(includingandnotlimitedto:ListofGoods,PackingList,BillofLading,ExportCustomsDeclaration,CertificateofOrigin,QualityTestCertificate,Englishlabel,etc.)toensurethegoodsaretransportedlegallyandonschedule.5.3.賣方應(yīng)在裝貨后通知買方全部利于接收貨物的相關(guān)事項(xiàng)。5.3.TheSellershall,subsequenttoloadingorshipmentofthegoods,notifytheBuyerofallissueswhichrelevanttofacilitatereceiptofthegoods.5.4.買賣雙方對(duì)其他相關(guān)費(fèi)用承擔(dān)的約定：如有變更以訂單合同為準(zhǔn)。從賣方倉庫運(yùn)輸貨物到買方指定承運(yùn)人產(chǎn)生的任何費(fèi)用，包括但不僅限于運(yùn)費(fèi)、貨物保險(xiǎn)等，應(yīng)由賣方支付。5.4.TheagreementonotherrelevantexpensesbytheSellerandtheBuyer,AnyamendmentorchangethereofshallbesubjecttotheOrdercontract.AnycostsandfeesincurredintransportingthegoodsfromtheSeller'swarehousetotheBuyer's?nominatedcarrier,includingbutnotlimitedtothefreight,insuranceofthegoods,etc.,shallbepaidbytheSeller.5.5.中華人民共和國海關(guān)部門向買方同意接受的貨物征收的稅款由買方支付。5.5.ThetaxesleviedbytheCustomsauthoritiesofthePeople'sRepublicofChinaonthegoodsagreedtobeacceptedbytheBuyershallbepaidbytheBuyer.5.6.交貨時(shí)間、地點(diǎn)、驗(yàn)貨方式：根據(jù)訂單載明內(nèi)容確定，訂單未明確的，賣方應(yīng)及時(shí)與買方聯(lián)系確認(rèn)，情況緊急或因不可抗力導(dǎo)致與買方失聯(lián)，賣方應(yīng)按照最有利于買方接收貨物的合同履行地貿(mào)易慣例確定。5.6.Thedeliverytime,placeandmethodofinspectionwillbedeterminedorconfirmedinaccordancewiththecontentsoftheOrder;providedthatnodefinitestipulationintheOrder,theSellershallpromptlycontacttheBuyerforconfirmationthereof;incaseofemergencyorlossofcontactwiththeBuyerduetoforcemajeure,theSellershalldeterminethemethodwhichmostfavorablefortheBuyer’sreceiptofthegoodsinaccordancewiththetradepracticeintheplaceofperformanceofthecontract.5.7.不符合驗(yàn)收條件的貨物，買方有權(quán)拒絕接受。買方不予接受的貨物由賣方自行負(fù)責(zé)處置，相關(guān)費(fèi)用由賣方自行承擔(dān)。5.7.TheBuyerhastherighttorefusetoacceptthegoodswhichfailtomeettheacceptanceconditions.ThegoodsunacceptablebytheBuyershallbedisposedbytheSelleritselfwhichshallbeartherelevantcosts.6.保險(xiǎn)6.INSURANCE6.1.雙方應(yīng)根據(jù)每批訂貨的具體情況以及最有利于買方收貨的合同履行地通行貿(mào)易慣例進(jìn)行投保。6.1.ThepartiesheretoshalleffectinsuranceofthegoodsinaccordancewiththespecificsituationofeachbatchofOrderandtheprevailingtradepracticeintheplaceofcontractperformance,whichismostfavorabletotheBuyer'sreceiptofthegoods.7.付款條件及付款程序7.PAYMENTTERMSANDPAYMENTPROCEDURES7.1.貨物的付款由買方以美元（實(shí)時(shí)匯率）支付。7.1.PaymentofthegoodsshallbeeffectedbytheBuyerinthecurrencyofUSdollars(real-timeexchangerate).7.2.貨款以信用證方式支付，買方應(yīng)在訂單合同送達(dá)賣方且賣方確認(rèn)可如約發(fā)貨之日起七個(gè)工作日內(nèi)開具貨款20%的信用證；買方應(yīng)在確認(rèn)接受賣方貨物之日起十個(gè)工作日內(nèi)支付全部應(yīng)付貨款。7.2.ThepaymentforthegoodsshallbemadebyLetterofCreditwhichissuedfor20%ofthepurchasepricewithinsevenworkingdaysupondeliveryoftheOrderContracttotheSellerwhichconfirmsthegoodshavebeenreadyfordeliveryorshipmentasagreed;andtheBuyershall,withintenworkingdaysuponconfirmationofacceptanceoftheSeller'sgoods,effectpaymentofthefullamountpayableforthegoods.7.3.雙方因履行本合同而在各自銀行產(chǎn)生的費(fèi)用，由雙方各自承擔(dān)。7.3.Thecostsandfeesincurredbythepartiesheretointheirrespectivebanksinconnectionwiththeperformancehereofshallbebornebyeachofthem.7.4.買方應(yīng)按照本合同第15條的規(guī)定將貨款存入賣方的指定賬戶。7.4.TheBuyershalldepositthepurchasecostintotheSeller'sdesignatedaccountinaccordancewiththeprovisionsofArticle15hereof.7.5.付款日期應(yīng)以買方所在時(shí)區(qū)的日期、時(shí)間為準(zhǔn)。7.5.ThedateofpaymentshallbesubjecttothedateandtimeoftheBuyer'stimezone.8.雙方的義務(wù)8.THEOBLIGATIONSOFTHEPARTIES8.1.
