LEASECONTRACT

Lessor(hereinafterreferredtoasPartyA):

Lessee(hereinafterreferredtoasPartyB):

PartyAandBhavereachedanagreementthroughfriendlyconsultationtoconcludethefollowingcontract.

1.Locationofthepremises

PartyAwillleasetoPartyBthepremisesandattachedfacilitiesownedbyitselfwhichislocatedat

andingoodconditionfor.

2.Sizeofthepremises

Theregisteredsizeoftheleasedpremisesissquaremeters(Grosssize).

3.Leaseterm

Theleasetermwillbefrom(month)(day)(year)

to_(month)(day)(year).PartyAwillclearthepremisesandprovideittoPartyBfor

usebefore(month)

(day)(year).

4.Rental

Amount:therentalwillbepermonth(includingmanagementfees).PartyBwillpaytherentaltoPartyAintheformofcash.

Paymentofrentalwillbeoneinstallmenteverymonth(s).Thefirstinstallmentwillbepaidbefore(month)(day)(year).

Eachsuccessiveinstallmentwillbepaidbydayofeachmonth.PartyBwillpaytherentalbeforeusingthepremisesandattachedfacilities(IncasePartyBpaystherentalintheformofremittance,thedateofremittingwillbethedayofpaymentandtheremittancefeewillbebornebytheremitter.)PartyAwillissueawrittenreceiptafterreceivingthepayment

Incasetherentalismorethan7workingdaysoverdue,PartyBwillpay0.3percentofmonthlyrentalasoverduefineeveryday,iftherentalbepaid10daysoverdue,PartyBwillbedeemedtohavewithdrawnfromthepremisesandbreachthecontract.Inthissituation,PartyAhastherighttotakebackthepremisesand

takeactionsagainstpartyB ’sbreach.

5.Deposit

Guarantyingthesafetyandgoodconditionsofthepremisesandattachedfacilitiesandaccountofrelevantfeesaresettledonscheduleduringtheleaseterm,partyBwillpaytopartyAasadepositbefore

(month)(day)(year).PartyAwillissueawrittenreceiptafterreceivingthedeposit.

Unlessotherwiseprovidedforbythiscontract,PartyAwillreturnfullamountofthedepositwithoutinterestonthedaywhenthiscontractexpiresandpartyBclearsthepremisesandhaspaidallduerentalandotherexpenses.

IncasepartyBbreachesthiscontract,partyAhasrighttodeductthedefaultfine,compensationfordamageoranyotherexpensesfromthedeposit.Incasethedepositisnotsufficienttocoversuchitems,PartyBshouldpaytheinsufficiencywithintendaysafterreceivingthewrittennoticeofpaymentfromPartyA.

4)IfPartyBcan’tnormallyusetheapartmentbecauseofPartyA,PartyAshouldreturnthedeposittoPartyBatonce.And,PartyBhastherighttoaskforthecompensationfromPartyA

6.ObligationsofPartyA

PartyAwillprovidethepremisesandattachedfacilities(seetheappendixoffurniturelistfordetail)onscheduletoPartyBforusing.

Incasethepremiseandattachedfacilitiesaredamagedbyqualityproblems,

naturaldamagesoraccidents,PartyAwillberesponsibletorepairandpaythe

relevantexpenses.IfPartyAcan’trepairthedamagedfacilitiesintwoweekssothatPartyBcan’tusethefacilitiesnormally,PartyBhastherighttoterminatethe

contractandPartyAmustreturnthedeposit.

PartyAwillguaranteetheleaserightofthepremises..IncaseofoccurrenceofownershiptransferinwholeorinpartandotheraccidentsaffectingtherightofleasebypartyB,.partyAshallquarantcethatthenewowner,andotherassociated,thirdpartiesshallbeboundbythetermsofthiscontract.Otherwise,PartyAwillbe

responsibletocompensatepartyB ’slosses.

4)PartyAmustregisterthiscontractwiththerelevantgovernmentauthorityIfnot

doingsoresultingthatthiscontractisinvalidorPartyB’srightofleasingmaybedamaged,PartyAshouldtaketheallresponsibilities.PartyAshouldalsobeartheall

therelevanttaxes.

7.ObligationsofPartyB

1)PartyBwillpaytherentalandthedepositontime.

2)PartyBmayaddnewfacilitieswithPartyA’sapproval.Whenthises,contractexpirPartyBmaytakeawaytheaddedfacilitieswithoutchangingthegoodconditionsofthepremisesfornormaluse.

3)PartyBwillnottransfertheleaseofthepremisesorsubletitwithoutPartyAapprovalandshouldtakegoodcareofthepremises.Otherwise,PartyBwillberesponsibletocompensateanydamagesofthepremisesandattachedfacilitiescausedbyitsfaultandnegligence.

4)PartyBwillusethepremiseslawfullyaccordingtothiscontractwithoutchangingthenatureofthepremisesandstoringhazardousmaterialsinit.Otherwise,PartyBwillberesponsibleforthedamagescausedbyit

5)PartyBwillbearthecostofutilitiessuchastelephonecommunications,water,electricityandgasontimeduringtheleaseterm.

8.Terminationanddissolutionofthecontract

1)Withinonemonthbeforethecontractexpires,PartyBwillnotifyPartyAifit

intendstoextendthelease.Inthissituation,twopartieswilldiscussmattersover

theextension.UnderthesametermsPartyBhastheprioritytoleasethepremises.

2)Whentheleasetermexpires,PartyBwillreturnthepremisesandattachedfacilitiestoPartyAwithindays.AnybelongingsleftinitwithoutPartyAunderstandingwillbedeemedtobeabandonedbyPartyB.Inthissituation,PartyAhastherighttodisposeofitandPartyAwillraisenoobjection.

3)Thiscontractwillbeeffectiveafterbeingsignedbybothparties.Anypartyhasno

righttoterminatethiscontractwithoutanotherparty’sagreement.Anythingnocoveredinthiscontractwillbediscussedseparatelybybothparties.

9.Breachofthecontract

1)Duringtheleaseterm,anypartywhofailstofulfillanyarticleofthiscontract

withouttheotherparty’sunderstandingwillbedeemedtobreachcontractthe.Bothpartiesagreethatthedefaultfinewillbe.Incasethedefaultfineisnotsufficientto

coverthelosssufferedbythefaultlessparty,thepartyinbreachshouldpayadditionalcompensationtothe
