dSellershalladopt100%Irrevocable&Non-TransferableLetterofCredit,openingbankshouldbeafirstclassinternationalbankacceptedbytheSeller,negotiatedbankshouldbeafirstclassinternationalbankacceptedbytheBuyer.買賣雙方均同意100%不可撤銷、不可轉(zhuǎn)讓信用證付款方式。信用證由賣方同意的一級(jí)國(guó)際銀行開(kāi)立且在買方同意的一級(jí)國(guó)際銀行議付。10.2Forthefirstlotof50,000MTcoal,theBuyershouldopentheLetterofCredittoSellersnegotiatedbankwithin5bankworkingdaysafterthedateofthiscontracteffective.TheSellershouldprepareloadingtheGoodswith10dayswhenreceivedtheLetterofCreditfromBuyer,theGoodsshouldarrivetotheDischargingPortappointedbytheBuyernolaterthan30days.10.3Fortheeachlotoftherest2,400000MTcoal,theSellershouldprepareloadingtheGoodswithin10dayswhenreceivedtheLetterofCreditfromBuyer,theGoodsshoulddeliverytotheBuyernolaterthan30days.之后240萬(wàn)噸物資，買方應(yīng)于每批次受載期開(kāi)始前10天開(kāi)出信用證給賣方10內(nèi)安排物資裝運(yùn)并在30天內(nèi)將物資交付給買方。10.4LetterofCreditshouldcoveredmonthlysupplyvalue,shalltakeeffective40daysaftertheGoodsbeenloaded.信用證金額為月度合同物資的全部金額，并在此船物資裝船后的40天內(nèi)有效。10.5Within3workingdaysfromthedaywhenreceivedtheL/CApplicationLetterbyfaxoremailfromtheBuy,thesellershallissue2%performanceguaranteeof100%cargovalueforthefirstshipmentinfavoroftheBuyerviathenegotiatedBankChannelastheGuaranteeofshipment.IfthesellerfailstocarryouttheshipmentasperthecontractorthecoalqualityiswithintherejectionrangestipulatedinthiscontractasperthequalityreportissuedbytheIndependentLaboratoryattheDischargePortappointedbytheBuyer,theperformancebondof2%ofthecontractvaluewillbeforfeitedtothebuyer.在收到買方信用證開(kāi)證申請(qǐng)的傳真件或電子件之日3個(gè)工作天內(nèi),賣方通過(guò)議付銀行開(kāi)出以買方為受益人、金額為信用證金額的履約保函。如賣方無(wú)法按合同供貨或買方指定卸貨港檢驗(yàn)機(jī)構(gòu)驗(yàn)出物資質(zhì)量在本合同拒收范疇,買方將沒(méi)收保函。10.6Provisionalpayment&Thedocumentsbasedon暫定支付及付款單據(jù)PaymentofNinetyFivepercent(100%)ofSellersCommercialInvoiceAmountbasedonthecertificateofqualityandweightissuedbyINTERTEKattheloadingportfortheshipmentshallbemadebyuponpresentationofthefollowingdocuments:買方依照以下單據(jù)付100%貨款：10.6.1SignedCommercialInvoice,threeoriginalsandthreecopies.Seller’sinvoicewillbebasedonthequantitymeasuredbytheIndependentLaboratoryattheloadingportpaidandappointedbytheBuyerandafteradjustedunderformulaasmentionedonarticle9.1.機(jī)構(gòu)出具的檢驗(yàn)數(shù)量為基準(zhǔn)，并按照本合同9.1款的公式作價(jià)格調(diào)整。10.6.2Thefullsetof“CLEANON”O(jiān)ceanMarineBillsofLading,madeouttoorderandblankendorsed,indicating“FreightispayableasperChart”andalwaysnolientothecargothreeoriginalsandthreecopiesrespectively.全套標(biāo)明“依照租船合同運(yùn)費(fèi)已付”清潔海運(yùn)提單，，各三份正本，三份副本。10.6.3CertificateofQuality(CertificateofAnalysis)andCertificateofQuantity(DraftSurvey)issuedbyIndependentLaboratoryatLoadingPort,threeoriginalsandthreecopiesrespectively.裝運(yùn)港檢驗(yàn)機(jī)構(gòu)出具的品質(zhì)證和數(shù)量證，各三份正本，三份副本。10.6.4CertificateofOrigin（SERIALEonwhichtheHSnumberofthecoalisindicated）in1originaland2copiesissuedbycompetentIndonesianAuthorities.印度尼西亞官方機(jī)構(gòu)出具的原產(chǎn)地證書(shū)(SERIALE表，上注明出口煤炭的HS稅號(hào))正本一份、副本兩份。10.6.5ShippingAdvicetotheBuyerwithin3daysafterthedateofB/L在提單日后的3天內(nèi)給買方發(fā)出的裝船通知單。10.6.61originaland2copiesofInsurancePolicynamingtheBuyerasBeneficiary,covering110%oftheshipmentGoodsvalue,includingAllRisks,WarRisksandStrikeRisks.保險(xiǎn)單正本一份、副本二份，以買方為受益人，保險(xiǎn)金額為發(fā)貨金額110%，投保一切險(xiǎn)、戰(zhàn)爭(zhēng)險(xiǎn)和罷工險(xiǎn)。10.6.7TheCertificateofCoalQuality(1originalCopy)atDischargingPortissuedbyCIQorSGS卸貨港CIQ或SGS出具的質(zhì)量檢驗(yàn)報(bào)告（一份原件）。10.6.8TheCertificateofWeight(1originalcopy)issuedbyCIQatDischargingPort.卸貨港CIQ出具的重量檢驗(yàn)報(bào)告（一份原件）。10.7AllbankchargesfromissuingbankarefortheaccountoftheBuyerandallbankchargesoutsidetheissuingbankarefortheaccountoftheSeller.開(kāi)證行的費(fèi)用由買方承擔(dān)，開(kāi)證行之外的費(fèi)用由賣方承擔(dān)。11.TermsofDelivery交貨條款11.1TheSellershallloadtheGoodstotheMotherVesselatMuaraTaboneoSafeopensea,Indonesia,anddeliverto,China.賣方在印度尼西亞的MuaraTaboneo港完成交貨。11.2Within7daysbeforetheloadingtime,SellershallinformtheBuyerbywayofemailorfaxindicatingthearrivaldateofthevesselintheanchoragepoint.在物資起運(yùn)7日期。11.3Within48hoursafterthevesseldeparturefromtheLoadingPort,theSellerorSeller’sshippingagentshalladvisetheBuyerbyfax(Fax:+86)indicatingthevesselsailingdate,thenameofthenominatedvessel,nameofsteamshipcompany,tonnage,theflagsofthevessel,oceanB/Lnumber,Contractnumber,netquantityloaded,nameoftheGoodsandestimatedtimeofarrival(ETA).貨船于離開(kāi)裝運(yùn)港后的48小時(shí)內(nèi)，賣方或其船代須以傳真形式通知買方貨船啟航日期、指定貨船名稱、船公司、噸位、船旗、海運(yùn)提單號(hào)、合約號(hào)、凈裝運(yùn)數(shù)量、物資名稱及估量到達(dá)卸貨港時(shí)刻（ETA）。11.4heSellerorSeller’sshippingagentshallsendafax(Fax:+)totheBuyerat3/2/1daysbeforethearrivalofthevesselatportofdestinationtoconfirmthelocationofthevesselandtheestimatedtimeofarrival(ETA).賣方或其船代須于貨船到達(dá)目的港前分3天、2天、1天以傳真形式通知買方貨船位置和估量貨船到港日期（）。11.5.TheSellershallwithin4daysafterthedateofB/Ldate,shallsendcopydocumentsbyfaxtotheBuyer.賣方將在裝船提單簽出后4天內(nèi)，用傳真將復(fù)印件發(fā)給買方。12.DischargingTerms卸貨條款12.1CharterPartyshallbefaxedtotheBuyerbytheSellerwithin3daysaftertheissuedateoftheB/L.TermsandconditionsoftheCharterPartyshouldcomplywiththetermsandconditionscontainedherein.ShouldanytermsandconditionsoftheCharterPartyconflictwiththisContract,thetermsandconditionsofthisContractshallbefinal.賣方須于提單發(fā)出日期起3天內(nèi)向買方傳真“租船合同”?！白獯贤?2.2Dischargingtimeshallcommence12hoursafterNoticeofReadinessistenderedorwhendischargingcommences,whicheverisearlier.Ifafterberthingthevesselisfoundnottobeinfreepratiqueandinallrespectsnotreadytodischargeorfreepratiqueisnotgrantedonarrivalattheberth,laytimeshallbedeemednottohavecommenceduntilwhenthevesselisinfactinfreepratiqueandinallrespectsreadytodischarge.卸船時(shí)刻應(yīng)在備妥通知書(shū)遞交后12船靠泊后，如發(fā)覺(jué)船舶沒(méi)有通過(guò)檢驗(yàn)檢疫和沒(méi)有做好卸船預(yù)備，則不能開(kāi)始運(yùn)算卸船時(shí)刻。12.3TimelostduetothecausesstipulatedinArticle17herein.由于本合同17條中不可抗力緣故造成的時(shí)刻缺失不計(jì)為卸船時(shí)刻12.4Ifthevesselaskstostopdischarging,includefromanchoragetoberthorthetimewheninspectionprocessing,willnottreatasdischargingtime,evenifdemurrage.檢疫的時(shí)刻導(dǎo)致缺失的時(shí)刻都不計(jì)為卸貨時(shí)刻，即使已滯期。12.5Dischargingtimestopscalculationwhenthegoodsstopstowedandtrimmed.卸貨完成并平艙后，卸貨時(shí)刻停止運(yùn)算。12.6Thetimeusedfordraughtsurveyisnotincludedinthedischargingtimeevenifdemurrageoccurs.水尺檢驗(yàn)的時(shí)刻不計(jì)為卸貨時(shí)刻，即使已滯期。12.7TheerorVesselOwnercouldassignanagentattheDischargingPortandstayinclosecontactwithitsagent.賣方或船東能夠在卸貨港委派船代，并應(yīng)與船代緊密聯(lián)系。12.8Thedischargerateshouldreach10000tons/dayonfinedays.卸率為10000噸/晴天。13.DemurrageandDispatchCost滯期費(fèi)和速遣費(fèi)13.1IftheBuyercouldnotaccommodatetherequirementstipulatedinitem12.8,theBuyershouldpaytheSellerthedemurragecostaccordingtotheactualdemurragetime.IftheBuyercompletedthedischargewithintheagreedperiod,theSellershouldpaytheBuyerthedispatchcost.假如買方不能按照條款12.8方支付滯期費(fèi)。假如買方在約定卸貨時(shí)刻內(nèi)完成卸貨，賣方應(yīng)按節(jié)約的時(shí)刻向買方支付速遣費(fèi)用。13.2Ratesofdemurrageperdayorpro-rateforalltimelostanddispatchmoneyperdayorpro-rateforlaytimesavedattheunloadingportshallbeasperCharterParty,whichisUS$12,000perdayorprorate,foralltimelost.DispatchwillbehalfofDemurragerateperdayorprorate,forlaytimesaved.卸貨港滯期費(fèi)用依據(jù)租船合同為美金12,000元/天。不足一天按比例運(yùn)算。速遣費(fèi)用為其一半。13.3Demurrageanddispatchmustbepaidwithin7daysofreceiptofBuyer’sinvoiceoftotaldemurrageorSeller’sinvoicefortotaldispatch.Wherethereisadisputeinvolvingdemurrageordispatch,partiesshallpaytheundisputedportionofthedemurrageordispatchcostwithinthetimespecifiedabove.滯期費(fèi)和速遣費(fèi)必須在賣方收到買方速遣費(fèi)發(fā)票或者買方收到賣方滯期費(fèi)發(fā)票的7天內(nèi)支付。如雙方滯期費(fèi)和速遣費(fèi)有任何爭(zhēng)議，雙方在以上規(guī)定日期內(nèi)支付無(wú)爭(zhēng)議部分的滯期費(fèi)和速遣費(fèi)。13.4Ifbecausecoalqualitywasnotuptothecontracttermsandincludesnotlimitedto4.2containinggangue,clay,stoneetcdischargedifficultiescausedbystickinghighwater-bearingcausedbycoal,coalspontaneouscombustionetcdischargedifficult,coalqualitycausedischargingratecannotmeetnormaldischargerate,thebuyerdoesnotundertakeanydemurrage.Becauseofpoorqualityandcausedbycoalspontaneouscombustioncoalbargedamagedandunloadingwharfisimpaired,lossesshallbebornebytheseller.假如因?yàn)槊禾科焚|(zhì)達(dá)不到合同4.2石頭等造成卸貨困難、含水高、煤粘造成卸貨困難、煤炭自燃等煤炭品質(zhì)緣故造成卸率達(dá)不到正常卸率時(shí)，買方不承擔(dān)任何滯期費(fèi)。由于煤炭品質(zhì)低劣及自燃造成煤炭運(yùn)輸船受損及卸貨碼頭受損，缺失由賣方承擔(dān)。14.PriceAdjustment價(jià)格調(diào)整Accordingtointernationalbusinesspractices,BuyerandSelleragreetoadjusttheunitpriceonmutualsagreementeverythreemonth.為了保證煤炭貿(mào)易的順利進(jìn)行，依照國(guó)際商業(yè)慣例，買賣雙方同意每3個(gè)月調(diào)整一次價(jià)格。15Insurance保險(xiǎn)16AssignofProperty物資認(rèn)定TitletoandriskintheGoodsshallpassfromtheSellertotheBuyerinaccordancewiththeCIFprovisionsofINCOTERMS2000(asamendedfromtimetotime).依照INCONTERMS2000時(shí)進(jìn)行轉(zhuǎn)移。17ForceMajeure不可抗力ForceMajeuremeanstheeventthatthepartiescouldnotforeseeatthetimeofconclusionoftheContractanditsoccurrenceandconsequencescannotbeavoidedandcannotbeovercome,ForceMajeureeventsincludingbutnotlimitedtoactsofGod,war,riots,civildisturbance,requisitioning,fire,explosion,sabotage,storm,flood,earthquake,fog,subsidence,adverseclimaticcondition,pestilence,orepidemic,governmentalorparliamentaryrestrictionsorregulations,strikesandallothercontingenciesandcircumstanceswhatsoeverbeyondthereasonablecontrolpreventing.IfeitherofthepartiestotheContractbepreventedfromexecutingtheContractbyForceMajeure,thetimeforexecutionofthecontractshallbeextendedbyaperiodequaltotheeffectofthesecauses.However,thepriceandperformanceindicesshallnotbechangedduetosuchdelaybyForceMajeureevent.Theaffectedpartyshallpromptlyinformtheotherpartybyfaxandacertificateissuedbycompetentauthoritiesconcernedshouldbesubmittedwithin14daysfortheotherpartytoreviewandconfirm.Theaffectedpartyshouldtakeallnecessarymeasurestodecreasetheeffectandtoshortenthedelaythusincurred.OncetheForceMajeureisover,theotherpartyshallbepromptlynotified.不可抗力是指發(fā)生雙方事先無(wú)法預(yù)見(jiàn)、無(wú)法幸免并無(wú)法克服的事件，包括但不限于天災(zāi)、戰(zhàn)爭(zhēng)、暴動(dòng)、騷亂、征用、火災(zāi)、爆炸、破壞、暴風(fēng)雨、洪水、,政府和議會(huì)限制或法規(guī),罷工以及所有其他突發(fā)事件和任何超出了合理操縱的情形。合同雙方中的任何一方，由于不可抗力事件而阻礙合同義務(wù)的執(zhí)行時(shí)，則延遲履行合同義務(wù)的期限相當(dāng)于不可抗力事件阻礙的時(shí)刻，然而不能因?yàn)椴豢煽沽Φ难舆t而調(diào)整合同價(jià)格及性能指標(biāo)。受到不可抗力阻礙的一方應(yīng)在不可抗力事故發(fā)生14天內
