e,witYYtcompensation.多米尼克shallremainthesolemanageruntilthedateoftheSale.(i)多米尼克?孟雷先生將無償擔任公司唯一的經(jīng)理直至轉(zhuǎn)讓完成之日。Before,butascloseaspossibletotheCompletionDateM.EmmanuelMarlyorM.ValentinLilletifM.Marlyisnotavailable,bothcertifiedbrokerswillperformaninventorycountoftheCompany'savailableandunavailablewinestockandsampletestthewine.(ii)在轉(zhuǎn)讓日之前或臨近轉(zhuǎn)讓日的某個時間，持證經(jīng)紀人M.EmmanuelMarly或M.ValentinLillet(當前者未能履職時)將對公司所有葡萄酒庫存進行盤點，并進行抽樣檢測。(iii)Before,butascloseaspossibletotheCompletionDate,aninventorycountoftheequipmentwillbecarriedoutinthepresenceofbothPartiesoftheCompany's:在轉(zhuǎn)讓日之前或臨近轉(zhuǎn)讓日的某個時間，由雙方當事人核對盤點公司所有設(shè)備。TheVendorshallguaranteethePurchaser'sapprovalinaccordancewiththeprovisionsofArticle15ofthearticlesofassociation.據(jù)公司章程第15條的規(guī)定，轉(zhuǎn)讓人須保證受讓人已同意。(v)TheVendorexpresslyauthorizesthePurchaser:(v)轉(zhuǎn)讓人授權(quán)同意受讓人：Tousetheterm?YYYYX?inthecorporatenameoftheholdingcompanytobeincorporatedbythePurchaserinordertocompletethesale(hereaftertheH?oldingCompany?),在將來酒莊控股公司的注冊名中使用SSSSS?YYYYX?一詞TolocatetheregisteredofficeoftheHoldingCompanyinthepremisesoftheCompany.使用現(xiàn)酒莊公司所在地作為酒莊控股公司的注冊辦公場所IncasetheSaleisnotcompleted,thePurchaserexpresslyundertakestomodifythecorporatenameoftheHoldingCompanyinordertosuppresstheterm?YYYYX?andtomodifyitsregisteredoffice.如轉(zhuǎn)讓最終未能完成，受讓人須修改控股公司名中的SSSSS?YYYYX?一詞，同時變更注冊辦公場所-CONDITIONSPRECEDENT-附條件ThisSaleshallbegrantedandacceptedsubjecttothefulfilmentofthefollowingconditionsprecedent,stipulatedintheinterestsoftheVendorandthePurchaser.為保證雙方利益，本次轉(zhuǎn)讓須達成下列附條件ConditionsprecedentintheinterestoftheVendor(i)為保證轉(zhuǎn)讓人利益的附條件BythedateoftheSale,atthelatest,thePurchasershalldepositintheCARPAaccountofPwCSoc骸d'Avocatsanamountsufficientto:受讓人須于最晚于轉(zhuǎn)讓日，將下列相應(yīng)款項轉(zhuǎn)入普華永道律師事務(wù)所專設(shè)的CARPA賬戶：paythefullpricefortheSharesassetoutinArticle5.1;支付公司100%股權(quán)的購買款，詳見第5.1款規(guī)定payanamountofONEMILLIONFOURHUNDREDANDSEVENTY-NINETYYSANDNINEHUNDREDANDTWELVEEUROS(EUR)toguaranteethepaymentoftheClaimdueontheCompletionDatepursuanttothetermsandconditionsofArticle6below.支付1,479,912歐元以償還第6條規(guī)定的債務(wù)ConditionsprecedentintheinterestofthePurchaser為保證受讓人利益的附條件TheVendorshallprovidethePurchaserwithanotarialcertificateconfirmingthat:轉(zhuǎn)讓人須向受讓人提供一份公證證明，以確保：theCompanyownsthedeedstoalloftheRealEstateAssets;公司對所有不動產(chǎn)的所有權(quán)證明themortgagestatusreportontheCompany'sRealEstateAssetsdoesnotshow:公司的不動產(chǎn)抵押情況，不應(yīng)存在以下事實：anyregistrations,unlesstojustifyanamicabledischargeobtainedfromtheregisteredcreditorsortojustifyareleaseagreement,unlesssuchregistrationsguaranteecommitmentsoftheCompany;任何登記，除非已從債權(quán)人處獲得豁免或已撤銷anyinremrights,otherthanthosethatmaybestipulatedinthispreliminaryagreement,thatwouldpreventthefreedisposaloftheRealEstateAssetsorthatmayconsiderablydecreasethevaluethereof;本《附條件收購協(xié)議》中未提到的可能會妨礙不動產(chǎn)自由處置或讓不動產(chǎn)減值的其他物權(quán)的存在。townplanningprovisionsandpublicutilityeasementscontainedinanurbanplanningnotice,stakingcertificateoranyothertownplanningdocumentshallnotjeopardisetheintegrityoftheRealEstateAssets,impairtheirvalueorrenderthemunfitfortheirintendeduse.城市規(guī)劃或公共地役權(quán)不會對不動產(chǎn)的完整性造成影響，不會造成不動產(chǎn)貶值，亦不會讓影響其用途。ThePurchasershallobtain,fromthelocalgovernmentoffice(Prefecture)fortheGironderegion,anoperatinglicence,inaccordancewiththetermsandconditionsofArticleL331-2oftheFrenchRuralCode(Coderurale),unlessthelocalenvironmentaloffice(DDTM)confirmsthattheSaleconstitutesamereacquisitionoffinancialholdingsandthatnooperatinglicenceisrequired.b根據(jù)《農(nóng)村法典》第L331-2條的規(guī)定，受讓人須從吉倫特省長處取得經(jīng)營許可，除非省國土海洋局確認此次轉(zhuǎn)讓僅涉及股份收購，無須提前獲得經(jīng)營許可。Clearanceshallbeobtainedasregardsthepre-emptiverightoftheSAFER(Frenchauthorityoverseeingtransactionsconcerningagriculturalland)pursuanttoArticleL143-1oftheFrenchRuralCodeallowingarightoffirstrefusalintheeventofthetransfer,againstpayment,ofallofthesharesofacompanywhosemainpurposeisagriculturalexploitationorownership,wherethepurposeofexercisingsuchrightistheinstallationofafarmerorgrower,andthereportingobligationrequiredbyArticleL141-1-1IoftheFrenchRuralCodeshallbecarriedoutatthesametimethattheSAFERisnotifiedofthesale.c根據(jù)《農(nóng)村法典》第L143-1條的規(guī)定，在轉(zhuǎn)讓一家以農(nóng)業(yè)經(jīng)營為目的農(nóng)業(yè)公司的全部股份時，法國農(nóng)業(yè)局SAFER擁有優(yōu)先購買權(quán)，且根據(jù)《農(nóng)村法典》第L141-1-1條的規(guī)定，在轉(zhuǎn)讓之前，須提前通知SAFER轉(zhuǎn)讓的有關(guān)事項(如SAFER行使優(yōu)先購買權(quán)，其將指派一位種植者前來經(jīng)營)，故在轉(zhuǎn)讓進行之前，須確認和保證此優(yōu)先購買權(quán)已被SAFER放棄。Inthisrespect,thePartiesacknowledgetheyhavebeeninformedbythewriterofthisagreement,PwCSocieted'Avocats,abouttheprovisionsofarticlesR141-2-1andfollowingoftheFrenchRuralCodewhicharereproducedinSchedule4.3(ii)c.TheVendorundertakestoprovidetheSAFERalltheinformationrequiredbythesaidprovisionsnolaterthantwo(2)monthsbeforetheCompletionDateandundertakestoprovidethePurchaserwithitsjustification.就此方面，雙方當事人表示，已由普華永道律師事務(wù)所，即本《附條件收購協(xié)議》的撰寫人告知《農(nóng)村法典》第L141-2-1條的規(guī)定及之后條款的要求(詳見前置件4.3(ii)c.)。轉(zhuǎn)讓人保證，將在轉(zhuǎn)讓日前兩個月內(nèi)按規(guī)定向SAFER報告相關(guān)事項，并向受讓人提供證明。Theoff
