可修改編輯可修改編輯StrategicCo-operationAgreementThisStrategicCo-operationalAgreement(the“Agreement”)ismadeandeffectivethe[XX,2016][2016XX]AMONG:【companyname】(the“PartyA”),acorporationorganizedandexistingunderthelawsofthePEOPLE’SREPUBLICOFCHINA,withitsheadofficelocatedat:[companyaddress]Provice,P.R.ChinaAND:【companyname】(the“PartyB”),acorporationorganizedandexistingunderthelawsoftheREPUBLICOFChina,withitsheadofficelocatedat:XXXXXXXX,P.R.ChinaAND:【companyname】(the“PartyC”),acorporationorganizedandexistingunderthelawsoftheKingdomofCambodia,withitsheadofficelocatedat:[companyaddress]簽訂協(xié)議各方有：[公司名字](以下簡(jiǎn)稱“甲方”)，一家依據(jù)中華人民共和國(guó)法律組建并續(xù)存的公司，其營(yíng)業(yè)地址位于：中國(guó)，(地址)（地址）Inconsiderationofthetermsandcovenantsofthisagreement,andothervaluableconsideration,thepartiesagreeasfollows:鑒于本協(xié)議所含之相互約定和承諾，訂約雙方協(xié)議如下：RECUTALSAllpartiesdesiretojointogetherforthepursuitofcommonbusinessgoalsinKingdomofCambodia,includingbutnotlimitedtorailwaytransit,portdevelopment,mining,powersystem,realestates,etc.Allpartieshaveconsideredvariousformsofjointbusinessenterprisesfortheirbusiness.Allpartiesdesiretoenterintoaco-operationagreementasthemostadvantageousbusinessformfortheirmutualpurpose.a.b.c.COMMUNICATIONSTRUCTUREForabetterfuturebusinessdevelopment,PartyAandPartyBshallestablisharegularmeetingscheduleforthebusinessassessment,businessflowandinformationexchange.CONVENANTAGAINSTREVEALINGTRADESECRETSNopartyshall,duringthecontinuanceoftheco-operationrelationshiporfor5yearsafteritsterminationbyanymeans,divulgetoanypersonnotamemberofbothfirmsanytradesecretorspecialinformationemployedinorconductivetotheco-operationbusinessandwhichmaycometothebothparty’sknowledgeinthecourseoftheco-operationrelationship,withouttheconsentinwritingoftheotherparty,oroftheotherparty’sheirs,administrators,orassigns.DURATIONOFAGREEMENTThetermofthisagreementshallbefor5years,commencingon[DATE],andterminatingon[DATE],unlesssoonerterminatedbymutualconsentofthepartiesorbyoperationoftheprovisionsofthisagreement.[5][2016xx][2021xx]GOVERNINGLAWTheenforcementandinterpretationofthisagreementshallbegovernedbythelawsofTHEPEOPLE’SREPUBLICOFCHINA.RESOLUTIONOFDISPUTESAnydisputearisingoutiforinconnectionwiththisAgreement,shallbegovernedandconstruedbythelawsofthePEOPLE’SREPUBLICOFCHINAinCHINAINTERNATIONALECONOMICANDTRADEARBITRATIONCOMMISSION,andshallbereferredtoandfinallyresolvedbyChinaGuangzhouDistrictCourt,P.R.C.PREVAILOFLANGUAGEVERSIONAnycontradictionbetweenChineseandEnglishversion,Chineseversionshallprevail.OTHERPROVISIONAllpartieswillbebasedonactualneedsofthebusinessco-operationtosignthespecificbusinesscontractsandexecuteaccordingly.Ifthereareinconsistenciesbetweenthecontractandthisagreement
