TheSellerguaranteesbelow:Otherwise,thebuyerhastherighttorejectthecargo.As:Max0.50%.Pb:Max6.00%F: Max0.10%Cd:Max0.05%Hg:Max0.01%Size:0-50mm:80%,當(dāng)銅含量低于10%時(shí)，買方有權(quán)拒收該貨品，在該情況下，賣方應(yīng)負(fù)責(zé)買方因此而產(chǎn)生的所有費(fèi)用及損失。TheBuyerhasrighttorejectanycargowithcoppercontentlowerthan15%,inwhichcasetheSellershallberesponsibleforallthecostandlossesincurredbytheBuyer.2.3該貨物必須是無(wú)害無(wú)輻射，適合熔煉和精煉。Thegoodsshallbeotherwisefreeofconstituentsdeleteriousandradicalizedtothesmeltingandrefiningprocess.2.4貨物的質(zhì)量和重量以到貨港海關(guān)商檢為最終檢驗(yàn)標(biāo)準(zhǔn)。TheoutturnweightsandqualityatdischargeportanalyzedbyCIQshallbetakenforfinalsettlement.3.數(shù)量（QUANTITY）賣方愿意銷售買方愿意購(gòu)買每月1000干公噸允許誤差±5%的銅礦,集裝柜裝運(yùn),允許分批裝運(yùn)，合約期限一年，首批試單300噸。TheSellerwillsellandtheBuyerwillbuy1000DMTpermonthbyoneyearcontractCopperOreincontainer,plusorminus5%overaperiodcommencingonthedateofsigningofthisagreement,Allowpartialshipment.Theinitialorderis300MT.4.貨運(yùn)交付（DELIVERYANDSHIPMENT）4.1CIFSHANGHAI港，按照2000年國(guó)際貿(mào)易術(shù)語(yǔ)解釋通則解釋。CIFSHANGHAIport,asperINCOterms20004.2包裝：大約50公斤一袋，集裝箱運(yùn)輸。Packing:inbigbagsforabout50kg,Shipmentin20’FCL.4.3起運(yùn)港：馬達(dá)加斯加塔馬塔夫港口或者由賣方指定Loadingport:TAMATAVEPort4.4到貨港：中國(guó)上海港口或由買方指定Destinationport：ShangHaiport,China.OrbyBuyerappointed4.5在收到本合同跟單信用證（L/C）之后的20天內(nèi),銅礦將會(huì)在裝運(yùn)港口安排起運(yùn)。Copperoreshallbeeffectedshipmentatloadingportwithin20daysafterreceiptofactivatedDocumentL/Caccordingtothiscontract.5.稱重、取樣和水份確定（WEIGHTING,SAMPLINGANDMOISTUREDETERMINATION）5.1由檢驗(yàn)者在裝貨地開(kāi)立的重量與分析檢驗(yàn)認(rèn)證，顯示該批商品的柜號(hào)、封條號(hào)、干重、濕重、含水量及含銅量，包含特定的相片（銅含量必須等于或高于10%）。Surveyor’sweightandassaycertificateatloadingplace,includingspecificphotos（Cucontentmustbeequaltoorhigherthan10%).5.2如果到貨港CIQ所測(cè)定的總水份，則將從海運(yùn)提單的重量中扣除。總水分最大8%。IfTotalMoisturepercentageoftheCopperOreshipmentasdeterminedbyCIQatdestinationport,thentheactualweightofshipmentshallbeadjustedfromB/Lweight.totalMoisture（AR）8%Max6.檢驗(yàn)（INSPECTION）6.1裝運(yùn)港由國(guó)際檢驗(yàn)機(jī)構(gòu)商檢并監(jiān)裝，費(fèi)用由賣方承擔(dān)，貨物到達(dá)目的港之后，做CIQ/CCIC商檢，費(fèi)用由買方承擔(dān)，賣方有權(quán)派代表參加商檢。InspectedandsupervisedbyInternationalorganizationattheloadingport,theirchargestobeforSeller’saccount.Afterthearrivalofthecargotodestinationport,ThecargoshallbeinspectedbyCIQ/CCIC,ChinaattheBuyer’scostandtheSellerortheSeller’srepresentativeshallhaverighttobepresentatsuchweighingandsampling.在目的港，CIQ/CCIC將從貨物中取出樣品，并分成三份，一份讓買方保存，一份讓賣方保存，最后一份留在CIQ/CCIC以備用來(lái)可能出現(xiàn)的公斷鑒定。AttheportofdischargeCIQshallsamplefromtheshipmentanddivideintothreeparts,onefortheBuyer,thesecondforpossibleneedoftheSellerandthirdforpossibleumpireanalysiswhichshallbesealedandkeptwithCIQ/CCIC.假如CIQ/CCIC和裝貨港CCIC出具的證書對(duì)銅礦石銅的品位的測(cè)定結(jié)果或除銅的品位外其它成分存在2%以下的差異，以到貨港的CIQ/CCIC檢驗(yàn)為準(zhǔn)，如果差異在2%以上，在卸貨港買方必須重新委托SGS檢驗(yàn)，此結(jié)果視為最終標(biāo)準(zhǔn)。IfthedifferenceinthecontentsofCuandothercomponentsbetweenCCICandCIQ/CCICChinaanalysesislessthan2%,theamountshouldbasedontheCIQ/CCICreportattheunloadingport.Ifthedifferenceismorethan2%,theBuyermustagreetohaveanewSGSinspectionattheunloadingport.Thecertificateofanalysisissuedbysuchumpireshallbefinal.公斷鑒定費(fèi)用將由鑒定結(jié)果與公斷結(jié)果差距較大的一方負(fù)擔(dān)，如果公斷結(jié)果介于雙方之間，則公斷費(fèi)用由雙方平均負(fù)擔(dān)。ThecostofumpireanalysisshallbefortheaccountofthepartywhoseownanalysisdiffersfartherfromtheumpireanalysisandiftheresultsofsuchumpireanalysisisthemeanoftheanalysisoftheBuyerandtheanalysisoftheSellerthensuchcostshallbeequallybornebybothparties.7.購(gòu)貨價(jià)格（PURCHASEPRICE）a．基本價(jià)格：中國(guó)主要港口到岸價(jià)（CNF）Pricetermsbasis:CNFMainPort，Chinab.UnitPrice:dependsontheCu%asfollowing:買主支付同意根據(jù)每日的倫敦金屬交易所(LME)官方價(jià)格A級(jí)銅的購(gòu)買現(xiàn)金者的價(jià)格10日平均價(jià)計(jì)算,倫敦金屬交易所網(wǎng)站如下.co.uk/copper.asp以到港日前后5天計(jì)算.TheBuyershallpayfortheagreedcoppercontentaccordingtothedailyLondonMetalExchange(LME)officialpriceoftheCopperGradeACashbuyer’sprice,aspublishedintheLondonMetalExchangewebsitedependonfrontandback5-daysfromthedateofdeliverydestinationport.C．價(jià)格系數(shù)按照下來(lái)銅含量計(jì)算X%:dependsontheCu%asfollowing:Cu%（銅含量）Price（價(jià)格）Under10%(小于10%)Rejected(拒收)10%-14.99%60%ofLME15%-19.99%65%ofLME20%-24.99%

ClientmustensurepaymentcollectedbyOFIafterconvertingintoRMBwillnotbelessthantheinvoiceamount.

OFIwillrecoveranylossofrevenueduetoexchangerateconversion.服務(wù)SERVICES每周一至周五，上午9時(shí)至下午6時(shí)，澳菲將提供各項(xiàng)服務(wù)。如需在正常工作時(shí)間以外的其他時(shí)間特別安排提供此類服務(wù)，將另加付人民幣150/小時(shí)。OFIwillprovideservicesfrom9:00am~6:00pmMondaytoFriday.SpecialarrangementforuseofsuchservicesoutsidenormalbusinesshoursisavailableuponrequestsubjecttoadditionalRMB150perhour.使用及使用限制USEANDLIMITATIONSONUSE客戶除自身?yè)碛械墓P記本電腦或個(gè)人電腦、機(jī)及桌面打印設(shè)備之外，不得再安裝或變更任何電線、電纜、導(dǎo)線或其他電氣及通訊線路。Clientshallnotinstalloralteranywiring,cabling,conduitorotherelectricalortelecommunicationlines,otherthanClient-ownedlaptoporpersonalcomputers,faxmachineanddesktopprinters.客戶如需在本機(jī)構(gòu)內(nèi)設(shè)置無(wú)線通訊連接裝置，則須征得澳菲同意。ClientisrequiredtoobtainpermissionfromOFIforestablishingwirelessconnectivitysettingsintheFacility.客戶僅限于將該房屋作為辦公用途，并且不得使用或允許他人使用該房屋，以達(dá)到下列任何目的、或采用下列任何方式：（a）該目的或方式為非法的；（b）該目的或方式對(duì)業(yè)主或其他租賃單位造成騷擾的；（c）該目的或方式可能對(duì)物業(yè)構(gòu)成危險(xiǎn)、或造成本機(jī)構(gòu)保險(xiǎn)費(fèi)用上升的；（d）損害本機(jī)構(gòu)作為一流商務(wù)中心的性質(zhì)的；（e）其“零售”經(jīng)營(yíng)性質(zhì)造成無(wú)關(guān)人士進(jìn)入該處所的。ClientwillusethePremisesforofficepurposeonlyandwillnotuseorpermittheuseofthePremisesforanypurposeorinanymannerthatis(a)illegal,(b)createsanunreasonableannoyancetoownersorothertenants,(c)whichmaybedangeroustothepropertyandincreasetheinsurancepremiumoftheFacility,(d)impairthecharacteroftheFacilityasafirstclassbusinesscenter,(e)“retail”natureinvolvingvisitsbymembersofthepublic.嚴(yán)禁在墻上釘釘子。若客戶需在墻上陳列圖表或圖紙等，請(qǐng)確保墻紙或油漆免受污漬損害。根據(jù)租用房間大小和狀況，客戶可能須繳納人民幣2500~4000元的翻新費(fèi)。公共區(qū)域的家具、固定附著物或裝飾品等，客戶概不得隨意移動(dòng)。除澳菲向客戶提供之設(shè)施外，客戶不得在本機(jī)構(gòu)處所添加任何鎖具或報(bào)警裝置，也不得復(fù)制任何鑰匙及/或門卡。若鑰匙/門卡丟失，須立即向澳菲報(bào)告。同時(shí)，客戶須承擔(dān)鑰匙/門卡更換費(fèi)，如有必要，還須承擔(dān)鎖具換裝費(fèi)。就第（F）節(jié)中所約定之客戶要求更換、或另行增配的鑰匙，客戶須按標(biāo)準(zhǔn)價(jià)格向澳菲進(jìn)行償付。未經(jīng)澳菲許可，客戶不得將本協(xié)議或任何服務(wù)收益權(quán)轉(zhuǎn)讓給任何第三方。Nailingonthewallisstrictlyprohibited.IfClientneedstodisplaychartsordrawingonthewall,makesureyouleavenostainmarksordamagetothewallpaperandpaint.ArenovationcostofRMB2500~RMB4000willapplydependingonthesuite’ssizeandcondition.Clientshallnotremovefurniture,fixturesordecorativematerialsfromthepublicareas.ClientshallnotaddanylocksoralarmstotheFacilityorduplicateanykeysand/orcardsinadditiontothosefurnishedbyOFI.Anylosskeysand/orcardsmustbereportedtoOFIimmediatelyandClientshallpayforreplacementcostandchangingoflockifrequired.ClientwillpayOFIstandardchargesforanyadditionalorreplacementkeysrequiredbyClientasstatedinsection(F).ClientcannottransfertheagreementoranyservicesbenefitingtoanythirdpartywithoutOFIconsensus.房屋的使用及維護(hù)USEANDCAREOFTHEPREMISE客戶務(wù)必細(xì)心愛(ài)護(hù)其商務(wù)中心，各辦公用房及其中的設(shè)備、配置及家具。若因客戶一方的業(yè)務(wù)代表人員、雇員及/或訪客所造成的任何財(cái)產(chǎn)損失，概由客戶承擔(dān)。凡從客戶所租房屋之外能夠看見(jiàn)之處，客戶概不得將其公司名稱、圖片或任何其他裝飾附著于門或其他任何地方。Clientmusttakegoodcareofthebusinesscenter,theofficesuites,itsequipments,fittingandfurniturethatyouuse.Clientisliableforanydamagecausedbyyourrepresentatives,employees,and/orvisitors.Clientshallnotaffixsigns,picturesorotherdecorationsonthedoororanywhereelsethatisvisiblefromoutsideyouroccupiedsuite(s).不可抗力：有關(guān)責(zé)任的限制FORCEMAJEURE:LIMITATIONSONLIABILITY澳菲概不保證其所提供之各項(xiàng)服務(wù)不會(huì)出現(xiàn)因與客戶使用的服務(wù)項(xiàng)目相關(guān)的機(jī)械故障而導(dǎo)致的中斷或差錯(cuò)。對(duì)于因非澳菲所能夠合理控制的原因而造成的任何妨礙、延誤或停頓，澳菲概不承擔(dān)任何責(zé)任。若發(fā)生該等情形，則只要此類情形繼續(xù)存在，則澳菲將免于繼續(xù)承擔(dān)提供受影響之服務(wù)項(xiàng)目的責(zé)任?？蛻繇氃试S澳菲有合理的時(shí)間恢復(fù)提供該等服務(wù)。在任何情形下，對(duì)于經(jīng)營(yíng)業(yè)務(wù)及/或利潤(rùn)損失、數(shù)據(jù)破壞、第三方索賠或任何繼發(fā)性損失等，澳菲不承擔(dān)任何責(zé)任。OFIcannotguaranteeitsservicebeinginterruptedand/orerrorfreeasaresultofmechanicalbreakdowninconnectionwithClients’useoftheservices.OFIshallhavenoliabilityforanypreventions,delayorstoppageofservicesduetocausesbeyondOFI’sreasonablecontrol.Insuchevent,OFIshallbeexcusedfromprovidingtheaffectedserviceforsolongassuchprevention,delayorstoppagecontinues.ClientwillallowOFIreasonabletimetoresumesuchservices.Undernocircumstance,OFIwillbeliableforanyliabilityforlossofbusiness,profit,damageddata,thirdpartyclaimoranyconsequentialloss.違約及提前終止協(xié)議DEFAULTANDEARLYTERMINATIONOFAGREEMENT若發(fā)生以下任何情形之一，澳菲可立即終止本協(xié)議：OFImayterminatetheagreementimmediatelyforoccurrenceofanyofthefollowing:(a)客戶未能償付任何到期應(yīng)付款項(xiàng)、或履行本協(xié)議項(xiàng)下任何其他付款義務(wù)的。Customerfailstopayanysumdueandpayable,ortoperformunderthisAgreementanyotherpaymentobligations.(b)客戶未能履行本協(xié)議項(xiàng)下任何其他條款約定，并且在向客戶發(fā)出有關(guān)該等未能履行義務(wù)事實(shí)的通知之后，于十（10）日內(nèi)仍未得到糾正的。FailuretoperformanyotherprovisionofthisAgreementifnotcuredwithinten(10)daysafternoticeofsuchfailurehasbeengiventoclient.(c)客戶及其員工或業(yè)務(wù)代理人員的行為不符合正常辦公室使用規(guī)定的。Client,itsemployeeoragent’sconductisincompatiblewithordinaryofficeuse.在該等情形下，客戶必須：Undersuchcircumstances,Clientmust:(d)對(duì)于因協(xié)議終止而造成的任何損失進(jìn)行賠償，免除澳菲的任何責(zé)任。IndemnifyOFIagainstanylossesincurredasaresultofthetermination(e)足額清償協(xié)議剩余期間（若其尚未被澳菲所終結(jié)）的所有月度服務(wù)費(fèi)（包括租賃費(fèi)）Payinfullallmonthlyservicefee(includedrentalfee)fortheremainingperiodoftheagreementshouldOFInotendedit.(f)足額清償所有尚未支付的服務(wù)費(fèi)。Payinfullalloutstandingservicesfee.延遲付款LATEPAYMENT截止到每月二十五日（付款截止日）尚未繳納的到期應(yīng)付款項(xiàng)，須按以下利率承擔(dān)滯納金：Feenotpaidonthe25thday(the“duedate”)ofeachmonthwhenduewillbearlatepaymentchargeatthefollowingrate:滯納金:每日收取該到期賬單金額的千分之五作為滯納金。LatePaymentfee:OFIwillchargeclient5‰ofoutstandinginvoicedaily.在足額繳清應(yīng)付款項(xiàng)前，本公司保留暫停提供服務(wù)（包括拒絕進(jìn)入房屋權(quán)）。Wereservetherighttowithholdservices(includesdenyingaccesstothepremise)untiloutstandingpaymentisreceivedinfull.保證金SECURITYDEPOSIT待辦公室的服務(wù)租賃合同期滿后，澳菲將保證金予以返還。在最后一個(gè)開(kāi)票周期結(jié)束時(shí)，保證金將在扣除所有到期應(yīng)付款之后予以返還。保證金余額將存入客戶在中國(guó)境內(nèi)指定的銀行賬戶內(nèi)。保證金不得用于抵沖客戶最后一個(gè)月的租金及/或服務(wù)費(fèi)。OFIwillrefundthesecuritydepositafterofficecontracthasexpired.Thesecuritydepositrefundlessanyoutstandingduesshallbeprocesseduponcompletingthefinalbillingcycle.TheremainingbalancewillbedepositedintoClient’sdesignatedbankaccountinChina.TheSecurityDepositcannotbeusedtooffsetClient’slastmonth'srentaland/orservicefees.在本合同解除或正常終止之后，客戶必須做到以下兩點(diǎn):其一客戶應(yīng)負(fù)責(zé)向上海市長(zhǎng)寧區(qū)房地產(chǎn)交易中心辦理本合同的注銷租賃備案登記手續(xù),并承擔(dān)相應(yīng)費(fèi)用；或客戶可委托澳菲負(fù)責(zé)辦理前述注銷租賃備案登記手續(xù)，但應(yīng)承擔(dān)澳菲為完成該等注銷租賃備案登記手續(xù)所發(fā)生的所有合理費(fèi)用。其二,客戶將在其搬離本合同項(xiàng)下的房屋之前變更其上海代表處（或公司）的注冊(cè)地址,并將反映客戶上海代表處（或公司）注冊(cè)地址變更的證明文件之復(fù)印件提供給澳菲。如果客戶未能在規(guī)定期限(自客戶書面通知我司解除本合同之日至客戶實(shí)際搬離本合同項(xiàng)下的房屋之日的前一天為止的期限)內(nèi)做到上述兩點(diǎn)，則我司將有權(quán)沒(méi)收客戶的已經(jīng)實(shí)際繳納的保證金。ClienteitherunilaterallyterminatesthisContractbeforeexpirationofthisContractorwhenthecontractexpires,ClientisstillliableforthefollowingtwoobligationsafterterminationofthisContract:Firstly,ClientisresponsiblefordealingwiththederegistrationformalitiesofthisLeaseContractwiththeCHINGNINGrealestatemunicipalityonitsowncosts;asanalternative,ClientmayentrustOFItogothroughallsuchderegistrationproceduresandcompensateOFIofanyreasonablecostsalreadyassumedbyOFIinconnectionwithsuchderegistration.Secondly,ClientshallchangetheregisteredaddressofitsShanghaiRepresentativeOfficebeforemovingoutofthePremisehereunder,andprovideOFIwithacopyoftheevidenceofsuchchangeoftheregisteredaddressoftheClient’sShanghaiRepresentative.IfClientfailstoperformtheabovetworesponsibilitieswithinthestipulatedperiod(theperiodcommencingfromtheissuancedateofthewrittenterminationnoticebytheClientandendingonthedaybeforethedatewhenClientactuallymovesoutofthePremisehereunder),OFIwillbeentitledtowithholdandkeepthesecuritydepositClientalreadypaid.賠償INDEMNITY客戶同意，對(duì)于客戶或任何其他人因任何原因在房屋或本機(jī)構(gòu)之內(nèi)、之中或其周圍所遭受的任何損失、責(zé)任、人身傷亡或財(cái)產(chǎn)損失等，澳菲或其業(yè)務(wù)代理人員概不承擔(dān)任何責(zé)任。對(duì)于因在房屋或本機(jī)構(gòu)之內(nèi)、之中或其周圍發(fā)生任何人身或財(cái)產(chǎn)損失而提出的任何索賠，而致使澳菲遭受的一切損失、損害、賠償、債務(wù)、費(fèi)用開(kāi)支及律師費(fèi)用等，客戶均將給予賠償并保護(hù)澳菲免遭任何該等損失或損害情形之侵害。ClientagreesthatneitherOFInoritsagentsshallbeliableforanyloss,liability,injury,deathordamagetopersonsorpropertywhichissufferedorsustainedbyClientoranyotherpersonin,onoraboutthePremisesorFacilityfromanycause.ClientwillindemnifyandholdOFIharmlessfromallcosts,damages,claims,liabilities,expensesandattorney'sfeesarisingoutofanyclaimofdamagetoanypersonorpropertyoccurringin,onoraboutthePremisesortheFacility.進(jìn)入房屋之權(quán)利ENTRYONPREMISES我司有權(quán)在事先口頭或書面通知客戶的情況下，于正常工作時(shí)間內(nèi)進(jìn)入房屋進(jìn)行認(rèn)為有利于房屋的維護(hù)、安全或改善任何修理、更換或清掃作業(yè)。任何情況下，該等進(jìn)入不得被視為或當(dāng)作針對(duì)客戶的收回或非法侵入其租賃屋舍之行為。OFIhavetherighttoenterthePremisesduringofficehourswithpriorverbaland/orwrittennoticetoClientforthepurposeofmakinganyrepairs,alterationsorcleaningwhichitshalldeemnecessaryforthepreservation,safetyorimprovementsofthePremises.SuchactionsarewithoutinanywaybeingdeemedorheldtohavecommittedanevictionofortrespassagainstClient.客戶租賃期滿前六十（60）日，經(jīng)客戶確認(rèn)將終止租賃關(guān)系的，客戶應(yīng)允許我司向任何有意租用的第三方展示該房間。Sixty(60)dayspriortotheexpirationdateoftheClient’slease,ClientshallallowOFItoshowthesuitetoany3rdpartieswhointendtooccupythesuiteafterClientconfirmtoterminateitslease.房屋之退還SURRENDEROFPREMISES租賃期滿或終止后，客戶須將房屋以干凈、整潔、無(wú)需修理的狀況退還給澳菲，并將其中客戶的所有個(gè)人財(cái)產(chǎn)及雜物等清運(yùn)出場(chǎng)。對(duì)于租賃期滿仍被棄置的任何個(gè)人財(cái)產(chǎn)，澳菲有權(quán)對(duì)之進(jìn)行轉(zhuǎn)售處理，而無(wú)須承擔(dān)任何經(jīng)濟(jì)責(zé)任。OnexpirationorterminationoftheTerm,ClientwillsurrendertoOFIthePremisesingoodandsanitaryconditionfreeofrepair,andwithallofClient'spersonalpropertyanddebrisremoved.OFIhastherightstore-sellordisposeanypersonalpropertyafterleasehasexpiredwithoutanyfinancialliability.終止租賃時(shí)，為恢復(fù)房屋之正常使用功能，澳菲指定承包商或指定個(gè)人可能會(huì)向客戶收取一筆費(fèi)用。為恢復(fù)房屋正常使用功能而續(xù)租期間的租金，將按足額收取。Upontermination,afeemaybechargedtocarryoutrestorationandmakegoodofthepremisesbyOFIappointedcontractorsandpersonnel.Rentalforthedaysrequiredtorestorethepremiseswillbechargedatfullrate.若本協(xié)議期滿時(shí)，客戶不在租賃處所，則因客戶未能按時(shí)撤出而造成的任何損失、索賠或責(zé)任等，概由客戶承擔(dān)。IfClientisnoton-siteuponexpirationoftheagreement,Clientshallberesponsibleforanyloss,claimorliabilityincurredasaresultofClient’sfailuretovacateontime.若條件允許，并按標(biāo)準(zhǔn)收費(fèi)補(bǔ)足繳費(fèi)后，澳菲可允許客戶享有一段寬限期。OFImaypermitClientanextensionsubj
