IRREVOCABLECOMMISSIONAGREEMENT傭 金 協(xié) 議本傭金協(xié)議書于2023年08月 日在中國北京由雙方在公平互利根底上達(dá)成，按雙方同意的以下條件進(jìn)展業(yè)務(wù)關(guān)系：ThisCommissionAgreement(“Agreement“)isbetweenthepartiesconcernedon August 2023inBeijing,Chinaonthebasisofequalityandmutualbenefittodevelopbusinessontermsandconditionsmutuallyagreeduponasfollow:Inconsiderationofthemutualagreementsandcovenantshereincontained,thepartiesheretoagreeasfollows:合約號碼:ContractNo.:協(xié)議開頭日期: AGREEMENTINITIATIONDATE:本協(xié)議從 ,2023開頭生效。 agreemententersintoforceon ,2023.協(xié)議方: PARTIES:本協(xié)議涉及以下各方:Thisagreementismadeandenteredbyandbetween:甲方:PARTYA:地址:ADDRESS:國家:COUNTRY:TEL:FAX:電子郵件E-MAIL:AND和乙方:PARTYB:地址:ADDRESS:國家:COUNTRY:TEL:FAX:電子郵件E-MAIL:委任：Appointment甲方指定乙方為其在中國的全權(quán)選購代理，選購甲方指定的烯烴芳烴加氫和異構(gòu)化催化劑，瓦斯油〔AGO+VGO〕脫硫催化劑，石腦油加氫催化劑〔詳見產(chǎn)品選購合同〕。ThePartyAappointsthePartyBasitsExclusivePurchasingAgencyinChina,purchasingthegoodsasPartArefers.Olefins,AromaticsHydrogenationandIsomerisationCatalysts，GasOilNaphthaHydrotreaterCatalyst.(DetailsasperPurchaseContract)雙方的職責(zé)：Dutiesoftwoparties:甲方所需的選購業(yè)務(wù)應(yīng)提交給乙方具體的選購產(chǎn)品信息，比方材質(zhì)、尺寸、數(shù)量、品質(zhì)等具體要求。PartyAshallprovidealltheinformationofthepurchasingproductstoPartyB,suchasmaterial,size,quantity,qualityandotherconcreterequirements.乙方向甲方供給選購產(chǎn)品客戶信息，代理信息，代理租船參謀業(yè)務(wù)等。負(fù)責(zé)落實甲方選購產(chǎn)品資源，渠道和談成供貨意向一并介紹給甲方。PartyBshallprovidePartyAcustomersinformationandagentinformation, consultancyserviceonagentschartering.Besides,heshallfindandconfirmtheproductsresourcesandsupplychannel,thenintroducetheseinformationtotallytoPartyA.因甲方購置的產(chǎn)品涉及專利產(chǎn)權(quán)和產(chǎn)品生產(chǎn)者指定代理的狀況，乙方負(fù)責(zé)促成甲方與產(chǎn)品生產(chǎn)者或產(chǎn)品生產(chǎn)者代理商之間簽署選購協(xié)議，實現(xiàn)貿(mào)易，并負(fù)責(zé)為甲方對選購產(chǎn)品取樣、驗貨、出貨等的環(huán)節(jié)進(jìn)展效勞。PartyBshallhelpandfacilitatePartyAsignthePurchasingAgreementwiththesuppliersoragents,alsoshouldprovideservicesinmanyaspects,suchassampling,inspection,deliveryandothermatters.貨款的支付方式：Paymentofgoods者代理商之間直接簽署選購協(xié)議，貨款支付方式由協(xié)議雙方協(xié)商達(dá)成全都。PartyAwillsignPurchasingAgreementdirectlywithproducersoritsagents,andthepaymenttermofgoodswillbenegotiatedandagreedbyPartyAandtheSeller.Commissioncalculation,paymentmethods,paymenttime甲方同意依據(jù)選購產(chǎn)品總金額的〔1-5〕%支付傭金給乙方，支付日期為付款給賣方的同一天，支付第一筆貨款的同時向乙方全額支付選購產(chǎn)品總金額的傭金。ForthePurchasingAgent”sservices,thePartyAshallpaythePartyBthefollowingcommissionpercentage:(1-5)%ofPartspurchasingaggregateamountoftheinvoicevalu,simultaneouslywithinthesamebankingdayasthepartyAmakespaymenttotheSeller.CommissionshouldberemittedtoPartyB’sdesignatedbankaccount.IfthePartyAmakesadvancepaymentstotheSellerorpaymentbyinstallments,heshouldpaythecommissiontoPartyBsimultaneouslywiththefirstpaymenthemadetotheSeller.違約責(zé)任：甲方假設(shè)不按本合同第6條的執(zhí)行，逾期一天應(yīng)支付乙方滯納金，滯納金系數(shù)為：總傭金的5‰/天。PartyAifnotinthisagreementandarticle6,executionofexpireddayshallpaypartyBoverduefine,finefordelayingpaymentcoefficientfor:thetotalcommission5‰/day.協(xié)議的修改：Modification此協(xié)議書只有經(jīng)雙方共同簽字后才能作修改，ThisAgreementmaynotbemodifiedexceptbyamendmentreducedtowritingandsignedbybothParties.不行抗力：ForceMajeure由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)斗或協(xié)議一方無法預(yù)見、掌握、避開和抑制的其他大事導(dǎo)盡快將發(fā)生的大事通知另一方，并在不行抗力大事發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不行抗力大事的證明寄交對方。Eitherpartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisagreementduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelativeparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.仲裁： Arbitration交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(北京)，依據(jù)其仲裁規(guī)章進(jìn)展仲裁。仲裁裁決是終局的，對雙方都有約束力，仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。Alldisputesarisingfromtheperformanceofthisagreementshallbesettledthroughfriendlynegotiation.Shouldnosettlementbereachedthroughnegotiation,thecaseshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission(Beijing)andtherulesofthisCommissionshallbeapplied.Theawardofthearbitrationshallbefinalandbindinguponbothparties.Arbitrationfeesshallbebornebythelosingparty,unlessotherwiseawarded.協(xié)議有效期： ValidityofAgreement本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為 年，從2023年08月日到年月日。Thisagreement,whendulysignedbythebothpartiesconcerned,shallremaininforcefor fromAugust,2023toXX ,XX.協(xié)議的終止：Termination在本協(xié)議有效期內(nèi)，假設(shè)一方被覺察違反協(xié)議條款，另一方有權(quán)終止協(xié)議。Duringthevalidityofthisagreement,ifeitherofthetwopartiesisfoundtohaveviolatedthestipulationsherein,theotherpartyhastherighttoterminatethisagreement.202308月日在北京簽訂，一式兩份，雙方各執(zhí)一份。ThisAgreementissignedon...inBeijingandisintwooriginals；eachPartyholdsone.甲方與產(chǎn)品生產(chǎn)者或產(chǎn)品生產(chǎn)者代理商
