的缺陷。IftheContractEquipmentisshutdownduringtheguaranteeperiodduetorepairorreplacementofdefectiveand/ordamagedGoodssuppliedbytheSellerforwhichtheSellerisresponsible,theguaranteeperiodofsuchContractEquipmentshallbeextendedcorrespondinglybyaperiodequaltothetimeofsuchshutdown.Theguaranteeperiodofsuchrepairedand/orreplacedGoodsshallbeextendedtotwelve(12)monthsafterthesepartsareputintooperation.IfanyGoods’defectionshallbefoundaftertheguaranteeperiodduetodesignormanufacturingreasonsolelyattributabletoSeller，thesellerisindutyboundtodealwithit.(14)檢驗(yàn)Inspection：甲：在交貨以前,制造廠應(yīng)就訂貨的質(zhì)量、規(guī)格、性能、數(shù)量/重量作出正確和全面的檢驗(yàn),并出具貨物和本合同規(guī)定相符的證明書,該證書為議付貨款而應(yīng)提交銀行的單據(jù)的組成部分,但不得作為貨物的質(zhì)量、規(guī)格、性能和數(shù)量/重量的最后依據(jù),制造廠應(yīng)將記載試驗(yàn)細(xì)節(jié)和結(jié)果的書面報(bào)告附在質(zhì)量證明書內(nèi)。A：Themanufacturersshallbeforemakingdelivery,makeapreciseandcomprehensiveinspectionofthegoodsasregardstheirquality,specifications,performanceandquantity/weight,andissuecertificatescertifyingthatthegoodsareinconformitywiththestipulationsofthisContract.Thecertificatesshallbefromanintegralpartofthedocumentsandpresentedtothepayingbankfornegotiation/collectionofpaymentbutshallnotbeconsideredasfinalinrespectofquality,specifications,performancesandquantity/weight.ParticularsandresultsofthetestcarriedoutbythemanufacturersmustbeshowninastatementtobeattachedtothesaidQualityCertificate.乙：貨物到達(dá)到貨目的港或現(xiàn)場(chǎng)后，買方可以申請(qǐng)中華人民共和國(guó)出入境檢驗(yàn)檢疫局及其分支機(jī)構(gòu)(以下簡(jiǎn)稱商檢局)就貨物的質(zhì)量、規(guī)格和數(shù)量/重量進(jìn)行初步檢驗(yàn)，如果發(fā)現(xiàn)到貨的規(guī)格或數(shù)量/重量與合同不符，除應(yīng)由保險(xiǎn)公司或船公司負(fù)責(zé)外，買方于貨物在到貨口岸卸貨后180天內(nèi)憑商檢局出具之檢驗(yàn)證書有權(quán)拒收貨物或向賣方索賠。B：Afterarrivalofthegoodsattheportofdestinationoratthesite,theBuyermayapplytothePeople’sRepublicofChinaforInspectionEntry-exitInspectionandQuarantineBureau(hereinaftercalledthe“Bureau”)forapreliminaryinspectionofthegoodsinrespectoftheirquality,specificationsandquantity/weightorboth,exceptthoseforwhicheithertheinsurancecompanyortheshippingcompanyisresponsible,theBuyersshall,within180daysafterdischargeofthegoodsattheportofdestination,havetherighteithertorejectthegoodsortoclaimagainsttheSellersonthestrengthoftheinspectioncertificateissuedbytheBureau.丙：在合同第13條規(guī)定的保用期限內(nèi)，如發(fā)現(xiàn)貨物的質(zhì)量及/或規(guī)格與本合同規(guī)定不符或發(fā)現(xiàn)貨物無(wú)論任何原因引起的缺陷包括內(nèi)在缺陷或使用不良的原材料，買方應(yīng)申請(qǐng)商檢局檢驗(yàn)，并有權(quán)根據(jù)商檢證向賣方索賠。C：WithintheguaranteeperiodstipulatedinClause13hereofshouldthequalityand/orthespecificationsofthegoodsbefoundnotinconformitywiththecontractedstipulations,orshouldthegoodsproveddefectiveforanyreasons,includinglatentdefectortheuseofunsuitablematerials,theBuyershallarrangeforaninspectiontobecarriedoutbytheBureauandhavetherighttoclaimagainsttheSelleronthestrengthoftheinspectioncertificateissuedbytheBureau.?。嘿u方收到買方索賠通知后，如果十天內(nèi)不答復(fù)，應(yīng)視為賣方同意買方提出的一切索賠。D：AnyandallclaimsshallberegardedasacceptediftheSellersfailtoreplywithin10daysafterreceiptoftheBuyers'claim.(15)索賠:Claims:A）如果合同設(shè)備在設(shè)計(jì)、制造、交貨、檢驗(yàn)、安裝、調(diào)試、試運(yùn)行、性能驗(yàn)收試驗(yàn)和保證期內(nèi)賣方未能履行其在本合同項(xiàng)下所承擔(dān)的義務(wù)，買方有權(quán)向賣方提出索賠并自行選擇下列一項(xiàng)或多項(xiàng)補(bǔ)救措施：A）IncasetheSellerfailsinperforminganyofitsobligationunderthecontractduringthedesign,manufacture,delivery,inspection,Erection,Commissioning,ReliabilityTestRun,PerformanceTestandWarrantyPeriod,theBuyerhastherighttolodgeclaimsagainsttheSellerandSellershallsettletheclaimwiththeagreementoftheBuyerinoneoracombinationofthefollowingways:按照本合同的規(guī)定，由賣方向買方支付違約金。1)PayliquidateddamagestotheBuyeraccordingtothestipulationsoftheContract.由賣方自負(fù)費(fèi)用修理有缺陷的合同設(shè)備或消除合同設(shè)備的缺陷或不符合合同之處。如果賣方不能派遣人員到工作現(xiàn)場(chǎng)，或賣方不能在買方限定期限內(nèi)修復(fù)有缺陷的合同設(shè)備，買方有權(quán)自行或請(qǐng)其他合格供貨商消除缺陷或不符合合同之處，由此產(chǎn)生的一切費(fèi)用和風(fēng)險(xiǎn)均由賣方承擔(dān)。2)RepairdefectiveContractEquipmentoreliminatethedefectsordiscrepanciesoftheContractEquipmentattheSeller’sexpenses.IncasetheSellerfailstodispatchhispersonneltotheProjectSite,theBuyerhastherighttoeliminatethedefectsordiscrepancieshimselforotherqualifiedsuppliers.AllcostsandrisksthusoccurredshouldbebornebytheSeller.由賣方自負(fù)費(fèi)用以新設(shè)備替換有缺陷的合同設(shè)備或用新的技術(shù)資料替換有錯(cuò)誤的技術(shù)資料，或者補(bǔ)供遺漏的合同設(shè)備或技術(shù)資料，同時(shí)賣方應(yīng)在重新起算的保證期內(nèi)對(duì)替換后的設(shè)備作出質(zhì)量保證。賣方應(yīng)自負(fù)風(fēng)險(xiǎn)和費(fèi)用將替換后的設(shè)備或補(bǔ)供的設(shè)備運(yùn)抵工作現(xiàn)場(chǎng)。對(duì)于急需的設(shè)備，賣方應(yīng)自負(fù)費(fèi)用將其用最快的運(yùn)輸方式運(yùn)到工作現(xiàn)場(chǎng)。3)ReplacethedefectiveContractEquipmentorinaccurateTechnicalDocumentationwithnewoneorsupplementtheomittedContractEquipmentorTechnicalDocumentationattheSeller’sexpensesandtheSellershallatthesametimeguaranteethequalityofthereplacedGoodsforafurthercorrespondingguaranteeperiod.Thereplacedand/orsupplementedequipmentshallbedeliveredtotheProjectSiteattheSeller’scostsandrisks.TheSellershall,athisownexpenses,deliverythecomponentsorequipmenturgentlyneededbytheBuyertotheSitesbythemostefficienttransportationmethod.賣方按質(zhì)量低劣的程度、買方受損害的程度及損失的數(shù)額對(duì)合同設(shè)備進(jìn)行降價( ceMajeure：不可抗力是指：嚴(yán)重的自然災(zāi)害和災(zāi)難(如臺(tái)風(fēng)、洪水、地震、火災(zāi)和爆炸等)、戰(zhàn)爭(zhēng)(不論是否宣戰(zhàn))、叛亂、動(dòng)亂、傳染病、中華人民共和國(guó)的法律、法規(guī)、政策和政府的宏觀調(diào)控等等。合同雙方中的任何一方,由于不可抗力事件而影響合同義務(wù)的執(zhí)行時(shí)，則延遲履行合同義務(wù)的期限相當(dāng)于不可抗力事件影響的時(shí)間，但是不能因?yàn)椴豢煽沽Φ难舆t而調(diào)整合同價(jià)格及性能指標(biāo)。MajeuremeanstheeventthatthepartiescouldnotforeseeatthetimeofconclusionoftheContractanditsoccurrenceandconsequencescannotbeavoidedandcannotbeovercome,suchaswar,seriousfire,flood,typhoonandearthquakeandothercases.IfeitherofthepartiestotheContractbepreventedfromexecutingtheContractbyForceMajeure,thetimeforexecutionofthecontractshallbeextendedbyaperiodequaltotheeffectofthesecauses.However,thepriceandperformanceindicesshallnotbechangedduetosuchdelaybyForceMajeureevent.受到不可抗力影響的一方應(yīng)在不可抗力事故發(fā)生后，盡快將所發(fā)生的不可抗力事件的情況以傳真或電報(bào)通知另一方，并在14天內(nèi)將有關(guān)當(dāng)局出具的證明文件提交給另一方審閱確認(rèn)，受影響的一方同時(shí)應(yīng)盡量設(shè)法縮小這種影響和由此而引起的延誤，一且不可抗力的影響消除后，應(yīng)將此情況立即通知對(duì)方。Theaffectedpartyshallpromptlyinformtheotherpartybyfaxandbycableandacertificateissuedbycompetentauthoritiesconcernedshouldbesubmittedwithinfourteen(14)daysfortheotherpartytoreviewandconfirm.Theaffectedpartyshouldtakeallnecessarymeasurestodecreasetheeffectandtoshortenthedelaythusincurred.OncetheForceMajeureisover,theotherpartyshallbepromptlynotified.如雙方對(duì)不可抗力事件的影響估計(jì)將延續(xù)到120天以上時(shí)，雙方應(yīng)通過(guò)友好協(xié)商解決本合同的執(zhí)行問(wèn)題(包括交貨、安裝、試運(yùn)行和初步驗(yàn)收等問(wèn)題)。ShouldtheeffectofForceMajeurecontinueformorethanonehundredandtwenty(120)consecutivedays,bothpartiesshallsettlethefurtherexecutionoftheContractthroughfriendlynegotiation(includingdelivery,installation,trialoperationandprovisionalacceptance,etc.)(17)履約保函：PerformanceBond賣方應(yīng)在合同簽定后十五天內(nèi)按合同附件2規(guī)定的格式向買方提交金額為合同總價(jià)10%的履約保證金。TheSellershallopenaperformancesecuritycovering10%ofthetotalcontractpricewithinfifteen(15)daysafterthecontracthasbeensigned.SpecimenisasperAnnex2.履約保證金應(yīng)采用本合同貨幣，由信譽(yù)良好的銀行出具的有效的銀行保函。
