民航專業(yè)工程標(biāo)準(zhǔn)施工專用合同條款（中英文對(duì)照）目錄TABLEOFCONTENTS.一般約定Generalagreement.發(fā)包人義務(wù)Obligationsoftheemployer.監(jiān)理人supervisor.承包人contractor.材料和工程設(shè)備Materialsandplant.施工設(shè)備和臨時(shí)設(shè)施Constructionequipmentandtemporaryfacilities.交通運(yùn)輸traffic&transport.測(cè)量放線surveyandsettingout.安全、治安保衛(wèi)和環(huán)境保護(hù)Safety,securitydefenseandenvironmentalprotection.進(jìn)度計(jì)劃scheduledplan.開工和竣工Commencementandcompletionofwork.暫停施工Suspensionofconstruction.工程質(zhì)量work1squality.試驗(yàn)和檢驗(yàn)Testandinspection.變更Variations/amendments.價(jià)格調(diào)整Priceadjustment.計(jì)量與支付Measurementandpayment18竣工驗(yàn)收Completionacceptance.缺陷責(zé)任與保修責(zé)任Defectsliabilityandqualitywarranty.保險(xiǎn)Insurance.不可抗力Forcemajeure.違約default.索賠claims.爭(zhēng)議的解決Disputeresolution部分章節(jié)示例如下：分包Subcontracting承包人不得將其承包的全部工程轉(zhuǎn)包給第三人，或?qū)⑵涑邪娜抗こ讨夂笠苑职拿x轉(zhuǎn)包給第三人。Thecontractorshallnotsubcontractalltheworkscontractedbyhimtoathirdparty,ordismemberalltheworkscontractedbyhimandsubcontractthesametoathirdpartyinthenameofasubcontract.分包的內(nèi)容ContentofSubcontracting當(dāng)事人約定某些非主體、非關(guān)鍵性工作分包給第三人：Thepartiesagreedtosubcontractcertainnon-subject,non-criticalworktoathirdparty:分包人的資格能力應(yīng)與其分包工作的標(biāo)準(zhǔn)和規(guī)模相適應(yīng)。Thequalificationcapacityofsubcontractorsshallbeaccordancewiththestandardsandscaleoftheirsubcontractedwork.按投標(biāo)函附錄約定分包工程的，承包人應(yīng)向發(fā)包人和監(jiān)理人提交分包合同副本。Ifthesubcontractworkisconductedinaccordancewiththeappendixtothebidletter,thecontractorshallsubmitacopyofthesubcontracttotheemployerandsupervisor.承包人應(yīng)與分包人就分包工程向發(fā)包人承擔(dān)連帶責(zé)任。Thecontractorandthesubcontractorshallbejointlyandseverallyliabletotheemployerforthesubcontractworks.在工程施工過程中，承包人進(jìn)行專業(yè)分包必須遵守以下規(guī)定：Duringtheconstructionoftheproject,thecontractorshouldabidebythefollowingruleswhencarryingoutprofessionalsubcontracting:(1)專業(yè)分包工程不得再次分包。Professionalsubcontractingprojectsshallnotbesubcontractedagain.(2)承包人和專業(yè)分包人應(yīng)當(dāng)依法簽訂專業(yè)分包合同，并按照合同履行約定的義務(wù)。專業(yè)分包合同必須明確約定工程款支付條款、結(jié)算方式以及保證按期支付的相應(yīng)措施，確保工程款的支付。Thecontractorandtheprofessionalsubcontractorshallsignaprofessionalsubcontractaccordingtolaw,andperformtheagreedobligationsinaccordancewiththecontract.Professionalsubcontractsshouldclearlystipulatethepaymentterms,settlementmethodsandcorrespondingmeasurestoensurepaymentontimetoensurethepaymentofconstructionfunds.(3)承包人對(duì)施工現(xiàn)場(chǎng)安全負(fù)總責(zé)，并對(duì)專業(yè)分包人的安全生產(chǎn)進(jìn)行培訓(xùn)和管理。專業(yè)分包人應(yīng)將其專業(yè)分包工程的施工組織設(shè)計(jì)和施工安全方案報(bào)承包人備案。專業(yè)分包人對(duì)分包施工現(xiàn)場(chǎng)安全負(fù)責(zé)，發(fā)現(xiàn)事故隱患，應(yīng)及時(shí)處理。Thecontractorisfullyresponsibleforthegeneralsafetyoftheconstructionsite,andtrainsandmanagesthesafetyofprofessionalsubcontractors.Theprofessionalsubcontractorshallreporttheconstructionorganizationdesignandconstructionsafetyplanoftheprofessionalsubcontractedprojecttotheemployerfortherecord.Theprofessionalsubcontractorisresponsibleforthesafetyofthesubcontractedconstructionsite,andshoulddiscoverthehiddendangeroftheaccidentandshouldhandledintime.(4)所有專業(yè)分包計(jì)劃和專業(yè)分包合同須報(bào)監(jiān)理人審批，并報(bào)發(fā)包人核備。監(jiān)理人審批專業(yè)分包并不解除合同規(guī)定的承包人的任何責(zé)任和義務(wù)。Allprofessionalsubcontractingplansandprofessionalsubcontractsshouldbesubmittedtothesupervisorforapproval,andreportedtotheemployerforverification.Theapprovaloftheprofessionalsubcontractorbythesupervisordoesnotrelieveanyoftheresponsibilitiesandobligationsofthecontractorstipulatedinthecontract.發(fā)包人對(duì)承包人與專業(yè)分包人之間的法律與經(jīng)濟(jì)糾紛不承擔(dān)任I可責(zé)任和義務(wù)。Theemployershallnotberesponsibleorliableforlegalandeconomicdisputesbetweenthecontractorandtheprofessionalsubcontractor.聯(lián)合體Consortium聯(lián)合體各方應(yīng)共同與發(fā)包人簽訂合同。聯(lián)合體各方應(yīng)為履行合同承擔(dān)連帶責(zé)任。Allpartiestotheconsortiumshalljointlysignacontractwiththeemployer.Thepartiestotheconsortiumshallundertakethejointlyandseverallyliabilitiesfortheperformanceofthecontract聯(lián)合體協(xié)議經(jīng)發(fā)包人確認(rèn)后作為合同附件。在履行合同過程中，未經(jīng)發(fā)包人同意，不得修改聯(lián)合體協(xié)議。Theconsortiumagreementshallbetakenasanannextothecontractwithconfirmationoftheemployer.Duringtheperformanceofthecontract,theconsortiumagreementshallnotbechangedormodifiedwithouttheconsentoftheemployer.聯(lián)合體牽頭人負(fù)責(zé)與發(fā)包人和監(jiān)理人聯(lián)系，并接受指示，負(fù)責(zé)組織聯(lián)合體各成員全面履行合同。Theleaderoftheconsortiumisresponsibleformakingcontactwiththeemployerandsupervisorandreceivinginstructionstoorganizeallmembersoftheconsortiumtofullyperformthecontract4未經(jīng)發(fā)包人事先同意，聯(lián)合體的組成與結(jié)構(gòu)不得變動(dòng)。Thecompositionandstructureoftheconsortiumshallnotbechangedwithoutthepriorconsentofthecontractor.承包人項(xiàng)目經(jīng)理Contractor'sProjectManager承包人應(yīng)按合同協(xié)議書的約定指派項(xiàng)目經(jīng)理，并在約定的期限內(nèi)到職。承包人更換項(xiàng)目經(jīng)理應(yīng)事先征得發(fā)包人同意，并應(yīng)在更換14天前將擬更換的項(xiàng)目經(jīng)理的姓名和詳細(xì)資料提交發(fā)包人和監(jiān)理人。承包人項(xiàng)目經(jīng)理短期離開施工場(chǎng)地，應(yīng)事先征得監(jiān)理人同意，并委派代表代行其職責(zé)。Aprojectmanagerwhichbeingappointedbythecontractorpursuanttothestipulationhereofshallbeondutywithinthestipulatedtimelimit.Thecontractorshallobtaintheconsentoftheemployerinadvancewherereplacingtheprojectmanager,andshallsubmitthenameanddetailsoftheprojectmanagertobereplacedtotheemployerandsupervisor14daysbeforethereplacement.Ifthecontractor'sprojectmanagerleavestheconstructionsiteforashortperiodoftime,heshallobtainthepriorconsentofthesupervisorandappointarepresentativetoperformhisduties.承包人項(xiàng)目經(jīng)理應(yīng)按合同約定以及監(jiān)理人按第3.4款作出的指示，負(fù)責(zé)組織合同工作的實(shí)施。在情況緊急且無法與監(jiān)理人取得聯(lián)系時(shí),可采取保證工程和人員生命財(cái)產(chǎn)安全的緊急措施，并在采取措施后24小時(shí)內(nèi)向監(jiān)理人提交書面報(bào)告。Theprojectmanagerofthecontractorshall,pursuanttothestipulationhereofandtheinstructionsgivenbythesupervisorunderarticle3.4,beresponsiblefororganizingtheimplementationofthecontractIncaseofemergencyandunabletogetintouchwiththesupervisor,emergencymeasurescanbetakentoensurethesafetyoftheprojectandpersonnel,andawrittenreportcanbesubmittedtothesupervisorwithin24hoursafterthemeasuresaretaken.包人為履行合同發(fā)出的一切函件均應(yīng)蓋有承包人授權(quán)的施工場(chǎng)地管理機(jī)構(gòu)章，并由承包人項(xiàng)目經(jīng)理或其授權(quán)代表簽字。Allcorrespondencesentbythecontractorfortheperformanceofthecontractshallbestampedwiththesealoftheconstructionsitemanagementbodyauthorizedbythecontractorandsignedbythecontractorprojectmanagerorhisauthorizedrepresentative.承包人項(xiàng)目經(jīng)理可以授權(quán)其下屬人員履行其某項(xiàng)職責(zé)，但事先應(yīng)將這些人員的姓名和授權(quán)范圍書面通知發(fā)包人和監(jiān)理人。Thecontractor'sprojectmanagermayauthorizeitssubordinatepersonneltoperformcertainduties,howevershallnotifyinadvancetheemployerandsupervisorinwritingofthenamesandauthorizationscopeofthesepersonnel.承包人人員的管理ManagementofContractor'sPersonnel承包人應(yīng)在接到開始工作通知之日起28天內(nèi)，向監(jiān)理人提交承包人的項(xiàng)目管理機(jī)構(gòu)以及人員安排的報(bào)告，其內(nèi)容應(yīng)包括項(xiàng)目管理機(jī)構(gòu)的設(shè)置、各主要崗位的技術(shù)和管理人員名單及其資格，以及設(shè)計(jì)人員和各工種技術(shù)工人的安排狀況。承包人應(yīng)向監(jiān)理人提交施工場(chǎng)地人員變動(dòng)情況的報(bào)告。Thecontractorshall,within28daysfromthedateofreceivingthenoticeofcommencement,submittothesupervisorthereportofthecontractor'sprojectmanagementorganizationandpersonnelarrangement,whichshallincludetheestablishmentoftheprojectmanagementorganization,thelistoftechnicalandmanagementpersonnelwiththeirqualificationsforeachmajorpost,andthearrangementofthedesignersandtechnicalworkersforeachtypeofwork.Thecontractorshallsubmittothesupervisorareportonthechangesinthepersonneloftheconstructionsite.為完成合同約定的各項(xiàng)工作，承包人應(yīng)向施工場(chǎng)地派遣或雇傭足夠數(shù)量的下列人員：Inordertocompletetheworkstatedinthecontract,thecontractorshallsendoremployasufficientnumberofthefollowingpersonneltotheconstructionsite:(1)具有相應(yīng)資格的專業(yè)技工和合格的普工；Professionaltechnicianswithcorrespondingqualificationsandqualifiedgeneralworkers;(2)具有相應(yīng)施工經(jīng)驗(yàn)的技術(shù)人員；Technicalpersonnelwithcorrespondingconstructionexperience;(3)具有相應(yīng)崗位資格的各級(jí)管理人員。Managersatalllevelswithcorrespondingpostqualifications.包人安排在施工場(chǎng)地的主要管理人員和技術(shù)骨干應(yīng)相對(duì)穩(wěn)定。承包人更換主要管理人員和技術(shù)骨干時(shí)，應(yīng)取得監(jiān)理人的同意。Themainmanagementpersonnelandtechnicalbackbonearrangedbythecontractorintheconstructionsiteshallberelativelystable.Wherethecontractorchangesthemainmanagementpersonnelandthetechnicalbackbone,heshallobtaintheconsentofthesupervisor.特殊崗位的工作人員均應(yīng)持有相應(yīng)的資格證明，監(jiān)理人有權(quán)隨時(shí)檢查。監(jiān)理人認(rèn)為有必要時(shí)，可進(jìn)行現(xiàn)場(chǎng)考核。Staffmembersinspecialpostshallholdcorrespondingcertificatesofqualification,andsupervisorsshallhavetherighttoinspectthematanytime.Ifthesupervisordeemsitnecessary,hemaycarryouttheon-siteexamination.盡管承包人已派遣了各類人員，但若這些人員仍不能滿足合同進(jìn)度計(jì)劃和質(zhì)量要求時(shí)，監(jiān)理人有權(quán)要求承包人繼續(xù)增派或雇傭這類人員,并書面通知承包人和抄送發(fā)包人。承包人在接到上述通知后應(yīng)立即執(zhí)行監(jiān)理人的上述指示，不得無故拖延,由此增加的費(fèi)用和（或）工期延誤由承包人承擔(dān)。Althoughthecontractorhasdispatchedvariouspersonnel,ifthesepersonnelstillcannotmeetthecontractscheduleandqualityrequirements,thesupervisorhastherighttorequirethecontractortocontinuetosendorhiresuchpersonnel,andnotifythecontractorandemployer.Thecontractorshall,uponreceiptofabovenotice,immediatelyimplementtheaboveinstructionsofthesupervisor,andshallnotdelayfornoreasonandtheincreasedcostsand/ordelaysintheconstructionperiodshallbebornebythecontractor.撤換承包人項(xiàng)目經(jīng)理和其他人員Replacementofcontractorprojectmanagerandotherpersonnel承包人應(yīng)對(duì)其項(xiàng)目經(jīng)理和其他人員進(jìn)行有效管理。監(jiān)理人要求撤換不能勝任本職工作、行為不端或玩忽職守的承包人項(xiàng)目經(jīng)理和其他人員的,承包人應(yīng)予以撤換。Thecontractorshalleffectivelymanageitsprojectmanagerandotherpersonnel.Ifthesupervisorrequeststoreplacethecontractor'sprojectmanagerandotherpersonnelwhicharenotqualifiedfortheirjoborduty,misbehaviororneglectofduty,thecontractorshallreplacethem.保障承包人人員的合法權(quán)益Safeguardoflegitimaterightsandinterestsofcontractor'spersonnel承包人應(yīng)與其雇傭的人員簽訂勞動(dòng)合同，并按時(shí)發(fā)放工資。Thecontractorshallsignlaborcontractswithitsemployeesandpaywagesontime.承包人應(yīng)按勞動(dòng)法的規(guī)定安排工作時(shí)間，保證其雇傭人員享有休息和休假的權(quán)利。因設(shè)計(jì)、施工的特殊需要占用休假日或延長(zhǎng)工作時(shí)間的，應(yīng)不超過法律規(guī)定的限度，并按法律規(guī)定給予補(bǔ)休或付酬。ThecontractorshallarrangeworkinghoursinaccordancewiththeprovisionsoftheLaborLawtoensureitsemployeesenjoytherighttorestandvacation.Ifthespecialneedsofthebiddingsectionconstructiontakeupholidaysorextendworkinghours,shallnotexceedthelimitsprescribedbylaw,andshallbecompensatedorpaidinaccordancewiththeprovisionsofthelaw.包人應(yīng)為其雇傭人員提供必要的食宿條件，以及符合環(huán)境保護(hù)和衛(wèi)生要求的生活環(huán)境，在遠(yuǎn)離城鎮(zhèn)的施工場(chǎng)地，還應(yīng)配備必要的傷病防治和急救的醫(yī)務(wù)人員與醫(yī)療設(shè)施。Thecontractorshallprovidenecessaryaccommodationforitsemployeesandlivingenvironmentwhichmeettherequirementsofenvironmentalprotectionandhygiene.Intheconstructionsitefarawayfromthetown,thecontractorshallalsobeequippedwithnecessarymedicalpersonnelandmedicalfacilitiesforthepreventionandtreatmentofinjuriesandfirstaid.承包人應(yīng)按國(guó)家有關(guān)勞動(dòng)保護(hù)的規(guī)定，采取有效的防止粉塵、降低噪聲、控制有害氣體和保障高溫、高寒、高空作業(yè)安全等勞動(dòng)保護(hù)措施。其雇傭人員在施工中受到傷害的，承包人應(yīng)立即采取有效措施進(jìn)行搶救和治療。Thecontractorshalltakeeffectivelaborprotectionmeasurestopreventdust,reducenoise,controlharmfulgasesandensurehightemperature,coldandhighaltitudeoperationsafetyinaccordancewithrelevantnationallaborprotectionregulations.Thecontractorshallimmediatelytakeeffectivemeasurestorescueandtreattheemployeeswhoareinjuredintheconstruction.承包人應(yīng)按有關(guān)法律規(guī)定和合同約定，為其雇傭人員辦理保險(xiǎn)。Thecontractorshalleffectinsuranceforitsemployeespursuanttorelevantlaws,regulationsandthecontractagreement.承包人應(yīng)負(fù)責(zé)處理其雇傭人員因工傷亡事故的善后事宜。Thecontractorshallberesponsibleforhandlingtheaftermathofthecasualtyaccidentofitsemployees.工程價(jià)款應(yīng)?？顚Ｓ肞rojectpriceshouldbeearmarked發(fā)包人按合同約定支付給承包人的各項(xiàng)價(jià)款應(yīng)專用于合同工作。承包人必須在發(fā)包人指定的當(dāng)?shù)劂y行設(shè)立專用帳戶，并接受發(fā)包人的監(jiān)管。Thepricepaidbytheemployertothecontractorpursuanttothecontractshallbeusedexclusivelyforthecontractwork.Thecontractorshouldsetupaspecialaccountatthelocalbankdesignatedbytheemployerandbesubjecttothesupervisionoftheemployer.承包人現(xiàn)場(chǎng)查勘Contractorsitesurvey發(fā)包人應(yīng)將其持有的現(xiàn)場(chǎng)地質(zhì)勘探資料、水文氣象資料提供給承包人，并對(duì)其準(zhǔn)確性負(fù)責(zé)。但承包人應(yīng)對(duì)其閱讀上述有關(guān)資料后所作出的解釋和推斷負(fù)責(zé)。Theemployershallprovidetheon-sitegeologicalexplorationdataandhydrometeorologicaldataheldbyhimandberesponsiblefortheaccuracythereof.However,thecontractorshallberesponsiblefortheinterpretationandinferenceafterreadingtheaboverelevantinformation.承包人應(yīng)對(duì)施工場(chǎng)地和周圍環(huán)境進(jìn)行查勘，并收集有關(guān)地質(zhì)、水文、氣象條件、交通條件、風(fēng)俗習(xí)慣以及其他為完成合同工作有關(guān)的當(dāng)?shù)刭Y料。在全部合同工作中，應(yīng)視為承包人已充分估計(jì)了應(yīng)承擔(dān)的責(zé)任和風(fēng)險(xiǎn)。Thecontractorshallsurveytheconstructionsiteandsurroundingenvironmentandcollectrelevantdataandinformationofgeological,hydrological,meteorologicalconditions,trafficconditions,customsandotherrelatedtothecompletionofthecontractwork.Inallcontractwork,thecontractorshallbedeemedtohavefullyestimatedtheresponsibilitiesandriskstobeborne.不利物質(zhì)條件Unfavorablematerialcondition不利物質(zhì)條件，除專用合同條款另有約定外，是指承包人在施工場(chǎng)地遇到的不可預(yù)見的自然物質(zhì)條件、非自然的物質(zhì)障礙和污染物，包括地下和水文條件，但不包括氣候條件。Adversematerialconditions,unlessotherwisestipulatedintheparticularconditionhereof,refertotheunforeseennaturalmaterialconditions,unnaturalmaterialobstaclesandpollutantsencounteredbythecontractorattheconstructionsite,includingundergroundandhydrologicalconditions,however,excludingclimaticconditions.承包人遇到不利物質(zhì)條件時(shí)，應(yīng)采取適應(yīng)不利物質(zhì)條件的合理措施繼續(xù)施工，并及時(shí)通知監(jiān)理人。監(jiān)理人應(yīng)當(dāng)及時(shí)發(fā)出指示，指示構(gòu)成變更的，按第15條約定辦理。監(jiān)理人沒有發(fā)出指示的，承包人因采取合理措施而增加的費(fèi)用和（或）工期延誤，由發(fā)包人承擔(dān)。Wherethecontractorencountersadversematerialconditions,heshalltakereasonablemeasurestoadapttotheunfavorablematerialconditionstocontinuetheconstructionandnotifythesupervisorinatimelymanner.Thesupervisorshallissueinstructionsinatimelymanner,andiftheinstructionsconstituteaamendment,shallbedealtwithinaccordancewiththeprovisionsofarticle15.Ifthesupervisorfailstogiveinstructions,thecontractorshallbeartheincreasedcostsand/ordelaysintheconstructionperiodasaresultoftakingreasonablemeasures..材料和工程設(shè)備Materialsandengineeringequipment承包人提供的材料和工程設(shè)備Materialsandengineeringequipmentprovidedbythecontractor承包人提供的材料和工程設(shè)備Materialsandengineeringequipmentprovidedbythecontractor承包人負(fù)責(zé)采購、運(yùn)輸和保管的材料、工程設(shè)備：Thematerials,engineeringequipmentforwhichthecontractorisresponsibleforprocurement,transportationandstorage:承包人報(bào)送監(jiān)理人審批的時(shí)間：Timeforthecontractortosubmittothesupervisorforapproval:發(fā)包人提供的材料和工程設(shè)備Materialsandengineeringequipmentprovidedbytheemployer材料的名稱、規(guī)格、數(shù)量和價(jià)格：Name,specification,quantityandpriceofmaterials:材料的交貨方式、地點(diǎn)和日期：Deliverymethod,locationanddateofmaterials:工程設(shè)備的名稱、規(guī)格、數(shù)量和價(jià)格：Name,specifications,quantityandpriceofengineeringequipment:工程設(shè)備的交貨方式、地點(diǎn)和日期：Deliverymethod,locationanddateofengineeringequipment:承包人應(yīng)根據(jù)合同進(jìn)度計(jì)劃的安排，向監(jiān)理人報(bào)送要求發(fā)包人交貨的日期計(jì)劃。發(fā)包人應(yīng)按照監(jiān)理人與合同雙方當(dāng)事人商定的交貨日期,向承包人提交材料和工程設(shè)備。Thecontractorshall,pursuanttothescheduleofthecontractschedule,submittothesupervisorthedateplan
