鑒于你方向借款人提供了一筆貸款，我行特此為借款人出具本保函并保證如下：

InconsiderationofyourmakingaloanavailabletotheBorrower_____weherebyissuethisguaranteefortheaccountoftheBorrowerandagreeasfollows:

1.我行在此無(wú)條件地不可撤消地保證，借款人在貸款到期或發(fā)生加速還款或其他情況下，按時(shí)歸還貸款協(xié)議(包括經(jīng)我行書(shū)面同意的對(duì)該協(xié)議的修改和補(bǔ)充)項(xiàng)下現(xiàn)時(shí)或?qū)?lái)的到期款項(xiàng)。保證金額最高不超過(guò)_____美元(即貸款本金加利息的110%)。假如借款人到期不能歸還該等款項(xiàng)，我行將憑你方書(shū)面索賠立即歸還。除非有明顯的錯(cuò)誤，由你方受權(quán)官員簽發(fā)的載明該等應(yīng)還款細(xì)節(jié)及到期日的任何聲明應(yīng)是終局的并對(duì)我行具有約束力。

1.Weherebyunconditionallyandirrevocablyguaranteetomakerepaymentontime(thedueandpunctualpayment1)uptotheamountofUSD_____(110%oftheprincipalplusaccruedinterest)whichisormaybeerepayable(payable2)bytheBorrowerundertheLoanAgreementbetweentheLenderandtheBorrowerwhichshallincludeallsubsequentamendmentsandsupplementsmadetotheLoanAgreement(theLoanAgreementasamendedorsupplementedfromtimetotime3)withourconsentinwriting,whetheratmaturityoruponaccelerationorotherwise.IftheBorrowerfailstorepay(pay4)anysuchsumwhendue,weshallpayyoutheamountonthedateofourreceiptofyourclaiminwriting.Anystatementsignedbyyourdulyauthorizedofficerthatgives(settingout5)detailsandtheduedateofanysuchclaimshallbeconclusiveandbindingonusexceptinthecaseofmanifesterror.

2.本保函自開(kāi)立之日起生效，直至_____(貸款協(xié)議到期后6個(gè)月)失效。隨著貸款協(xié)議項(xiàng)下本金的每一期歸還，我行的擔(dān)保責(zé)任亦應(yīng)相應(yīng)遞減。我行在本保函項(xiàng)下的擔(dān)保責(zé)任將不受以下事件的影響：對(duì)借款人給予延期還款等優(yōu)惠;或貸款人不行使對(duì)借款人享有的權(quán)利;或由于本款規(guī)定可能影響我行在本保函項(xiàng)下責(zé)任的其他原因或情況，但前提是對(duì)該貸款協(xié)議的任何修改或補(bǔ)充須經(jīng)我行事前書(shū)面確認(rèn)，我行亦保證不會(huì)不合理地耽誤或拖延此種確認(rèn)。對(duì)本保函項(xiàng)下的索賠可隨時(shí)進(jìn)展，貸款人在向我行索賠前，無(wú)須采取任何措施以實(shí)現(xiàn)其對(duì)借款人或其繼承人的權(quán)利。

2.ThisGuaranteeshallbee(be6)effectiveonthedatehereofandshallexpireon_____(sixmonthsaftertheexpirydue7)dateoftheLoanAgreement.FollowingeachrepaymentofprincipalundertheLoanAgreement,ourliabilityhereundershallbereducedaccordingly.OurliabilityhereundershallnotbeaffectedbythegrantingofanyindulgencetotheBorrower,orbyanydefectintherightsoftheLenderagainsttheBorrower,orbyanyothermatterorcircumstancewhich,duetothisprovision,mayaffectourliabilityhereunder,providedthatanyamendmentsorsupplementsto(of8)theLoanAgreementaresubjecttoourpriorwrittenapprovalwhichweundertakewewillnot(undertakenotto9)unreasonablywithhold(withhold10)ordelay(delay10).TheLendermayhereuponlodgedemandsuponusfromtimetotimeandwouldnotberequiredtotakeanysteptoexercisehisrightsagainsttheBorrowerbeforeclaiminguponus.

3.本保函項(xiàng)下索賠款的支付不得包括任何抵消、反索賠、限制以及豁免于任何現(xiàn)有或?qū)?lái)的稅收或其他扣減或任何性質(zhì)的預(yù)留。假如在索賠款的支付中必須包含任何扣減或預(yù)留，我行除索賠款金額外，還將支付該等必要的附加費(fèi)用，從而確保貸款人得到應(yīng)收回的足額還款。

3.A1lpaymentsunderthisGuaranteeshallbemadewithoutanysetofforcounterclaimor(any11)restrictionorexemptfrom(conditionandfreeof12anypresentorfuturetaxesorotherdeductionsorwithholdingsofanynature.Ifanydeductionorwithholdingmustbeincludedinthepaymentoftheclaim(isrequiredtobemadefromanysuchpayment13)weshall(togetherwithpayment14)oftheclaim)paysuchadditionalamounttogetherwithpaymentoftheclaim(suchpayment15)asisnecessarytoensuretheLendersreceiptof(theLenderreceive16)thefullamountduetohim(them17).

4.我行在此確認(rèn)已獲得對(duì)本保函或與本保函有關(guān)的所有法人同意，認(rèn)可以及相應(yīng)政府部門(mén)或其他有關(guān)當(dāng)局的批準(zhǔn)，該等批準(zhǔn)是充分有效的。本保函的條款構(gòu)成我行合法、有效并具有約束力的責(zé)任，我行在本保函項(xiàng)下的責(zé)任將在任何時(shí)刻至少與我行其他未擔(dān)保以及非附屬債務(wù)處于同等地位，我行保證為此目的的全部必要受權(quán)一直是充分的、有效的。

4.Weherebyrepresentandundertakethatallcorporateconsentsandapproval，andapprovalfromthegovernmentaloranyotherauthoritiesinvolvedinthisGuaranteehavebeenobtainedandareinfullforceandeffect.ThisGuaranteeconstitutesourlegal.validandbindingobligationsenforceableinaccordancewithitsterms，andourobligationshereunderwillatalltimesrankatleastpari-passuwithallofourotherunsecuredandinsubordinate(unsubordinated18)obligations.Weconfirm(willensure19)thatallauthorizationsnecessaryforthispurposeremaininfullforceandeffect.

5.貸款人在本保函項(xiàng)下疏于或怠于行使任何權(quán)利或補(bǔ)救措施等，均不應(yīng)視為對(duì)該等權(quán)利的放棄;任何單項(xiàng)或部分行使上述權(quán)利也不能排除貸款人進(jìn)一步采取行動(dòng)或行使其他權(quán)利或補(bǔ)救措施的權(quán)利。假如在任何時(shí)候本保函的任何條款已是或變?yōu)榉欠?、無(wú)效或在任何方面不可執(zhí)行，本保函其他條款的合法性、有效性及可執(zhí)行性均不應(yīng)受到影響或相應(yīng)降低。

5.NofailureordelaybytheLenderinexercisinganyright。powerorremedyunderthisGuaranteeshalloperateaswaiverthereof，norshallanysingleorpartialexerciseofthesameprecludeanyfurtherexercisethereofortheexerciseofanyotherright，powerorremedy.Ifatanytimeanyprovisioninthisguarantee(hereof20)isorbeesillegal，invalidorunenforceableinanyrespect，neitherthelegality，validityorenforceabilityoftheremainingprovisionshereinshallinanywaybeaffectedorimpairedthereby.

6.我行將償付貸款人因行使其在本保函項(xiàng)下權(quán)利而發(fā)生的全部合理費(fèi)用(包括律師費(fèi)用)。

6.WeshallreimbursetheLenderforallreasonable(feesand21)expenses(includinglawyersfee)incurredinconnectionwiththeenforcementofhisrightshereunder.

7.我行將對(duì)本保函項(xiàng)下的任何遲付金額按借款人應(yīng)用的利率程度支付利息，該付息期間的計(jì)算從你方索償之日起，直至實(shí)際付款日止(在判決前或判決后)。

7.Weshallpayinterestonanyamountduehereunderfromthedateofdemandtothedateofactualpayment(beforeandafterjudgement)attherate0rrateswhichshouldbeapplied(wouldbepayable23)bytheBorrower.

8.未經(jīng)我行事前書(shū)面同意，本保函項(xiàng)下的權(quán)益不可以轉(zhuǎn)讓?zhuān)倚幸啻_認(rèn)不會(huì)不合理地拖延該等同意。

8.ThebenefitofthisGuaranteemaynotbeassignedwithoutourpriorwrittenconsent，suchconsentnottobeunreasonablywithheld.

9.本保函應(yīng)確保貸款人和其相應(yīng)后繼者的權(quán)益。不管我行或我行相應(yīng)后繼者的組織和機(jī)構(gòu)有任何變化，在保函項(xiàng)下的義務(wù)對(duì)我行及我行后繼者持續(xù)具有約束力。在不違背上述第8條的情況下，貸款人可以將其在本保函項(xiàng)下或由于本保函、貸款協(xié)議及其他擔(dān)保契約(根據(jù)貸款協(xié)議的定義)而派生的權(quán)利或權(quán)益全部或部分地轉(zhuǎn)讓給任何別人。

9.ThisGuaranteeshallassure(ensuretothebenefitof24)theLenderandhis(their25)successor/Sofhis/theirrightsandinterests(its26).Ourobligationshereundershallbebindingonusandoursuccessor/snotwithstandinganychangeinourconstitutionorstatusorthatofOursuccessor/S.Subjectt0Article8above,theLendermayassigntoanyotherpersonalloranypartofhis(its27)rightsandbenefitsunderorarisingfromthisGuarantee,theLoanAgreementandanyothersecuritydocuments(asdefinedintheLoanAgreement)(subjecttoArticle8above28).

10.我行在此確認(rèn)本保函的簽定和執(zhí)行是一種商業(yè)行為，并同意放棄采取與本保函有關(guān)的任何法律行為或程序的豁免權(quán)。

10.Weconfirmthatthesigningandexecution(andperformance29)ofthisGuaranteeareamercialactandagreenottoclaimanyimmunityfromanylegalactionorproceedinginconnectionherewith.

11.本保函受中華人民共和國(guó)法律管轄并按其法律解釋?zhuān)倚袑⒉豢沙废爻惺苤腥A人民共和國(guó)法院的司法管轄。

1.假如發(fā)生這樣的情況，即：賣(mài)方變得有義務(wù)支付該輪船、其船體、機(jī)械和部件、設(shè)備維修和/或更換任何劣質(zhì)部件(擔(dān)保工程)的有關(guān)費(fèi)用，而這些工程正是賣(mài)方根據(jù)造船合同第條規(guī)定所保證的工程，

1.intheeventthattheSellershallbeeliabletopaythecostoftherepairand/orreplacementsinrespectofanydefectsoftheVessel,herHull,hermachineryandallpartsandequipmentthereof(theGuaranteeItems)whicharethesubjectofguaranteebytheSellerundertheprovisionsofArticle______oftheShippingContract;and,

2.假如發(fā)生賣(mài)方未能按照本保函的條款支付上述費(fèi)用的情況，那么我們應(yīng)在收到你方書(shū)面索賠后工作日之內(nèi)向你方支付這樣的一筆或數(shù)筆等額款項(xiàng)，但該書(shū)面索賠應(yīng)附帶以下材料：

A.(1)買(mǎi)方致賣(mài)方信件的副本，該信件通知了賣(mài)方買(mǎi)方已經(jīng)索賠的劣質(zhì)工程，同時(shí)說(shuō)明其性質(zhì)以及由此造成的損害程度，并附帶：

2.intheeventthattheSellerfailstopaysuchcostsinaccordancewiththetermsoftheGuaranteeprovisions,thenweshallpayyousuchsumorsumsequivalenttosuchcostswithin__businessdaysafterourreceiptfromyouofademandinwriting,whichshallbeacpaniedby:A.(1)copyletterfromtheBuyertotheSellerwherebytheSellerhasbeennotifiedofthedefectforwhichtheBuyerhasmadeaclaim,describingthenatureofthedefectandtheextentofthedamagecausedthereby,with:

a.賣(mài)方確認(rèn)根據(jù)保函規(guī)定對(duì)劣質(zhì)工程應(yīng)加以補(bǔ)救的信件;

(a)letteroftheSellersacceptanceofthesaiddefectasjustifyingremedyundertheGuaranteeprovisions,or

b.買(mǎi)方出具的證明，申明在上述通知后日內(nèi)沒(méi)有得到賣(mài)方的回應(yīng);和

(b)acertificatefromtheBuyerstatingthatnoresponsewasreceivedfromtheSellerwithin

______daysofthesaidnotification,and

(2)買(mǎi)方致賣(mài)方信件的副本，該信件告訴賣(mài)方將要修理或已經(jīng)修理某一項(xiàng)或數(shù)項(xiàng)的時(shí)間和地點(diǎn);和

a.有關(guān)造船廠、制造商或供貨人出具的一張或數(shù)張?jiān)及l(fā)票(一式兩份)并經(jīng)船廠質(zhì)量保證工程師簽署(按造船合同規(guī)定)或

(a)anoriginalinvoiceorinvoices(induplicate)fromtherelevantShipyard,manufacturerorsupplier,whichshallbecountersignedbytheShipyardsguaranteeengineer(asdefinedintheShippingContract),or

b.有關(guān)造船廠、制造商或供貨人出具的一張或數(shù)張?jiān)及l(fā)票(一式兩份)，連同經(jīng)信譽(yù)良好的損壞評(píng)級(jí)機(jī)構(gòu)鑒定員簽署的證明書(shū)。

B.根據(jù)造船合同第條和保函規(guī)定所指定的仲裁或仲裁委員會(huì)出具的以買(mǎi)方為受益人的仲裁書(shū)公證副本。

3.本保函項(xiàng)下我們承擔(dān)的義務(wù)總值無(wú)論如何不應(yīng)超過(guò)美元(大寫(xiě))，并且該金額應(yīng)隨著賣(mài)方和/或我們按照本保函的條款和條件不時(shí)支付給買(mǎi)方的金額自動(dòng)遞減。

3.ThemaximumaggregateamountofourliabilityunderthisGuaranteeshallinnoeventexceedthesumofUSD_____(say_____)Furthermore,thissumshallbeautomaticallyreducedbyanysumorsumspaidbytheSellerand/orbyustotheBuyerfromtimetotimeinaccordancewiththetermsandconditionsofthisGuarantee.

4.就本保函而言，根據(jù)本保函第2項(xiàng)提出的索賠并附帶所規(guī)定的單據(jù)，對(duì)于賣(mài)方向買(mǎi)方支付上述第1項(xiàng)所指的費(fèi)用的義務(wù)應(yīng)當(dāng)是最后的(結(jié)論性的)，只要不是在索賠函附帶有按上述第2項(xiàng)B點(diǎn)要求的仲裁裁決書(shū)或上述A(1)點(diǎn)要求的賣(mài)方的信函的情況下，我們?cè)谑盏皆撍髻r后工作日之內(nèi)并未得到賣(mài)方關(guān)于此種義務(wù)存在爭(zhēng)議的信函或電傳通知。

4.ForthepurposeofthisGuaranteeademandpresentedtousinaccordancewiththeprovisionsofParagraph2hereinaboveandacpaniedbythedocumentsthereinspecifiedshallbeconclusiveastotheliabilityoftheSellertotheBuyertopaythecostsreferredtoinParagraph1hereinabove,providedthatinanycaseotherthanademandacpaniedbyanarbitrationawardperParagraph2BhereinaboveoraletteroftheSellersacceptanceperParag
