____(M,D,Y)to_________,_________,_________(M,D,Y)theManagementAccountsDate_________,_________,_________(M,D,Y)theOptionholdersthepersonswhosenamesandaddressesaresetoutincolumn1ofSchedule1Part2OutstandingOptionstheoutstandingoptionsoveroraffectingunissuedsharesinthecapitaloftheCompanyheldbytheOptionholdersandsetoutinSchedule1Part2thePropertiesthepropertiesshortparticularswhereofaresetoutinSchedule4andincludesanypartorpartsthereofthePurchaser’sSolicitorsMessrs.Pitmansof47CastleStreetReadingBerkshireRG17SR(Ref.JCH)theSaleSharesthesharesoftheCompanyspecifiedinColumn2ofSchedule1SSAPastatementofstandardaccountingpracticeadoptedbyTheAccountingStandardsBoardLimitedTaxationallformsoftaxation,duties,imposts,contributions,withholdings,charges,sumsandlevies(includingsocialsecuritycontributions)whatsoeverwhereverandwheneverimposedbyaTaxationAuthorityandwhetherornotprimarilypayablebytheCompanyoranyotherpersonandallamountsrecoverablebyaTaxationAuthorityasiftheywereTaxationandshallbedeemedtoincludethecostofremovinganychargeoverassetsimposedbyanyTaxationAuthorityandineachcaseincludingallcharges,interest,finespenaltiesandsurchargesincidentalorrelatingtothesameandTaxshallbeconstruedaccordinglyTaxationAuthoritytheInlandRevenue,HMCustomsandExciseoranyothergovernmental,state,federalorotherfiscal,revenuecustomsorexciseauthority,department,agency,bodyorofficewhetherintheUnitedKingdomorelsewhereintheworldhavingauthorityorjurisdictioninrelationtotheCompanyforanyTaxationpurposesTAtheIncomeandCorporationTaxesAct1988TCGAtheTaxationofChargeableGainsAct1992VATAtheValueAddedTaxAct1994theVendors’SolicitorsMessrs.SJBerwinof222GraysInnRoad_________(Placename)WC1X8HBtheWarrantiesthewarrantiesgivenbytheWarrantorstothePurchaserconstruedinaccordancewithClause51.2Referencestostatutoryprovisionsshallbeconstruedasreferencestothoseprovisionsasrespectivelyreenactedfromtimetotime(whetherbeforeorafterthedatehereof)andshallincludeanyprovisionsofwhichtheyarereenactments.TermsdefinedinTaxationstatutesshallbearthesamemeaningsinSchedule3unlessotherwisedefinedtherein.1.3TheexpressionstheVendorsandtheWarrantorsincludestheirrespectivepersonalrepresentatives.1.4AnydocumentexpressedtobeintheAgreedFormmeansinaformapprovedandforthepurposeofidentificationsignedbyoronbehalfofthepartieshereto.1.5Themasculinegendershallincludethefeminineandneuterandthesingularnumbershallincludethepluralandviceversa.1.6Referencestopersonsshallincludetrusteesbodiescorporateunincorporatedassociationspartnershipsstatesandgovernmentalandadministrativeentities.1.7SaveashereinexpresslyprovidedotherwiseexpressionsdefinedintheTCGAtheTAorintheCompaniesActshallwhereusedhereinhavethemeaningsthereingiventothem.1.8ThecaptionstoclausesandsubclausesortoparagraphsinSchedule3heretoandthesummarynotesappearinghereininbracketsfollowingreferencestoprovisionsofthetaxationstatutesareforthepurposesofinformationonlyandarenotpartofthisAgreementandshallnotbeusedintheconstructionofanypartorthewholeofthisAgreement.1.9ReferencestoclausessubclausesparagraphssubparagraphsandschedulesrelatetotherelevantprovisionsofthisAgreement.2.SaleandPurchase2.1SUBJECTtothetermsofthisAgreementeachoftheVendorsaslegalandbeneficialownerandwithfulltitleguaranteeshallsellthenumberofSaleSharessetoutoppositehisnameincolumn2ofPart1ofSchedule1freefromEncumbrancesandwithallrightswhicharenowattachedtotheSaleSharesandthePurchaser(iftheVendorssimultaneouslyshallsell)shallpurchasealloftheSaleShares.2.2EachVendorwaivesanypreemptionrightswhichhemayhaverelatingtotheSaleSharesofwhichheistheregisteredholderwhetherconferredbytheArticlesofAssociationoftheCompanyorotherwise.3.Consideration3.1THEConsiderationforthetransferoftheSaleSharesinaccordancewiththetermsofthisAgreementshallbepaidorsatisfiedasfollows:(a)thepaymentbythePurchasertotheVendorsoftheCashConsiderationonCompletionwhich,asbetweentheVendors,shallbedividedbetweenthemintheamountsshownincolumn3ofSchedule1Part1;and(b)theallotmentandissuetocertainoftheVendorsoftheConsiderationSharescreditedasfullypaidatapriceof$,_________perConsiderationShareonCompletion.3.2TheConsiderationSharesshallbeapportionedbetweentheVendorsassetoutincolumn3ofSchedule1Part1.3.3EachoftheVendorsreceivingConsiderationSharesbyexecutionhereofrepresentsandwarrantstothePurchaserthatsuchVendorisnotaU.S.PersonasdefinedinRegulationSundertheU.S.SecuritiesActof1933(asamended)(the1933Act)andinparticularisnot:(a)anaturalpersonresidentintheUnitedStates;(b)apartnershiporcorporationorganizedorincorporatedunderthelawsoftheUnitedStates;(c)anestateofwhichanyexecutororadministratorisresidentintheUnitedStatesorincorporatedunderthelawsoftheUnitedStates;(d)atrustofwhichanytrusteeisresidentintheUnitedStatesorincorporatedunderthelawsoftheUnitedStates;(e)anagencyorbranchofaforeignentitylocatedintheUnitedStates;(f)adiscretionaryaccountorsimilaraccountheldbyadealerorotherfiduciaryorganized,incorporatedorresidentintheUnitedStates,(g)anondiscretionaryaccountorsimilaraccountheldbyadealerorotherfiduciaryforthebenefitoraccountofabeneficiaryresidentintheUnitedStatesorincorporatedintheUnitedStates;or(h)anonU.S.partnershiporcorporationformedbyaU.S.personorentityprincipallyforthepurposeofinvestinginsecuritiesnotregisteredundertheU.S.SecuritiesActof1933.
