飛機(jī)服務(wù)中英雙語協(xié)議Thisagreementwasmadeon2019between該協(xié)議由以下兩方簽署在2019年月日簽署,acompanyincorporatedunderthelawsofHongKongwithlimitedliabilityandwhoseregisteredofficeissituatedat(“Client")and，由香港法律監(jiān)管的有限責(zé)任公司，注冊辦公所在地位于(以下簡稱“客戶”)，以及CO.,LIMITED(originalname：)(“ServiceProvider")withregisteredofficeat;ThisAgreementsetsoutthetermsandconditionsuponwhichtheServiceProviderwillmanageClient'sAircraftdescribedbelow.ThisAgreementconsistsoftheMajorCommercialTermsbelow,withtheGeneralTermsandConditionsattached.有限責(zé)任公司(原名為：)(以下簡稱“服務(wù)公司”)，注冊辦公所在地位于。此協(xié)議將根據(jù)下列條款及細(xì)則，由飛機(jī)服務(wù)公司為客戶管理飛機(jī)。此協(xié)議將含有“主要商務(wù)條款"以及“一般條款和條件"。CLIENTHASBEENADVISEDTO,ANDDIDREVIEWNOTONLYTHEMAJORCOMMERICALTERMSBUTALSOTHEGENERALTERMSANDCONDITIONSANDANYAPPENDICESTOTHISAGREEMENT,ANDBYEXECUTINGTHISAGREEMENTAGREESTOBEBOUNDBYALLOFTHEM.客戶已經(jīng)了解此協(xié)議內(nèi)所列明的所有相關(guān)條款及細(xì)則并同意履行所有協(xié)議內(nèi)容。MajorCommercialTerms主要商務(wù)條款A(yù)ircraftdetails飛機(jī)具體信息Onewithmanufacturer'sserialnumberandFAAregistrationandequippedwitenginestogetherwiththeaircraftdocuments,manualsandrecordsrelatingexclusivelytosuchaircraftandenginescollectively.一架飛機(jī)、序列號，美國聯(lián)邦航空局注冊號：,并配有臺發(fā)動機(jī)以及包括所有飛機(jī)、發(fā)動機(jī)的相關(guān)文檔，手冊及相關(guān)記錄。PurposeoftheAircraft飛行性質(zhì)TheAircraftisdesignatedasa“PrivateAircraft.”Itwillbeemployedforprivateflightsonlyandwillnotbemadeavailabletoanythirdpartyforhireorreward.這架飛機(jī)將被用作“私人飛機(jī)”，也就是只能用作私人飛行，并不能用于任何第三方以商業(yè)或獎勵為目的的飛行。DeliveryoftheAircraft飛機(jī)的交付ServiceProviderwillacceptthedeliveryoftheAircraftfromthecurrentOperatoron.(the“ScheduledDeliveryDate")atAirport(the“DeliveryLocation”).ServiceProviderwillactasthetechnicalrepresentativeoftheClientinacceptingdeliveryoftheAircraft(“Delivery"),withClientconsentingtosuchappointment.經(jīng)客戶授權(quán)，服務(wù)公司將作為客戶的技術(shù)代表，于年月日(確實日期視實際情況而定)在機(jī)場(“交付地點”)從現(xiàn)在的服務(wù)公司接收飛機(jī)。BaseandRegistration飛機(jī)的基地以及注冊Theaircraftwillbebasedin(the“BaseStation").TheAircraftwillberegisteredattheaircraftFAAregistrymaintainedbythecivilaviationoraeronauticalauthority(the“AviationAuthority")ofFederalAviationAdministration(the“JurisdictionofRegistration").此飛機(jī)將以機(jī)場為基地(“基地”)。此飛機(jī)將保留民用航空或航空當(dāng)局(以下簡稱“民航局")授權(quán)下以美國聯(lián)邦航空局之登記。FlightCrew飛機(jī)機(jī)組The“FlightCrew"oftheAircraftwillconsistofone(1)captain,one(1)firstofficer,one(1)flightattendantandone(1)engineer.NotwithstandinganythinginthisAgreement,ClientshallberesponsiblefortheannualtrainingcostsoftheFlightCrew,aswellassalariesonaproratabasisforeachmonththeFlightCrewisemployedfortheAircraft.整個飛機(jī)機(jī)組將包括1名正機(jī)長、1名副機(jī)長、1名空乘人員以及1名維修人員。除了每月的薪酬福利外，客戶還需要為機(jī)組人員支付每年的培訓(xùn)費用。[Ifthedurationofaflightsorequires,orifthecaptain,firstofficerorflightattendantintheAircraftisunavailableduetotrainingrequirement,annualleaveorsickleave,thenServiceProviderwillprovideanadditionalpilotattherateofUSD2200perday(flightattendantUSD450perday)ofdutyoramaximumofUSD24,000permonth(flightattendantmaximumUSD10,000permonth),whicheveristhelesser,exclusiveofanyperdiemallowanceandaccommodation,travelingandcommunicationexpenses.Theaforesaiddailyand/ormonthlyratearesubjecttoannualreviewbyServiceProvider.Fortheavoidanceofdoubt,adayofdutyforthepurposeofthisparagraphshallmeananydayonwhichsuchadditionalpilotsarerequiredtoperformlightdutyontheAircraftorastationoutoftheBaseStationinconnectionwithanyflightoftheAircraft.]由于持續(xù)飛行的需要或由于機(jī)長、副機(jī)長或空乘人員需要參加培訓(xùn)或年度休假、生病而無法執(zhí)行飛行等原因，服務(wù)公司將會提供額外的臨時飛行員供客戶使用，其費用為每天2,000美元(空乘人員每天400美元)，或每月最高不超過24,000美元(空乘人員每月不超過8,000美元)(不包括出每日津貼，住宿，交通和通訊費用)。上述每日或每月費用受到服務(wù)公司的年度審查。飛行日數(shù)以及飛行員所需執(zhí)行飛行任務(wù)的日子計算，從基地外前往指定地點的行程日均包括在內(nèi)。6．Fees費用Thefollowing“Fees”arepayablebyClienttoServiceProvider：以下為客戶需向服務(wù)公司支付費用的項目：“ScheduledFees”可預(yù)期的費用Aone-off“DeliveryfeeforthecoordinationwithFAAofLOA(Part91)”intheamountofUSD20,000tobepaidwithinten(10)BusinessDays(asdefinedinClause10.2oftheGeneralTermsandConditions)ofthedateofthisAgreement;and客戶需在雙方均簽訂此管理協(xié)議后的10個工作日內(nèi)向服務(wù)公司支付“一次性美國聯(lián)邦航空局協(xié)議書(91)部”費用20,000美元(根據(jù)一般條款10.2所述),以及A“MonthlyManagementFee”intheamountofUSD10,000permonth,payableinaccordancewithClause10.2oftheGeneralTermsandConditionsandMonthlyLOA(Part91)Feechargedbythirdparty.客戶需每月向服務(wù)公司支付10,000美元作為“飛機(jī)月度管理費”(根據(jù)一般條款10.2所述)以及支付由第三方收取的月度美國聯(lián)邦航空局協(xié)議書(91部)費用。Theone-offDeliveryfeeforthecoordinationwithFAAforLOA(Part91)willnotberefundedinanyevent.一次性美國聯(lián)邦航空局協(xié)議書(91部)費用一旦支付，在任何情況下都將不會被退還。TheamountoftheMonthlyManagementFeeissubjecttoannualreviewandmaybeincreasedoneachanniversarydateofDatesubjecttomutualagreementbetweenServiceProviderandClient.飛機(jī)的每月管理費用會在每一年結(jié)束后重新審定并根據(jù)實際情況可能會有一定的增長，但將會先得到雙方的確認(rèn)和同意。“UnscheduledFees”無法預(yù)期的費用6.2.1A“ServiceFee”,calculatedattherateof10%oftheactualoperationcost;and“服務(wù)費用”,實際運行費用的10%ineachcasepayableinaccordancewithClause10oftheGeneraTermsandConditions.其它所有在“一般條款和條件”第10條中描述的項目Costsandexpenses價格和費用ClientwillreimburseServiceProviderforallreasonablecostsandexpensesrelatingexclusivelyorattributabletotheAircraftandtheFlightCrewinthemannerdetailedinClause10oftheGeneralTermsandConditions.客戶將補(bǔ)償服務(wù)公司所有用于該飛機(jī)以及飛行機(jī)組支出的合理費用和支出，相關(guān)項目已在“一般條款和條件”的第10條中詳細(xì)描述。OperatingDeposit運營保證金Clientwillpayan“OperatingFund"intheamountofCNYtoServiceProviderwithinten(10)BusinessDayspriortotheDeliveryDate.ServiceProviderwillapplytheOperatingDepositinaccordancewiththeGeneralTermsandConditions.MainlineJetreservestherighttosuspendflightoperationserviceiftheoperatingdepositisbelowCNY1,000,000.客戶需要在飛機(jī)交付前的10個工作日內(nèi)向服務(wù)公司預(yù)付萬人民幣的運營保證金。月服務(wù)公司將按照“一般條款和條件”中描述的項目合理運用該保證金。如運營保證金低萬人民幣時，服務(wù)公司有權(quán)停止提供飛行服務(wù)，直至客戶補(bǔ)充運營保證金至合理水平。Insurances保險TheAircraftwillbeinsuredatClient'scostsunderServiceProvider'sfleetinsurancepolicyforahullinsuranceamountofUSD10,000,000(the“AgreedValue"),subjecttoadeductibleofnomorethanUSD50,000perclaim(the“Deductible"),andaliabilityinsuranceamountofUSD250,000,000(the“LiabilityInsuranceLimit”)peraccident.該飛機(jī)的保險費用由客戶承擔(dān)，將統(tǒng)一置于服務(wù)公司整個機(jī)隊下的大保險中，其整機(jī)保險金額(“協(xié)定價值”)為USD10,000,000美元，每次事故免費額不超過美金50,000美元，并且對于每次事故的最高責(zé)任保險額度為250,000,000美元。Ownership所有權(quán)ClientrepresentsandwarrantstoServiceProviderthatClientleasesorownstheAircraft.客戶向服務(wù)公司表明或者保證客戶擁有或租用該飛機(jī)。ClientagreestofurnishServiceProviderwithcopies(plainorcertifiedcopiesasServiceProvidermayreasonablyrequire)ofsuchdocuments(includingwithoutlimitationthebill(s)ofsale,documentationoftheownertrusteearrangement,theheadlease(s)andsublease(s)(ifany)andanyaircraftmortgage(s)oftheAircraft)asServiceProvidermayreasonablyrequestforServiceProvider'sinternalduediligencepurposesand/orregulatoryandaircraftregistrationpurposes.客戶同意向服務(wù)公司提供有關(guān)文件副本(管理公司可能的合理要求或核證副本)(包括但不限于購機(jī)發(fā)票、所有者信托安排、租賃和轉(zhuǎn)租及任何航空器抵押協(xié)議(如有))，因為服務(wù)公司可能會根據(jù)相關(guān)法律對飛機(jī)的注冊目的以及所有權(quán)進(jìn)行內(nèi)部調(diào)查。TermofthisAgreement協(xié)議時效SubjecttotheterminationprovisionsintheGeneralTermsandConditions,the“InitialTerm”ofthisAgreementwilllastfortwelve(12)monthsfromthedateofDelivery.Thereafter,bothServiceProviderandClientcanterminatethisAgreementatanytimebyservingtotheotherpartynolessthanthree(3)months'noticeinwritinginadvance.根據(jù)“一般條款和條件”飛機(jī)的初始管理時效為服務(wù)公司從接收飛機(jī)起的12個月。此后，雙方可以在不少于3個月內(nèi)，以書面確認(rèn)終止管理協(xié)議。Notices通知Eachnotice,demand,consentorothercommunicationwillbesenttotherelevantpartyinwritingbypost,personaldelivery,facsimileoremailatitsaddressesandnumberssetforthbelow,subjecttoanychangesincontactdetailsnotifiedbytherelevantpartyinwritingfromtimetotime.每一個通知、請求、許可或其他溝通信息都將以書面郵寄，專人送達(dá)，傳真或電子郵件方式送達(dá)至下列的聯(lián)系方式,聯(lián)系方式的更改將及時以書面形式通知雙方。ToServiceProvider至服務(wù)公司：OfficeNumber公司電話：Facsimilenumber傳真號碼：Emailaddress由匕件地址：Attention聯(lián)系人：ToClient至客戶：OfficeNumber公司電話：Facsimilenumber傳真號碼Emailaddress由匕件地址：Attention聯(lián)系人：Payments繳費Client'sattentionisspecificallydrawntoclause10.9oftheGeneralTermsandConditionswhichprovides,amongothers,thatServiceProvidershallbeentitledtoreceiveallamountspayablebyClienttoServiceProviderunderthisAgreementfreeofanydeductionsorwithholdingduetolatepaymentorearlytermination.ServiceProviderisnotobligatedtoassumeanylegalcostsassociatedwiththisaircraftinanylegalproceedingsoftheClient.客戶應(yīng)注意一般性條款第10.9條所規(guī)定的，本協(xié)議項下全部由客戶支付給服務(wù)公司的費用，均不得作出任何抵扣或繳扣任何稅款。服務(wù)公司沒有責(zé)任承擔(dān)任何客戶就飛機(jī)參與法律訴訟而產(chǎn)生的訴訟費。Leasingarrangement租賃安排IntheeventthatFinancier/LessorrequiresServiceProvidertoenterintoanytrip
