2、本著公平自愿的原則,甲乙雙方就乙方對甲方所負有的保密義務(wù)和競業(yè)限制義務(wù),經(jīng)協(xié)商一致后,共同訂立本協(xié)議,以資共同遵守:Whereas,during working in Party A, Party B has been accessed (or will be access) to Party Bs business and technical secrets or other confidential information. To protect the legitimate rights and interests of Party A, according to relevant la

3、ws and regulations, based on the principle of fair and voluntary, after friendly consultation, Party A and Party B enters into this agreement on confidentiality and non-compete obligations.保密信息I. Confidential Information“保密信息”是指甲方以書面、口頭或電子方式直接或間接披露給乙方的或者乙方通過自己的觀察所獲得的技術(shù)資料,商業(yè)秘密或經(jīng)營秘密,包括但不限于Confidential

4、 information means the technical material or business secrets obtained by Party B through his own observation or disclosed by Party A directly or indirectly in writing, orally or electronically, including but not limit to: 甲方的配方、制作方法、工藝流程、技術(shù)方案、技術(shù)指標、技術(shù)報告、研究開發(fā)記錄、檢測報告、實驗數(shù)據(jù)、試驗結(jié)果、圖紙、設(shè)計、樣品、操作手冊等;Formula,

5、production methods, processes, technical solutions, technical specifications, technical reports, research and development records, test reports, laboratory data, test results, drawings, designs, samples, operating manuals etc. owned by Party A;甲方的采購計劃、采購渠道、客戶名單、營銷計劃、價格策略、營銷政策、財務(wù)資料、投資項目、企業(yè)合作信息、人事資料、與

6、項目有關(guān)的談判、協(xié)議內(nèi)容和標的以及實施協(xié)議的各種相關(guān)事宜或其它經(jīng)營性信息;Procurement plan, procurement channels, customer lists, marketing plans, pricing strategies, market policies, financial information, investment projects, cooperation information, personnel information, the negotiations related to projects, the contents of agreeme

7、nts and the subject and implementation of agreements or other confidential information; 其他一切標有保密或秘密或機密字樣的或明顯屬于保密性質(zhì)的信息;All other information marked confidential or secret word or has the nature of confidentiality obviously; 雖屬于第三方但甲方承諾有保密義務(wù)的技術(shù)信息、經(jīng)營信息或其他商業(yè)秘密。Belonging to a third party, but Party A has

8、 undertaken an obligation of confidentiality of technical information, business information or other business secrets. 保密義務(wù)II. Confidentiality Obligations1、未經(jīng)甲方同意,乙方不得以泄露、告知、公布、發(fā)布、出版、轉(zhuǎn)讓、或其他任何方式使任何第三方知悉保密信息。Without the consent of Party A, Party B shall not disclose, inform, publish, transfer, or in o

9、ther way to make any third party know confidential information;2、乙方必須遵守本協(xié)議的規(guī)定以及甲方制定的任何成文或不成文的保密規(guī)章、制度,履行與其工作崗位相關(guān)的保密職責(zé)。Party B must comply with the provisions of this agreement and other written or unwritten confidentiality rules and regulations made by Party A, and fulfill his duty of confidentiality

10、 relevant to his job.3、甲方的保密規(guī)章、制度沒有規(guī)定或者規(guī)定不明確之處,乙方亦應(yīng)本著謹慎、誠實的態(tài)度,采取一切必要、合理的措施,維護其知悉或者持有的任何保密信息,以保持其機密性。If the regulations and rules are not defined or ambiguous, Party B should take all necessary and reasonable measures to protect confidential information known or held by Party B to maintain its confid

11、entiality with cautious and honest attitude. 4、乙方因職務(wù)上的需要持有或保管的一切記錄著保密信息的包括但不限于文件、資料、圖表、筆記、報告、信件、傳真、磁盤、儀器以及其他任何形式的載體,均歸甲方所有,而無論這些保密信息有無商業(yè)上的價值。Any carriers with confidential information including but no limit to documents, files, charts, notes, reports, letters, faxes, disks, instruments, or any other

12、 form of carriers held or kept by Party B during working, are the property of Party A, no matter these confidential information has commercial value. 5、乙方應(yīng)當于離職時,或者于甲方提出要求時,返還全部屬于甲方的財物,包括記載著保密信息的一切載體。Party B shall return property belonging to Party A including all carriers with confidential informati

13、on, upon Party As departure or Party Bs requirement. 6、當記錄保密信息的載體是由乙方自備,且秘密信息可以從載體上消除或復(fù)制時,可由甲方將保密信息復(fù)制到甲方所有的其他載體上,并把原載體上的秘密信息消除。此種情況甲方無須給予乙方經(jīng)濟補償。When the carrier with confidential information belong to Party B, and the confidential information can be eliminated or copied from the carrier, Party A can

14、 copy confidential information to other carrier owned by Party A, and eliminate confidential information from the original carrier without paying any compensation. 7、乙方在向根據(jù)崗位職責(zé)需要了解該等信息的甲方的其他雇員或甲方同意的第三方披露保密信息的,應(yīng)確保在披露之前使該等雇員和第三方了解該等信息的保密性質(zhì),告知其遵守同樣的保密義務(wù)。Party B shall ensure that employee of Party A or

15、a third party knows the nature of confidential information, and inform them to abide same obligations of confidentiality, when Party B has to disclose confidential information to employee of Party A or a third party based on job responsibilities. 8、乙方離職后仍對其知悉的甲方保密信息承擔(dān)如同在職期間一樣的保密義務(wù),無論乙方因何種原因離職。Party

16、B shall bear the same obligations of confidentiality as during employment after leaving for any reasons. 競業(yè)禁止III. Non-compete obligations乙方在甲方任職期間及離職之后兩年以內(nèi),非經(jīng)甲方事先書面同意,不得從事以下行為,無論該行為是專職還是兼職的,是有償?shù)倪€是無償?shù)模篧ithout prior written consent of Party A, Party B shall not engage in the following acts during work

17、ing in Party A and within two years after departure, no matter the act is fulltime or part-time, paid or unpaid. 在與甲方生產(chǎn)、經(jīng)營同類產(chǎn)品或提供同類服務(wù)的其他企業(yè)、事業(yè)單位、社會團體內(nèi)擔(dān)任任何職務(wù),包括股東、合伙人、董事、監(jiān)事、經(jīng)理、員工、代理人、顧問等;hold any position including shareholder, partner, director, supervisor, manager, employee, agent, consultant, etc.

18、in other enterprises, institutions or social organizations, which produce or operate similar products or services with Party A;自行經(jīng)營與甲方相同或具有競爭性關(guān)系產(chǎn)品或服務(wù);operating or producing same or competitive products or services with Party A; 其他有可能損害甲方利益的行為。other acts may damage the interest of Party A.第四條 補償及競業(yè)禁止

19、業(yè)務(wù)的終止IV. Compensation and the termination of non-compete obligations甲方同意就乙方離職后承擔(dān)的競業(yè)禁止義務(wù),向其支付競業(yè)禁止補償費。乙方離職后,在競業(yè)禁止期限內(nèi),甲方按XX元/月的標準向乙方支付競業(yè)禁止補償費。Party A agrees to pay Party B compensation for non-compete obligations after departure. Party A pays Party B RMB_/month during the non-compete period as compensa

20、tion for non-compete obligations when Party B leaves Party A. 甲方可在乙方任職期間隨時書面通知乙方終止競業(yè)禁止義務(wù),或在競業(yè)禁止期限內(nèi)隨時提前1個月書面通知乙方終止競業(yè)禁止義務(wù)。Party A is entitled to terminate this non-compete clause in written during the working period of Party B in Party A, and Party A is entitled to notify Party B in written to termina

21、te this non-compete clause one month in advance within the non-compete period after Party B leaves Party A.第五條 違約責(zé)任V. Remedies1、乙方違反本協(xié)議的約定,應(yīng)向甲方支付違約金 元。乙方違反本協(xié)議約定對甲方造成損害的,應(yīng)當賠償由此對甲方造成的損失,并承擔(dān)甲方因調(diào)查違約行為所支付的合理費用。1. Party B in breach of this agreement shall pay Party A RMB_as liquidated damage. Party B shal

22、l indemnify the loss caused by Party B to Party A and bear the reasonable costs paid by Party A to investigate the breach. 2、乙方違反本協(xié)議約定,甲方有權(quán)選擇要求乙方繼續(xù)履行本協(xié)議或者無需提前通知解除勞動合同并追究乙方的法律責(zé)任。2. If Party B breaches this agreement, Party A has the right to require Party A to continue performing this agreement or te

23、rminate the labor contract with Party B without prior notice and claim against Party B for damages. 第六條 爭議解決VI. Dispute Resolution雙方在履行本協(xié)議過程中發(fā)生爭議,應(yīng)先行協(xié)商解決,如協(xié)商不成,任何一方可以向有管轄權(quán)的勞動仲裁部門提起仲裁。Any dispute arising from or in connection with this agreement shall be settled through consultation, if such consultation fails
