19、isagreement ,includes membership service.lnitial system card fee,body compositionmeasurements ,gift fees ,health advice etc采購合同簽約注意事項采購合同是公司或其他經(jīng)濟組織，為了生產(chǎn)和流通的需要，在本地或外地采購某些產(chǎn)品或原料而訂立的合同。與一般的貨物買賣合同相比,它具有標的額大、技術含量高、 期限性強等特點，且通常采購方在合同中占主動地位；尤其是項目采購合同，如果材料或設備采購出現(xiàn)問題，可能會影響整個項目的進程，甚至導致項目失敗。因此，在審查采購合同時要特別注意以下事項：

20、一、賣方的資信調(diào)查由于設備或材料采購合同事關整個項目的運行，在簽定采購合同之前，一定要對賣方的資信進行調(diào)查或有所了解，一般不宜選注冊資本低或地處偏遠地區(qū)的小公司或私人獨資企業(yè)。建議采購方謹慎選擇賣方，盡可能選擇資信好、近距離的交易對象。二、質(zhì)量標準和技術規(guī)范采購合同一般對所要采購的設備或材料要求比較高，要符合特定的質(zhì)量標準和技術規(guī)范，并且將質(zhì)量標準和技術規(guī)范（包括技術資料和圖紙）細化作為合同附件，以便減少合同風險，達到交易目的。如果不便細化，并且有國家標準或行業(yè)標準的，只需在合同中注明“符合國家標準或行業(yè)標準，如各標準之間存在差異，以較高者為準”即可。三、付款作為采購方，付款是合同的主要義務。為了順利地達到交易目的，防止賣方拿到貨款后以各種理由拒不發(fā)貨，我們必須有技巧地設計合同的付款條款。較為安全的方式是將付款和賣方履行主要義務的進度和貨物的質(zhì)量掛鉤。我們認為采購方可以采取以下付款方式：1 、在合同生效后，可支付給賣方一定的預付款或定金，預付款或定金應當在審查對方資信后付出，如對對方資信不完全確信，建議將預付款或定金適當降低，一般以合同總價款的10%為宜。2 、貨物全部運抵采購方現(xiàn)場指定地點, 經(jīng)開箱驗收合格后，賣方向采購方出具該合同價的全額發(fā)票，采購方在十五個工作日內(nèi)向賣方付至合同總價款的7
