2、 by and between the two parties in Shanghai, the peoplerepublic of China鑒于：Whereas：甲方為促進(jìn)業(yè)務(wù)發(fā)展，防范法律風(fēng)險(xiǎn)，決定聘請乙方為其常年法律顧問；Party A want to promote its business and keep away law risks, decides to assign Party B as itslong-term law consultant.乙方系一家在中國境內(nèi)注冊設(shè)立并經(jīng)中國政府特許、可持續(xù)運(yùn)營的勞動法律服務(wù)機(jī)構(gòu)，經(jīng)與甲方商洽，同意接受聘請，擔(dān)任其常年法律顧問；Part

3、y B a company registered in China by government licensed and certified last operating laborlaw service organization, after friendly negotiation with Party A, willing to accept the consignment,consigned as its long-term law consultant.為此，Now, therefore甲乙雙方本著相互信任、 合作共贏的原則，經(jīng)友好、充分之協(xié)商， 就聘請合約的條款及內(nèi)容達(dá)成如下協(xié)議：

4、The two parties based on principle of trusting and win-win cooperating, after friendly and thoroughnegotiation, the parties agreed the following terms and conditions on the consigning.第一條聘約期間Article one Consignment periods1.1甲方聘請乙方作為常年法律顧問的期間為壹年，自_至_；聘期屆滿后，本合約自動終止。Party A consign Party B as it-term

5、lawslongconsultant, the consignment period is one year, from合同設(shè)計(jì)_ to _, the agreement will terminate after expiration.1.2 乙方指定 _作為主要聯(lián)系人，負(fù)責(zé)跟進(jìn)和處理法律顧問事宜。如因甲方的工作內(nèi)容需要或 _出差在外地，乙方可另行指派其他專業(yè)人員提供法律服務(wù)。The Party B assign lawyer_ as major coordinator, he will be responsible for following andsettling law consulti

If the working assignment of Party A requires or lawyer_ areout to other cities on business, Party B can assign other professional lawyer to provide legal service.1.3 本合約聘期屆滿后，若甲方?jīng)Q定續(xù)聘，且按本合約第六條的規(guī)定向乙方續(xù)付顧問費(fèi)的，則本合約的聘期及效力自動順延壹年，或可另行簽訂聘約。After expiration of this agreement, if the Party A is wil

7、lingto continue consigning, and paidcontinuing consulting fees to Party B in accordance with terms and conditions specified in articlesix of this contract, then the consigning period and effectiveness ofthis willautomaticallypostpone one year, or enter into other agreement by both parties.第二條服務(wù)內(nèi)容Art

8、icle Two service content2.1 作為法律顧問，乙方在聘期內(nèi)，應(yīng)甲方的要求和實(shí)際需要，及時(shí)向甲方提供下列服務(wù)，依法維護(hù)甲方的合法權(quán)益：As legal consultant, during the consigning period, according to the requirements and actual needsof Party A, Party B will provide the following service to Party A in time, protect legal rights of partyA.a) 法律咨詢：解答法律疑問，提供法律

9、建議，出具法律意見；Legal consult: Answer legal questions, give legal suggestions, and give legal opinions.b) 合同審查：起草審閱合同，提出修改意見，規(guī)范合同管理；Review contract: draft and review contract, give amending suggestions, standardize contractmanagement.c) 參與決策：參與甲方?jīng)Q策，提供法律依據(jù)，防范法律風(fēng)險(xiǎn)；Participate decision: participate decision

10、of party A, provide legal basis, and keep away legal risks.d)專項(xiàng)服務(wù)：勞動法律、法規(guī)、政策咨詢；代理勞動爭議案件處理。起草法律文件、合同、規(guī)章制度、協(xié)商方案、談判提綱。全程代理、監(jiān)理員工招聘、錄用、退工。企業(yè)轉(zhuǎn)制、改制、減員方案策劃。轉(zhuǎn)制企業(yè)員工整體解盤；季節(jié)性、臨時(shí)性員工過度托管。履歷調(diào)查、素質(zhì)評測及機(jī)構(gòu)設(shè)置方案制訂。普通員工、管理人員、保密對象上崗培訓(xùn)及專業(yè)講座。Special services:Providing advices on labor laws, regulations and policies; serving

11、as an agent to handle casesof Labor disputes.Drafting legal documents contracts, rules and regulations, consultative proposals andnegotiation outlines.合同設(shè)計(jì)Representing and managing the whole procedure of headhunting, recruitment and dismissal.Planning proposals on transforming, reforming and outing

12、down of an enterprise.Entire undertaking of transformed employees; transitional trusteeship of employees seasonallyand temporarily.Resume investigation, quality measurement, and making out plans for institutions reorganization.Providing post trainings and specialized lectures for ordinary employees,

13、 managerial staff and somesecret VIPs (very important persons).g) 其它約定 . Any other business agreed by both parties.2.2 下列事務(wù)，甲方委托乙方辦理的，須按規(guī)定向乙方另付律師費(fèi)，付費(fèi)標(biāo)準(zhǔn)為5000 元每件：Party A consign Party B to deal with the following affairs, Party A will pay additional fees to PartyB, the price standard will be RMB 5000

14、 Yuan every case.a) 甲方涉及訴訟或者仲裁委托乙方出庭代理的，包括一審起訴或應(yīng)訴，二審上訴或應(yīng)訴，再審申請或再審應(yīng)訴，國內(nèi)仲裁與國際仲裁， 判決或裁決的申請執(zhí)行， 提起執(zhí)行異議， 申請國家賠償?shù)?；If Party A has lawsuit or arbitration need to entrust Party B to on behalf of party A on court, includingthe first instance infringement or defense, second instance infringement or defense, Ret

15、rial appeal ordefend. Domestic arbitration or international arbitration, appeal executing of sentence or arbitration,promote execution dispute. Apply national compensation etc.b)甲方涉及勞動糾紛，委托乙方訴訟方式協(xié)調(diào)解決的，可免收服務(wù)費(fèi)。Party A involves in labor disputes, entrust party B to reconcile by means of litigating meth

16、od,the fee can be waived.第三條服務(wù)方式Article three service method3.1 甲方獲得或者乙方提供法律服務(wù)的方式或途徑包括：3.1 The ways and methods Party A got legal service from Party B:a) 電話咨詢； Phone consultation;b) 面見商談； Interview;c) 專題會議； Special topic meetings;d) 書面意見； Written comments;e) 法律講座； Legal seminar;f) 參與談判； Participate

17、in negotiation;g) 出庭訴訟； Appear in court to litigate;h) 庭外協(xié)調(diào)； Out of court settlement;i) 代為交涉； Represent to deal with;j) 其它方式 .。 Other methods.第四條保密義務(wù)Article four Confidentiality obligations合同設(shè)計(jì)4.1 任何一方在履行本合約過程中所獲得的與另一方有關(guān)的任何信息、合同、資料、專業(yè)意見或其它商業(yè)秘密， 非經(jīng)授權(quán)或同意， 不得以任何方式向第三方及雙方各自無關(guān)人員傳遞泄露，否則，按本合約第七條承擔(dān)違約責(zé)任；Exce

18、pt authorized or agreed on, neither party shall disclose to any third Party or irrespectivepersons in either party any information about other party, contract, document, professionalsuggestions or other business secrets gained during the execution of the agreements.4.2前項(xiàng)所列保密義務(wù)不因本合約的終止、解除、變更或廢止而免除。Th

19、e above mentionedconfidentialityobligationwillnot be waivedafter the termination,expiration, amend or revoke of the agreement.第五條責(zé)任擔(dān)保Article five Warranties5.1 甲方保證，其向乙方提供的文件、資料及事實(shí)真實(shí)、完整與全面，力免誤導(dǎo)與失實(shí)；否則，甲方應(yīng)自行承擔(dān)相應(yīng)的法律后果及經(jīng)濟(jì)損失。Party A warrants that, all files, documents, affairs are complete and in accorda

20、nce with the fact,avoid misleading or inconsistent with the facts; Or the party A will bear the corresponding legalresult and economic loss by itself.5.2 乙方保證，其向甲方提供的專業(yè)意見合法、準(zhǔn)確，并保證所提供的專業(yè)服務(wù)符合律師行業(yè)一般公認(rèn)業(yè)務(wù)準(zhǔn)則與專業(yè)操守；否則，應(yīng)就甲方所受到的損失承擔(dān)賠償責(zé)任。Party B warrants, the professional suggestion provided by party B is lega

21、l and correct, and assurethe professional service provided is in accordance with the recognized business rules andprofessional guidelines of lawyer industry, otherwise, Party B will bear the compensating obligationfor the loss of Party A.第六條顧問費(fèi)用Article six Counseling price6.1 合約期 （壹年） 的法律顧問費(fèi)共人民幣 50,

22、000 元，甲方于本合約簽訂后 3 日內(nèi)支付給乙方。乙方的收款賬戶為：The total legal counseling price of the agreement (One year) is RMB 80,000 Yuan, the party A willPay Party B within 3 days after the agreement signed by both parties. The bank account of partyB is:開戶行：Bank:戶名：Account name:帳號：Account number:合同設(shè)計(jì)6.2 乙方應(yīng)甲方之要求處理甲方法律事務(wù)的

23、過程中，因出差到上海市外所發(fā)生的必要差旅費(fèi)用及其它官方費(fèi)用由甲方承擔(dān)。If Party B need to travel to place out of Shanghai. During dealing with legal fair requested by Party A,the necessary transportation fee and other fees will be beard by party A.第七條違約責(zé)任Article seven Liability7.1如乙方在本合約期內(nèi)未依約向甲方提供本合約第二條所列的各項(xiàng)服務(wù)，或服務(wù)質(zhì)量未達(dá)到行業(yè)一般公認(rèn)的專業(yè)水準(zhǔn)， 甲方有

24、權(quán)提前終止合約， 有權(quán)要求乙方將已收之費(fèi)用就已履行的期間作相應(yīng)扣除后退還甲方；If the party B does not provide the services specified in the Article two of this agreement in theconsignment period, or the service quality does not reach the well recognized professional level inthe layer in the law service, the party A has right to terminate

25、 the agreement, and request Party Bto return party A the paid counseling payment with necessary deduction of the executed part.7.2 由于乙方或其指派的顧問在提供服務(wù)過程中的過錯或失誤，導(dǎo)致甲方利益遭受到損失的，由乙方或?qū)σ曳匠斜５谋ｋU(xiǎn)機(jī)構(gòu)依法承擔(dān)相應(yīng)的賠償責(zé)任。Party B shall indemnify for the loss to Party B for liability due to the default or mistake during theas

26、signed counseling lawyer provides service, the party B or the insurance organization of party Bshall have the corresponding indemnify responsibility.7.3 甲方應(yīng)按本合約規(guī)定的時(shí)間向乙方支付約定的顧問費(fèi)，及時(shí)處理乙方已經(jīng)發(fā)生的應(yīng)由甲方承擔(dān)的差旅費(fèi)或其它費(fèi)用，若甲方逾期30 天仍未向乙方支付本合約第六條規(guī)定之顧問費(fèi)的，乙方可暫停提供相關(guān)服務(wù)，并訴請甲方付清約定費(fèi)用。若非因乙方的原因，甲方提前解除本合同，法律顧問費(fèi)用仍應(yīng)支付或不予退還。Party A

27、 shall pay Party B the counseling payment according to terms and conditions specified inthe agreement. Promptly deal with the payable transportation fee and other fees should bebeard by Party A. if Party A delays the payment under article six in this agreement over 30 days,the party B will withhold related service, and request party A to pay off the agreed costs. If PartyA terminate
