2、friendly consultation between the Parties, Party A agrees to purchase from Party B the xxxxxxxxxxxxx service product as agreed in this Contract at the price and according to the terms as set forth in this Contract. Party B agrees to provide service product to Party A according to the conditions as a

Based on the consensus, the Parties signed the following Contract in accordance with the Contract Law of the Peoples Republic of China and other laws and regulations:一、定義 Definition 1、“維護(hù)服務(wù)合同”：包括甲乙雙方簽署的本合同及合同附件，以及在本合同基礎(chǔ)上，雙方通過(guò)書(shū)面形式簽署的補(bǔ)充合同或補(bǔ)充約定，也稱“服務(wù)合同”；Maintenance Service Contr

4、act: also referred to as Service Contract, including this Contract and its Annex signed by the Parties together with the supplementary contract or agreement signed by the Parties in written form based on this Contract;2、“維護(hù)服務(wù)”：指本合同項(xiàng)下乙方向甲方提供的產(chǎn)品服務(wù)范疇，包括本合同第二條及合同附件中約定的所有向甲方提供的服務(wù)工作內(nèi)容；Maintenance Service:

6、ocument, whether paper based or electronic, used or produced during the provision of service to Party A. Technical document includes general document and project document.4、“服務(wù)現(xiàn)場(chǎng)”指本合同中約定的服務(wù)實(shí)施地（遠(yuǎn)程服務(wù)下現(xiàn)場(chǎng)指接受服務(wù)的客戶端），本合同項(xiàng)下服務(wù)現(xiàn)場(chǎng)依據(jù)合同的約定可以為多個(gè)；Service Site: the place where the service is performed as agreed in

7、 this Contract (the service site in remote service refers to the client receiving the service). Several service sites may be agreed on under the Contract;5、“遠(yuǎn)程支持”指通過(guò)電話、E-MAIL、網(wǎng)絡(luò)遠(yuǎn)程登錄等方式為甲方提供的非現(xiàn)場(chǎng)服務(wù)；Remote Support: non-site services provided to Party A by telephone, email, remote logon, etc.;6、“服務(wù)驗(yàn)收”：指

8、甲方依據(jù)合同的約定對(duì)服務(wù)產(chǎn)品的運(yùn)維服務(wù)進(jìn)行考核驗(yàn)收，可以體現(xiàn)為用戶方對(duì)服務(wù)響應(yīng)及故障恢復(fù)等的滿意度評(píng)價(jià)；Service Acceptance: examination and acceptance for the operation and maintenance services of service product by Party A as agreed in the Contract, which can be described as the satisfactory level on service response and failure recover, etc. evalua

9、ted by users;7、“服務(wù)價(jià)款”：指合同價(jià)款，即甲方依據(jù)合同的約定應(yīng)當(dāng)向乙方支付的運(yùn)維服務(wù)的對(duì)價(jià)，也稱“服務(wù)費(fèi)”；Service Price: Contract value, i.e. the consideration for the operation and maintenance services paid to Party B by Party A as agreed in this Contract, also referred to as Service Fee;8、“服務(wù)期限”：指合同中約定的乙方提供的服務(wù)產(chǎn)品運(yùn)維服務(wù)的期限，在此期限內(nèi)，甲方有權(quán)獲得合同范圍內(nèi)的服務(wù)，

10、甲方在合同價(jià)款外不需因此額外支付服務(wù)費(fèi)用；Service Term: the service life of the maintenance and operation service of service product provided by Party B as agreed in the Contract. During the term, Party A may obtain the services within the scope as set forth in the Contract and does not need to pay additional service fe

14、y A does not need to pay additional fee;3、 合同服務(wù)期內(nèi)，若甲方需要乙方提供合同約定范圍外的相關(guān)服務(wù)或變更服務(wù)時(shí)，由甲方承擔(dān)費(fèi)用，費(fèi)用金額由甲乙雙方根據(jù)增加或變更的服務(wù)內(nèi)容協(xié)商約定，乙方給予適當(dāng)?shù)膬?yōu)惠；During the Service Term, in case Party A requests Party B to offer relevant services beyond the range as agreed in the Contract or change the service, Party A shall be liable for

15、 the cost, the amount of which shall be agreed on by the Parties through consultation based on the additional or changed service contents. Party B shall offer proper discount;4、 甲方變更系統(tǒng)環(huán)境和現(xiàn)場(chǎng)時(shí)，至少應(yīng)提前一個(gè)月通知乙方，因此給甲方增加的服務(wù)支出由甲方額外承擔(dān)，因甲方變更系統(tǒng)環(huán)境或現(xiàn)場(chǎng)造成的產(chǎn)生的任何故障或損失不在本合同金額范圍內(nèi)。In case Party A intends to change the sy

16、stem environment and the site, Party A shall inform Party B at least one month in advance and be liable for the service cost incurred thereof. Any damage or loss caused by the change of system environment and the site by Party A is excluded from the Contract Value.四、維護(hù)服務(wù)費(fèi)支付方式及服務(wù)生效 Payment of Mainten

17、ance Service Fee and Activation of Service1、付款方式：由本協(xié)議生效之日起，乙方向甲方開(kāi)具付款通知書(shū)和同等金額增值稅專用發(fā)票，甲方在收到付款通知書(shū)及增值稅專用發(fā)票后15日內(nèi)向乙方支付以下費(fèi)用:合同總金額 (含增值稅): RMB：XXXXXXXX 人民幣XXXXXXXXX元整；Payment method: Payment will split into two installments. 19、the special invoice of the same value.4、乙方收到合同總價(jià)款后向甲方提供“澳大利亞西太平洋銀行有限公司上海分行”服務(wù)產(chǎn)品入庫(kù)清單。甲方可根據(jù)清單明細(xì)進(jìn)行實(shí)際庫(kù)存入庫(kù)管理。入庫(kù)后的產(chǎn)品清單，甲方可根據(jù)實(shí)際情況進(jìn)行選擇清單生成LICENSE。每張LICENSE經(jīng)激活預(yù)檢合格后，乙方于預(yù)檢合格即日啟動(dòng)甲方所購(gòu)買(mǎi)服務(wù)的交付流程。服務(wù)自預(yù)檢合格即日正式生效。乙方自到款7個(gè)工作日內(nèi)向甲方提供等額增值稅專用發(fā)票。After receiving the total Contract Value, Party B shall provide Party A with the

20、 warehousing list of Westpac Banking Corporation service product. Party A may perform the warehousing management for the actual stock based on the detailed list. After entering the warehouse Party A may select from the product list to generate LICENSE according to the practical situation. After each

21、 LICENSE is qualified in the activation pre-check, Party B starts the delivery procedures for the service purchased by Party A on the day when the LICENSE is qualified. The service is officially activated on the qualification day. Party B shall issue the invoice of the same value to Party A within 7

22、 working days from receiving the payment.5、預(yù)檢是乙方向甲方提供有效服務(wù)的前提條件。如果LICENSE激活預(yù)檢不合格，乙方不承擔(dān)甲方所購(gòu)買(mǎi)服務(wù)的交付義務(wù)，甲方可選擇向乙方另行購(gòu)買(mǎi)單次服務(wù)（單次服務(wù)的價(jià)格雙方另行協(xié)商）或者由甲方自行維修至設(shè)備合格后，由乙方啟動(dòng)甲方所購(gòu)買(mǎi)服務(wù)的交付流程。Pre-check is the prerequisite for Party B to provide effective services to Party A. In case the LICENSE fails to qualify in the activatio

23、n pre-check, Party B shall not deliver the service purchased by Party A. Party A may otherwise purchase single service from Party B (the price shall be separately consulted by the Parties) or Party B does not start the delivery procedures of the service purchased by Party A until Party A restores th

24、e equipment to the qualification status by its own.五、免責(zé) Disclaimer由于甲方延誤LICENSE激活有效期，導(dǎo)致乙方不能提供服務(wù)的，乙方不承擔(dān)責(zé)任。由于甲方的設(shè)備預(yù)檢不合格導(dǎo)致乙方不能提供服務(wù)的，乙方不承擔(dān)責(zé)任，甲方交付的合同款項(xiàng)乙方不予退還。Party B is not liable for the failure to provide the service due to delayed activation of LICENSE by Party A. Party B is not liable for the failure

25、 to provide the service due to the disqualification of Party As equipment in pre-check. In such case, Party B does not refund the Contract Value contributed by Party A.六、違約責(zé)任 Breach of Contract1、除甲方原因或不可抗力影響外，如乙方未能按照合同約定的條件提供服務(wù)或遲延提供服務(wù)，經(jīng)甲方催告后10天內(nèi)乙方仍不能提供，則自第11日起，每遲延一天，乙方須向甲方支付遲延服務(wù)部分價(jià)款的千分之一作為違約金，最高不超過(guò)合

26、同總金額的百分之百。Except for Party As reason or force majeure, in case Party B fails to provide the service in accordance with the conditions as agreed in the Contract or delays the provision of the service, and still fails to provide the service within 10 days after Party A demands, Party B shall pay 0.1%

27、of the contract value of the delayed potion as liquidated damages for each delayed day from the 11th day, up to 100% of the total Contract Value.2、除乙方原因或不可抗力影響外，如甲方未能按照合同約定支付訂單金額的，經(jīng)乙方催告后10天內(nèi)仍未支付合同款項(xiàng)，則自第11日起，乙方有權(quán)暫停服務(wù)，并要求甲方每天支付遲延付款部分金額的千分之一作為違約金，最高不超過(guò)合同總金額的百分之百。 Except for Party Bs reason or force maj

28、eure, in case Party A fails to pay the order value as agreed in the Contract, and still fails to pay the Contract Value within 10 days after Party B demands, from the 11th day, Party B has right to suspend the service and requests Party A to pay 0.1% of the delayed potion as liquidated damages for e

29、ach day, up to 100% of the total Contract Value. 3、除另有書(shū)面約定，甲乙雙方均不對(duì)可能產(chǎn)生的間接損失、可期待利益損失及第三方損失承擔(dān)賠償責(zé)任。Unless otherwise agreed, neither Party is liable for potential indirect loss, expected profit loss or loss of the third party.七、不可抗力 Force Majeure任何一方面臨不可抗力事件，包括但不限于火災(zāi)、水災(zāi)、地震、臺(tái)風(fēng)、自然災(zāi)害等不可預(yù)見(jiàn)、不可避免且無(wú)法控制的情況，致使合同

30、履行遲延或履行不能，受不可抗力影響的一方應(yīng)以電報(bào)或傳真的方式將該情況及時(shí)通知乙方，本合同約定履約期限應(yīng)自動(dòng)順延。如前述不可抗力致使合同履行遲延或履行不能的情況持續(xù)達(dá)一百二十日，且雙方未能就合同變更達(dá)成一致意見(jiàn)的，任何一方可單方終止合同。因不可抗力原因?qū)е乱环轿茨苈募s造成對(duì)方損失的，不承擔(dān)違約及損害賠償責(zé)任。In case either Party delays the performance of the Contract or fails to perform the Contract due to force majeure, including but not limited to th

31、e unforeseen, inevitable and uncontrollable situations such as fire, flood, earthquake, typhoon， natural disasters, etc., the Party shall inform the other Party in time by telegram or fax. In such case, the agreed performance period will be automatically delayed. In case the aforesaid force majeure

32、leads to the delay or failure of performance lasts 120 days and the Parties fail to reach consensus on the change of the Contract, either Party may terminate the Contract on its own discretion. Neither Party is liable for or shall compensate for the other Partys loss arising from the failure to perf

33、orm the Contract due to force majeure.八、爭(zhēng)議解決 Dispute1、 基于本合同產(chǎn)生的或與本合同相關(guān)的任何爭(zhēng)議，甲乙雙方應(yīng)友好協(xié)商解決，協(xié)商不成的，任何一方可以將爭(zhēng)議提交甲方住所地人民法院訴訟解決，訴訟費(fèi)等司法費(fèi)用由法院的生效判決指定承擔(dān)方承擔(dān)；The Parties shall settle any dispute arising from or related to this Contract through friendly consultation. In case no agreement is reached through consulta

34、tion, either Party may apply to the peoples court in the place where Party A is located. The judicial expenses, including the legal cost, shall be paid by the Party as designated in the effective judgment made by the court.2、 訴訟期間，雙方未涉訴內(nèi)容應(yīng)繼續(xù)按照合同的約定執(zhí)行。During the period of litigation, the Parties shal

35、l continue to perform the obligations uninvolved as agreed in the Contract.九、合同生效、變更、轉(zhuǎn)讓及其他事項(xiàng) Validity, Change, Transfer and Miscellaneous 1、 合同書(shū)一式貳份，雙方各執(zhí)壹份，自雙方法定代表人或授權(quán)代表簽字并加蓋雙方印章之日起生效，有效期至本合同項(xiàng)下服務(wù)期滿。This Contract is made into two duplicates with each party holding one. The Contract comes into effect

36、from the day when the legal representatives of the Parties or the authorized representatives sign and affix the seal. The Contract is valid until the Service Term expires. 2、 本合同的任何變更、修改、增補(bǔ)，需經(jīng)雙方簽署書(shū)面補(bǔ)充協(xié)議方為有效。雙方項(xiàng)目經(jīng)理審核項(xiàng)目變更申請(qǐng)，并做進(jìn)一步的調(diào)查。調(diào)查將決定項(xiàng)目變更申請(qǐng)的實(shí)施對(duì)價(jià)格、日程表和其他合同條款所產(chǎn)生的影響。根據(jù)變更要求的范圍和復(fù)雜程度，甲、乙雙方可對(duì)實(shí)現(xiàn)變更要求所發(fā)生的費(fèi)用

37、進(jìn)行磋商。經(jīng)雙方授權(quán)代表對(duì)變更事項(xiàng)進(jìn)行確認(rèn)后，將簽署相應(yīng)的補(bǔ)充協(xié)議或更改備忘錄。經(jīng)雙方授權(quán)代表簽字蓋章后的補(bǔ)充協(xié)議或更改備忘錄將作為本合同的有效附件和執(zhí)行變更的依據(jù)。Any change, modification and addition to this Contract shall only become effective when the Parties sign a written supplementary agreement.
