1、融資服務合同范本(一)?甲方:_法定代表人:_乙方:_法定代表人:_甲乙雙方本著誠實信用、互利互惠、公平自愿的原則,經友好協(xié)商,現(xiàn)簽署本建立長期友好合作關系協(xié)議書,以資雙方共同遵守。第一條合作領域1.1 共同合作出任擬到海外上市的公司的投融資、財務、上市和資本運作顧問。凡是乙方在境內外承攬到的擬進行股份制改造、到海外上市的企業(yè)或其它資本運作項目,在同等條件下,優(yōu)先與甲方合作,共同擔任該等企業(yè)或項目的投融資、財務、上市和資本運作顧問,為企業(yè)提供包括股份制改造、資金融通、資產重組、上市策劃、創(chuàng)業(yè)投資、協(xié)助股票承銷等業(yè)務在內的一條龍服務。1.2 共同開拓境內外資本市場的其它業(yè)務。乙方同意為甲方提供與
2、國內各級政府部門、大型券商、中介機構、優(yōu)秀民營企業(yè)接觸和合作的機會,甲方同意為乙方提供與境外大型券商、外商投資機構、中介機構接觸和合作的機會,共同開拓境內外資本市場,接受外資的委托投資國內的證券市場或接受國內資金的委托投資海外的證券市場;組織境內外資本參與國內優(yōu)秀企業(yè)或項目的資產重組、收購兼并或風險投資等等。1.3 在內地或海外共同舉辦項目融資交流會。第二條乙方責任2.1 向甲方推介中國境內的擬海外上市項目,對項目進行篩選并就選中的項目及時、完整、準確地向甲方提供項目推介數(shù)據。2.2 與境內擬海外上市的有關公司進行接洽與前期談判。2.3 安排甲方及其相關其它合作機構與擬上市公司進行正式談判。2
3、.4 向甲方提供國內相關的公關服務或咨詢。第三條甲方責任3.1 甲方承諾,與乙方在中國境內建立戰(zhàn)略合作關系,并提供乙方為開展相關業(yè)務所需的文件。3.2 甲方向乙方推薦的項目進行協(xié)助,制定計劃,安排承銷商及其它專業(yè)團體,跟進法律相關文件。3.3 甲方承諾及時為乙方提供海外資本市場的相關信息,以及甲方希望乙方提供的材料所遵循的文件格式。3.4 派出人員協(xié)助乙方開展相關財務顧問工作。第四條收益分配比例4.1 對于甲方接受的乙方推介之項目,乙方向項目方收取的財務顧問費用,甲方不參與分配;雙方收益分配僅限對于甲方從乙方推介之項目方所收取的各項費用。4.2 雙方收益分配比例根據項目具體情況及各自所承擔的責
4、任和工作量的大小的不同,事先在工作協(xié)議中協(xié)商確定。第五條保密條款5.1 甲乙雙方對對方提供的企業(yè)文件、項目數(shù)據、技術秘密、調查方案、投資方案、生產信息、財務數(shù)據、商業(yè)秘密、談判內容、相關協(xié)議等均須承擔保密義務,未經對方書面同意,不得以口頭或書面形式將上述內容泄漏給協(xié)議以外的第三方。5.2 甲乙雙方有義務要求其參加項目工作的職員及其委托的律師、會計師等中介機構承擔同樣的保密義務。第六條本協(xié)議的簽署、生效和終止6.1 本協(xié)議書由甲乙雙方的法定代表人或授權代表簽署,并于簽署后即行生效。合同有效期三年。6.2 本協(xié)議一式兩份,雙方各執(zhí)壹份,具有同等法律效力。甲方(蓋章):_代表(簽字):_年_月_日乙

6、是怎樣分析、推理;聽老師解決問題是用什么方法、技巧;聽老師對問題有哪些提問和解釋。這樣才能把握住聽課的重點。聽講中,要把自己在預習中的理解,和老師講解的相比較,看自己和老師有哪些相同點和區(qū)別點。三、合理安排復習時間很多科學家通過研究發(fā)現(xiàn),有幾個時間段有利于鞏固記憶:一是學習后最初幾分鐘內,電生理活動引起蛋白質的合成;二是學習后在48小時內復習;三是一周之后腦突觸發(fā)生永久性變化。根據人在學習過程中這一生理變化,采用復習加強記憶就顯得特別重要了。如果我們能夠在學習的內容即將忘記時進行復習,那么復習的效果最好,效率也最高。著名的心理學家艾賓浩斯通過實驗發(fā)現(xiàn)了人的記憶與遺忘規(guī)律。實驗證明:在學習僅過了
7、20分鐘后,就忘記記憶內容的42%,1天后忘卻量已經達到了66%,到了第31天,忘卻量高達79%。他根據實驗結果,畫成了著名的遺忘曲線。并表明遺忘的規(guī)律是“先快后慢”。這條規(guī)律提示我們,定要盡早、及時地對所學知識進行復習,以便在知識還在大腦內時就加深印記,否則大腦中已經沒有痕跡了,只能再費精力重學。合理安排復習時間特別重要并且必要,制定復習計劃,嚴格按精英特計劃執(zhí)行,并力求形成習慣,是我們每一位學生都應該力求努力做到。我們?yōu)槭裁匆獜土暷兀恳驗槲覀冇洃浶Ч麤]有那么好,不可能過目不忘,所以需要重復、增強記憶。同時,復習的進展也有利于學習效率的提高。四、做作業(yè)的科學方法這里有七種做作業(yè)的技巧:1、先
8、復習后做作業(yè)。復習是做好作業(yè)的關鍵,只有復習得好,作業(yè)才能做得好。做作業(yè)前先把老師這一節(jié)課所講的內容認真地看一看,弄清楚基本原理和概念后再去做作業(yè),作業(yè)才能做得既快又好。2、認真審題。 做作業(yè)最關鍵的步就是審題,連題都判斷錯了,作業(yè)內容就全錯了。首先第步要弄清楚題目的內容,所給的條件,什么要求,需要聯(lián)系哪些知識等等;其次是考慮好解題思路、方法、步驟,要善于把道題分成幾部分,化大為小、化難為易、分清其中的已知和未知,弄清各部分的聯(lián)系,設計好整個解題步驟,定要讓自己做到不明白題意不做題,不清楚方法步驟不下筆。3、細心的做題。 做題是表達思路的全過程,這個過程要求既動腦、又動手。做題的關鍵是要保證“
