9、1 .品保IIGuaranteeofQuality:方保it本合同項(xiàng)下的商品是用最好的材料旋由一流的加工工蓼裂造的、嶄新的、未使用謾的，且符合本合同規(guī)定的品K和規(guī)格。K保期自最系冬瞬收合格之日起十二彳固月。TheSellersguaranteethatthecommodityhereofismadeofthebestmaterialswithfirstclassworkmanship,brandnewandunused,andcompliesinallrespectswiththequalityandspecificationstipulatedinthisContract.Theguaran

10、teeperiodshallbe12monthscountingfromthedateonwhichtheFinalAcceptanceCertificatehasbeensignedbytheEnduserandtheSeller.12 .索MClaims:如商品品K、規(guī)格或數(shù)量典本合同的規(guī)定不符，且此不符不鷹由保陂公司或承人mt,即黃方有在商品到逵目白港九十天內(nèi)，懣中莘人民共和WI家迤出口商品橫瞬局出具的商椀耆,向方索或要求更換新的商品，且所有費(fèi)用(如商檢費(fèi)、返修件和更換件的、保陂費(fèi)、育鋸費(fèi)以及裝卸費(fèi)等)由方承搪。於品K,方鷹保:在K物抵逵目的港彳麥?zhǔn)芄淘聝?nèi),如出現(xiàn)使用謾程中因品K不良

11、、工蓼低劣或探用劣K材料而醇致的殘損,黃方鷹立即用耆面方式通知K方提交一份附由中莘人民共和WI家迤出口商品局出具的商橫if耆的索函。以上被祝卷索依擄I。根擄0(方的索函，方鷹mt立即排除商品殘缺，部分或全部更換商品或按照殘損狀況迤行降慮理。如有必要，黃方可自行消除殘損,費(fèi)用由方承搪。如方在收到上述索函彳麥一彳固月內(nèi)仍未作答彳復(fù),此項(xiàng)索要求可被視作已卷方接受。Within90daysafterthearrivalofthegoodsatdestination,shouldthequality,specification,orquantitybefoundnotinconformitywithth

13、arges,freightforreturningthegoodsandforsendingthereplacement,insurancepremium,storageandloadingandunloadingcharges,etc.)shallbebornebytheSellers.Asregardsquality,theSellersshallguaranteethatifwithin12monthsfromthedateofarrivalofthegoodsatdestination,damagesoccurinthecourseofoperationbyreasonofinferi

14、orquality,badworkmanshiportheuseofinferiormaterials,theBuyersshallimmediatelynotifytheSellersinwritingandputforwardaclaimsupportedbyinspectionCertificateissuedbytheJiangsuCommodityInspectionBureau.TheCertificateissuedshallbeacceptedasthebaseofaclaim.TheSellers,inaccordancewiththeBuyers'claimshal

15、lberesponsiblefortheimmediateeliminationofthedefect(s),completeorpartialreplacementofthecommodityorshalldevaluatethecommodityaccordingtothestateofdefect(s).Ifnecessary,theBuyersshallbeatlibertytoeliminatethedefect(s)themselvesattheSellers'expenses.IftheSellersfailtoanswertheBuyerswithinonemontha

16、fterreceiptoftheaforesaidclaim,theclaimshallbereckonedashavingbeenacceptedbytheSellers.13 .不可抗力ForceMajeure:在商品裂造或果01或I®!期,如有不可抗力事件彝生，方符不封由此而醇致的逾期或不能交KHWo但此疇,方鷹立即招不可抗力事件通知黃方，於通知彳麥?zhǔn)奶靸?nèi)以傅真方式向黃方提供一份由不可抗力事件彝生地威檄情出具的不可抗力事件明。方不能取得出口可不得作卷不可抗力。在道槿，ffrM下，方仍有羲矜竭翥全力儒快交貨。如不可抗力事件持超遇十周，黃方有撤金肖合同。TheSellerssha

17、llnotbeholdresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorthecourseofloadingortransit.TheSellersshalladviceBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellersshallsendbyairmailtotheBuyersf

18、ortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.Seller'sinabilityinobtainingexportlicenseshallnotbeconsideredasForcesuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedelive

19、ryofthegoods.Incasetheaccidentlastsformorethan10weeks,theBuyersshallhaverighttocanceltheContract.14 .延遽彝貨典卻款LateDeliveryandPenalty:除本合同規(guī)定的不可抗力外，若K方不能按合同規(guī)定及疇交貨,幺冠黃方同意，K方可在繳納卻金的修件下延期交K,卻金符在I1付疇由付款金艮行徙K款中扣減。卻金不得超謾遽物值余恩的5%卻款率卷每七天%,不足七天的按七天算。如果K方在合同規(guī)定的果01期彳麥?zhǔn)苋晕茨芤拓?黃方有瞿撤金肖部份合同。但不管合同撤金肖典否，方鷹及疇支付前述卻金。Shoul

20、dtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForceMajeurecausesspecifiedintheaboveclause,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Thepenalty,however,shallnotexce

21、ed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.TherateofPenaltyischargedat%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocancelthecontractandtheSelle

22、rs,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.15 .仲裁Arbitration:一切因軌行本合同或典本合同有信身的事孰,鷹由曼方友好憤商解決。如商仍未能逵成憤H,10鷹提交中WIK易仲裁委H曾裁決。按照申言青仲裁現(xiàn)行有效的仲裁規(guī)劃,由申一方逗擇曾在北京或由深圳分曾在深圳或由上海分曾在上海迤行仲裁。仲裁委H曾的裁決冬局裁決,封曼方均有余勺束力。仲裁費(fèi)用除仲裁委另有決定外，鷹由一方負(fù)搪。AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedtoChinaInternationalEconomicandTradeArbi
