13、的飲用水，淋浴水，廚房設(shè)備和場地，廚房用天然氣，電力，互聯(lián)網(wǎng)，供熱系統(tǒng)及必要的日常維護。3) The visa application cost in Turkey shall be taken by Party A, and Party B shall provide all the documents of relevant staff.3) 土耳其簽證申請費用由甲方承擔(dān)，乙方應(yīng)提供相應(yīng)人員的所有相關(guān)文件。4) The air ticket to and fro China (just one ticket per person per one year) shall be taken b

Force Majeure4.不可抗力a Neither CONTRACTOR norICDASshallbeliable fordelay or failure of performanceunder this

19、 contract wheresuch failureordelay is caused by Force Majeure,being anyevent, occurrence or circumstance reasonably beyond control of either party, including butnot limited to failure or delay caused by or resulting from Acts of God, strikes, fires, floods,earthquake, landslide, typhoon, cyclone, st

20、orm , wars, ( whether declared or undeclared ),riots, delays of carriersdueto breakdownimposedby any governmentalauthority( including allocations, priorities, requisitions, quotas, and price controls).a 承包商或者 ICDAS 受不可抗力影響無法履行合同規(guī)定的義務(wù)或者延遲履行的，任一方對此不承擔(dān)任何責(zé)任。 若發(fā)生超出任何一方合理控制范圍內(nèi)的不可抗力事件、 不可抗力發(fā)生以及不可抗力情況，包括但不限

21、于天災(zāi)、罷工、火災(zāi)、水災(zāi)、地震、山體滑坡、臺風(fēng)、颶風(fēng)、暴風(fēng)雨、戰(zhàn)爭（已宣戰(zhàn)或未宣戰(zhàn)） 、暴動、因政府當(dāng)局頒布的限制性條款 （包括配給、 優(yōu)先權(quán)、征用、配額及價格控制等）導(dǎo)致的運輸延誤等造成義務(wù)無法履行或義務(wù)履行延誤。b If the CONTRACTOR is prevented, hindered or delayed from or in performing any of its obligations under the Contract by an event of Force Majeure, then it shall notify the ICDAS in writing of

22、 the occurrence of such event and the circumstances thereof within fourteen (14) days after the occurrence of such event.b如果承包商因不可抗力而被妨礙、 阻礙或者延遲履行其在本合同中的任一規(guī)定義務(wù)時， 承包商應(yīng)在不可抗力事件發(fā)生的十四 （14 ）天內(nèi)以書面形式通知 ICDAS 此類事件和情況的發(fā)生。cThe CONTRACTOR shall be excused from the performance or punctual performance ofits oblig

23、ationsunderthe Contractfor so long as the relevanteventof ForceMajeurecontinues and to the extent that the CONTRACTOR s performance is prevented, hindered or delayed. The time for completion shall be extended reasonably.c 如果相關(guān)不可抗力事件仍在發(fā)生， 而且在一定程度上妨礙、 阻礙或者延遲了承包商對義務(wù)的履行，則應(yīng)予以免除承包商履行本合同中規(guī)定義務(wù)或準(zhǔn)時履行義務(wù)的責(zé)任。 完工

24、時間應(yīng)適當(dāng)進行延長。d While affected by the event of Force Majeure, the CONTRACTOR shall use reasonable efforts to mitigate the effect thereof upon its performance of the Contract and shall seek allreasonablealternativemeansforperformance not prevented by the Force Majeureevent.d. 當(dāng)受到不可抗力事件影響時， 承包商應(yīng)采用合理措施減少不可

25、抗力事件對其履行合同義務(wù)的影響，并應(yīng)尋求合理的替代手段履行未受不可抗力影響的義務(wù)。e Delay or non-performance of the CONTRACTOR hereto caused by the occurrence of any event of Force Majeure shall not:e 因發(fā)生的任何不可抗力事件而延遲或者不能履行義務(wù)的承包商，不應(yīng)：a) Constitute a default or breach of the Contact; orb) Give rise to any claim for damages or additional cost

26、or expense occasioned thereby to the CONTRACTOR; orc) Cause the forfeiting of the Performance Bond and impose the liquidated damage to theCONTRACTOR.a) 構(gòu)成違反或者違背本合同；b) 引起任何需承包商承擔(dān)的賠償損失或者額外費用或開支c) 造成履約保證書失效，向承包商征收違約賠償金。5 Taxes and Duties5 繳稅All taxes, custom duties and other dues arising in Turkey shal

27、l be paid by the ICDAS.在土耳其產(chǎn)生的賦稅，關(guān)稅和其他賦稅將由ICDAS 繳納。6 Arbitration6 仲裁All disputes in the connection with the execution of this Contract shall be settled through friendly negotiations between the two Parties. Failing the friendly negotiation does not relieveboth of any of the parties form fulfilling t

28、he Contract. In the case of being unable to settle disputes each party shall have right for arbitration to ICC (international Chamber of Commerce) International Court of Arbitration in accordance with the Provisional Rules of Procedures Promulgated by the said Arbitration Commission. The Arbitration

29、 shall take place in Switzerland and Swiss material law shall apply.在執(zhí)行本合同時，所產(chǎn)生的糾紛應(yīng)由雙方友好協(xié)商解決。通過友好協(xié)商，雙方才能共同完成合同。如果糾紛不能解決，依照仲裁委員會暫行議事規(guī)程，雙方有權(quán)利向 ICC 國際仲裁法院申請仲裁。仲裁在瑞士進行，瑞士實體法適用于仲裁。a The Arbitration proceeding shall be carried out in the English language.a 仲裁過程將用英語進行。b The arbitral award shall be final an

30、d binding on both Parties.b 該仲裁裁決為最終裁決，對雙方均有約束力。c The arbitration fee shall be borne by the losing Party, except as otherwise stipulated in the arbitral award.c 仲裁費用由敗訴方承擔(dān)，仲裁裁決中規(guī)定情況除外。7 Effectiveness, Variation, Suspension and Termination of the Contract and Miscellaneous7 合同的效力、變更、中止、終止及其它The Contr

31、act shall become effective and binding upon the two parties after completion of all the following:在進行完以下各項后，此合同將生效并對雙方具有約束力：a The Contract has been duly signed by the authorized representatives of both parties;a 合同已經(jīng)由雙方授權(quán)代表如期簽署；b The effective date of the Contract is from signature.b 合同生效期自簽署日起。c Th

32、is Contract shall be written in English with four copies for each Party holding two copies.c 書面合同為英文，一式四份，雙方各持有兩份。d Minutes from all meetings between the two Parties, written in English if signed and decided by both parties, shall become Appendices and thus integral parts of the Contract.All commerc

33、ial and technical communications between the two Parties shall be in the English language. If in writing, duplicate will be produced.d 對于雙方參與的會議，如雙方均有簽署或決策，會議紀(jì)要應(yīng)為英文版本，并作為附件成為合同的一部分。雙方之間的所有商務(wù)和技術(shù)交流均使用英語，若為書面形式，應(yīng)有復(fù)本。e ICDAS shall appoint one authorized representative to be in charge of all commercial a

34、nd technical matters relating to the CONTRACTOR. Any correspondences addressed to theICDAS representative from the CONTRACTOR are required in two copies one for the representative, one to the ICDAS. The ICDAS shall inform the CONTRACTOR two weeksafter the effective date of the Contract of the name o

35、f the authorized representative and his postal address.e ICDAS 將任命一名授權(quán)代表全權(quán)負責(zé)所有和承包方相關(guān)的商務(wù)及技術(shù)事宜。承包方發(fā)給ICDAS 代表的所有往來函件均需提供復(fù)制兩份， ICDAS 和代表各持一份。 ICDAS 應(yīng)在合同生效日兩周內(nèi)通知承包方被授權(quán)代表的人名及郵寄地址。f Where for reasons occurring in the ICDAS s country and not of the CONTRACTORs intention, the CONTRACTOR is prevented from con

36、tinuing with the Contract for a period,the two parties shall corne to negotiation and if necessary the ICDAS may suspend the Contract. The ICDAS shall bear any expenses incurred by the CONTRACTOR during theperiod of Suspension that are to be agreed upon by the two Parties.f 如由于 ICDAS 所在國家的原因，而非承包方的原

37、因造成承包方無法繼續(xù)合同，雙方應(yīng)進行協(xié)商，如有必要 ICDAS 會中止合同。在合同中止期間（需雙方一致同意） ， ICDAS 將會承擔(dān)承包方的任何損失。g The ICDAS shall have the right at any time for any reason to terminate the whole or part of the Contract by giving written notice to the CONTRACTOR specifying the extent and the effective date of such termination. The ICDA

38、S will pay the CONTRACTOR the following amount:g ICDAS 有權(quán)在任何時間由于任何原因終止整個或部分合同，并向承包方給出書面通知具體說明合同終結(jié)的范圍及生效日期。 ICDAS 將會向承包商支付以下款項：(1) Payment for all or part of the Works properly performed according to the Contract and the relevant expenses prior to the date of termination.(1) 在合同終結(jié)日前按照合同已執(zhí)行的全部或部分工作，其應(yīng)

39、付款項及相關(guān)費用。(2) Any other actual reasonable and necessary direct expenses, such as air ticket, transportation cost, etc(2) 其它實際發(fā)生的合理且必需的直接費用，如機票、交通費用等。h Any correspondence, notice or request given by either Party to the other Party shall be deemed to have been officially given if in writing and deliver

40、ed personally, forwarded by registered or certified airmail, cabled, facsimiled by telefax or telexed and addressed to such Party in accordance to the official address, telephone. Telex and telefax hereof, and if confirmation or receipt is acknowledged by the receiving Party and/or his facilities of

41、 the Communication.h 任何一方向另一方發(fā)出的手簽信函、通知或要求，以及接收方及（或）其設(shè)備認可的函證或收據(jù)，都應(yīng)通過書面方式進行， 并親自遞送， 或通過已登記或具有證明文件的航空郵件，電報、傳真轉(zhuǎn)送發(fā)往此方的官方地址、電話、電報及傳真。All the amendments, supplement and alterations to the terms and conditions of the Contract shall be made in written form and signed by the authorized representatives of the

The CONTRACTOR has the right to terminate the contract and the employee personswill stop the services in power plant

43、if ICDAS don tpay the salary and benefits stipulated in the contract. This termination will be informed by written form to ICDAS10 days before the real action. This action will not influence the right for CONTRACTOR to claim further compensation.a. 如果 ICDAS 未按照合同支付薪酬及福利，承包方有權(quán)終止合同并停止對電廠的服務(wù)。合同終止的通知應(yīng)在實際停止服務(wù)前10 天通過書面形式通知ICDAS
