4、長(zhǎng)途海運(yùn)、 郵寄或空運(yùn)及適應(yīng)氣候變化， 并且具備良好的防 潮抗震能力。The Seller shall be liable for any damage of the commodity due to improper packing and for any rust attributable to inadequate protective measures in regard to the packing. 由于包裝不當(dāng)而引起的貨物損壞或由于防護(hù)措施不善而引起貨物銹蝕， 賣(mài)方應(yīng)賠償由此而造 成的全部損失費(fèi)用。One full set of service and operation man

5、ual shall be enclosed in each case. 包裝箱內(nèi)應(yīng)附有完整的維修保養(yǎng)、操作使用說(shuō)明書(shū)。4. Shipping mark ：4、運(yùn)輸標(biāo)志The Seller shall mark on each package with fadeless paint the package number ， gross weight ， net weight ， measurement and warnings such as “ HANDLE WITH CARE”， “ KEEP AWAY FROM HEAT”， “KEEP AWAY FROM MOISTUR”E as wel

6、l as shipping mark.毛重、凈重、 長(zhǎng)、寬、高，并標(biāo)有“小心輕放”賣(mài)方應(yīng)在每個(gè)貨箱上用不褪色油漆標(biāo)明箱號(hào)、 “防潮”及“防熱”等字樣和運(yùn)輸標(biāo)志。5. Date of shipment ： Aug. 8， 20005、裝運(yùn)日期： 2000年 8月 8日6. 7、onditions （1）， （2） and （3） below ：9、支付條件 分以下三種條件支付：（ 1） Through the letter of credit ：（1）信用證The Buyer， on receipt from the Seller of the delivery advice ， shall open an irrevocable letter ofcredit with the Bank of Chi na , in favor of the Seller for the total value of shipme nt 25 30days prior to th

The credit shall be availabl e against Seller s draft drawn at sight on the opening bank for 100% invoice value accompanied by the shipping documents specified in Clause 10 hereof. Payment shall be effected by the opening bank by telegraphic transfer against presentation of the a

9、foresaid draft and documents. The letter of credit shall be valid until the 20th day after the shipment is effected.買(mǎi)方收到賣(mài)方交貨通知，應(yīng)在交貨日期前25 - 30天，由中國(guó)銀行開(kāi)出以賣(mài)方為受益人的與裝運(yùn)金額相同的不可撤銷(xiāo)的信用證。 賣(mài)方須向開(kāi)證行出具 100發(fā)票金額即期匯票并附本 合同第 10 款所規(guī)定的裝運(yùn)單據(jù)。開(kāi)證行收到上述匯票和裝運(yùn)單據(jù)即予以電匯支付。信用證 于裝運(yùn)日期后 20 天內(nèi)有效。（2）Collection ：（2）托收The Seller may presen

10、t the sight draft together with the shipping documents （ specified in Clause 10 hereof） through the Sellers bank and Buyer' s Bank to the Buyer for collection after shipment.貨物裝運(yùn)后， 賣(mài)方出具即期匯票， 連同本合同第 10 款規(guī)定的裝運(yùn)單據(jù)， 通過(guò)賣(mài)方所在地銀 行和買(mǎi)方銀行提交給買(mǎi)方托收。（3）By direct remittance ：（3）直接付款Payment shall be effected by t

11、he Buyer ， by telegraphic transfer ， within 7 （seven） days after receipt from the Seller of the shipping documents specified in the Clause 10 hereof.買(mǎi)方收到本合同第 10 款規(guī)定的裝運(yùn)單據(jù)后 7 天內(nèi)， 以電匯向賣(mài)方支付貨款。10. Documents：10、單據(jù)（1）In case of sea-freight：（1）海運(yùn)Full set of clean bills of lading marked “Freight to Collect”，

12、“Freight Prepaid”made out to bank endorsed notifying Zhonghua International Technology Development Corporation at the port of destination.全套清潔海運(yùn)提單，標(biāo)明“運(yùn)費(fèi)付訖”，“運(yùn)費(fèi)預(yù)付” ，做成空白背書(shū)并注明通知目的港的中華國(guó)際技術(shù)開(kāi)發(fā)公司。（ 2） In case of air-freight ：（2）空運(yùn)One copy of airway bill marked “ Freight to Collect ”， Freight Prepaid “ and

13、 sent to the Buyer. 空運(yùn)提單副本一份，標(biāo)明“運(yùn)費(fèi)付訖”，“運(yùn)費(fèi)預(yù)付” ，寄交買(mǎi)方。（ 3） Invoice in 4 copies indicating contract number and shipping mark ， made out in details as per the contract concerned.（3）發(fā)票一式 4 份，標(biāo)明合同號(hào)和裝運(yùn)標(biāo)志，發(fā)票根據(jù)有關(guān)合同詳細(xì)填寫(xiě)。（ 4） Packing list in 2 copies issued by the manufacturer.（4）由生產(chǎn)商出具的裝箱單一式兩份。（ 5） Certificate

14、 of quality and quantity issued by the manufacturer.（5）由生產(chǎn)商出具的質(zhì)量和數(shù)量保證書(shū)。（ 6） The Buyer shall be advised by mail/cable immediately after shipment.（6）貨物裝運(yùn)后立即用電報(bào)或信件通知買(mǎi)方。In addition ， the Seller shall ， within 10 （ten） days after shipment ， send by airmail two sets of aforesaid documents （ except item 4）

15、 with one set directly to the Buyer and one set directly to Zhonghua International Technology Development Corporation at the port of destination. 此外，發(fā)貨 10 天內(nèi)，賣(mài)方將上述單據(jù)（第 5 條除外）航寄兩份，一份直接給買(mǎi)方，一份直 接給目的港的中華國(guó)際開(kāi)發(fā)公司。11. Shipment11、裝運(yùn)（ 1） In case of FOB terms（1） 離岸價(jià)格條款（FOB條款）a. The Seller shall， 30days before

16、the contracted date of shipment ， advise the Buyer by cable or letter of the contract number ，name of commodity ， quality ， value， package number ， gross weight ， measurement and date of readiness at the port of shipment for the Buyer to book shipping space.1 ）賣(mài)方于合同規(guī)定的裝運(yùn)日期前 30 天，用電匯或信件將合同號(hào)、 品名、 數(shù)量、價(jià)

17、值、箱號(hào)、 毛重、裝箱尺寸和貨物抵裝運(yùn)港日期通知買(mǎi)方，以便買(mǎi)方租船訂艙。b. Booking of shipping space shall be arranged by the Buyer s shipping agent ， China OceanShipping Agency.2）買(mǎi)方船運(yùn)代理中國(guó)外輪代理公司，負(fù)責(zé)辦理租船訂艙事宜。c. The Buyers shipping agent （ China Ocean Shipping Agency）shall send to the Seller noticeindicating the name of vessel ， estimate

18、d date of loading and contract number for the Seller to arrange shipment 10 （ ten ） days before the estimated date of arrival of the vessel at the loading port. The Seller is requested to get in close contract with the shipping agent. When it becomes necessary to change the carrying vessel or to adv

19、ance or delay the arrival date ， the Buyer or the shipping agent shall advise the Seller in time. Should the vessel fail to arrive at the loading port within 30（ thirty ） days after the arrival date advised by the Buyer ， the Buyer shall bear thestorage and insurance expenses incurred from the 30 da

20、y thereafter.3）買(mǎi)方船運(yùn)代理（中國(guó)外輪代理公司）預(yù)計(jì)船抵達(dá)裝運(yùn)港 10 天之前，將船名、預(yù)計(jì)裝貨日 期、合同號(hào)等通知賣(mài)方， 以便賣(mài)方安排裝運(yùn)。 要求賣(mài)方與船運(yùn)代理保持密切聯(lián)系。 當(dāng)需要更 換承運(yùn)船只及船只提前、 推遲抵達(dá)時(shí)， 買(mǎi)方或其船運(yùn)代理應(yīng)及時(shí)通知賣(mài)方。 如船在買(mǎi)方通知 日后 30天內(nèi)未能到達(dá)，則第 30 天后倉(cāng)儲(chǔ)費(fèi)和保險(xiǎn)費(fèi)用由買(mǎi)方承擔(dān)。d. The Seller shall be liable for any dead freight or demurrage ， should it happen that they have failed to have the comm

21、odity ready for loading after the carrying vessel has arrived at the port of shipment on time.4) 如承運(yùn)船如期抵達(dá)裝運(yùn)港，賣(mài)方因備貨未妥而影響裝船，則空艙費(fèi)和滯期費(fèi)均由賣(mài)方承 擔(dān)。e. The Seller shall bear all expenses and risks before the commodity passes over the vessel s rail and is released from the tackle. After it has passed over the v

22、essel 's rail and is released from the tackle ， all expenses and risks shall be in Buyer s account. 5)貨物超過(guò)船舷并從吊鉤卸下前， 一切費(fèi)用和風(fēng)險(xiǎn)由賣(mài)方承擔(dān)；貨物超過(guò)船舷并從吊鉤卸下，一切費(fèi)用和風(fēng)險(xiǎn)由買(mǎi)方承擔(dān)。( 2) In case of CFR terms(2)成本加運(yùn)費(fèi)價(jià)條款(CFR條款)a. The Seller shall ship the goods within the shipment time from the loading port to the port of

23、destination. Transshipment is not allowed.1) 在裝運(yùn)期內(nèi)，賣(mài)方負(fù)責(zé)將貨物從裝運(yùn)港裝運(yùn)至目的港。不得轉(zhuǎn)船。b. In case the goods are to be dispatched by air freight ， the Seller shall ， 30 ( thirty ) days before the time of delivery as stipulated in Clause 5 ， inform the Buyer by cable or letter of the estimated date of delivery ， c

24、ontract number ， name of commodity ， and invoiced value. The Seller shall， immediately after dispatch of the goods ， advise the Buyer by cable or letter of the contract number ， name of commodity ， invoiced value and date of dispatch for the Buyer to arrange the insurance in time.2) 貨物空運(yùn)時(shí)，賣(mài)方于本合同第 5條

25、規(guī)定的交貨日期前 30 天，以電報(bào)或信件把預(yù)計(jì)交貨 期合同號(hào)、品名、發(fā)票金額等通知買(mǎi)方。發(fā)貨后，賣(mài)方立即以電報(bào)或信件將合同號(hào)、品名、 發(fā)票金額、發(fā)貨日期通知買(mǎi)方，以便買(mǎi)方及時(shí)投保。12. Shipping advice12、裝運(yùn)通知The Seller shall， immediately on the completion of the loading of the goods ， advise the Buyer by cable or letter of the contract number ， name of commodity ， quantity ， invoiced value

26、 ， gross weight ， name of vessel and date of sailing. In case the Buyer fails to arrange insurance in time due to the Seller s not having cabled in time ， all losses shall be borne by the Seller. 貨物一俟全部裝船，賣(mài)方應(yīng)即將合同號(hào)、呂名、數(shù)量、發(fā)票金額、毛重、船名及啟航日期用 電報(bào)或信件通知買(mǎi)方。 如因賣(mài)方未能及時(shí)通知致使買(mǎi)方不能及時(shí)投保， 賣(mài)方則承擔(dān)全部損失。13. Guarantee of qua

27、lity13、質(zhì)量保證The Seller guarantees that the commodity hereof is made of the best materials with first class workmanship ， brand new ， unused ， and complies with the quality and specifications stipulated in this contract. The guarantee period shall be 12 ( twelve ) months staring from the date on which

28、 the commodity arrives at the port of destination. 賣(mài)方保證： 所供貨物由最好的材料及精湛工藝制成， 商標(biāo)為新的和未經(jīng)使用的， 其質(zhì)量和規(guī) 格符合本合同所做的說(shuō)明。自貨物到達(dá)目的港起 12 個(gè)月為質(zhì)量保證期。14. Claims14、索賠Except those claims for which the insurance company or the owners of the vessel are liable，should the quality ， specifications or quantity be found not in c

29、onformity with the stipulations of the contract ， within 90 （ ninety ） days after the arrival of the goods at destination ， the Buyer can use the Inspection Certificate issued by China National Import and Export Commodities Inspection Corporation to claim for replacement as compensation. All the exp

30、enses incurred （ such as inspection charges， freight charges for returning and sending of replacement ， insurance premium ， storage， loading and unloading charges ） shall be borne by the Seller. 自貨物到達(dá)目的港起 90 天內(nèi)，如發(fā)現(xiàn)貨物質(zhì)量、規(guī)格、數(shù)量與合同規(guī)定不符，除那些應(yīng)由 保險(xiǎn)公司或由船方承擔(dān)的部分外， 買(mǎi)方可憑中國(guó)進(jìn)出口商品檢驗(yàn)總公司出具的商檢證書(shū)， 有 權(quán)要求更換或索賠。In regard

31、to quality ， the Seller shall guarantee that if ， within 12 （ twelve ） from the date of arrival of the goods at destination ， damages occur in the course of operation by reason of inferior quality of material or bad workmanship ， the Buyer shall immediately notify the Seller in writing and put forwa

32、rd a certificate issued by the CCIC. The certificate so issued shall be accepted as the base of the claim. The Seller ， in accordance with the Buyer s claim， shall be responsible for the immediate elimination of the defects， complete or partial replacement ofthe commodity ， or devaluate the commodit

33、y according to the state of defects. Where necessary ， the Buyer may eliminate the defects themselves at the Seller ' s expenses. If the Seller fails to reply within on month after receipt of the aforesaid claim ， the claim shall be reckoned as having been accepted by the Seller.賣(mài)方保證， 貨物到達(dá)目的港 12

34、 個(gè) 月內(nèi)， 如果使用過(guò)程中由于材料質(zhì)量低劣和工藝不佳而出 現(xiàn)的損壞，買(mǎi)方立即以書(shū)面形式通知賣(mài)方并出具中國(guó)進(jìn)出口商品檢驗(yàn)總公司開(kāi)列的檢驗(yàn)證書(shū)， 提出索賠。商 檢證書(shū)為索賠的依據(jù)。按買(mǎi)方索賠要求，賣(mài)方有責(zé)任立即排除貨物的缺陷、 全部或部分更換或根據(jù)缺陷情況將貨物作降價(jià)處理。15. Force Majeure15、不可抗力The Seller shall not be held responsible for delay in shipment or non-delivery of the goods due to Force Majeure ， which might occur during

35、the process of manufacturing or in the course of loading. The Seller shall advise the Buyer of the occurrence mentioned above within 15 （ fifteen ） days and send by airmail a certificate of the incident issued by the local government to the Buyer. Even in such cases， the Seller is still liable to ta

36、ke all possible measures to expedite the delivery of goods.在貨物制造和裝運(yùn)過(guò)程中， 由于發(fā)生不可抗力事故致使延期交貨或不能交貨， 賣(mài)方概不負(fù)責(zé)。 賣(mài)方在不可抗力事件發(fā)生后，應(yīng)立即通知買(mǎi)方并在事發(fā) 14 天內(nèi)，將事故發(fā)生所在地當(dāng)局簽 發(fā)的證書(shū)航空郵寄給買(mǎi)方以作證據(jù)。 即使在此情況下， 賣(mài)方仍有責(zé)任采取必要的措施， 盡快 交貨。Should the Seller fails to perform the contracted obligations 10 （ ten） weeks after the aforesaid incident

37、， the Buyer shall have the right to treat the contract as null and void. 不可抗力事故發(fā)生后超過(guò) 10 個(gè)星期而合同尚未履行完畢，買(mǎi)方有權(quán)撤銷(xiāo)合同。16. Late delivery and penalty16、合同延期和罰款Should the Seller fail to make delivery within the contracted period for reasons other than Force Majeure specified in Clause 15 hereof ， the Buyer may

38、 accept the postponement on condition that the Seller agrees to pay a penalty which shall be deducted by the paying bank from the agreed amount of payment. The penalty ， however ， shall not exceed 5% (five percent )of the total value of the goods involved in the late delivery. The rate of penalty is

39、 charged at ( zero point five percent ) for every seven days， odd days less than seven days should be counted as seven days. In case the Seller fails to make delivery ten weeks later than the shipment stipulated in the contract ， the Buyer shall have the right to cancel the contract. The Seller， in spite of the cancellation ， shal
