1、成套設(shè)備采購合同EQUIPMENT PROCUREMENT CONTRACT本合同于 2010 年 xx 月 xx 日由山西 XXXX 集團國際發(fā)展有限公司 (以下簡稱買方 )為一方，與 XXXX （以下簡稱賣方）為另一方簽訂。This Contract made on between (hereinafter called the "Buyer") of the one part, and XXXX （ hereinafter called the "Seller" ）of the other part.鑒于買方愿將名稱為山西 XXXX 集團有限責(zé)任公

4、hedule of Contract Price.2. 本合同的最終用戶為山西 XXXX 集團有限責(zé)任公司，賣方負責(zé)進口到中目事宜。 The end-user of the Contract is .Seller is responsible for the part of the procured equipment that is imported to PRC, while Liyu will performall domestic works under the Contract under its own responsibility.3. 本合同價格包括進口設(shè)備的 FOB 價格，該

5、價格是固定的總價格，不會隨著合同履行期間內(nèi)運輸、勞動力、材料以及設(shè)備等的市場價格變化而進行調(diào)整。 The Contract Price include the FOB cost of imported equipment which is a fixed lump sum price and will not be adjusted with the changes in market price of the transportation, labor, materials and equipment etc during the performance of the Contract.4.

6、 賣方應(yīng)按照如下進度要求，履行本合同下的所有工作，包括但不限于按照以下規(guī)定進行設(shè)計、供貨及保修服務(wù)。Seller shall perform all worksunder the Contract, including but not limited design, procurement and warranty service in accordance with the schedule below:交貨時間 : 賣方按照FOB 漢堡港價格條款將38 個進口分項工程中的第一套設(shè)備交付。Time of Delivery: Seller shall deliver the first lot

7、out of 38 importedGensets FOBHamburg. 交付時間為收到第一筆分期付款后七個月。允許分批裝運。seven month after receipt of firstinstallment payment. Partial shipment is allowed保修期：賣方將在委托之日起，提供24 個月的設(shè)備保修期，或貨物按照國際貿(mào)易術(shù)語（2000 年版）后的 30 個月，以先到的日期為準。Warranty Period: Seller shall provide the warranty service for twenty four (24) months a
