2、ase due to the sellers not having faxed in time, all losses caused shall be borne by the sellers.裝運(yùn)通知： 賣(mài)方應(yīng)于裝貨后，立即用傳真將有關(guān)合同號(hào)、貨物、 數(shù)量、發(fā)票價(jià)值、毛重、運(yùn)輸工具名稱、交貨日期、貨物預(yù)計(jì)抵達(dá)日 等資料通知買(mǎi)方。 如果由于賣(mài)方未能通知買(mǎi)方而造成的所有損失均由 賣(mài)方承擔(dān)。12. GUARANTEE OF QUALITY:The Sellers guarantee that the Commodity hereof is made of the best materials wi

3、th first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract.質(zhì)量保證：賣(mài)方保證合同貨物采用最好的材料、精湛的做工、全新、未使用過(guò)、質(zhì)量和技術(shù)規(guī)格均符合合同的要求。13. CLAIMS:Damages occur in the course of operation by reason of inferior quality, bad workmanship or the u

4、se of inferior materials, the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C. .The Certificate so issuedshall be accepted as the base of a claim. 5、he Sellers, in accordance with the Buyers' claim shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect(s), . If the Sellers fail to answer the Buyers within one month

6、 after receipt of the aforesaid claim, the claim shall be reckoned as having been accepted by the Sellers.索賠：由于貨物內(nèi)在的質(zhì)量、差的做工、選材不當(dāng)而造成操作 中的貨物損壞， 買(mǎi)方應(yīng)立即書(shū)面通知賣(mài)方， 并同時(shí)隨附中國(guó)商檢局出 具的檢驗(yàn)報(bào)告作為索賠依據(jù)。 賣(mài)方在接到買(mǎi)方的索賠后， 有責(zé)任立即 解決相應(yīng)的質(zhì)量問(wèn)題、 全部或部分地替換貨物或根據(jù)貨物損壞的程度 進(jìn)行折價(jià)； 如果賣(mài)方在收到買(mǎi)方的上述索賠后一個(gè)月內(nèi)未能作出答復(fù)，則視為索賠已為賣(mài)方所接受。14. FORCE MAJEURE:The S

7、ellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within

8、 fourteen days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of theaccident issued bythe Competent GovernmentAuthoritieswhere the accidentoccurs as evidence thereof.Undersuchcircumstances theSellers, however, are stillundertheobligation to takeall nec

9、essary measures tohastenthedelivery of the goods.不可抗力：對(duì)于制造或裝船運(yùn)輸過(guò)程中可能產(chǎn)生的不可抗力而 造成的遲交貨或不能交貨， 賣(mài)方可以不承擔(dān)責(zé)任。 賣(mài)方應(yīng)立即在不可 抗力產(chǎn)生的十四日內(nèi)將有關(guān)情況通知買(mǎi)方， 并且賣(mài)方應(yīng)用航空郵件將 有關(guān)政府當(dāng)局部門(mén)出具的證明不可抗力產(chǎn)生的文件寄送給買(mǎi)方。 在此 情況下，賣(mài)方仍應(yīng)盡最大努力采取各種措施促使貨物的發(fā)運(yùn)。15. LATE DELIVERY AND PENALTY:Should the Sellers fail to make delivery on time as stipulated in the

10、 Contract, with exception of Force Majeure causes specified in Clause 15 of this Contract. The Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment. The Penalty, however, shall not exceed 5% of th

11、e total value of the goods involved in the late delivery.The rate of penalty is charged at 0.5% forevery seven days.Odd days less than seven days should be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyer

12、s shall have the right to cancel the contract and the Sellers, in spite the cancellation, shall still pay the aforesaid penalty to the Buyers without delay.遲交貨和罰金： 如果賣(mài)方未能按合同規(guī)定及時(shí)交貨 （除了本合同 15 條款所言的不可抗力 ），買(mǎi)方同意在賣(mài)方付罰金的前提下遲交貨。 罰金的金額不超過(guò)遲交貨的合同貨物部分的價(jià)值的 5% ，罰金按每 7 日0.5%計(jì)算，少于 7 日的增加天數(shù)按 7日計(jì)。如果賣(mài)方未能于合同 規(guī)定的交貨期之后的十

13、周內(nèi)發(fā)運(yùn)，買(mǎi)方有權(quán)取消該合同，除此之外， 賣(mài)方仍要將有關(guān)罰金不加拖延地付給買(mǎi)方。16. TERMINATION OF CONTRACT:Terminate contract by through negotiation by both sides.Sellers should give back mould that have paid, The transport costs of give back mould, to be covered by buyers.合同終止：經(jīng)雙方協(xié)商終止合同的。賣(mài)方應(yīng)將買(mǎi)方已付費(fèi)的模具全部歸還買(mǎi)方，歸還模具產(chǎn)生的運(yùn)輸費(fèi)用，由買(mǎi)方支付。17. ARBITRAT

14、ION:Any dispute arising from or in connection with thisContract shall be submitted to China International Economic and Trade Arbitration Commission for arbitration which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both partied. Arbitration fee shall be borne by the losing party.仲裁：與此合同有關(guān)的爭(zhēng)議應(yīng)通過(guò)友好協(xié)商解決。如果協(xié)商無(wú) 法解決，提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)進(jìn)行仲裁。 按照申請(qǐng)仲裁 時(shí)該會(huì)現(xiàn)行有效的仲裁規(guī)則進(jìn)行仲裁。 仲裁裁決是終局的， 對(duì)雙方均 有約束力。仲裁費(fèi)用由敗訴方承擔(dān)。18.
