If Buyer does not file any disputes about quantity, model and specifications within 7 days after goods receipt shall be deemed the product in conformity with the contract or the agreement of orders from this contract.五 貨品價格：貨品月度結算價格（美元/噸）=陰極銅基價+溢價升水Price: Monthly settlement price of goods (USD/to

11、n) = copper cathodes base price + premium 1、產品的價格按照 銅基價 + 溢價升水 的方式計價；Product pricing copper base price + premium 2、哈板銅基價按倫敦金屬交易所現(xiàn)貨結算均價或點價計價The base price of Kazakhstan copper plate is valued on the basis of LME cash settlement price or pricing3、溢價升水95 USD/T；Premium 95USD/T4、點價期：買方向賣方支付貨物價值10%的點價保證金后

12、，一周內點價完畢；Pricing period：Within one week after Buyer paid 10% of the value of goods as pricing deposit to Seller.5、點價規(guī)則：Pricing Rules: 買方可通過電話或書面形式與賣方 宣兆威 先生(電話：)進行點價，最小點價數(shù)量25噸/次，賣方在點價后第二天將以書面形式與買方確認； Buyer shall do pricing with Buyer Mr. Zhaowei Xuan （ Tel: by telephone or

Seller shall confirm with Buyer the day of after pricing in writing.有效點價時間段為LME交易日的北京時間9：00至24：00點，應買方要求下可以延遲至次日凌晨一點；最小點價單位為25噸；Effective time of pricing is from Beijing time 9:00 to 24:00 of LME trading day. At the request of Buyer, the prici

14、ng effective time can be delayed to 1 oclock of the next day morning, and minimum pricing unit 25tons.點價：1）點價期內點價，按照點價時“盤面現(xiàn)貨價改成“盤面期貨價”（LME3月銅價+現(xiàn)貨升貼水）”確定銅基價。如果買方在點價期截止期限前仍未點價的，按照合同約定最后點價期當天LME官方現(xiàn)貨結算價改成“期貨結算價”確定銅基價。Pricing：Copper price shall be confirmed according to “market spot price” (LME March cop

Accordance with the contract that if Buyer does not do pricing before deadline of pricing period, the copper price shall be confirmed by the LME official cash settlement price at the day of the last pricing period.保證金：1）點價期內點價，收取10%初始點價保證

16、金，但如果在未提貨之前，市場價格相對買方所點價格下跌超過10時，買方接到賣方保證金追加通知后，須在三個工作日內，補足價格下跌部分差額；Deposit：10% of the value of goods as initial pricing deposit shall be collected during pricing period. Otherwise, the transfer of either single party is invalid.八 責任索賠：Liability claims1. 貨品數(shù)量違約責任和索賠：雙方有

21、義務履行合同或訂單數(shù)量。如發(fā)生不履行合同或訂單數(shù)量的違約責任，違約方應承擔相應的違約賠償，同時守約方享有該情況下部分或全部終止合同執(zhí)行的權利。守約方應在違約行為發(fā)生后的次月內向違約方提出索賠要求和賠償條件，逾期將被視為放棄索賠。Liability of quantity breach and claims: Both sides have the obligation to perform the contract or order quantity. 25、 rejected goods ( goods value= pricing of contract unit price by Buyer * product quantity) as penalty.3合同不履行的違約責任：任何一方不履行或不完全履行本合同項下所設定義務，致使本合同所設定目的無法全部或部分實現(xiàn)，守約方有權終止合同履行，且不承擔終止合同給違約方造成的損失，同時有權繼續(xù)以本合同約定追究違約方的違約責任。Liability for breach of contract：either party fails to perform or not fully comply with t

27、e has the right to continue to pursue the defaulting partys breach liability agreed on contract. 九 不可抗力Force Majeure1. 任何一方由于不可抗力的原因不能履行合同時，應在不可抗力事件發(fā)生后的三日內向對方通報不能履行或不能完全履行的理由，以減輕可能給對方造成的損失。在取得有關機構證明以后，允許延期履行、部分履行或不履行合同，并根據(jù)情況可部分或全部免予承擔違約責任。Due to force majeure either party is unable to perform the co
