9、ich the Insurance Company, Shipping Company, other transportation organization or Post Office are liable.(19)不可抗力：賣方對由于以下原因而導致不能或暫時不能履行全部或局部合同義務的, 不負責任：水災、火災、地震、干旱、戰(zhàn)爭或其他任何在簽約時賣方不能預料、無法控 制且不能預防和克服的事件.但賣方因盡快地將所發(fā)生的事件通知對方,并應在事件發(fā) 生后15天內將有關機構出具的不可抗力事件的證實寄交對方.如果不可抗力事件之影響 超過120天,雙方應協(xié)商合同繼續(xù)履行或終止履行的事宜.FORCEMAJ

10、EURES: eller shall not be responsible for failure or delay in performance of entire or portion of these Sale Contract obligations in consequence of Force Majeure incidents: flood, fire, earthquake, drought, war, or any other matters couldn t be foreseen or controlled or couldn t be avoided. 11、er shall inform the incidents to Buyer immediately, and shall delivery the certificate of ForceMajeure incidents issued by related organization within 15 days after the incidents happened. If the incidents influence more than 120 days, both parties shall negotiate to decide whether to execute or ter

12、minate the Sales Contract.(20)仲裁：因履行本合同所發(fā)生的一切爭議,雙方應友好協(xié)商解決,如協(xié)商仍不能解決 爭議,那么應將爭議提交中國國際經(jīng)濟貿易仲裁委員會(北京),依據(jù)其仲裁規(guī)那么仲裁.仲 裁裁決是終局的,對雙方都有約束力.仲裁費應由敗訴一方承擔,但仲裁委員會另有裁 定的除外.在仲裁期間,除仲裁局部之外的其他合同條款應繼續(xù)執(zhí)行.ARBITRATION: All disputes across from the execution of, or in connection with this Sales Contract shall be settled friend

13、ly through negotiation, in case nosettlement can be reached, the case shall then be submitted to China InternationalEconomic and Trade Arbitration Commission, Beijing for arbitration in accordance with its provisional rules of procedure. The result of arbitration shall be born by the losing party ex
