2、Intermsofthebusinessneeds,PartyAwantsPartyBtoprovideservicesforPartyA.PursuanttoGeneralPrinciplesoftheCivilLawofthePeoplesRepublicofChina.ContractLawofthePeoplesRepublicofChinaandotherrelevantregulations,PartyAandPartyB(collectivelyreferredtoastheParties")havewillinglyenteredintothisServiceCont

6、ebysafeoperatingregulationsofPartyA.IncasethatlaborsofPartyBviolatesafeoperatingregulationsintentionallyornegligentlyandbeinjured,PartyBshallburdenallresponsibilities.1.3 乙方工作時(shí)間根據(jù)甲方需要確定。1.4 TheworkinghoursofPartyBisimplementedbyPartyAaccordingtothebusinessneeds.1.5 乙方在為甲方提供服務(wù)中知悉的甲方商業(yè)秘密，不得提供或泄露給任何第三方

7、。1.6 PartyBshallnotdisclosetoanythirdpartyanyconfidentialinformationobtainedbecauseofservicesinPartyA.1.7 甲方按照乙方提供的服務(wù)，向乙方支付服務(wù)費(fèi)。1.8 PartyApaysserviceremunerationtoPartyBfortheservices.第四條服務(wù)費(fèi)支付Clause 4: PaymentofServiceRemuneration4.1 甲方支付乙方服務(wù)費(fèi)的標(biāo)準(zhǔn)、方式、時(shí)間：4.2 PartyApaysserviceremunerationtoPartyBasthefo

8、llow!ngstandards:4.3 如需調(diào)整服務(wù)費(fèi)，甲乙雙方另行約定。4.4 TheremunerationmaybeadjustedbyotheragreementsofbothParties.第五條合同的終止與解除Clause 5: RescissionandTerminationoftheContract5.1 本合同期滿如雙方未續(xù)簽，則合同自行終止。雙方應(yīng)及時(shí)辦理交接手續(xù)。5.2 IfbothPartiescannotagreetorenewtheagreement,theContractterminatesautomaticallywhenitexpires.BothParti

9、esshallimplementhandoverprocedures.5.3 甲方有權(quán)視業(yè)務(wù)需要及乙方服務(wù)情況等隨時(shí)解除本合同，甲方不向乙方支付任何補(bǔ)償。5.4 PartyAisentitledtoterminatetheContractwheneverbasedonthebusinessneedsandperformaneeofPartyB.PartyAburdensnoresponsibilitytopayanyfinaneialeompensationtoPartyB.5.5 本合同終止或解除后，雙方應(yīng)及時(shí)辦理交接手續(xù)。5.6 BothPartiesshallimplementhando

10、verproceduresafterreseissionorterminationoftheContract.第六條違約責(zé)任Clause 6: ResponsibilityofDefault6.1 乙方未按照甲方要求提供相應(yīng)服務(wù)的，應(yīng)按照服務(wù)費(fèi)金額的口當(dāng)向甲方支付違約金。6.2 IneasethatPartyBprovidesservicesoutofaeeordaneewiththerequirementsofPartyA,PartyBshallpayliquidateddamagestoPartyAattherateofoftheserviceremuneration.6.3 甲方不按照本

11、合同約定日期向乙方支付服務(wù)費(fèi)的，每拖欠一日按照拖欠金額的口向乙方支付違約金。6.4 IneasethatPartyApaysserviceremunerationoutofaeeordaneewiththedateagreedintheContract,PartyAshallpayliquidateddamagestoPartyBattherateofofarrearsperlateday.6.5 乙方在提供服務(wù)中因故意或過失給甲方造成損失的，按照損失的金額據(jù)實(shí)賠償。6.6 IneasethatPartyBcausesdamagestoPartyAbecauseofintentionorneg

12、ligeneeinservices,PartyBshalleompensateaeeordingtothedamages.第七條爭(zhēng)議解決甲乙雙方在履行本合同過程中發(fā)生爭(zhēng)議的，應(yīng)當(dāng)通過協(xié)商解決。協(xié)商不成的，任何一方均有權(quán)向甲方所在地有管轄權(quán)的人民法院提起訴訟。Clause 7: SettlementofDisputesIncasethatanydisputesarisefromtheperformsneeofthisContract,suchdisputesshallbesettledthroughconsultationsfirst.Incasethatnoconsultationscanbereached,eitherpartycanfilealawsuitunderthejurisdictionofthePeople'CourtattheaddressofPartyA.第八條文本及生效Clause8:TextandValidity7.1 本合同文本一式兩份，甲乙雙方各執(zhí)一份。7.2 ThisContractisinduplicate,oneforeachparty.7.3 本合同于雙方蓋章簽字之日生效。8.2ThisContractentersintoforcesinceth
