2、ses located at No. , Building ofRoad, Chaoyang District, Beijing . Party A agrees to lease and Party B agrees to rent the Premises. Therefore, after consultation, the parties hereby agree to enter into this Contract to formulate the parties' rights and obligations, and to abide by the terms and

3、conditions ofthis Contract.甲方合法擁有北京市朝陽(yáng)區(qū)樓 單元 房屋(以下簡(jiǎn)稱 該單元”),甲方愿意出租以及乙方愿意承租該單元。為明確租賃雙方的權(quán)利、義務(wù),經(jīng)協(xié)商一致達(dá)成本合同,以資雙方共同遵守。1. Premises for Lease第一條租賃范圍1.1 Party B agrees to lease the Premises from Party A in accordance with the terms hereunder. The gross floor area of the Premises is sqm . The Premises shall be

4、used for residence by Party B and persons designated by Party B, and shall be used by persons. The Premises or any parts of the Premises shall not be subleased to or be used together with any third party without the prior written consent of Party A. Party B has no right to use the external walls of

5、the building.1.2 根據(jù)本合同的條款,乙方向甲方承租的該單元,建筑面積為“平方米。由乙方及其指定之使用人作為居住用途,供人長(zhǎng)期使用。未征得甲方事先書(shū)面同意 ,不得擅自將該單元全部或部分轉(zhuǎn)租、轉(zhuǎn)讓給第三 方或與第三方共同使用。乙方無(wú)權(quán)使用該棟大廈外墻的墻壁。1.3 The parties will deliver and take the Premises in the conditions set out in the Appendices.1.4 甲、乙雙方以附件所列房屋狀況交接該單元。2. Lease Term第二條租賃期限The term of lease is month

6、s, commencing on and expiring on (hereinafter referredto as the "Term")租賃開(kāi)始日期自年 月 日起至 年 月 日止,租賃期月(以下簡(jiǎn)稱租期”)。3. Rent第三條租金3.1 Party B shall pay the monthly rent in the amount of RMB per month, inclusive of property management fee, heating, but exclusive of charges for tax invoice, water, elec

7、tricity,gas, municipal telephone call, ADSL and Satellite TV & cable fee, IP long distance call, and the use fees of the other specific facilities provided for use by Party B.3.2 乙方須向甲方繳納租金,租金為人民幣元整/月,含物業(yè)管理費(fèi)、供暖費(fèi),但不含發(fā)票稅費(fèi)、水費(fèi)、 電費(fèi)、煤氣費(fèi)、市話費(fèi)、電話及寬帶開(kāi)通費(fèi)、衛(wèi)星電視開(kāi)通和收視費(fèi)、寬帶網(wǎng)絡(luò)使用費(fèi)、以及供乙方使用 的其他專門(mén)設(shè)施的使用費(fèi)。3.3 Payment m

8、ethod: Party B shall pre-paythe monthly / quarterly /-y 曲half yearlyrental in Renminbi to the Renminbi account designated by Party A. The first installment of rent shall be paid upon the date on which this Contract is signed by the parties, and the duedate for subsequent installments of the rent sha

9、ll be postponed accordingly on a monthly/ quarterly / 口yealfly / yearly basis, provided that Party B shall pay the rent days priorto the due date for each installment of rent. If Party B is not able to pay the rent on time dueto business trip or other reasons, it shall notify Party A in advance and

10、the payment of rent may be postponed for five working days from the due date for such installment of rent, failing which Party B shall pay Party A a penalty equal to 5%o of the outstanding rent per day ofdelay. If the late payment exceeds fifteen days, Party A is entitled to terminate this Contract.

11、3.4 付款方式:乙方應(yīng)按 !/辟/匚羊年/小 預(yù)先以人民幣交付租金至甲方指定的人民幣帳戶。首期租 金在雙方簽署本合同時(shí)交付,以后每期租金到期日按口1 /口季/口半年/年順延,但乙方應(yīng)在每期租金到期日日前交付租金。如果乙方因出差或其他原因不能及時(shí)交付租金,乙方應(yīng)提前通知甲方,此租金交付可從當(dāng)期租金到期日起推后五個(gè)工作日。否則乙方應(yīng)向甲方交滯納金。每延遲一天,乙方支付甲方滯納金為當(dāng) 期應(yīng)付租金的5%。,若逾期十五天,甲方有權(quán)終止合同。4. Deposit第四條租賃保證金4.1 The parties agree upon execution of this Contract that, Part

12、y B shall pay to Party A a deposit equivalent to one months rent (totaling RMB ) before as the deposit for Party B good faith performance of all terms and conditions of this Contract (hereinafter referred to as the “ Deposit " ). Party A shall issue receipt for such payment to Party B after dep

13、osit receiving.4.2 雙方在簽署本合同時(shí)同意,乙方在 年 月 日前將相當(dāng)于一個(gè)月租金總計(jì)人民幣 元整的租賃保證金 支付給甲方,作為乙方忠實(shí)履行本合同各項(xiàng)條款規(guī)定和條件的保證金。以下簡(jiǎn)稱保證金”。甲方須在收到此款項(xiàng)后,向乙方提供收據(jù)。4.3 If Party B breaches any terms and conditions hereunder (including but not limited to provisions regarding rental payment) and consequently causes actual loss to Party A (ex

14、cept for normal wear and tear of decoration, of furniture and of electronic applicances), Party B shall compensate for such loss. During the term of this Contract, Party B has no right to deduct rental and other fees payable under this Contract from the Deposit, and has no right to transfer the Depo

15、sit to a third party or to use the Deposit as security for debts.4.4 如乙方違反本合同任何條款規(guī)定或條件(其中包括但不限于交付租金的規(guī)定)給甲方造成實(shí)際損失的 (其中對(duì)裝修、家具、電器的自然磨損除外 ),由乙方負(fù)責(zé)賠償。在合同期內(nèi),乙方不得將保證金沖抵租金 和本合同規(guī)定的各項(xiàng)費(fèi)用,不得將保證金作為轉(zhuǎn)讓第三者和用于債務(wù)的擔(dān)保。4.5 Party A shall refund the Deposit without interests within five days provided that Party B has fully

16、 performed the terms and conditions of this Contract and has handed over the Premises and paid all outstanding fees.4.6 在乙方全部履行本合同各項(xiàng)條款、規(guī)定和條件的情況下,并交還該單元、交清所欠費(fèi)用后,甲方在五 日內(nèi)退還保證金(不計(jì)利息)。1 . Late Payment Interests2 .延期利息If Party B fails to pay the Deposit or other fees payable under this Contract, or Party

17、A has paid for Party B such other fees payable by Party, Party B shall pay late payment interests for the period of late payment at the rate of 0.5%o of the outstanding amount per day.如乙方未能按照本合同規(guī)定支付應(yīng)付的保證金和其他款項(xiàng)給甲方,或甲方為乙方墊付應(yīng)由乙方支付的其他 款項(xiàng),乙方應(yīng)付遲延支付期間的遲延利息,該遲延利息應(yīng)按日息為所欠款項(xiàng)的 0.5%。計(jì)算。1 . Damage and Repair2 .損壞

18、和維修2.1 Party A shall ensure that the construction structure and the equipment and facility of the Premises conform to the safety conditions concerning construction, fire prevention and others, and the Premises has not any danger to the personal safety. Party B shall ensure that the relevant laws and

19、 regulations of national or Beijing government shall be observed during use of the Premises.6.1 甲方應(yīng)保證房屋的建筑結(jié)構(gòu)和設(shè)備設(shè)施符合建筑、消防等方面的安全條件,不得危及人身安全;乙方 應(yīng)保證在使用過(guò)程中遵守國(guó)家、北京市的相關(guān)法律法規(guī)規(guī)定。?6.2 During the Term, both parties shall ensure that the Premises and its contents, equipment and facilities are in usable and safe

20、condition:6.3 租賃期內(nèi),甲乙雙方應(yīng)共同保障房屋及其附屬物品、設(shè)備設(shè)施處于適用和安全的狀態(tài):s notice. If Party A6.3.1 Regarding normal wear and tear of the Premises and its contents, equipment and facilities, Party B shall promptly notify Party A for repair and maintenance. Party A shall commence repair and maintenance within 7 days after

21、 receipt of Party B failed to do so, Party B can repair and maintain for Party A and, to the extent lawful and reasonable, the expenses shall be borne by Party A.6.2.1 對(duì)于房屋及其附屬物品、設(shè)備設(shè)施因自然屬性或合理使用而導(dǎo)致的損耗,乙方應(yīng)及時(shí)通知甲方修復(fù)。 甲方應(yīng)在接到乙方通知后的 7日內(nèi)進(jìn)行維修。逾期不維修的,乙方可代為維修,費(fèi)用由甲方在合理合法范 圍內(nèi)承擔(dān)。6.2.2 If the Premises and its cont

22、ents, equipment and facilities are damaged due to Party B' simproper keeping or unreasonable usage, Party B shall be responsible for repair and maintenance and shall be liable for compensation.6.2.2因乙方保管不當(dāng)或不合理使用,致使房屋及其附屬物品、設(shè)備設(shè)施發(fā)生損壞或故障的,乙方應(yīng)負(fù)責(zé) 維修或承擔(dān)賠償責(zé)任。1 . Rights and Obligations of Party A2 .甲方權(quán)利

23、及義務(wù)7.1 Party A hereby guarantees that Party A is the legal owner and has the right to lawfully lease the Premises. Otherwise, Party A shall bear the legal liability arising therefrom in full.7.1 甲方保證是項(xiàng)目合法的擁有者,其有權(quán)合法出租該單元,否則產(chǎn)生的法律責(zé)任均由甲方承擔(dān)。7.2 Party A hereby guarantees that the Premises is housing that

24、has been developed, constructed and completed legally. The Premises has not been sold on the signature date of this Contract, and it does not exist other legal impediments which may affect the performance of this Contract.7.2 甲方保證該單元是合法開(kāi)發(fā)建設(shè)完成的房屋,本合同簽訂時(shí)該單元尚未對(duì)外銷售,也不存在影響本合 同履行的其它法律障礙。7.3 Party A hereby

25、 guarantees that Party B shall have the right to occupy and enjoy the Premises peacefully throughout the Term without any interruption by Party A or its agents, provided that Party B has paid the rent and other fees hereunder and complies with the terms and conditions to be performed by Party B unde

26、r this Contract.7.3 甲方保證在租期內(nèi),乙方將有權(quán)平靜地占有和享用該單元,不會(huì)受到甲方或甲方代理人的干擾,但前 提是乙方支付了本合同規(guī)定的租金和其它費(fèi)用,并遵守和履行了本合同規(guī)定的應(yīng)由乙方遵守和履行的條款。7.4 Party A has the right to terminate this Contract unilaterally upon occurrence of any of the following to Party B:7.4 乙方出現(xiàn)下列任何情況時(shí),甲方有權(quán)單方解除本合同。7.4.1 violates the laws or the regulations

27、of PRC or uses the Premises for illegal business operations;7.4.2 違反中華人民共和國(guó)的法律/法規(guī),利用該單元進(jìn)行不法經(jīng)營(yíng)活動(dòng);7.4.3 changes the uses of the Premises without consent of Party A;7.4.4 未經(jīng)甲方同意擅自更改該單元的用途;7.4.5 fails to pay the rent pursuant to relevant provisions hereunder; or7.4.6 未按本合同的有關(guān)條款繳納租金;或7.4.7 sub-lets the P

28、remises or parts of the Premises to others, transfers the Premises to others or uses the Premises jointly with a third party without the consent of Party A.7.4.8 未征得甲方同意,擅自將該單元或該單元的部分轉(zhuǎn)租、轉(zhuǎn)讓給第三方或與第三方共同使用。s rights to7.5 Party B agrees to waive its right of first refusal in respect of the Premises volun

29、tarily and unconditionally during the Term. During the Term, Party A shall be free to transfer the Premises to any third party, provided that such transfer shall not prejudice Party B occupy, control and use the Premises in accordance with the terms and conditions of this Contract. If Party A transf

30、ers the Premises to a third party, such third party shall continue to enjoy and bear all rights and obligations of Party A under this Contract. Party B undertakes to cooperate in full with Party A in handling the relevant formalities to sell and hand-over of the Prem ises. Party B ' s failure to

31、 cooperate for the hand -over shall not affect the assumption of the rights and obligations of this Contract by the new owner. Party B shall pay rent to the newowner in accordance with this Contract after receipt of Party Ace, othe rwisecParty Bshall bear the liability for breach of contract and lat

32、e payment under this Contract.7.6 在租期內(nèi),乙方自愿無(wú)條件放棄該單元的優(yōu)先購(gòu)買(mǎi)權(quán)。在租期內(nèi),甲方有權(quán)自由轉(zhuǎn)讓該單元予任何第 三方,但是該轉(zhuǎn)讓不得影響乙方根據(jù)本合同的條款和條件占有、控制和享用該單元的權(quán)利。若甲方將該單 元出售予第三方,第三方將繼續(xù)享有和承擔(dān)甲方在本合同項(xiàng)下的所有權(quán)利和義務(wù)。乙方承諾充分配合甲方 辦理該單元的出售及交接手續(xù),不影響新業(yè)主開(kāi)始繼受出租方在本合同項(xiàng)下的權(quán)利義務(wù)。乙方須在接到甲 方通知之日起按本合同向新業(yè)主支付租金,否則須承擔(dān)本合同項(xiàng)下的逾期付款違約責(zé)任。1 . Rights and Obligations of Party B2 .乙

33、方權(quán)利及義務(wù)8.1 Party B is entitled to occupy and use the Premises reasonably and legally during the Term provided that it strictly complies with the terms and conditions of this Contract.8.1 如果乙方嚴(yán)格遵守本合同的各項(xiàng)條款,則乙方有權(quán)在租賃期內(nèi)合理、合法占用和使用該單元。8.2 Party B shall pay rent and the expenses of electricity, water, gas, t

34、elephone, ID long distance call incurred at the Premises and the service fee of other specific facilities provided for Party B on time (other than the written agreement between the parties).8.3 乙方須按時(shí)繳付租金以及該單元的電費(fèi)、水費(fèi)、煤氣費(fèi)、電話費(fèi)、IP主叫長(zhǎng)話費(fèi),以及供乙方使用的其他專門(mén)設(shè)施的服務(wù)費(fèi),(甲、乙雙方另有書(shū)面約定除外)。8.4 Party B shall keep the interna

35、l part of the Premises in clean and good condition and shall prevent damage, pollution and fire, etc. It shall have the duty to supervise his visitors and friends to protect the property of Party A or the public facility of this compound. If there is any damage caused to Party A, other owners or les

36、sees of this compound or the public facility of compound due to Party B ' s reason, Party B shall compensate for the losses arising therefrom.8.5 乙方應(yīng)負(fù)責(zé)該單元內(nèi)部的整潔完好,防止破壞、污染、火災(zāi)等事故,并有責(zé)任監(jiān)督來(lái)訪的客人及朋友 愛(ài)護(hù)甲方的物品,以及小區(qū)的公共設(shè)施。如由于乙方的原因,給甲方其他業(yè)主和租戶或該小區(qū)的公共設(shè)施 造成損害時(shí),乙方必須賠償損失。1 . Termination of Contract2 .合同的終止2.1 Upon

37、 occurrence of any of the event prescribed under Article 8.4, Party A is entitled to unilaterally terminate this Contract without the need to issue any notice requesting for rectification of the breach.9.1 第8.4條所規(guī)定的任何情形發(fā)生時(shí),甲方有權(quán)單方直接終止本合同而無(wú)需發(fā)出糾正通知。9.2 The parties may terminate this Contract early by r

38、eaching a written agreement through consultation.9.3 甲、乙雙方經(jīng)協(xié)商,可達(dá)成書(shū)面協(xié)議提前終止本合同。9.4 If either party cannot perform this Contract due to the occurrence of any force majeure events (such as earthquake, storm, hail and fire) which cannot be predicted or the occurrence and consequence of which cannot be av

39、oided, the party who experience the force majeure event will be exempted from liability for failure to perform relevant obligations of this Contract (save for payment obligations).9.5 因發(fā)生地震、暴雨、冰雹、火災(zāi)等其他不能預(yù)見(jiàn)的,其發(fā)生和后果不能防止或避免的不可抗力致使任 何一方不能履行本合同時(shí),遭受不可抗力的一方可免除未能履行本合同項(xiàng)下相關(guān)義務(wù)的責(zé)任(付款義務(wù)除 外)。1 . Penalty for Breac

40、h2 .違約責(zé)任10.1 Any party who breaches this Contract shall compensate for any economic loss caused to the other party due to the breach. If the economic loss is due to default of both parties, both parties shall bear respective liability for breach in accordance with the circumstance.10.1 任何一方有違反本合同的行為

41、,應(yīng)就違約行為給對(duì)方造成的經(jīng)濟(jì)損失進(jìn)行賠償。如果屬于雙方的過(guò)失,應(yīng)根據(jù)情況,由雙方分別承擔(dān)違約責(zé)任。10.2 If Party B fails to perform the provisions of Article 9.1 hereof, or Party B fails to perform other provisions of this Contract and fails to rectify the breach after 14 days of receiving Party A' s written notice requesting for rectification

42、 of the breach, Party A has the right to terminate this Contract unilaterally. This Contract shall be automatically terminated from the date on which the termination notice is delivered. Upon termination of this Contract, the Deposit shall not be refunded to Party B and Party A shall have the right

43、to claim for further losses or outstanding fees (if any), and Party B shall vacate and return the Premises to Party A within three days from the date of delivery of the termination notice.10.3 如乙方違反本合同第9.1條約定;或乙方違反本合同其它條款并接到甲方書(shū)面糾正通知后十四天內(nèi)不予糾正時(shí),甲方有權(quán)單方解除本合同,合同自解除通知送達(dá)之日起自動(dòng)解除。合同解除時(shí),保證金不予 退還乙方;若有其它損失或未付費(fèi)用

44、,甲方仍有權(quán)追索。乙方應(yīng)在解除通知送達(dá)之日起三日內(nèi)遷出并交回 該單元于甲方。1 . Renewal of Lease2 .續(xù)租Where Party B has fully performed the terms, provisions and regulations of this Contract during the term of this Contract, Party B has the priority right to extend the Term under this Contract provided that it has given written applicati

45、on for extension no later than 30 days before expiry of the Term and that the parties have agreed on the conditions of the extension (including rent and term of lease) and executed the contract for the extension of the lease by no later than 15 days prior to the expiration of the Term, failing which

46、, Party A may lease the Premises to others. Party A may show the Premises to potential tenants by giving reasonable notice to Party B within 30 days prior to the expiration of the Term and Party B shall use its best efforts to cooperate with Party A.在本合同有效期內(nèi),乙方全部履行本合同各項(xiàng)條款、規(guī)定和條件的情況下,乙方有優(yōu)先要求將本合同租期 延長(zhǎng)的

47、權(quán)利,但乙方須于不遲于租期期滿前三十天提出書(shū)面續(xù)租要求,并由雙方在租期期滿前十五天前就 續(xù)租的條件(包括租金和租賃期)達(dá)成一致,簽署續(xù)租合同,否則甲方可另行出租。甲方可在租期期滿前 三十天內(nèi),在給予乙方合理通知后將該單元向未來(lái)的租戶展示,乙方應(yīng)盡量配合甲方。1. Early Termination 2.提前解約The parties shall not terminate this Contract except for any legal reason such as force majeure under Article 9.3. After the commencing date of

48、the Term under this Contract, if Party A terminates this Contract unilaterally, Party A shall return the double amount of the Deposit in accordance with Article 4.1. If Party B wishes to terminate this Contract early, Party A will hold the total Deposit and this Contract shall be automatically termi

49、nated.雙方除9.3款不可抗力等法定理由外,不得提前解約。本合同所定租期開(kāi)始后,若甲方單方終止本合同, 則甲方需向乙方雙彳t 的返還其根據(jù)第 4.1條的規(guī)定收取的保證金;如乙方要求提前解約,甲方扣留乙 方已付保證金的全部,則本合同自動(dòng)終止。1. Notice 2.通知Any notices sent by one party to the other party under this Contract shall be made in Chinese and shall be delivered by hand, by registered air-mail (with postage p

50、re-paid), express delivery service commonly recognized or by fax to the address stipulated in this Contract. A notice shall be deemed to have been delivered: 任何一方根據(jù)本合同發(fā)出的通知或其他聯(lián)系應(yīng)以中文書(shū)寫(xiě)并可通過(guò)人工送遞或航空掛號(hào)郵寄(預(yù)付郵資)、公認(rèn)的快遞服務(wù)或以傳真發(fā)送至另一方的合同約定地址。通知視為有效送達(dá)的日期按以下方法予以確定:1) if sent by hand, on the date on which the docu

51、ments is delivered to the designated address; 1)人工投遞的通知,視作于人工投遞之日送達(dá);2) if sent by registered air-mail, on the tenth (10th) day after the notice is mailed (as evidence by stamp chop);2)航空掛號(hào)郵寄的通知,視為于投郵日(郵戳日期)后第十(10 )天送達(dá);3) if sent by express delivery, on the fifth (5th) day after the notice is sent by express delivery service commonly recognized;3)快遞送
