1、合同訂立原那么平等原那么：根據(jù)?中華人民共和國合同法?第三條：“合同當(dāng)事人的法律地位平等，一方 不得將自己的意志強加給另一方的規(guī)定，平等原那么是指地位平等的合同當(dāng)事人， 在充分協(xié)商達成一致意思表示的前提下訂立合同的原那么。這一原那么包括三方面內(nèi) 容：合同當(dāng)事人的法律地位一律平等。不管所有制性質(zhì)，也不問單位大小和經(jīng)濟 實力的強弱，其地位都是平等的。合同中的權(quán)利義務(wù)對等。當(dāng)事人所取得財產(chǎn)、 勞務(wù)或工作成果與其履行的義務(wù)大體相當(dāng)；要求一方不得無償占有另一方的財產(chǎn)， 侵犯他人權(quán)益；要求禁止平調(diào)和無償調(diào)撥。合同當(dāng)事人必須就合同條款充分協(xié) 商，取得一致，合同才能成立。任何一方都不得凌駕于另一方之上，不得把

2、自己的 意志強加給另一方，更不得以強迫命令、脅迫等手段簽訂合同。自愿原那么：根據(jù)?中華人民共和國合同法?第四條：“當(dāng)事人依法享有自愿訂立合同的權(quán) 利，任何單位和個人不得非法干預(yù)的規(guī)定，民事活動除法律強制性的規(guī)定外，由 當(dāng)事人自愿約定。包括：第一，訂不訂立合同自愿；第二，與誰訂合同自愿，；第 三，合同內(nèi)容由當(dāng)事人在不違法的情況下自愿約定；第四，當(dāng)事人可以協(xié)議補充、 變更有關(guān)內(nèi)容；第五，雙方也可以協(xié)議解除合同；第六，可以自由約定違約責(zé)任， 在發(fā)生爭議時，當(dāng)事人可以自愿選擇解決爭議的方式。公平原那么：根據(jù)?中華人民共和國合同法?第五條：“當(dāng)事人應(yīng)當(dāng)遵循公平原那么確定各方 的權(quán)利和義務(wù)的規(guī)定，公平原那

14、UARANTEE OF QUALIT：YThe Sellers guarantee that the Commodity hereof is made of the best materials with first class workmanship， brandnew and unused ， and complies in all respects with the quality and specification stipulated in this Contract. The guarantee period shall be 12 months counting from the

15、 date of signing the Acceptance Report of this machine at the enduser's site.質(zhì)量保證：賣方保證合同貨物采用最好的材料、精湛的做工、全 新、未使用過、質(zhì)量和技術(shù)規(guī)格均符合合同的要求。質(zhì)保期為最終用 戶簽定驗收報告后 12 個月內(nèi)。14. CLAIMS：Within 90 days after the arrival of the goods at destination ， should the quality， specification ， orquantity be found in unconformi

16、ty with the stipulations of the Contract except those claims for which the insurance company or not the owners of the vessel are liable， theBuyers shall ， on the strength of the Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C. or the site i

17、nspection report issued by the sel ler s engineer ， have the right to claim for replacement with new goods ， or for compensation ， and allexpenses (such as inspection charges， freight for returningthe goods and for sending the replacement ， insurance premium， storage and loading and unloading charge

18、s etc.) shall be borne by the Sellers. As regards quality， theSellers shall guarantee that if within 12 months from the date of signing the acceptance report of this machine，damages occur in the course of operation by reason of inferior quality， bad workmanship or the use of inferiormaterials ， the

19、Buyers shall immediately notify the Sellers in writing and put forward a claim supported by Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C. .The Certificate so issued shall be accepted as the base of a claim. The Sellers ， in accordance wi

20、th the Buyers' claim shall be responsible for the immediate elimination of the defect(s) ， complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect(s) ， . If the Sellers fail to answer the Buyers within one month after receipt of the afor

21、esaid claim， the claimshall be reckoned as having been accepted by the Sellers.索賠：貨物抵達目的地后 90 天內(nèi)，如果質(zhì)量、技術(shù)規(guī)格或數(shù)量發(fā) 現(xiàn)與合同的規(guī)定不符 (除過保險公司和運輸公司的責(zé)任所負(fù) ) ，買方應(yīng) 該依據(jù)中華人民共和國出入境檢驗檢疫局的檢驗報告或者是賣方的調(diào)試人員在安裝調(diào)試時出具的報告，有權(quán)要求替換或補償，所有的費用 包括商檢費、替補件來回的運費、保險費、倉儲費、貨物裝貨卸貨費 等 均由賣方承當(dāng)。賣方的質(zhì)量保證為簽定關(guān)于此批貨物的驗收報告后 12 個月內(nèi) ; 由于貨物內(nèi)在的質(zhì)量、差的做工、選材不當(dāng)而造

22、成操作中的 貨物損壞，買方應(yīng)立即書面通知賣方，并同時隨附中國商檢局出具的 檢驗報告作為索賠依據(jù)。賣方在接到買方的索賠后，有責(zé)任立即解決 相應(yīng)的質(zhì)量問題、全部或局部地替換貨物或根據(jù)貨物損壞的程度進行 折價 ; 如果賣方在收到買方的上述索賠后一個月內(nèi)未能作出答復(fù)，那么 視為索賠已為賣方所接受。15. FORCE MAJEUR：EThe Sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure ， which might occur

23、 during the process of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within fourteen days thereafter， theSellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued

24、 by the Competent Government Authorities where the accident occurs as evidence thereof. Under such circumstances the Sellers，however， are still under the obligation to take all necessary measures to hasten the delivery of the goods. In， the Buyerscase the accident lasts for more than 10 weeks shall

25、have the right to cancel the Contract.不可抗力：對于制造或裝船運輸過程中可能產(chǎn)生的不可抗力而造 成的遲交貨或不能交貨，賣方可以不承當(dāng)責(zé)任。賣方應(yīng)立即在不可抗 力產(chǎn)生的十四日內(nèi)將有關(guān)情況通知買方，并且賣方應(yīng)用航空郵件將有 關(guān)政府當(dāng)局部門出具的證明不可抗力產(chǎn)生的文件寄送給買方。在此情 況下，賣方仍應(yīng)盡最大努力采取各種措施促使貨物的發(fā)運。如果事故 持續(xù)十周，買方有權(quán)取消該合同。16. LATE DELIVERY AND PENALT：YShould the Sellers fail to make delivery on time as stipulated i

26、n the Contract， with exception of Force Majeurecauses specified in Clause 15 of this Contract. The Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment. The Penalty， however ， shallnot exceed 5% o

27、f the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.5% for every seven days. Odd days less than seven days should be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract ， the Buyers shall have the right to cancel the contract and the Sellers， in spite the cancellation， shall still pay the aforesaid penalty to the Buyers without delay.遲交貨和罰金：如果賣方未能按合同規(guī)定及時交貨 除了本合同 15 條款所言的不可抗力 ，
