3、及技術(shù)標(biāo)準(zhǔn)：Article 2 the quality requirements and technical standard:按照本合同第一條約定的規(guī)格型號(hào)和配置說明提供電子產(chǎn)品，質(zhì)量標(biāo)準(zhǔn)按照生產(chǎn)廠商技術(shù)標(biāo)準(zhǔn)。Article 1 in accorda nee with the prescribed specificati ons and con figurati on that provides electr onic products, quality sta ndard accord ing to manu facturer tech nical sta ndards.第三條包裝與運(yùn)輸：

4、Packag ing and shipp ing: article3 1包裝方式：紙箱3- 1 pack ing: cartons3 2運(yùn)輸安排由 供方負(fù)責(zé)，供方代辦運(yùn)輸至 需方指定地點(diǎn)：甲方辦公地點(diǎn)，運(yùn)輸費(fèi)用由 供方承擔(dān)。3- 2 transportation arrangement is responsible by the supplier, and the supplier for transportation to the designated place: party a location, transport costs by the supplier.第四條價(jià)款約定：Artic

6、ireme nts and tech nical sta ndards.5 2乙方在交貨地點(diǎn)有辦事機(jī)構(gòu)的(以乙方確認(rèn)書為準(zhǔn))，甲方在電子產(chǎn)品運(yùn)輸至交貨地點(diǎn)收貨同時(shí)進(jìn)行驗(yàn)收；乙方在交貨地點(diǎn)沒有辦事機(jī)構(gòu)的，甲方在電子產(chǎn)品運(yùn)輸至交貨地點(diǎn)之日起三日內(nèi)進(jìn)行驗(yàn)收。驗(yàn)收中存在 異議的，甲方向乙方出具書面異議理由，由乙方協(xié)同生產(chǎn)廠商按照本合同第二條質(zhì)量要求及標(biāo)準(zhǔn)進(jìn)行檢查。5 3電子產(chǎn)品運(yùn)輸至 交貨地點(diǎn) 后三日內(nèi)甲方未提出書面異議理由的，視為驗(yàn)收合格。5-2 in place of delivery by party b (offices), party a shall prevail in the sales

9、圍：按照生產(chǎn)廠商的保修范圍。6- 1 warra nty scope: accord ing to manu facturer's warra nty scope.6 2保修期限：自乙方將電子產(chǎn)品運(yùn)輸至交貨地點(diǎn)之日起(12)個(gè)月。6- 2 guara ntee deadli ne: party b will electr onic product tran sportati on to the date of delivery locati on (12) mon ths.第七條違約責(zé)任：Article 7 liability for breach:7 1甲方延期付款的，乙方交付電子產(chǎn)

10、品的時(shí)間可相應(yīng)順延，甲方按照延期支付金額的0.5% /日向乙方支付滯納金，直至款項(xiàng)付清之日。甲方延期支付超過三十日的，乙方有權(quán)選擇解除合同，甲方按照合同滯納金標(biāo)準(zhǔn)向乙方支付違約金(支付至乙方提出解除日)，向乙方返還電子產(chǎn)品，甲方已經(jīng)支付的款項(xiàng)作為賠償，如不足以彌補(bǔ)乙方的損失的，由甲方另行賠償。7- 1 party a and party b con sig n the deferred payme nt of electr onic products, party a may postp one deferred payme nt in accorda nce with the amount

More tha n 30 of the deferred payme nt of party a, party b has the right to term in ate the con tract, party a shall choose to party b in accorda nce with the con tract, fine for delay ing payme nt sta ndard pay liquidated damages paid

12、 to party b (day), puts forward to remove the return to party b, party a has electronic products as compensation for payment made to compe nsate party b, such as the loss of compe nsati on by party a, separately.7 2乙方按照本合同約定的時(shí)間、地點(diǎn)、質(zhì)量要求和技術(shù)標(biāo)準(zhǔn)向甲方提供定購產(chǎn)品，如延期交付的，按照未交付產(chǎn)品金額的0.5% /日向甲方支付滯納金。因乙方延期到貨給甲方造成的損失由乙

Party fails to pay (except in the delivery price),7 3甲方未按合同約定收貨、驗(yàn)收或無正當(dāng)理由提出異議拒絕收貨的，乙方將電子產(chǎn)品運(yùn)輸至交貨地點(diǎn)之日視為甲方收到貨物和驗(yàn)收合格的時(shí)間，由此造成的損失由甲方負(fù)責(zé)。7-3 party fails to con tract receivi ng, accepta nee or without warra nt object ion refused to receiv ing party b will electronic product t

15、ransportation and delivery locations, as party a receives goods and acceptance of time, which caused by party a is resp on sible for the loss.7 4除本合同約定外，任何一方擅自解除合同，應(yīng)當(dāng)按照本合同總價(jià)款的0.5%向另一方支付違約金，由此給另一方造成的損失，由擅自解除合同一方負(fù)責(zé)賠償。7- 4 except this con tract without authorizati on, any party shall cancel the con tra

16、ct, and in accorda nce with the con tract, the total price to pay liquidated damages to the other party 0.5%, thus causing losses to the other party, the party resp on sible for authorizati on to termi nate the con tract.第八條不可抗力：Article 8 the force majeure:8 1戰(zhàn)爭(zhēng)、動(dòng)亂、瘟疫、地震、臺(tái)風(fēng)、洪水、物體墜落或其他非合同雙方責(zé)任造成的爆炸、火災(zāi)

17、、意外事故和自然災(zāi)害。任何一方由于不可抗力原因不能履行合同時(shí)，應(yīng)在不可抗力事件發(fā)生后3日內(nèi)通知對(duì)方，盡力減少損失。不可抗力造成的損失，由雙方自行承擔(dān)。8- 1 war, un rest, plague, earthquake, typho on, flood, falli ng objects or other tha n the con tract caused by explosi on, fire, accide nts and n atural disasters.
