10、ear， and at a lower price than is then in effect under this agreement， then if seller shall not reduce the price hereunder to sucha lower price for the aforesaid quantity， buyer may purchase such quantity from the other manufacturer， whereupon buyers commitment under this agreement shall be reduced

12、ately equal monthly quantities， or if any materials is insufficient in quantity to permit monthly shipment， then in quantities approximately evenly spaced throughout each contract year. if buyer fails to so order any quantity provided for under this agreement， seller shall not be obliged subsequentl

13、y to deliver such unordered quantity.10. 如無另行規(guī)定，買方每月定貨量及每月裝船發(fā)貨量應(yīng)大致一樣，假如因缺貨而影響每月裝運，那么應(yīng)依量大致按合同年平均進展裝運。如買方不按合同之規(guī)定訂貨，賣方將無義務(wù)供應(yīng)未訂購貨物。11. payment (貨款支付)payment shall be made on demand， without discount. seller reserves the right，among other remedies， either to terminate this agreement or to suspend further

16、any kind， whether as to material delivered of for non-delivery of material， and whether or not based on negligence， shall be greater in amount than the purchase price of the material in respect of which such claim is made. in no event shall either party be liable for special， indirect or consequenti

18、ts failure to perform hereunder due to any contingency beyond its reasonable control， including acts of god， fires，floods， wars， sabotage， accidents， labor disputes or shortages， governmentallaws， ordinances， rules and regulations， whether valid or invalid (including，but not limited to， priorities，

19、requisitions， allocations， and price adjustment restrictions)， inability to obtain material， equipment or transportation， and any other similar or different contingency. the party whose performance is prevented by any such contingency shall have the right to omit during the period of such contingenc

20、y all or any portion of the quantity deliverable during such period， whether upon the total quantity deliverable under this agreement shall be reduced by the quantity so omitted. if， due to any such occurrence， seller is unable to supply the total demands for any material specified in this agreement

21、， seller shall have the right to allocate its available supply among its customers and its departments and divisions in a fair and equitable manner. in no event shall seller be obliged to purchase material from others in order to enable to deliver material to buyer hereunder.13. 任何一方不必為在其合理掌握力量之外的意外

22、狀況導(dǎo)致的違約擔當責任，該等意外大事包括：自然災(zāi)難、火災(zāi)、洪水、戰(zhàn)斗、勞資糾紛、意外事故、勞工爭議或短缺、政府法律、法令、規(guī)章和條例，不管有效的還是失效的包含但不限于，優(yōu)先權(quán)、征用、調(diào)撥和價風(fēng)格整限制，原材料、設(shè)備或交通不到位以及任何其他類似的和不同的意外大事。在該等意外大事發(fā)生期間內(nèi)，受阻方可以全部或局部撤銷在該時期內(nèi)應(yīng)當訂購的貨物，其在本合同項下的應(yīng)訂貨量也按照該撤銷局部的數(shù)量相應(yīng)削減。假如賣方因為該等意外大事不能將本合同項下的貨物交付買方，那么賣方有權(quán)以公正公正的方式將該等貨物安排給其客戶或各個部門。在任何狀況下，賣方都沒有義務(wù)為了可以向買方發(fā)貨而購置貨物。因不行抗力事故包括天災(zāi)、火災(zāi)、

23、洪水、戰(zhàn)斗、破壞、意外大事、勞資糾紛或勞力缺乏、政府法律、法律、規(guī)章和條例不管是否合法，包括但不排除其他優(yōu)先權(quán)、征用、安排及價風(fēng)格整限制等、物質(zhì)設(shè)備及運輸短缺、以及其他類似的或不同的意外事故，雙方當事人均可免去違約責任。遇刺事故的當事人有權(quán)免去全部或局部在該事故期內(nèi)本應(yīng)收、發(fā)的貨物，免去之數(shù)額應(yīng)從合同總額中扣除。由于上述事故使得賣方無法供應(yīng)本合同規(guī)定數(shù)額之某種商品，賣方有權(quán)公正合理的在其顧客、部門和分公司之間就可能供應(yīng)之商品進展安排。在任何狀況下均不得迫使賣方為滿足買方的供貨而向別人購置商品。14. miscellaneous (其他規(guī)定)the validity， interpretatio

25、d hereunder meets sellers standard specification for the material or such other specifications as have been expressly made a part of this agreement and that such material is adequately contained， packaged and labeled and conforms to the promises and affirmations of fact made on the container and lab

26、el. the foregoing warranties are exclusive， and are in lieu of all other warranties (whetherwritten， oral or implied) including warranty of merchantability in other respects than expressly set forth above and warranty of fitness for a particular purpose. this agreement shall be binding upon and ensu

27、re to the benefit of the respective successors and assignees of each of the parties hereto， but any assignment there of by either party without the prior written consent of the other party shall be void. no modification of this agreement or waiver of the terms or conditions thereof shall be binding uponsell
