1、CMAC 救助合同(中國海事仲裁委員會1994 版)政府示范文本CMAC 救助合同中國海事仲裁委員會(1994 )標準格式China Maritime Arbitration Commission Standard Form(1994)年月日(簽署地)(被救助船舶所有人名稱)(地址:電話:傳真:電傳:郵政編碼:)的號船舶(船旗國:船籍港:的船長(或船舶所有人)代表號船舶、 船上貨物、 運費、燃料、物料和其他財產(chǎn)的所有人 (下稱 “被救助方 ”)同(救助方名稱)(地址:電話:傳真:電傳:郵政編碼:)的代表簽訂本合同。第一條救助方應以應有的謹慎救助物料和其他財產(chǎn),并將它們送到定或商定地點,可送往任

2、一安全地點。號船舶及 / 或船上貨物、運費、燃料、或以后商定的其它地點,如果沒有上述約當獲救的船舶及 / 或其它財產(chǎn)已被送到前款規(guī)定的地點時,被救助方應及時接受救助方提出的合理的移交要求;如未及時接受,被救助方應對非屬救助方過失造成的后果負責。第二條 被救助方應與救助方通力合作,包括獲得準許進入合體第一條規(guī)定的地點;免費提供救助方合理使用船上的機器、裝置、設備、錨、錨鏈、物料和其他屬具,但救助方不應無故損壞、拋棄或犧牲上述物件或其他被救財產(chǎn)。第三條 救助方有義務在合理需要的情況下,尋求其他救助方援助。 被救助方或船長合理要求其他救助方參與救助作業(yè)時, 救助方應接受此種要求, 但要求不合理的,

3、原救助方的救助報酬金額不受影響。第四條 在救助作業(yè)過程中,救助方和被救助方、船長均有義務以應有的謹慎防止或減少環(huán)境污染損害。第五條 除本合同第九條規(guī)定外,救助方對本合同規(guī)定的救助標的進行救助,取得效果(包括取得部分效果)的,有權(quán)獲得救助報酬;未取得效果的,無權(quán)獲得救助報酬。第六條 在救助作業(yè)中救助人命的救助方,對獲救人員不得請求酬金,但是有權(quán)從救助船舶或其他財產(chǎn)、防止或減少環(huán)境污染損害的救助方獲得的救助款項中,獲得合理的份額。第七條確定救助報酬,應體現(xiàn)對救助作業(yè)的鼓勵,并綜合考慮下列各項因素:(一)船舶和其他財產(chǎn)的獲救價值;(二)救助方在防止或減少環(huán)境污染損害方面的技能和努力;(三)救助方的救

4、助成效;(四)危險的性質(zhì)和程度;(五)救助方在救助船舶、其他財產(chǎn)和人命方面的技能和努力;(六)救助方所用的時間、支出的費用和遭受的損失;(七)救助方或者救助設備所冒的責任風險和其他風險;(八)救助方提供救助服務的及時性;(九)用于救助作業(yè)的船舶和其他設備的可用性和使用情況;(十)救助設備的備用情況、效能和設備的價值。第八條 由于救助方的過失致使救助作業(yè)成為必須或更加困難的,或者救助方有欺詐或其他不誠實行為的,應當取消或減少向救助方支付的救助款項。第九條對構(gòu)成環(huán)境污染損害危險的船舶或船上貨物進行的救助,救助方依照本合同第七條規(guī)定所獲得的救助報酬, 少于依照本條規(guī)定可以得到的特別補償?shù)模?救助方有

5、權(quán)依照本條規(guī)定,從船舶所有人處獲得相當于救助費用的特別補償。救助方進行全款規(guī)定的救助, 取得防止或減少環(huán)境污染損害效果的, 船舶所有人依照前款規(guī)定應向救助方支付的特別補償, 可以另行增加, 增加的數(shù)額可以達到救助費用的百分之三十。如果根據(jù)本合同第十五條組成的仲裁庭認為適當, 并且考慮合同第七條第一款規(guī)定的各項因素,可以裁決進一步增加特別補償, 但在任何情況下, 增加部分的總數(shù)額不得超過救助費用的百分之一百。本條所稱救助費用,是指救助方在救助作業(yè)中直接支付的合理費用和實際使用的救助設備、投入救助人員的合理費用。確定救助費用應當考慮本合同第七條 第(八)、 (九)、(十)項規(guī)定的各項因素。在任何情

6、況下, 本條規(guī)定的全部特別補償, 只有超過救助方依照本合同第七條規(guī)定能夠獲得救助報酬時,方可支付,支付金額為特別補償超過救助報酬的差額部分。由于救助方的過失未能防止或減少環(huán)境污染損害的, 可以全部或部分地剝奪救助方獲得特別補償?shù)臋?quán)利。第十條 為了保全救助方應得的救助報酬,在救助作業(yè)結(jié)束后,被救助方應根據(jù)救助方的要求,在 14 個銀行工作日內(nèi)(法定節(jié)假日除外)提供滿意的擔保。船舶所有人及其雇傭人、 代理人應在獲救的貨物交還前, 盡力使貨物所有人對其應承擔的救助報酬提供滿意的擔保。在按本條第一款規(guī)定提供擔保以前, 未經(jīng)救助方書面同意, 不得將獲救船舶和其他財產(chǎn)從救助作業(yè)完成后最初抵達的港口或地點移

7、走。 如果救助方有理由認為被救助方將要違反或者企圖違反本款規(guī)定,有權(quán)申請采取財產(chǎn)保全措施。上述擔保金額應包括利息和進行仲裁可能發(fā)生的合理費用在內(nèi)。第十一條 在本合同第九條的規(guī)定可能適用的情況下,船舶所有人應根據(jù)救助方的合理要求提供滿意的擔保。第十二條 如果在簽訂本合同之前,被救助方或船長沒有明確和合理地制止,救助方對遇險的船舶及 / 或船上貨物、運費、燃料、物料和其他財產(chǎn)已提供了本合同所指的全部或部分救助服務,本合同的規(guī)定應適用于這種服務。第十三條本合同時由船長或船舶所有人代表船舶、船上貨物、運費、燃料、物料和其他財產(chǎn)的所有人簽訂的, 各所有人應各自履行本合同規(guī)定的義務。 救助報酬金額應由獲救

8、船舶和其他獲救財產(chǎn)的各所有人,按照船舶和其他財產(chǎn)各自的獲救價值的比例承擔。第十四條 參加同一救助作業(yè)的各救助方的救助報酬及規(guī)定由各方協(xié)商確定。/ 或特別補償, 根據(jù)第七、八、 九條的第十五條救助方和被救助方之間以及簽訂本合同的各救助方及/ 或各被救助方相互之間根據(jù)本合同所發(fā)生的或與本合同有關的一切爭議,均應提交中國海事仲裁委員會(下稱“仲裁委員會 ”)仲裁解決。仲裁委員會依照該會仲裁規(guī)則規(guī)定的程序進行仲裁。依據(jù)仲裁委員會仲裁規(guī)則組成的仲裁庭,有權(quán)根據(jù)救助方的請求,在合理條件下, 作出中間裁決或部分裁決,要求被救助方向救助方先行支付適當?shù)慕痤~。被救助方根據(jù)仲裁庭上述裁決先行支付的金額,其提供的擔

9、保金額應作相應扣減。仲裁委員會的裁決是終局的,對所有當事人均有約束力。第十六條除另有明確約定外,本合同和根據(jù)本合同進行的仲裁適用中華人民共和國法律。第十七條本合同前言中所列名稱、地址、傳真號、電傳號和郵政編碼如有變更,應立即通知仲裁委員會和對方。 否則,一切按該地址郵寄的信件、 文件等及按該號碼傳送的傳真和電傳,仲裁委員會或仲裁庭認為已經(jīng)合理的時間即視為已經(jīng)送達。簽字:代表救助方代表被救助方Salvage Contract China Maritime Arbitration Commission Standard Form (1994)(dated)(place of signature)I

10、t is hereby agreed between(name of Master or Owner) of the m.v.(name of the vessel being salved) (flag:port ofregistry:) ownedby(address:tel:fax:telex:postal code:)for and on behalf of the m.v.(hereinafter called(address:, her cargo, freight, bunkers, stores and any other property thereon“ the salve

11、d party” ) and the representative of the salvortel:fax:telex:postal code:) that:1. The salvor shall exercise due care to salve the m. v. and/or her cargo, freight ,bunkers, stores and any other property thereon and take them to or such other place as may hereafter be agreed, or if no such place is n

12、amed or agreed, to any other place of safety.When the vessel and/ or other property salved have been brought to the place named in the preceding paragraph, the salved party shall promptly accept redelivery when reasonably requested by the salvor to do so. If the salved party failed to do so, they sh

13、all be responsible for the result to which the salvor has no fault.2. The party salved shall co-operate fully with the salvor including obtaining permit of entry to the place as defined in Clause 1 of this Contract and allowing the salvor to makereasonable use, free of expenses, of the vessel s mach

14、inery, gear, equipment, anchor andanchor chains, stores and other appurtenances provided that the salvor shall not unnecessarily damage, abandon or sacrifice the same or any other property being salved.3. The salvor shall owe duty to seek the assistance of other salvors where reasonably necessary. T

15、he salvor shall accept the intervention of other salvors when reasonably requested to do so by the salved party or the master, provided however that the amount of his reward shall not be prejudiced if such a request was found unreasonable.4. During the salvage operations, the salvor and the salved p

16、arty and the master are under an obligation to exercise due care to prevent or minimize pollution damage to the environment.5. Except as otherwise provided for in Clause 9 of this Contract, where the salvageoperations rendered to the subject- matter of the Salvage Contract have had a useful result (

17、including partial result), the salvor shall be entitled to a reward, and the salvor shall not be entitled to a reward if the salvage operations have had no useful result.6. The salvors of human life may not damand any remuneration from those whose lives are saved. However, salvors of human life are

18、entitled to a fair share of the payment awarded to the salvor for salving the ship or other property or for preventing or minimizing the pollution damage to the environment.7. The reward shall be fixed with a view to encouraging salvage operations, taking into full account the following criteria:(1)

19、 Value of the vessel and other property salved; (2) Skill and efforts of the salvor inpreventing or minimizing the pollution damage to the environment; (3) Measure of success obtained by the salvor; (4) Nature and extent of the danger; (5) Skill and efforts of the salvor in salving the vessel, other

20、 property and life; (6) Time used and expensesand losses incurred by the salvor; (7) Risk of liability and other risks run by the salvor ortheir equipment;(8) Promptness of the salvage services rendered by the salvor;(9)Availability and use of ships or other equipment intended for the salvage operat

21、ions;(10)State of readiness and efficiency of the salvoripment and the value thsequreof. Theamount of reward shall not exceed the value of the vessel and other property salved.8. Where the salvage operations have become necessary or more difficult due to the fault of the salvor or where the salvor h

22、as committed fraud or other dishonest conduct, the salvor shall be deprived of the whole or part of the payment payable to him.9. If the salvor, performing the salvage operations in respect of the vessel which by itself or her cargo threatened pollution damage to the environment, has failed to earn

23、a reward under Clause 7 of this Contract at least equivalent to the special compensation assessable in accordance with this Clause, he shall be entitled to special compensation from the owner of the vessel equivalent to his expenses as herein defined.If the salvor, performing the salvage operations

24、prescribed in the preceding paragraph, has prevented or minimized pollution damage to the environment, the special compensation payable by the owner to the salvor under the preceding Paragraph may be increased by an amount up to a maximum of 30% of the expenses incurred for the salvage. The arbitrat

25、ion tribunal formed in accordance with Clause 15 of this Contract may, if it deems fair and just and taking into consideration the various factors defined in Paragraph 1 of Clause 7 of this Contract, render an award further increasing the amount of such special compensation, but in no event shall th

26、e total increase be more than 100% of the expenses incurred for the salvage.The salvor s expenses referred to in this Clause means the salvor-of-pocket expenses s outreasonably incurred in the salvage operation and reasonable expenses for the equipment and personnel actually used in the salvage oper

27、ations. In determining the salvor expenses, the provisions of Sub-paragraphs (8), (9)and (10) of Paragraph 1 of Clause 7 of this Contract shall be taken into consideration.Under all circumstances, the total special compensation defined in this Clause shall be paid only if such compensation is greate

28、r than the reward recoverable by the salvor under Clause 7 of this Contract, and the amount to be paid shall be the difference between the special compensation and the reward.If the salvor has failed, due to his negligence, to prevent or minimize the pollution damage to the environment, the salvor m

29、ay be totally or partly deprived of the right to the special compensation.In order to secure the remuneration to which the salvor is entitled, the owner of the salved property shall, after the completion of the salvage operations, provide satisfactory security at the request of the salvor within 14

30、bank working days (except holiday and Sunday)The owner of the vessel, their servants and agents shall, before the release of the cargo, make best endeavours to cause the owners of the cargo salved to provide satisfactory security for their proportion of their salvage reward.Without the consent in wr

31、iting of the salvor, the vessel or other property salved shall not be removed from the port or place at which they first arrived after the completion of the salvage operations, until satisfactory security prescribed in Paragraphs (1) of this Clause has been provided. If the salvor has reason to beli

32、eve that the party salved is to or attempts to violate the provision of this Paragraph, the salvor is entitled to apply for measure of property security.The aforesaid amount(s) shall include interests and reasonable fees and expenses which might be incurred for arbitration.11. In case the provisions

33、 of Clause 9 apply, the owner of the vessel shall provide satisfactory security at the reasonable request of the salvor.12. The provision of this Contract shall apply to the salvage services, wholely or partly, as defined in this Contract that have been rendered to the vessel and/or her cargo, freig

34、ht, bunkers, stores and other property in danger without the express and reasonable prohibition on the part of the salved party or the master prior to signing this Contract.13. The master of the vessel or its owner enters into this Contract on behalf of owners of the vessel, her cargo, freight, bunk

35、ers, stores and any other property thereon and each of the respective owners is bound to the due performance of this Contract. The salvage reward shall be paid by the owners of the vessel and other property salved vessel and property bear to the total salved values.14. The distribution of salvage re

36、ward and/or special compensation among the salvors taking part in the same salvage operation shall be made by agreement among such salvors on the basis of the provisions of Clause 7, 8 and 9.15. Any dispute arising under or in connection with this Contract between the salvor and the salved party and

37、 among the salvors and/or the salved parties who are the parties tothis Contract shall be referred to China Maritime Arbitration Commission(BeiJing/ShangHai) (hereinafter called the Commission) for arbitration.The proceduresof arbitration shall be governed by the Arbitration Rules of the Commission.
