2、equally andvoluntarily entered into the following agreement executed on the basis of mutual respect.1. 工程概況Project overview1.1 工程名稱：Project name ：1.2 工程地點(diǎn)：Project location ：1.3 工程范圍：A. 新研發(fā)中心和新廠房的網(wǎng)絡(luò)綜合布線系統(tǒng)的施工；B. 數(shù)據(jù)中心的建設(shè)，主要包含：數(shù)據(jù)中心的裝飾工程、電氣系統(tǒng)、空調(diào)系統(tǒng)、機(jī)房閉路監(jiān)控系統(tǒng)、機(jī)房門(mén)禁系統(tǒng)、消防系統(tǒng)改造、機(jī)柜系統(tǒng)等。Project contents ：A. The new

3、 R & D and new plant construction of network cabling systems;B. Data Center, mainly includes： data center decoration and electrical systems,air-conditioning systems, CCTV systems, access control systems, firefighting systemreform, server rack systems.1.4 開(kāi)工條件：合同生效后，甲方預(yù)付款到位和現(xiàn)場(chǎng)具備開(kāi)工條件。Start conditi

4、ons ： After the commencement of the contract, Party A has started advance and on-site conditions in place.1.5 工程造價(jià)：合同工程總造價(jià)為丫元(CNY,人民幣大寫(xiě)Project cost ： Total project cost isyuan ( CNY ). 詳細(xì)合同價(jià)格表見(jiàn)附件報(bào)價(jià)清單。Detailed contract price list see attached quotation list.在詳細(xì)設(shè)計(jì)和施工過(guò)程中, 若工程量發(fā)生變化, 按合同單價(jià)相應(yīng)調(diào)整工程造價(jià)； 若材質(zhì)發(fā)生

5、變化, 按雙方商定的補(bǔ)充協(xié)議調(diào)整工程造價(jià)。In the detailed design and construction process, if the project quantity changes, according to the contract price adjustment project cost; if the material is changed, the supplemental agreement agreed by both parties for adjustment of engineering cost.2. 付款方式Terms of payment2.1

7、as the project advance payment;2.3 數(shù)據(jù)中心及網(wǎng)絡(luò)布線系統(tǒng)工程完工并且雙方簽訂工程驗(yàn)收?qǐng)?bào)告后7 天以內(nèi)，甲方付給乙方合同總價(jià)的55%,即Y元；Data center project and network cabling systems engineering completed and signed aproject acceptance report by both parties within 7 days after, Party A shall pay to Party B 55% of the contract price.2.4 工程竣工后3個(gè)月

8、內(nèi)，甲方支付給乙方剩余的合同款，即Y元；After the completion of the project within 3 months, Party A shall pay to Party B the remaining contract price.3. 雙方職責(zé)Responsibilities of the parties3.1 甲方職責(zé)：Responsibilities of party A ：a. 及時(shí)以書(shū)面形式通知乙方本工程具備開(kāi)工條件的時(shí)間 ;to start;approvalTimely written notice to Party B the conditions

11、t funds.3.2 乙方職責(zé)：Responsibilities of party B ：a. 乙方在工程開(kāi)始前應(yīng)組織有關(guān)人員研究和熟悉圖紙，參與設(shè)計(jì)交底，安排施工總進(jìn)度計(jì)劃并 提交給甲方；Party B before the project begins shall organize relevant personnel to study and be familiar with drawings, involved in the design work, arrangement of construction general schedule plan and submit to Par

12、ty A;b. 向甲方或項(xiàng)目監(jiān)理提供所購(gòu)各種產(chǎn)品、設(shè)備的技術(shù)資料，接受進(jìn)場(chǎng)檢驗(yàn)；To the party A or project supervision to provide the purchase a variety of products, equipment, technical information, accept entry inspection;c. 遵守甲方或監(jiān)理方對(duì)施工現(xiàn)場(chǎng)的有關(guān)規(guī)定；Abide by the party or the supervision on construction site of the relevant provisions;d. 按時(shí)完成乙方

13、所承擔(dān)的施工任務(wù)，保證工程施工質(zhì)量。Timely completion of construction tasks undertaken by Party B, to ensure construction quality.4. 施工與工程設(shè)計(jì)變更Construction and engineering design change4.1 乙方在施工中要根據(jù)國(guó)家頒發(fā)的施工驗(yàn)收規(guī)范和質(zhì)量檢驗(yàn)標(biāo)準(zhǔn)，以及設(shè)計(jì)要求進(jìn)行，要求 全部工程達(dá)到合格標(biāo)準(zhǔn)。On the construction ofParty B according to the countryissued construction accep

16、，若甲方 A 有變更設(shè)計(jì)文件的要求，應(yīng)書(shū)面通知乙方；若乙方發(fā)現(xiàn)設(shè)計(jì)文件有錯(cuò)誤或嚴(yán)重不合理的地方，也應(yīng)書(shū)面通知甲方，雙方商定并修改設(shè)計(jì)文件和圖紙后方可繼續(xù)施工。During the construction, if the party A to change the design document, shall give awritten notice to Party B; if Party B is found the design documents are wrong or serious unreasonable place, should also be written notice

19、onstruction;c. 乙方不能按期供設(shè)備或所供材料或者設(shè)備不合規(guī)格要求，被迫停工或不能順利施工的；Party B fails to supply equipment or for the materials or equipment of differentspecifications, was forced to shut down or not smooth construction;5. 竣工驗(yàn)收與售后服務(wù)Final acceptance and after-sales service5.1 乙方必須嚴(yán)格執(zhí)行隱蔽工程驗(yàn)收制度， 凡隱蔽工程完成后， 必須經(jīng)過(guò)驗(yàn)收并作好記錄 ( 隱蔽

20、 工程指墻內(nèi)、吊頂內(nèi)的管線施工等) 。Party B must strictly enforce the hidden work system, where the hidden work has beencompleted, must pass inspection and make records(hidden works refers to the wall, theceiling inside the pipeline construction, etc.).5.2 整體工程竣工后，乙方向甲方提交竣工文檔并提交書(shū)面驗(yàn)收申請(qǐng)。甲方接到申請(qǐng)后 7 日內(nèi) 第 7 頁(yè) 共 11 頁(yè)組織有關(guān)人員

21、按照合同內(nèi)容和事先約定的驗(yàn)收條款進(jìn)行項(xiàng)目驗(yàn)收，并出具雙方簽字的驗(yàn)收?qǐng)?bào)告。 如甲方不能按期組織驗(yàn)收， 須提前通知乙方， 并與乙方另行商定驗(yàn)收日期， 但甲方必須承認(rèn)乙方 的竣工時(shí)間。 甲方推遲驗(yàn)收， 其間所發(fā)生的管理費(fèi)和各項(xiàng)損失均由甲方負(fù)擔(dān)。 如果提交驗(yàn)收申請(qǐng) 后一個(gè)月仍未能完成驗(yàn)收，則以竣工之日作為系統(tǒng)的保修開(kāi)始日期。When the whole project is completed, Party B shall submit to party A completedocumentation and submit a written acceptanceapplication. 24、ance, the completion date as the system warranty start date.5.3 工程驗(yàn)收合格后進(jìn)入質(zhì)保期。質(zhì)保期為驗(yàn)收合格之日起 12 個(gè)月。在質(zhì)保期內(nèi)，乙方應(yīng)對(duì)系 統(tǒng)除人為因素外的所有故障負(fù)責(zé)免費(fèi)維修或更換。Project after acceptance into the warranty period. 25、o human factors all fault is responsible for free repair or replacement.5.4 在質(zhì)保期內(nèi)， 乙方做到對(duì)甲方求援電話 2 小時(shí)內(nèi)響應(yīng)， 8 小時(shí)內(nèi)抵達(dá)現(xiàn)場(chǎng)并著手解決問(wèn)題。 質(zhì)保期結(jié)束后，乙方對(duì)系統(tǒng)進(jìn)行有償維護(hù)。有償維護(hù)的費(fèi)用由雙方協(xié)商。During the warranty period, Party B shall do to help telephone response within 2 hours, 8 hours to arrive at the scene and set about solving the p

26、roblem. After the end of the warranty period, Party B on the system paid maintenance. Paid maintenance costs through consultation by the two parties.Technical service and training 6.1 由乙方按技術(shù)培訓(xùn)大綱負(fù)責(zé)對(duì)甲方的有關(guān)操作人員和維修人員進(jìn)行使用級(jí)培訓(xùn)。通過(guò)培訓(xùn)， 使甲方的受訓(xùn)人員能掌握系統(tǒng)設(shè)備的配置， 能進(jìn)行正確操作和日常維護(hù)及一般常見(jiàn)故障排查。 接 受培訓(xùn)的人員由甲方確定，日期由甲乙雙方共同商定。Party

28、dentified by the party A,the date mutually agreed by both parties.6.2 在保修期內(nèi)，乙方提供兩次上門(mén)巡檢服務(wù)，包括各系統(tǒng)運(yùn)行狀況的查看、記錄，以及必要 的設(shè)備維護(hù)。During the warranty period, Party B shall provide two on-site inspection services, including the status of system view, recording, and the necessary equipment maintenance.6.3 乙方為甲方免費(fèi)提供

29、網(wǎng)絡(luò)綜合布線系統(tǒng)和數(shù)據(jù)中心的技術(shù)咨詢服務(wù)。Party B shall provide free network cabling system and data center technical advisory services.7. 違約責(zé)任The liability for breach of contract7.1 乙方提供貨物的質(zhì)量或規(guī)格不符合合同約定，行業(yè)規(guī)格或政府的法令法規(guī)的要求的，甲方 可以根據(jù)貨物的性質(zhì)以及損失大小，要求乙方承擔(dān)修理，更換，退貨，減少價(jià)款等責(zé)任。Party B shall provide the quality or specifications of the

33、e time of delivery.7.4 若由于甲方更改設(shè)計(jì)需求、未確認(rèn)材料或設(shè)備型號(hào)、未確認(rèn)施工方案而導(dǎo)致設(shè)備訂貨周期 推遲，因此導(dǎo)致的延遲交貨，乙方不負(fù)擔(dān)任何責(zé)任。If due to Party A to change the design demand, did not confirm material or equipmentmodels, unrecognised construction scheme caused by equipment order cycle time delay,thus causing the delay of delivery, Party B do

34、es not bear any responsibility.7.5 甲方在合同規(guī)定的付款期限內(nèi)未能及時(shí)付款，視為甲方違約。甲方每日按合同款項(xiàng)的千分 之一賠償乙方損失。Party A in the contract payment period failed to timely payment, regarded as a breachof contract. Party A according to the contract sum 1/1000 daily compensation for anyloss of Party B.7.6 甲乙任意方因第三者的原因造成違約的，應(yīng)向?qū)Ψ匠袚?dān)違約責(zé)

35、任。Any party for the third party reasons for default, shall be liable to the other partyfor breach.8. 合同的變更The modification of Contract合同需在甲乙雙方公平協(xié)商， 達(dá)成一致的條件下進(jìn)行變更， 變更的內(nèi)容需以文字正本形式經(jīng)雙方授權(quán)人簽字并蓋章后生效。一切變更內(nèi)容作為附件存在與合同正本具有相同的法律效力Any modification must on the basis of fair negotiation and be accepted by both sides.The formal file of modified contract should be validating after signed and stamped by authorized person of both sides.All change to the content as an attachment with the original contract have the same l
