10、船 后，賣(mài)方應(yīng)立即將上述單據(jù)副本各一份（本款第 5 項(xiàng)除外）分別航空郵寄買(mǎi)方 和目的港。 11. 裝船條件： CIF 交貨條件： （1）賣(mài)方在裝船期內(nèi)將貨物運(yùn)至港口，不允許轉(zhuǎn)換船只。本合同貨物的運(yùn) 輸船只不得不懸掛買(mǎi)方不能接受的國(guó)家旗幟。 （2）賣(mài)方在發(fā)貨后立即用傳真或書(shū)信告訴買(mǎi)方合同號(hào)、商品名稱(chēng)、數(shù)量、 發(fā)票金額和發(fā)運(yùn)日期，以便買(mǎi)方及時(shí)投保其他險(xiǎn)別。 12. 裝船通知： 賣(mài)方應(yīng)于裝運(yùn)完畢后，立即以傳真或書(shū)信通知買(mǎi)方：合同號(hào)、貨物品名、 數(shù)量、毛重、發(fā)票金額、船名和啟航日期。若由于賣(mài)方未能及時(shí)以傳真通知買(mǎi) 國(guó)際貿(mào)易英文契約模擬寫(xiě)作 5 方，或通知內(nèi)容不全，而使買(mǎi)方不能及時(shí)辦理保險(xiǎn)時(shí)，由此產(chǎn)生的

11、一切損失均 應(yīng)由賣(mài)方承擔(dān)。 13. 質(zhì)量保證： 賣(mài)方應(yīng)保證貨物是全新的餓，其質(zhì)量、規(guī)格、和性能與本合同規(guī)定相符。 保證期為貨物抵達(dá)目的地港卸船后 6 個(gè)月。 14. 檢驗(yàn)和索賠： （1）發(fā)貨前，制造廠應(yīng)對(duì)貨物的質(zhì)量、規(guī)格、性能和數(shù)量/重量做精密全 面的檢驗(yàn)，出具檢驗(yàn)證明書(shū)，并說(shuō)明檢驗(yàn)的技術(shù)數(shù)據(jù)和結(jié)論。 （2）貨到目的港后，買(mǎi)方將申請(qǐng)中國(guó)商品檢驗(yàn)局（以下簡(jiǎn)稱(chēng)商檢局）對(duì)貨 物的規(guī)格和數(shù)量、重量進(jìn)行復(fù)檢，如發(fā)現(xiàn)貨物殘損或規(guī)格和數(shù)量與合同不符， 除保險(xiǎn)公司或輪船公司責(zé)任外，買(mǎi)方應(yīng)在貨物到達(dá)目的港后 30 天內(nèi)憑商檢局出 具的檢驗(yàn)證明書(shū)向賣(mài)方索賠或拒收貨物。 （3）在保證期限內(nèi)，如貨物由于設(shè)計(jì)或制造上的

12、缺陷而發(fā)生損壞和品質(zhì)、 性能與合同規(guī)定不符時(shí)，買(mǎi)方將委托中國(guó)商檢局進(jìn)行檢驗(yàn)，并憑其檢驗(yàn)證書(shū)向 賣(mài)方提出索賠（包括換貨） 。由此產(chǎn)生的全部費(fèi)用應(yīng)由賣(mài)方承擔(dān)。 （4）若賣(mài)方收到上述索賠后 30 天內(nèi)未予答復(fù)，則視為賣(mài)方已接受上述索 賠。 15. 人力不可抗拒： 合同一方對(duì)由于下列原因而導(dǎo)致不能或暫時(shí)不能履行全部或部分合同義務(wù) 的，不承擔(dān)責(zé)任：水災(zāi)、火災(zāi)、地震、旱災(zāi)、戰(zhàn)爭(zhēng)或其他任何在簽約時(shí)該方不 能預(yù)料、無(wú)法控制且不能避免和克服的事件。但該方應(yīng)盡快將所發(fā)生的事件通 知對(duì)方，并應(yīng)在事件發(fā)生 15 天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì) 方。如果不可抗力事件影響超過(guò) 120 天，雙方應(yīng)協(xié)商合同繼續(xù)

13、履行或終止履行 的事宜。 16. 遲交貨罰款： 除本合同第 15 條規(guī)定的人力不可抗拒原因外，如賣(mài)方不能按合同規(guī)定的時(shí) 間交貨，買(mǎi)方應(yīng)同意在賣(mài)方付罰款的條件下延期交貨。罰款可由支付銀行在議 付貨款時(shí)扣除。罰款率按每七天收 0.5%，不足七天時(shí)以七天計(jì)算。但罰款不得 超過(guò)遲交貨物總價(jià)的 5%。如賣(mài)方延期交貨超過(guò)合同規(guī)定的十周時(shí)，買(mǎi)方有權(quán)撤 銷(xiāo)本合同。此時(shí)，賣(mài)方仍應(yīng)不遲延地按上述規(guī)定向買(mǎi)方支付罰款。 國(guó)際貿(mào)易英文契約模擬寫(xiě)作 6 17. 仲裁： 凡執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭(zhēng)議，雙方應(yīng)通過(guò)友好協(xié)商 解決。如果協(xié)商不能解決，應(yīng)提交中國(guó)國(guó)際貿(mào)易仲裁委員會(huì)根據(jù)該會(huì)仲裁規(guī)則 在北京進(jìn)行仲裁。仲

The Seller shall be liable for any damage to the goods due to improper packing and for any damage attributable to inadequate or improper pro

18、tective measures taken by the Seller. In such case all losses and / or expenses incurred shall be borne by the Seller. 4. INSURANCE: Insurance is to be effected by the Seller against FPA for invoice value amount plus ten percent only, and additional insurance required by the Buyer shall be effect

PAYMENT FOR/BY: By L/C: The Buyer shall open through a bank acceptable to the Seller an Irrevocable Sight Letter of Credit to the Seller 45 days before the shipment, stipulating that 50% of the invoice value shall be paid against clean draft at sight while the re

21、maining 50% shall be paid against Documents against Payment at sight. The full set of the shipping documents of 100% invoice value shall accompany the collection item and shall only be released after full payment of the invoice value. If the Buyer fails to pay for invoice value, the shipping documen

22、ts shall be held by the issuing bank at the Sellers disposal. 10. DOCUMENTS: The Seller shall present the following documents to the paying bank for negotiation: （1）One full set of Clean on Board Ocean Bills of Landing marked “FREIGHT PREPAID” and made out to order, blank endorsed, and notifying at

23、the port of destination; （2）Five copies of Invoice, indicating contract number and shipping marks(in case of more than one shipping marks, the Invoices shall be issued separately)； （3）Five copies of Packing List； （4）Five copies of Certificate of Quality and Quantity issued by the manufacturer as spe

When sailing starts, the Seller shall immediately send one copy of each of the above mentioned documents, with the exception of item (6) of this clause, to the Buyer and Dalian Port at the port of destination by separate air mail. 11. TERMS OF SHIPMENT: FOB CIF

26、 DELIVERY TERM: （1）The Seller shall ship the goods within the shipment time from the port of shipment to the port of destination. Transshipment is not allowed. The contracted goods shall not be carried by a vessel flying the country which the Buyer cannot accept. （2）The Seller shall immediately afte

27、r dispatch of the goods, advise the Buyer by fax / letter of contract No., commodity quantity, invoice value and date of dispatch for the Buyer to arrange additional insurance in time. 12. SHIPPING ADVICE: The Seller shall, immediately upon the completion of the loading of the commodity, notify by f

28、ax or letter the Buyer of the Contract number, name of commodity, quantity, gross weight, invoice value, name of carrying vessel and date of sailing. In case the Buyer fail to arrange insurance on time due to the fax or letter not been given in time by the Seller, or notification incomplete, all los

29、ses shall be borne by the Seller. 13. GUARANTEE OF QUALITY: The Seller shall guarantee that the commodity is completely new and in conformity to all respects with the quality, specifications and performances stipulated in this Contract. The guarantee period shall be 6 months counting from the date o

30、n which the commodity arrives and is unloaded at the port of destination. 14. INSPECTION AND CLAIM: （1）The manufacturer shall, before delivery, make a precise and comprehensive inspection of the goods in regard to the quality, specifications, 國(guó)際貿(mào)易英文契約模擬寫(xiě)作 10 performance and quantity / weight, and is

31、sue inspection certificates certifying the technical data and conclusion of the inspection. （2）After arrival of the goods at the port of destination the Buyers shall apply to the China Commodity Inspection Bureau (hereinafter referred to as CCIB) for a further inspection in respect of the specificat

32、ions and / or quantity are not in conformity with the stipulations of the Contract, except when the responsibilities lie with insurance company or shipping company, the Buyer shall, within 30 days after arrival of the goods at the port of destination, claim against the Seller, or reject the goods ac

33、cording to the inspection certificates issued by CCIB. （3）In case of damages of the goods incurred due to the design or manufacture defects and/or the quality and performance are not in conformity with the Contract, the Buyer shall, during the guarantee period, request CCIB to make a survey and shal

34、l make a claim against the Seller (including replacement of the goods) and all the expenses incurred therefrom shall be borne by the Seller. （4）The claims mentioned above shall be regarded as being accepted if the Sellers fail to reply within 30 days after the Sellers receive the Buyers claim. 15. 35、ORCE MAJUERE: Either party shall not be held responsible for failure or delay to perform all or any part of the contract due to flood, fire, earthquake, drought, war or any other events which could not be predicted at the time of the conclusion of the contract, and could not be controlled, avoided o

36、r overcome by the parties. However, the party effected by the event of Force Majeure shall inform the other party of its occurrence in written form as soon as possible, and thereafter send a certificate of the event issued by the relevant authority to the other party but no later than 15 days after

37、its occurrence. In case the event of Force Majeure lasts for 120 days, both parties shall negotiate the performance or the termination of the contract. 16. LATE DELIVERY AND PENALTY: Should the Seller fail to make delivery on time as stipulated in the Contact, with exception of Force Majeure causes
