5、ercontained,thepartiesagreeasfollows:1.scopeofworkthefoundationagreestouseitsbesteffortstoconductandcarryouttheprojectdescribedinthescopeofwork,e_hibita,whichisattachedtoandmadeanintegralpartofthisresearchagreement.2.reportsduringthetermofthisresearchagreement,foundationshallprovidewrittenreportstos

6、ponsorasspecifiedine_hibita.3.compensationfi_edpricea)inconsiderationofresearchservicestobeperformedpursuanttothisresearchagreement,sponsorshallmakefi_edpaymentsinthetotalamountoffeedollars.thisamountshallbepaidtofoundationuponsubmissionofinvoicesaccordingtothefollowingschedule:_one_ecutionofthisres

7、earchagreement_b)aninterestpenaltyof1.5%permonthwillbeaddedtothetotalinvoiceamountofpaymentifnotreceivedwithinforty-five(45)daysoftheinvoicedate.costreimbursablea)infullandcompleteconsiderationoffoundationsperformanceunderthisagreement,thesponsorshallreimbursefoundationforallowablecostsincurredinacc

8、ordancewiththetermsofthisagreement,upto_dollars,whichshallbespentinaccordancewiththebudgetsetforthine_hibita,attachedhereto.reimbursementshallbemadetofoundationuponsubmissionofinvoicestosponsorasprovidedbelow.foundationwillsubmitmonthly;quarterlyaninvoiceorvoucherofcostsincurredbythefoundationinthep

9、erformanceofthisagreementandclaimedtoconstituteallowablecosts.promptlyafterreceiptofeachinvoiceorvoucher,sponsorshallmakepaymentthereon.b)aninterestpenaltyof1.5%permonthwillbeaddedtothetotalinvoiceamountofpaymentifnotreceivedwithinforty-five(45)daysoftheinvoicedate.4.termthisagreementshallbeeffectiv

10、eon_andshallcontinuethrough_unlessterminatedsoonerore_tendedashereinafterprovided.5.terminationeithersponsororfoundationmayterminatethisresearchagreementatanytimebygivingthirty(30)dayswrittennoticeofterminationtotheothercontractingparty.intheeventoftermination,sponsorshallreimbursefoundationforcontr

11、actualcommitmentsandfinancialobligationsincurredbyfoundationinperformanceofthisresearchagreementpriortosuchtermination,ifsuchfinancialobligationsorcontractualcommitmentscannotbecanceledbythefoundation.itisunderstoodandagreed,however,intheeventthatfoundationhasevidencethatsponsorisindefaultuponanyofi

12、tsobligationshereunder,foundationshallbeentitledtoeithersuspendthecontractuntilanacceptableremedyisestablished,ortoterminatetheagreement.suchterminationshallbeeffectiveimmediatelyuponreceiptofofficialwrittennotificationfromfoundation.foundationshallalsobeentitledtopursueanyrightsorremedieswhichfound

13、ationmayhaveagainstsponsorbyreasonofsuchdefault,andfoundationmaywithholdanypaymentstosponsorforthepurposeofsetoffuntilsuchtimeasthee_actamountofdamagesmaybedetermined.6.changeinprojectdirectorifforanyreasonthefoundationprojectdirectorisunabletofulfilltheresponsibilitiesrequiredtocarryoutthisresearch

14、agreement,thepartiesshallnegotiateingoodfaiththecontinuanceofthisresearchproject.however,ifanotherprincipalinvestigatorsatisfactorytosponsorcannotbeagreedupon,sponsormayterminatethisresearchagreement.intheeventofterminationbysponsor,foundationshallbereimbursedforallcostsitincursinconnectionwiththisr

15、esearchagreementwhicharisefromcommitmentsmadebyfoundationpriortoreceiptofnoticeoftermination,providedthecommitmentscannotbeterminatedbythefoundation.7.proprietaryinformationitisunderstoodthatinthecourseofcarryingoutthisresearchagreement,sponsorandfoundationmaywishtoshareproprietaryinformation.thepar

16、tiesagreetousetheirbesteffortstopreventdisclosureofinformationwhichisclearlymarkedasproprietarytoanyoneotherthanthoseindividualswhohaveaneedtoknowthisinformationforpurposesofcarryingouttheirobligationsinconnectionwiththisresearchagreement.8.publicationsthefoundationprojectdirectorand/orfoundationspr

17、ojectstaffshallhavetherighttopublishtheresultsofanyresearchconductedunderthisresearchagreement.9.inventionsandlicensesa)foundationshallholdtitletoallinventions(includingknowhow)whicharediscoveredduringtheconductofworkunderthisresearchagreementutilizingfoundationorstateuniversityofnewyorkfacilities.s

18、aidinventionsarehereinafterreferredtoas“foundationinventions.”b)nolicenseorotherrightsinfoundationinventionsaregiventoorreceivedbysponsore_ceptasspecificallyprovidedforherein.c)foundationherebygrantstosponsora_dayoptiontoacquireane_clusivelicensetofoundationinventions.the_dayperiodoftheoptionshallco

19、mmenceonthedateofdisclosureoffoundationinventionstosponsorbyfoundation.shouldsponsore_erciseitsoptionunderthisparagraph,thepartiesshallnegotiateamutuallyacceptablelicenseagreement.d)sponsoragreestoreimbursefoundationforalldirectcostsofpatentingnewtechnologydevelopedunderthisresearchagreementifsponso

20、racquiresrightsinsaidtechnology.e)ifbothsponsorfacilitiesandfoundationand/orstateuniversityofnewyorkfacilitiesareusedincarryingoutworkwhichleadstoaninventionunderthisresearchagreement,thesponsorandfoundationshallholdjointtitletosaidinvention.sponsorshallbeentitledtoe_ercisetheoptionandlicensingright

21、ssetforthabovewithrespecttofoundationsinterestinsaidjointinventions.f)inventionsmadeusingsponsorfacilitiese_clusivelyshallbelongtosponsor.10.assignmenta)neitherpartymayassignorotherwisetransferthisresearchagreementandtherightsacquiredhereunderwithoutthewrittenconsentoftheotherparty;thisconsentshalln

22、otbeunreasonablywithheld.however,sponsormayassignortransferitsinterestinthisresearchagreementaslongassuchassignmentortransferisaccompaniedbyasaleorothertransferofsponsorsentirebusinessorotherbusinesstowhichthisresearchagreementrelates.apartydesiringtoassignortransferthisresearchagreementshallgivethe

23、otherpartythirty(30)dayspriornoticeofsuchassignmentortransfer.ifnoreasonableobjectionsareraised,thentheassignmentortransfershallbedeemedtohavebeenapproved.however,anassignmentortransfershallnotbedeemedtobeapprovedunlessthepartytowhichthisagreementisassignedagreesinwritingtobeboundbythetermsandcondit

24、ionsofthisresearchagreement.b)thisagreementshallaccruetothebenefitofandbebindinguponthesuccessors,assigns,heirs,andpersonalrepresentativesofthepartieshereto.11.noticeallnotices,demands,andothercommunicationshereunder,e_cepte_changesoftechnicalinformation,shallbedeliveredpersonallytothepartytowhichit

25、isaddressed,ormailedtosuchpartybyregisteredorcertifiedmail,returnreceiptrequested,withpostagethereonfullyprepaid.saidnoticesshallbedeliveredtothefollowingaddresses,unlessnoticeofchangeofaddressisprovidedinwritingtotheotherparty:iftosponsor:addressiftofoundation:theresearchfoundationofstateuniversity

26、ofnewyorkofficeofsponsoredprogramservicespostofficebo_9albany,newyork12201-0009attention:contractandgrantspecialistanynotices,demands,andothercommunicationssomailedshallbedeemedtohavebeenreceivedbytheaddresseeseven(7)daysafterthetimeanddateofitsbeingsomailed.12.bindingeffectthisagreementshallbebindi

27、nguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsorassigns.13.governinglawthisresearchagreementshallbeconstrued,governed,interpreted,andappliedinaccordancewiththelawsofthestateofnewyork,u.s.a.,e_ceptthatquestionsaffectingtheconstructionandeffectofanypatentshallbedeterminedbyth

28、elawofthecountryinwhichthepatentwasgranted.14.modificationsthisagreementmaybechanged,amended,modifiedore_tendedonlybyawritingdulye_ecutedbytherespectivepartieshereto.15.severabilitytheprovisionsofthisresearchagreementareseparable,andintheeventanyprovisionsofthisresearchagreementaredeterminedtobeinva

29、lidorunenforceableunderanycontrollingbodyoflaw,suchinvalidityorunenforceabilityshallnotinanywayaffectthevalidityorenforceabilityoftheremainingprovisionshereof.16.indemnificationsponsorherebyagreestoindemnifyfoundationforanyclaimsoractionsthatarebroughtagainstfoundationbythirdpartiesbecauseofsponsorsuseormisuseofthereportsortechnologyw
