12、afterthearrivalofthecargoattheportofdestinaton.thesellerwillnotconsiderclaimsinrespectofmatterswithinresponsibilityofinsurancecompanyorshippingcompany.shouldthesellerfailtomakedeliveryontime,thebuyershallagreetopostponethedeliveryontheconditonthattheselleragreesofpayapenaltywhichshallbedeductedbythe

13、payingbankatthetimeofpayment.therateofpenaltyischargedat0.5%ofthetotalvalueofthecargowhosedeliveryhasbeendelayedforeveryweek,odddayslessthanaweekshouldbecountedasaweek.butthetotalamountofpenaltyshallnotexceed5%ofthetotalvalueofthecargoinvolvedinthelatedelivery.incasethesellerfailotmakedelivery10week

14、slaterthanthetimeofshipmentstipulatedonthecontract,thebuyershallhavbetherighttocancelthecontractandthesellershallstillpaytheaforesaidpenaltytothebuerwithoutdelay.quality/quantitydiscrepancyandclaim:incasethequalityand/orquantity/weightarefoundthebuyerstobenotinconformitywiththecontractafterarrivalof

15、thegoodsattheportofdestination,thebuyersmaylodgeclaimwiththesellerssupportedbysurveyreportissuedbyaninspectionorganizaitonagreeduponbybothparties,withtheexception,however,ofthoseclaimsforwhichtheinsurancecompanyand/ortheshippingcompanyaretobeheldresponsible.claimforqualitydiscrepancyshouldbefiledbyt

16、hebuyerswithin30daysafterarrivalofthegoodsattheportofdestination,whileforquantity/weightdiscrepancyclaimshouldbefiledbythebuyerswithin15daysafterarrivalofthegoodsatportofdestination.thesellersshall,within30daysafterreceiptofthenotificationoftheclaim,aendreplytothebuyers.索賠期限：validityofclaimthebuyers

19、iablefornonshipmentorlateshipmentofthegoodsunderthiscontract.however,thesellershallnotifythebuyersbyfaxortelexandfurnishthelatterwithin15daysbyregisteredairmailwithacertificateissuedbythecompetentauthoritiesattheplaceofoccurrenceattestingsucheventorevents.仲裁條款：arbitration規(guī)定在我國仲裁的條款：alldisputesinconn
