Price and Payment每一筆交易的貨物價格應(yīng)由乙方與買主通過談判確定，并須經(jīng)甲方最后確認。付款使用保兌的、不可撤銷的信用證，由買方開出，以甲方為受益人。信用證須在裝運日期前_30_天到達甲方。The price for each individual transaction shall be fixed through negotiations between Party B and the buyer, and subject to Party As final confirmation.Payment shall be made by confirmed, irrevocable L/C opened by the buyer in favor of Party A, which shall reach Party A 30 days before the date of shipment.5. 商情報告7. Market Report為使甲方充分了解現(xiàn)行市場情況，乙方應(yīng)至少每季度一次或在必要時隨時向甲方提供市場報告， 內(nèi)容包括與本協(xié)議代理商品的進口與銷售有關(guān)的地方規(guī)章的變動、當(dāng)?shù)厥袌霭l(fā)展趨勢以及買方對甲方按協(xié)議供應(yīng)的貨物的品質(zhì)、包裝、價格等方面的意見。乙方還承擔(dān)向甲方提供其他供應(yīng)商類似商品的報價和廣告資料。In order to keep Party A well informed of the prevailing market conditions, Party B shall supply Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the Commodity covered by this agreement, local market tendency and the buyers comments on quality, packing, price, etc. of the goods supplied by Party A under this agreement. Party B shall also supply Party A with quotations and advertising materials on similar products of other suppliers.6. 廣告及費用8. Advertising and Expenses乙方負擔(dān)本協(xié)議有效期內(nèi)在韓國銷售代理商品做廣告宣傳的一切費用，并向甲方提交所用于廣告的聲像資料，供甲方事先核準。Party A shall bear all expenses for advertising and publicity in connection with the Commodity in Korea within the validity of this agreement, and shall submit to Party A all audio and video materials intended for advertising for prior approval of Party A.7. 傭金9. Commission 對乙方直接獲取并經(jīng)甲方確認接受的訂單，甲方按發(fā)票售價向乙方支付_%的傭金。傭金在甲方收到每筆訂單的全部貨款后_天內(nèi)向乙方支付。Party A shall pay Party B a commission of_% on the invoiced selling price on all orders directly obtained by Party B and accepted byparty A. For each order, Party A shall paid the commission to Party B within _days from the date Party A receives the full payment for such order.8. 工業(yè)產(chǎn)權(quán)10. Industrial Property Rights在本協(xié)議有效期內(nèi)，為銷售本協(xié)議項下的代理商品，乙方可以使用甲方擁有的商標，并承認使用于或包含于代理商品中的任何專利商標、版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨家擁有。 一旦發(fā)現(xiàn)侵權(quán)，乙方應(yīng)立即通知甲方并協(xié)助甲方采取措施保護甲方權(quán)益。Party B may use the trade-marks owned by Party A for the sale of the Commodity covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the Commodity shall remain to be the sole properties of Party A. Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latters rights.9. 協(xié)議有效期11. Validity of Agreement 本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為_年，從_年_月_日至_年_月_日。 除非作出相反通知，本協(xié)議期滿后將延長_個月。This agreement, when duly signed by the both parties concerned, shall remain effect for _ months from _ (date) to _ (date), and it shall be extended for another _months upon expiration unless notice in writing is given to the contrary.10. 協(xié)議的終止12. Termination在本協(xié)議有效期內(nèi)，如果一方被發(fā)現(xiàn)違背協(xié)議條款，另一方有權(quán)終止協(xié)議。During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.11. 不可抗力13. Force Majeure由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時不能全部或部分履行本協(xié)議，該方不負責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機構(gòu)出具的不可抗力事件的證明寄交對方。Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relevant party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter shall send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.12. 爭議解決14. Dispute Resolution因凡因本合同引起的或與本合同有關(guān)的任何爭議，雙方應(yīng)首先嘗試友好協(xié)商解決。如果一方向另一方發(fā)出協(xié)商通知之日起三十日內(nèi)，爭議仍未得到解決，則應(yīng)將爭議提交中國國際經(jīng)濟貿(mào)易仲裁委員會上海分會，按照申請仲裁時該會實施的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。 Any dispute arising from or in connection with this agreement shall first be attempted to be resolved through discussions and consultations between the Parties in good faith. If the dispute remains unresolved upon expiration of 30 days after written notice has been sent by one Party to the other Party, the dispute shall be submitted to China International Economic and Trade Arbitration Commission, Shanghai Sub-Commission for arbitration, which shall be conducted in accordance with the Commissions arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both Parties.13. 語言15. Language本合同以中英文書就，如中英文內(nèi)容存在不一致，已中文為準This agreement is made in both Chinese.
