Both parties adhere to relevant provisions of the state and this municipality relevant laws and regulations. 一、聘用期限Employment Period第一條 期限為 年，自 年 月 日起至 年 月 日止。 1. Party B shall fulfill his working duties according to the requirement of the post and job content and finish the work in time. Party B should abide by the rules and regulations in Party A. 第五條 根據(jù)工作需要，經(jīng)雙方協(xié)商一致，甲方可以調(diào)整乙方的工作崗位、工作地點(diǎn)。5. If required by the work and with agreement by both parties, Party A can adjust Party Bs job title and work location.三、工作時間和休息休假Working Hours And Vacations第六條 根據(jù)乙方工作崗位的實(shí)際情況，確定工作時間按以下第 種工時工種制執(zhí)行。6. According to the actual situation of Party Bs job, option _ of the following would be chosen to be the working times schedule. （一）標(biāo)準(zhǔn)工時工作制：每日工作不超過八小時，且甲方應(yīng)保證乙方每周至少休息一天。Standard working hours: Work no more than eight hours a day, and Party A shall ensure at least one off-day each week for Party B. （二）不定時工作制：甲方在保障乙方身體健康并充分聽取乙方意見的基礎(chǔ)上，應(yīng)采用集中休息、輪休調(diào)休、彈性工作時間等適當(dāng)方式，確保乙方的休息休假權(quán)利和生產(chǎn)工作任務(wù)完成。Non-fixed working hours: With consideration for Party Bs health condition and suggestions, Party A would adopt a proper way including concentrated rest, paid leave, flexible working hours to ensure Party Bs right on rest and vacations with completion of Party Bs work. （三）其他類型的作息時間： Other types of working hours: 四、勞動報(bào)酬P(guān)ayment第七條 乙方的薪酬標(biāo)準(zhǔn)為：每月支付乙方工資 元（稅前）。7. Party A would withhold Party Bs due personal income tax and other legally charged fees from Party Bs salary.五、勞動保護(hù)、勞動條件和職業(yè)危害防護(hù) Labor Protection, Working Conditions And Occupational Hazard Protection第十條 甲方根據(jù)乙方崗位的實(shí)際情況，向乙方提供符合國家規(guī)定標(biāo)準(zhǔn)的勞動保護(hù)用品。10. According to the actual situation of Party Bs job requirement, Party A shall provide labor protection articles qualified for provisions of the state standard.第十一條 甲方為乙方提供符合國家安全衛(wèi)生標(biāo)準(zhǔn)的工作場所和完成工作任務(wù)所必須的勞動工具。11. Party A should provide work places qualified for national safety and health standards and tools necessary for the job.第十二條 甲方根據(jù)國家有關(guān)法律法規(guī)，建立健全安全生產(chǎn)制度和職業(yè)危害防護(hù)制度，雙方應(yīng)當(dāng)嚴(yán)格遵守，嚴(yán)禁違章作業(yè)，防止事故的發(fā)生，減少職業(yè)危害。12. Party A shall establish safe production system and occupational hazards protection system according to relevant state laws and regulations. Both parties shall strictly abide by it to avoid illegal operation and prevent accidents which may cause occupational hazards.第十三條 乙方對甲方管理人員違章指揮、強(qiáng)令冒險(xiǎn)作業(yè)，有權(quán)拒絕執(zhí)行；對危害生命安全和身體健康的勞動條件，有權(quán)提出批評、檢舉和控告。13. Party B is entitled to decline any violated order or forcing of risk duties. Party B has the right to criticize, impeach and charge to any labor conditions which may endanger his/her life safety and body health.六、勞動紀(jì)律Labor Discipline第十四條 遵守國家法律、法規(guī)及甲方指定的各項(xiàng)規(guī)章制度，遵守職業(yè)道德，維護(hù)甲方的榮譽(yù)和利益，按時保質(zhì)保量地完成工作任務(wù)是乙方應(yīng)盡的義務(wù)。14. Party B shall comply with national laws, regulations and rules pointed by Part A, abide by professional ethics, protect the honors and interests of Party A and ensure his/her completed staff work.第十五條 乙方應(yīng)遵守甲方根據(jù)生產(chǎn)經(jīng)營需要依法指定的規(guī)章制度和勞動紀(jì)律。如乙方違反甲方指定的規(guī)章制度和勞動紀(jì)律，甲方有權(quán)根據(jù)規(guī)章制度進(jìn)行處理。15. Party B should abide by the specified rules, regulations and labor discipline specified by Party A according to the needs of business operation. Party A has the right to proceed with rules and regulations if there are violations to the rules, regulations and labor discipline from Party B.第十六條 甲方的各類規(guī)章制度，及甲乙雙方簽訂的有關(guān)協(xié)議均為本合同的有效補(bǔ)充，與本合同具有同等的法律效力。16. All rules and regulations, including agreements signed by Party A and Party B aside from this contract, have the equal legal effect as this contract.七、合同的履行、變更、解除、終止、續(xù)訂Implement, Change, Remove, End and Renew Of The Contract第十七條 聘用合同期滿前一個月，經(jīng)雙方協(xié)商同意，可以續(xù)訂聘用合同。17. Agreed by both parties, Party A and Party B can sign a renew contract a month before the expiry date of the contract.第十八條 下列情形之一本合同可終止18. Following situations may cause contract termination（一）本合同期滿The contract expires（二）雙方就解除本合同協(xié)商達(dá)成一致Both parties agree on termination of the contract（三）簽訂合同時的客觀條件發(fā)生變化，無法繼續(xù)履行合同The objective conditions changes and the contract cannot continue to perform （四）乙方由于健康原因不能繼續(xù)履行本合同義務(wù)的Due to Party Bs health problems, he/she cannot continue to perform the obligations of this contract（五）其他情況: Other conditions: 第十九條 甲、乙雙方若單方面解除本合同，可提前三十天以書面形式告知對方即可。19. To terminate this contract from a single party, he/she needs to inform the other party in written form 30 days in advance.第二十條 本合同終止、解除后，乙方應(yīng)在30天內(nèi)將有關(guān)事項(xiàng)及因履行本協(xié)議從甲方處取得的資料文件等向甲方移交完畢，并附書面說明；移交完畢后公司將在下一工資發(fā)放日結(jié)算并發(fā)放剩余報(bào)酬；如未履行相關(guān)交接工作并給甲方造成損失，應(yīng)予賠償。20. Once remove or expiration of the contract, Party B shall return relevant matters including documents and information obtained from Party A within 30 days with written statement. After duty transfer, the company will settle the rest payment on the next payroll day. Any losses caused by incapable of complete transfer would be asked for compensation to Party A. 八、特別約定及其它事項(xiàng)Other Matters第二十一條 乙方變更通信地址或手機(jī)、固定電話等其它聯(lián)系方式時，應(yīng)當(dāng)于變更發(fā)生之日起十日內(nèi)書面通知甲方。21. If Party B changes communication address or other contact information, such as the cell number and fixed telephone, he/she shall give a written notice to Party A within ten days from the changes.第二十二條 本合同未盡事宜，雙方可以協(xié)商簽訂補(bǔ)充協(xié)議，補(bǔ)充協(xié)議與本合同具有同等效力。22. For items not mentioned in this contract, both parties can negotiate to sign a supplementary agreement. Supplementary agreement enjoys same legal effect as this contract.第二十三條 本合同自甲、乙雙方蓋章或簽字之日起生效。本合同一式兩份，甲乙雙方各執(zhí)一份。 23. This contract is effective by signatures of both parties. This contract is made in duplicate and each party holds one counterpart.第二十四條 甲方的員工手冊和規(guī)章制度為本合同附件。24. Possibly resulting compensation claims by the development manager of this Agreement shall not be affected by the revocation. 提交重要原因并經(jīng)股東會通過，可以隨時廢除該合同。重要原因應(yīng)包括失職或不能勝任該職位。研發(fā)中心總經(jīng)理若提出補(bǔ)償索賠要求，將不受到合同廢除影響。HR:合同的解除及補(bǔ)償中國是有相關(guān)法律規(guī)定的，如出現(xiàn)以上情況依據(jù)中國法律規(guī)定執(zhí)行。不建議合同中約定(3) The contractual relationship ends without notice at the end of the month in which his head of development 65/66/67. Years of age (depending on age development manager).合同將在研發(fā)中心總經(jīng)理年滿65/66/67歲（依據(jù)研發(fā)中心總經(jīng)理年紀(jì)而定）的當(dāng)月末自動失效。HR:因 Manfred 年齡達(dá)到中國法律規(guī)定退休年齡,因此不存在退休等問題?？赏ㄟ^合同約定期限或相關(guān)解除條款等方式解除合同不建議合同中約定 (4) If the head of development in accordance with a medical certificate permanently no longer able to fulfill its duties under this contract, the employment contract expires at the end of the month in which a doctor has reached that conclusion. The permanent incapacity is indisputably assumed if a disease-related disability uninterrupted nine months or a longer period.
