Transhipment enroute is not allowed without theBuyers consent.The goods should not be carried by vessels flying of the countries not acceptable to the Buyers.國(guó)際貨物買(mǎi)賣(mài)合同離岸價(jià)條款：For FOB Terms:(A)裝運(yùn)本合同貨物的船只，由買(mǎi)方或買(mǎi)方運(yùn)輸代理人中國(guó)租船公司(地址：北京、二里溝。電報(bào)掛號(hào)：ZHOUGZU PEKING)租定艙位。賣(mài)放應(yīng)負(fù)責(zé)將所訂貨物在本合同第(9)條規(guī)定的裝船期限內(nèi)按買(mǎi)方所通知的任何日期裝上買(mǎi)方指定的船只。The shipping space for the contracted goods shall be booked by the Buyers or the Buyersshipping agent,ChinaNational Chartering Corporation (Address: Er LiGou Beijing Cable Address:ZHOUGZU PEKING).The Sellers shallundertake to load the contracted goods on board the vessel nominated by the Buyers on any date notified by theBuyers, within the time of shipment stipulated in the Clause (9) of this Contract.(B)貨物裝運(yùn)前1015日，買(mǎi)方應(yīng)電告賣(mài)方合同號(hào)、船只名稱(chēng)、船只預(yù)計(jì)到港日期、裝運(yùn)數(shù)量及船運(yùn)代理人的名稱(chēng)，以便賣(mài)方可與該船運(yùn)代理人聯(lián)系及安排貨物的裝運(yùn)。賣(mài)方應(yīng)將聯(lián)系結(jié)果及時(shí)報(bào)告買(mǎi)方，如買(mǎi)方因故需要變更船只或有關(guān)船只提前或推遲到達(dá)情況發(fā)生，買(mǎi)方或船運(yùn)代理人應(yīng)及時(shí)通知賣(mài)方。賣(mài)方亦應(yīng)與中租代理保持密切聯(lián)系。1015 days prior to the date of shipment,the Buyers shall inform the Sellers by cable if the contract number,name of vessel, ETA of vessel, quantity to be loaded and the name of shipping agent, so as to enable the latterto contact the shipping agent directly and arrange the shipment of the goods. The Sellers shall cable in timethe Buyers of the result thereof. Should,for certain reasons,it become necessary for the Buyers to replace thenamed vessel with another one, or should the named vessel arrive at the port of shipment earlier or later thanthe date of arrival as previously notified to the Sellers, the Buyers or their shipping agent shall advise theSellers to this effect in due time. The Sellers shall also keep close contact with the agent of Zhougzu.(C)如買(mǎi)方所訂船只到達(dá)裝港后，賣(mài)方不能按買(mǎi)方所通知的時(shí)間如期裝船時(shí)，則空艙費(fèi)及滯期費(fèi)等一切費(fèi)用和后果均由賣(mài)方負(fù)擔(dān)。但如船只臨時(shí)撤換、延期或退關(guān)等情況而未能及時(shí)通知賣(mài)方停止發(fā)貨者，在裝港發(fā)生的棧租及保險(xiǎn)費(fèi)損失的計(jì)算，應(yīng)以代理通知之裝船日期(如貨物晚于船代理通知之裝船日期抵達(dá)裝港，應(yīng)以貨物抵港日期)為準(zhǔn)，在 港口 免費(fèi)堆存期滿后第16天起應(yīng)由買(mǎi)方負(fù)擔(dān)，人力不可抗拒的情況除外，但賣(mài)方仍負(fù)有載貨船只到達(dá)裝港后立即將貨物裝船之義務(wù)并負(fù)擔(dān)費(fèi)用及風(fēng)險(xiǎn)。前述各種有關(guān)費(fèi)用均憑原始單據(jù)核實(shí)支付。Should the Sellers fail to load the goods,within the time as notified by the Buyers, on board the vessel bookedby the Buyers after its arrival at the port of shipment, all expenses such as dead freight, demurrage, etc.,andconsequences thereof shall be borne by the Sellers. Should the vessel be withdraw or replaced or delayedeventually or the cargo be shut out,etc.,and the Sellers be not informed in good time to stop delivery of thecargo, the calculation of the loss for storage expenses and insurance premium thus sustained at the loadingport should be based on the loading date notified by the agent to the Sellers(or based on the date of the arrivalof the cargo at the loading port in case port in case the cargo should arrive there later than the notifiedloading date).The above-mentioned loss to be calculated from the 16th day after expiry of the free storage timeat the port should be borne by the Buyers with the exception of Force Majeure. However, the Sellers stillundertaked to load the cargo immediately upon the carrying vessels arrivel at the loading port at their ownrisks and expenses. The payment of the afore-said expenses shall be effected against presentation of the originalvouchers after being checked.2.裝船通知：貨物裝運(yùn)完畢后，賣(mài)方立即以電報(bào)通知買(mǎi)方合同號(hào)、貨名、所裝數(shù)量或重量、發(fā)票金額、船名、起運(yùn)口岸、開(kāi)船日期及目的口岸。由于賣(mài)方不給上述裝船通知電報(bào)而導(dǎo)致買(mǎi)方不能及時(shí)保險(xiǎn)時(shí)，則所發(fā)生之一切損失均由賣(mài)方負(fù)責(zé)賠償。Advice of Shipment: Immediately after completion of loading of goods on board the vessel the Sellers shall advisethe Buyers by cable of the contract numver, name of goods, quantity or weight loaded, invoice value, name ofvessel, port of shipment, sailing date and port of destination.Should the Buyers be made unable to arrange insurance in time owing to the Sellers failure to give the abovementioned advice of shipment by cable, the Sellers shall be held responsible for any and alll damage and/or lossattributable to such failrue.3.裝船單據(jù)：Shipping Documents:(A)賣(mài)方憑下列單據(jù)向付款銀行議付貨款：(a)填寫(xiě)通知目的口岸中國(guó)對(duì)外貿(mào)易運(yùn)輸公司分公司的空白抬頭、空白背書(shū)的全套已裝船清潔 海運(yùn) 提單(如系成本加運(yùn)費(fèi)條款則注明運(yùn)費(fèi)已付，如系離岸價(jià)條款則注明運(yùn)費(fèi)待收)。(b)已簽署的發(fā)票5份，注明合同號(hào)及裝船碼頭。(c)注明尺碼的裝箱單/或重量單2份。(d)本交貨條款第5條規(guī)定的品質(zhì)檢驗(yàn)證明書(shū)及數(shù)量或重量證明書(shū)各1份。(e)本交貨條款第2條規(guī)定的裝船港通知電報(bào)副本1份。The Sellers shall present the following documents to the paying bank for negotiation of payment:(a)Full set ofclean on board,freight prepaid for CF Terms or freight to collect for FOB Terms, ocean Bills of Lading ,made out to order and blank endorsed, notifying the Branch of China National Foreign Trade TransportationCorporation at the port of destination.(b) Five copies of signed invoice,indicating contract number and shippingmarks.(c)Two copies of packing list and/or weight memo with indication of measurement.(d)One copy each of thecertificates of quality and quantity or weight, as stipulated in the Clause 5 of the Terms of Delivery.(e) Oneduplicate copy of the cable advice of shipment,as stipulated in the Chause 2 of the Terms of Delivery.(B)賣(mài)方需將提單、發(fā)票及裝箱單副本各1份隨船帶交目的口岸買(mǎi)方收貨代理人中國(guó)對(duì)外貿(mào)易運(yùn)輸公司分公司。The Sellers shall despatch,in care of the carrying vessel, one copy each of the duplicates of Bill of Lading,Invoice and Packing List to the Buyers receiving agent,the Branch of China National Foreign Trade TransportationCorporation at the port of destination.(C)船啟航后立即將1份全套單據(jù)副本航空郵寄買(mǎi)方，另2份航空郵寄目的口岸的中國(guó)對(duì)外貿(mào)易運(yùn)輸公司分公司。Immediately after the departure of the carrying vessel,the Sellers shall airmal one set of the duplicate documentsto the Buyers and two sets to the Branch of China National Foreign Trade Transportation Corporation at theport of destination.4.危險(xiǎn)品說(shuō)明書(shū)：凡屬危險(xiǎn)品及/或有毒貨物，賣(mài)方必須提供其危險(xiǎn)或有毒性質(zhì)、運(yùn)輸、倉(cāng)儲(chǔ)及裝卸注意事項(xiàng)和急救、防治、消防方法的說(shuō)明書(shū)，將此項(xiàng)說(shuō)明書(shū)隨同裝船單據(jù)航空郵寄給買(mǎi)方及目的口岸的中國(guó)對(duì)外貿(mào)易運(yùn)輸公司分公司各3份。Dangerous Cargo Instruction Leaflets:For dangerous and/or poisonous cargo,the Sellers must provide instructionleaflets stating the hazardous or poisonous properties,transportation,storage and handling remarks, as well asprecautionary and first-aid measures and measures against fire. The Sellers shall airmail, together with othershipping documents, three copies each of the same to the Buyers and the Branch of China National Foreign TradeTransportation Corporation at the port of destination.5.商品檢驗(yàn)：雙方同意以制造廠出具之品質(zhì)及數(shù)量或重量檢驗(yàn)證明書(shū)作為賣(mài)方向付款銀行議付貨款單據(jù)之一。但貨物的品質(zhì)及數(shù)量或重量的檢驗(yàn)應(yīng)按下列規(guī)定辦理：Inspection: It is mutually agreed that the certificates of quality and quantity or weight issued by theManufacturer shall be part of the documents to be presented to the paying bank for negotiation of payment.However,the inspection of quality and quantity or weight shall be made in accordance with the following:(A)一般貨物：貨到目的口岸60天內(nèi)經(jīng)中國(guó)商品檢驗(yàn)局復(fù)驗(yàn)，如發(fā)現(xiàn)品質(zhì)或數(shù)量或重量與本合同規(guī)定不符時(shí)，除屬于保險(xiǎn)公司或船方負(fù)責(zé)者外，買(mǎi)方憑中國(guó)商品檢驗(yàn)局出具的檢驗(yàn)證明書(shū)向賣(mài)方提出退貨或索賠。因退貨或索賠引起的一切費(fèi)用(包括檢驗(yàn)費(fèi))及損失均由賣(mài)方負(fù)擔(dān)。在此情況下，凡貨物適于抽樣者，如賣(mài)方要求，買(mǎi)方可將樣品寄交賣(mài)方。For General Cargo: In case the quality,quantity or Weight of the goods be found not in conformity with thosestipulated in this Contract after re-inspection by the china Commodity Inspection Bureau within 60 days afterarrival of the goods at the port of destination, the Buyers shall return the goods to or lodge claims againstthe Sellers for compensation of losses upon the strength of Inspection Certificate issued by the said Bereau,with the exception of those claims for which the insurers or owners of the carrying vessel are liable. Allexpenses (including inspection fees) and losses arising from the return of the goods or claims should be borneby the Sellers. In such case, the Buyers may, if so requested, send a sample of the goods in quetion to theSellers, provided that sampling is feasible.(B)醫(yī)藥商品：進(jìn)口的醫(yī)藥商品應(yīng)受中華人民共和國(guó)法律及規(guī)章的約束，凡不合格的醫(yī)藥商品不準(zhǔn)進(jìn)口。雙方同意本合同所訂立此類(lèi)商品之品質(zhì)應(yīng)以貨物到達(dá)目的口岸后90后內(nèi)經(jīng)中國(guó)商品檢驗(yàn)局檢驗(yàn)并以該局所簽發(fā)之檢驗(yàn)證為最后依據(jù)，雙方均遵守之。不合格貨物賣(mài)方應(yīng)予收回，并賠償買(mǎi)方貨款及因退貨而遭受的運(yùn)輸、儲(chǔ)藏、利息、檢驗(yàn)等費(fèi)用損失。如中國(guó)商品檢驗(yàn)局檢驗(yàn)數(shù)量或重量與本合同規(guī)定不符時(shí)，買(mǎi)方有權(quán)在貨物運(yùn)抵目的地口岸60天內(nèi)憑中國(guó)商品檢驗(yàn)局的檢驗(yàn)證向賣(mài)方提出索賠。For pharmaceutical: Pharmaceutical imported into China are subject to laws and regulations of the Peoples Republic of China. Disqualitied pharmaceutical are prohibited to be imported. It is mutually agreed that for the quality of the contracted goods in this category, the Inspection Certificate issued by the China Commodity Inspection Bureau after inspection the goods within 90 days from the date of arrival at the port of destination shall be taken as final and binding upon both parties. The Sellers shall take back all the disqualified goods and compensate the Buyers for the value of the goods plus all losses sustained due to return of the cargo, such freight, storage charges, insurance premium, interest, inspection charges, etc.Should the quantity/weight be found not in conformity with those stipulated in this Contract after inspection by the China Commodity with those stipulated in this Contract after inspection by the China Commodity Inspection Bureau, the Buyers shall have the right to claim against the Sellers for compensation of losses within 60 days after the arrival of the goods at the port of destinationon the basis of the Inspection Certificate issued by the said bureau6.人力不可抗拒：由于一般公認(rèn)的人力不可抗拒原因而不能交貨或裝船遲延，賣(mài)方不負(fù)責(zé)任。但賣(mài)方必須在事故發(fā)生時(shí)立即電告買(mǎi)方并在事故發(fā)生后15天內(nèi)航空郵寄給買(mǎi)方災(zāi)害發(fā)生地點(diǎn)之有關(guān)政府機(jī)關(guān)或商會(huì)所發(fā)給的證件證實(shí)災(zāi)害存在。除因不可抗力致裝船遲延或不能交貨外，如賣(mài)方不能按合同規(guī)定期限內(nèi)裝船，則需要賠償買(mǎi)方直接由于遲期交貨或不能按合同條件交貨所遭受之一切損失及費(fèi)用。人力不可抗拒事故如繼續(xù)存在60天以上時(shí)，買(mǎi)方有權(quán)撤銷(xiāo)合同或合同中未裝運(yùn)部分。Force Majerue: The Sellers shallnot be held responsible for late delivery or non-delivery of the goods owing togenerally recognized Force Majeruecauses. However,in such case,the Sellers shall immediately cable the Buyersthe accident and airmail to the Buyers within 15 days after the accident, a certificate of the accident issued bythe competent government authorities or the chamber of commerce which is located at the place where the accidentoccurs as evidence thereof. With the exception of late delivery or non-delivery due to Force Majeurecauses, incase the Sellers fail to make delivery within the time as stipuated in the contract,the Sellers should indemnifythe Buyers for all losses and expenses incurred to the
