1.SUBJECTMATTEROFAGREEMENT

TheManufacturershallsupplytheOEMPartnerwithProductsasspecifiedinExhibitAattachedhereto(the"Products").

2.DELIVERYANDDELIVERYTERMS

2.1TheManufacturershalldelivertheProductstotheOEMPartnerinaccordancewiththedeliverytermssetforthinExhibitBattachedhereto.

2.2TheManufacturershalldelivertheProductstotheOEMPartner'sdesignatedlocationor,ifapplicable,theOEMPartner'sfacility.

2.3TheManufacturershallprovidetheOEMPartnerwithadeliveryscheduleinadvanceoftheshipmentoftheProducts.

3.PRICEANDPAYMENT

3.1ThepricefortheProductsshallbeassetforthinExhibitCattachedhereto.

3.2PaymentfortheProductsshallbemadebytheOEMPartnerinaccordancewiththepaymenttermssetforthinExhibitDattachedhereto.

4.TECHNICALSPECIFICATIONS

4.1TheProductsshallconformtothetechnicalspecificationssetforthinExhibitEattachedhereto.

4.2TheManufacturershallprovidetheOEMPartnerwithanynecessarytechnicaldocumentationandsupportinaccordancewiththetermssetforthinExhibitFattachedhereto.

5.INTELLECTUALPROPERTYRIGHTS

5.1TheManufacturershallretainallright,title,andinterestinandtotheProducts,including,butnotlimitedto,anyandallpatents,copyrights,trademarks,andtradesecrets.

5.2TheOEMPartnershallnotacquireanyright,title,orinterestintheProducts,exceptasexpresslygrantedherein.

6.WARRANTIES

6.1TheManufacturerwarrantsthattheProductsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery.

6.2TheManufacturer'ssoleliabilityunderthiswarrantyshallbelimitedtotherepairorreplacementofanydefectiveProducts.

7.LIMITATIONOFLIABILITY

7.1TheManufacturershallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeProductsorthisAgreement.

7.2ThetotalaggregateliabilityoftheManufacturerunderthisAgreementshallnotexceedthetotalamountpaidbytheOEMPartnerfortheProducts.

8.TERMANDTERMINATION

8.1ThisAgreementshallcommenceontheEffectiveDateandshallremainineffectforaperiodof[Term]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

8.2EitherPartymayterminatethisAgreementupon[NoticePeriod]priorwrittennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithintheNoticePeriod.

9.CONFIDENTIALITY

9.1ThePartiesagreetomaintaintheconfidentialityofallinformationdisclosedtothembytheotherParty,including,butnotlimitedto,technical,commercial,financial,andotherproprietaryinformation.

9.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.

10.GENERALPROVISIONS

10.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

10.2ThisAgreementmaybeamendedormodifiedonlybyawrittenagreementexecutedbybothParties.

10.3ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

6.MANUFACTURER'SRIGHTSANDOBLIGATIONS

6.2TheManufacturershallhavetherighttoterminatethisAgreementupon[NoticePeriod]priorwrittennoticetotheOEMPartnerandtheThirdPartyiftheOEMPartnerortheThirdPartybreachesanymaterialtermorconditionofthisAgreement.

6.3TheManufacturershallprovidetheOEMPartnerwithtechnicalsupportanddocumentationasagreeduponinExhibitIattachedhereto.

7.WARRANTIES

7.1TheManufacturerwarrantsthattheProductsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery.

11.THIRDPARTY'SLIABILITYANDINDEMNIFICATION

11.1TheThirdPartyshallindemnifyandholdharmlesstheManufacturerandtheOEMPartneragainstanyclaims,liabilities,losses,damages,orexpensesarisingoutoforinconnectionwiththeThirdParty'sbreachofthisAgreement.

11.2TheThirdPartyshallbesolelyresponsibleforanyandallactionstakenbyitsrepresentativesinthecourseofmarketinganddistributingtheProducts.

12.GENERALPROVISIONS

12.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

12.2ThisAgreementmaybeamendedormodifiedonlybyawrittenagreementexecutedbyallParties.

12.3ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
