2.QUANTITYANDQUALITYOFGOODS

3.PRICEANDPAYMENTTERMS

4.DELIVERYTERMS

7.FORCEMAJEURE

NeitherpartyshallbeliableforanydelayorfailureinperformanceunderthisContractduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,terrorism,labordisputes,oranygovernmentaction.

8.TERMINATION

ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,intheeventofamaterialbreachofthisContractbytheotherparty,orintheeventofinsolvencyorbankruptcyofeitherparty.

9.GOVERNINGLAWANDDISPUTERESOLUTION

10.PRINCIPALPARTYDOMINANCEANDPURPOSE

ThePrincipalParty’sdominanceinthisContractisaimedatensuringthatitsrightsandinterestsareprotected,thatthetransactionisconductedsmoothlyandefficiently,andthatanypotentialrisksaremitigatedthroughtheinclusionofrobustrightsandobligationsfortheSellerandtheThirdParty.
