**2.RepresentationsandWarranties**

a.TheTransferorrepresentsandwarrantsthatitisthesoleandabsoluteownerofthePatentsandhasthefullpowerandauthoritytoenterintothisAgreementandtransferthePatentstotheTransferee.

b.TheTransferorrepresentsandwarrantsthatthePatentsarevalid,subsisting,andenforceableinallrespectsandarenotsubjecttoanyliens,encumbrances,ordisputesthatwouldimpairtheTransferee'sownershiporuseofthePatents.

c.TheTransferorrepresentsandwarrantsthatithasnotgrantedanylicensesorotherrightsinthePatentstoanythirdpartythatwouldinterferewiththeTransferee'srightsunderthisAgreement.

**3.Indemnification**

TheTransferorshallindemnifyandholdtheTransfereeharmlessfromandagainstanyandallclaims,liabilities,damages,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromanybreachoftherepresentationsandwarrantiescontainedinthisAgreementbytheTransferor.

**4.Payments**

TheTransfereeagreestopaytheTransferorthefollowingconsiderationforthetransferofthePatents:

**7.LimitationsofLiability**

**8.GoverningLawandJurisdiction**
