2.TheClientrepresentsandwarrantsthatitisdulyorganized,validlyexisting,andingoodstandingunderthelawsofthejurisdictionofitsincorporationororganization,andhasthepowertoenterintoandperformitsobligationsunderthisContract.

3.TheConsultantrepresentsandwarrantsthatithasthenecessaryqualifications,expertise,andexperiencetoperformtheservicesdescribedinthisContract.

4.TheClientrepresentsandwarrantsthatithasallnecessaryapprovals,consents,andauthorizationstoenterintoandperformitsobligationsunderthisContract.

OBLIGATIONSOFTHECONSULTANT:

1.TheConsultantshallprovidetheClientwiththeservicesdescribedinthisContract(hereinafterreferredtoasthe"Services")inaccordancewiththescope,quality,andstandardsagreeduponinthisContract.

2.TheConsultantshalluseitsbesteffortstoperformtheServicesdiligently,efficiently,andinaprofessionalmanner.

3.TheConsultantshallkeeptheClientinformedoftheprogressoftheServicesandprovideperiodicupdatesonthestatusoftheproject.

4.TheConsultantshallmaintainconfidentialityofallinformationreceivedfromtheClientandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheClient.

OBLIGATIONSOFTHECLIENT:

1.TheClientshallprovidetheConsultantwithallnecessaryinformation,materials,andaccesstofacilitiesrequiredfortheConsultanttoperformtheServices.

2.TheClientshallmaketimelypaymentsfortheServicesasspecifiedinthisContract.

3.TheClientshallprovidetheConsultantwithanynecessaryapprovals,consents,andauthorizationsrequiredfortheConsultanttoperformtheServices.

4.TheClientshallreviewandprovidefeedbackontheConsultant'sworkasrequired.

TERMANDTERMINATION:

1.ThisContractshallcommenceonthedateofthisContract(hereinafterreferredtoasthe"EffectiveDate")andshallcontinueforaperiodof[insertduration,e.g.,oneyear](hereinafterreferredtoasthe"Term").

2.EitherpartymayterminatethisContractatanytimeuponwrittennoticetotheotherparty,providedthatsuchterminationshallnotaffectanyobligationsorrightsthathavealreadyaccruedorbeenincurredpriortotheeffectivedateoftermination.

3.UponterminationofthisContract,theConsultantshallpromptlyreturnallmaterials,property,andconfidentialinformationprovidedbytheClient.

PAYMENTTERMS:

1.TheClientshallpaytheConsultantfortheServicesrenderedinaccordancewiththefollowingpaymentterms:

a.Anupfrontpaymentof[insertamount]shallbemadeupontheEffectiveDate.

b.Monthlypaymentsof[insertamount]shallbemadeonthe[insertdate]ofeachmonthduringtheTerm.

c.UponcompletionoftheServices,theConsultantshallsubmitaninvoicetotheClient,andtheClientshallpaytheamountstatedontheinvoicewithin[insertnumberofdays]daysofreceiptoftheinvoice.

2.Allpaymentsshallbemadein[insertcurrency]andshallbenon-refundable.

3.TheClientshallbeliableforallapplicabletaxes,fees,andchargesassociatedwiththepaymentoftheServicesrenderedunderthisContract.

CONFIDENTIALITY:

1.TheConsultantagreestokeepconfidentialallinformation,includingbutnotlimitedtotechnical,commercial,financial,andotherproprietaryinformation,whichtheClientdisclosestotheConsultantduringthetermofthisContractandforaperiodof[insertduration,e.g.,fiveyears]followingtheterminationorexpirationofthisContract.

2.TheClientagreestokeepconfidentialallinformation,includingbutnotlimitedtotechnical,commercial,financial,andotherproprietaryinformation,whichtheConsultantdisclosestotheClientduringthetermofthisContractandforaperiodof[insertduration,e.g.,fiveyears]followingtheterminationorexpirationofthisContract.

3.Theobligationsofconfidentialityshallnotapplytoinformationthat:

a.Ispubliclyknownandmadegenerallyavailableinthepublicdomainpriortothetimeofdisclosurebytheotherparty;

b.Becomespubliclyknownandmadegenerallyavailableafterdisclosurebytheotherpartytothepublicthroughnoactionorinactionofthereceivingparty;

c.Isalreadyinthepossessionofthereceivingpartyatthetimeofdisclosure;

d.Isobtainedbythereceivingpartyfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality;or

e.Isindependentlydevelopedbythereceivingpartywithoutuseoforreferencetothedisclosedinformation.

INDEMNIFICATION:

1.TheConsultantagreestoindemnify,defend,andholdharmlesstheClientfromandagainstanyandallclaims,liabilities,damages,losses,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeConsultant'sperformanceoftheServicesoranybreachofthisContractbytheConsultant.

2.TheClientagreestoindemnify,defend,andholdharmlesstheConsultantfromandagainstanyandallclaims,liabilities,damages,losses,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeClient'sperformanceofitsobligationsunderthisContractoranybreachofthisContractbytheClient.

LIMITATIONOFLIABILITY:

1.TheConsultant'stotalliabilitytotheClientforanyclaimarisingoutoforinconnectionwiththisContract,whetherincontract,tort,orotherwise,shallnotexceedthetotalamountpaidbytheClienttotheConsultantunderthisContract.

2.TheConsultantshallnotbeliableforanyindirect,special,incidental,orconsequentialdamagessufferedbytheClient,includingbutnotlimitedtolossofprofits,businessinterruption,orlossofdata,arisingoutoforinconnectionwiththisContract.

3.TheClientacknowledgesthattheConsultanthasnotmadeanyrepresentationsorwarrantiesregardingtheresultsoftheServicesandthattheClient'srelianceontheresultsoftheServicesissolelyatitsownrisk.

DISPUTERESOLUTION:

1.AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughgoodfaithnegotiationsbetweentheparties.

2.Ifthepartiesareunabletoresolveanydisputesthroughnegotiations,suchdisputesshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[insertarbitrationinstitution].

3.Thedecisionofthearbitratorshallbefinalandbindingonbothparties.

LIMITATIONSANDLIABILITYOFTHECONSULTANTANDTHETHIRDPARTY:
