1.ScopeofAgreement

2.Term

4.DutiesandResponsibilitiesoftheAgent

a.Useitsbesteffortstomarketandsell[Principal'sProducts/Services]withintheTerritory;

b.Complywithallapplicablelaws,regulations,andstandards;

c.Maintainaccurateandcompleterecordsofallsalestransactions;

d.PromptlyremittothePrincipalallcommissionsearnedunderthisAgreement.

5.DutiesandResponsibilitiesofthePrincipal

ThePrincipalshall:

a.ProvidetheAgentwiththenecessarymarketingmaterials,productinformation,andtechnicalsupport;

b.Ensurethequalityandavailabilityof[Principal'sProducts/Services];

c.Promptlyaddressanycomplaintsorinquiriesfromcustomers;

d.PaytheAgentthecommissionsdueunderthisAgreementwithin[NumberofDays]daysofreceivingtheAgent'sinvoice.

6.Confidentiality

ThePartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtothembytheotherPartyduringthetermofthisAgreement.SuchconfidentialinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty.

7.Termination

8.GoverningLaw
