itiesoftheThirdParty8.3.1PerformanceofServices:TheThirdPartyshallperformitsservicesinaccordancewiththetermsoftheagreemententeredintowiththeJointVentureandinamannerthatisconsistentwiththeexpectationsoftheJointVenture.8.3.3Confidentiality:TheThirdPartyshallmaintaintheconfidentialityofallinformationprovidedtheJointVentureandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheJointVenture.8.4LimitationofLiability8.4.1GeneralLimitation:TheliabilityoftheThirdPartytotheJointVentureandtothePartiesshallbelimitedtotheamountoffeespaidtheJointVenturetotheThirdPartyfortheservicesprovided.8.4.2ExclusionofConsequentialDamages:TheliabilityoftheThirdPartyshallnotincludeanyindirect,special,orconsequentialdamages,includingbutnotlimitedtolossofprofits,businessinterruption,orlossofdata.8.4.3Indemnification:TheJointVentureshallindemnifytheThirdPartyagainstanyclaims,damages,orlossesarisingoutoftheactionsoromissionsoftheJointVentureortheParties.8.5ThirdPartyContracts8.5.1TheJointVentureshallensurethatanycontractenteredintowithaThirdPartyisinwritingandcontainsallnecessarytermsandconditionstoprotecttheinterestsoftheJointVentureandtheParties.8.5.2TheJointVentureshallprovideacopyofanyThirdPartycontracttothePartiesfortheirreviewandapprovalbeforeenteringintothecontract.8.6ThirdPartyRepresentation8.6.1TheJointVenturemayappointaThirdPartytorepresentitincertaintransactionsornegotiations,providedthatsuchappointmentisinwritingandapprovedtheParties.8.7DisputeResolutionforThirdPartyMatters8.7.1AnydisputesarisingfromtheinvolvementofaThirdPartyshallberesolvedinaccordancewiththeprovisionsofthisAgreement.8.7.2IfthePartiesandtheThirdPartyareunabletoresolveadisputeamicably,thedisputeshallbesubmittedtothesamedisputeresolutionmechanismasprovidedforinthisAgreement.8.8TerminationofThirdPartyRelationships8.8.1TheJointVenturemayterminateitsrelationshipwithaThirdPartyatanytime,providedthatsuchterminationisinaccordancewiththetermsoftheagreementbetweentheJointVentureandtheThirdParty.8.8.2TheterminationofaThirdPartyrelationshipshallnotaffectthevalidityorenforceabilityofthisAgreementoranyotheragreementsbetweentheParties.8.9AdditionalProvisionsforPartyAandPartyB8.9.1PartyAandPartyBshallensurethatanyThirdPartyengagedtheJointVentureisreputableandhasthenecessaryqualificationsandexperiencetoperformtherequiredservices.8.9.2PartyAandPartyBshallmonitortheperformanceoftheThirdPartyandshallprovidefeedbacktotheJointVentureasnecessary.8.9.3PartyAandPartyBshallnotbeliablefortheactsoromissionsofaThirdPartyunlesssuchactsoromissionsaredirectlycausedthenegligenceorwillfulmisconductofPartyAorPartyB.EndofPartII第三部分：其他補(bǔ)充性說明和解釋說明一：附件列表：1.CapitalContributionSchedule:AdetailedscheduleoutliningthetimingandmethodofcapitalcontributionsPartyAandPartyB.3.FinancialStatements:Regularfinancialstatementspreparedinaccordancewiththerelevantaccountingstandards.4.ProfitDistributionPlan:Aplandetailingthemethodsandpercentagesofprofitdistributionamongtheshareholders.5.OperationalManuals:DetailedoperationalmanualsforthemanagementandoperationoftheJointVenture.6.EmploymentAgreements:AgreementsbetweentheJointVentureanditsemployees,detailingtermsandconditionsofemployment.7.IntellectualPropertyAgreements:Agreementsrelatedtotheownership,use,andprotectionofintellectualpropertyrights.9.InsurancePolicies:PoliciescoveringvariousrisksassociatedwiththeoperationoftheJointVenture.10.EnvironmentalImpactAssessments:AssessmentsofthepotentialenvironmentalimpactoftheJointVenture'soperations.11.ThirdPartyContracts:Contractswithsuppliers,distributors,consultants,andotherThirdParties.12.DisputeResolutionProtocols:DetailedproceduresforresolvingdisputesbetweentheParties.DetailedRequirementsandExplanations:CapitalContributionSchedule:Thisscheduleshouldspecifytheamount,currency,andformofcontributionateachstage,alongwithanypenaltiesforlateorinsufficientcontributions.ProfitDistributionPlan:Thisplanshouldspecifythecriteriaforprofitdistribution,includinganyreservesorreinvestmentrequirements.OperationalManuals:ThesemanualsshouldprovidedetailedinstructionsfortheoperationoftheJointVenture,includingsafetyprocedures,qualitycontrolmeasures,andmaintenanceschedules.EmploymentAgreements:Theseagreementsshouldincludedetailssuchasjobs,salaries,benefits,andterminationconditions.IntellectualPropertyAgreements:TheseagreementsshouldclearlydefinetheownershipandrightstouseintellectualpropertydevelopedtheJointVenture.NonCompeteAgreements:TheseagreementsshouldbedesignedtoprotecttheJointVenture'sinterestswithoutbeingoverlyrestrictive.InsurancePolicies:Thesepoliciesshouldcoverpropertydamage,liability,andotherrisksassociatedwiththeJointVenture'soperations.EnvironmentalImpactAssessments:Theseassessmentsshouldidentifypotentialenvironmentalrisksandoutlinemitigationmeasures.ThirdPartyContracts:ThesecontractsshouldbereviewedlegalcounseltoensuretheyprotecttheinterestsoftheJointVenture.DisputeResolutionProtocols:Theseprotocolsshouldoutlinethestepstobetakenintheeventofadispute,includingmediationandarbitrationprocedures.說明二：違約行為
