2025年度房地產(chǎn)居間代理服務(wù)合同范本英文本合同共三部分組成,僅供學習使用,第一部分如下:2025ANNUALREALESTATEBROKERAGEAGENCYSERVICECONTRACTThisContractconsistsofthreeparts,forreferenceonly,thefirstpartisasfollows:Part1:MainContent1.1ContractingPartiesA.Client:______________(NameoftheClient)B.BrokerageAgency:______________(NameoftheBrokerageAgency)1.2ContractDuration1.3ScopeofServicesTheBrokerageAgencyagreestoprovidethefollowingservicestotheClientwithinthescopeofthiscontract:a.MarketResearch:Conductmarketresearchandanalysisontherealestatemarket,includingpricetrends,propertyavailability,andmarketconditions.b.PropertyListing:ListthepropertyforsaleorleaseonbehalfoftheClient.c.ClientRepresentation:RepresenttheClientinnegotiationswithpotentialbuyersortenants.d.MarketingandAdvertising:Developandimplementamarketingandadvertisingstrategytopromotetheproperty.e.TransactionCoordination:Coordinateallaspectsofthetransaction,includingcontractpreparation,closing,andpostclosingservices.1.4FeesandCommissionsa.BrokerageFee:TheBrokerageAgencyshallchargeabrokeragefeeof______________(percentageorfixedamount)ofthesaleorleasepriceoftheproperty.c.AdditionalServices:AnyadditionalservicesprovidedtheBrokerageAgencyoutsidethescopeofthiscontractshallbesubjecttoseparateagreementsandfees.1.5ConfidentialityBothpartiesagreetomaintaintheconfidentialityofallinformationdisclosedduringthecourseofthiscontract,exceptasrequiredlaworcourtorder.1.6Terminationa.NoticeofTermination:Eitherpartymayterminatethiscontractuponproviding______________(numberofdays)writtennoticetotheotherparty.b.CauseforTermination:Thiscontractmaybeterminatedimmediatelyeitherpartyiftheotherpartybreachesanymaterialtermofthiscontractandfailstocurethebreachwithin______________(numberofdays)afterreceiptofwrittennotice.1.7GoverningLawThiscontractshallbegovernedandconstruedinaccordancewiththelawsof______________(nameofthejurisdiction).1.8DisputeResolutionAnydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedthrough______________(nameofthedisputeresolutionmechanism,e.g.,mediation,arbitration,orlitigation).Part2:Appendices2.1AppendicesThefollowingappendicesarehereincorporatedintothiscontractreference:a.______________(Descriptionofthefirstappendix)b.______________(Descriptionofthesecondappendix)c.______________(Descriptionofthethirdappendix)Part3:SignaturesThiscontractisexecutedinduplicate,eachpartyretainingoneoriginal.Client:___________________________BrokerageAgency:___________________________Endofthefirstpartofthecontract.第二部分:第三方介入后的修正3.1DefinitionofThirdPartiesForthepurposesofthiscontract,theterm"ThirdParties"shallinclude,butnotbelimitedto,thefollowing:a.Subcontractors:EntitiesorindividualshiredtheBrokerageAgencytoperformspecifictasksrelatedtothepropertylistingandtransaction.b.ServiceProviders:Externalconsultants,appraisers,inspectors,orotherprofessionalsengagedeithertheClientortheBrokerageAgencytoprovidespecializedservices.c.FinancialInstitutions:Banks,mortgagelenders,orotherfinancialinstitutionsinvolvedinthefinancingofthepropertytransaction.d.RegulatoryBodies:Governmentagenciesorauthoritieswithjurisdictionovertherealestatemarketandtransactions.3.2ThirdPartyInvolvementa.Notification:TheBrokerageAgencyshallnotifytheClientinwritingofanyintendedinvolvementofThirdPartiesintheperformanceoftheservicescoveredthiscontract.b.Consent:TheClientshallhavetherighttoconsentorobjecttotheinvolvementofanyThirdParty.TheBrokerageAgencyshallobtaintheClient'swrittenconsentbeforeengaginganyThirdParty.3.3ResponsibilitiesofThirdPartiesa.PerformanceofServices:ThirdPartiesshallperformtheirservicesinaccordancewiththetermsofthiscontractandanyapplicablelawsandregulations.b.Liability:ThirdPartiesshallbesolelyresponsiblefortheirownactsandomissions.TheBrokerageAgencyandtheClientshallnotbeliablefortheactionsofThirdParties.3.4LimitationofLiabilitya.DirectLiability:TheBrokerageAgencyandtheClientshallnotbeliableforanydamagescausedtheactsoromissionsofThirdParties,exceptwheresuchdamagesaredirectlycausedthenegligenceorwillfulmisconductoftheBrokerageAgencyortheClient.b.IndirectLiability:TheBrokerageAgencyandtheClientshallnotbeliableforanyindirect,special,orconsequentialdamagesarisingfromtheinvolvementofThirdParties.c.FinancialLimitation:ThetotalliabilityoftheBrokerageAgencyandtheClienttoanyThirdPartyshallnotexceedtheamountof______________(specifiedamountorpercentageofthetransactionvalue).3.5Insurancea.InsuranceRequirements:TheBrokerageAgencyandtheClientshallensurethatallThirdPartiesengagedinthetransactionhaveappropriateinsurancecoveragetoprotectagainstliabilityfortheiractsandomissions.b.ProofofInsurance:TheBrokerageAgencyshallprovidetheClientwithproofofinsurancecoverageforallThirdPartiesinvolvedinthetransaction.3.6DisputeResolutionwithThirdPartiesa.Negotiation:IntheeventofadisputebetweentheClientandaThirdParty,theBrokerageAgencyshallactasanintermediarytofacilitatenegotiationsbetweentheparties.b.Arbitration:Ifnegotiationsfailtoresolvethedispute,thepartiesmayagreetosubmitthedisputetoarbitrationinaccordancewiththerulesof______________(nameofthearbitrationinstitution).3.7Indemnificationa.IndemnificationThirdParties:ThirdPartiesshallindemnifytheBrokerageAgencyandtheClientagainstanyclaims,damages,orlossesarisingfromtheiractsoromissions.b.IndemnificationBrokerageAgency:TheBrokerageAgencyshallindemnifytheClientagainstanyclaims,damages,orlossesarisingfromitsownactsoromissions.3.8AssignmentofRightsandObligationsa.AssignmentClient:TheClientmaynotassignitsrightsorobligationsunderthiscontractwithoutthepriorwrittenconsentoftheBrokerageAgency.b.AssignmentBrokerageAgency:TheBrokerageAgencymayassignitsrightsandobligationsunderthiscontracttoaThirdParty,providedthattheClientisnotifiedinwritingandconsentstotheassignment.3.9CompliancewithLawsEndofthesecondpartofthecontract.第三部分:其他補充性說明和解釋說明一:AttachmentList:Thefollowingisadetailedlistofallpossibleattachmentsthatmaybeinvolvedinthecontract,alongwiththeirspecificrequirementsanddescriptions:Requirements:ThePropertyInformationSheetmustbeaccurateanduptodate.ItmustbesignedanddatedtheClientandtheBrokerageAgency.Description:Thisattachmentservesasareferencedocumentforallpartiesinvolvedinthetransaction.b.MarketingPlan:Adetailedplanoutliningthemarketingstrategiesandtacticsthatwillbeemployedtopromotetheproperty.Requirements:TheMarketingPlanmustbespecificandactionable.Itmustincludeatimelineforimplementation.Description:ThisattachmentprovidesaroadmapforthemarketingeffortsoftheBrokerageAgency.c.ListingAgreement:AformalagreementbetweentheClientandtheBrokerageAgencydetailingthetermsandconditionsofthelisting.Requirements:TheListingAgreementmustbesignedbothparties.Description:ThisattachmentestablishesthelegalframeworkfortherelationshipbetweentheClientandtheBrokerageAgency.d.OfferandAcceptanceDocuments:Alldocumentsrelatedtothesubmissionandacceptanceofoffersfortheproperty.Requirements:Offersmustbeinwriting.Description:ThisattachmentdocumentsthenegotiationprocessbetweentheClientandpotentialbuyersortenants.e.ContractofSale:ThefinalcontractbetweentheClientandthebuyerortenantforthesaleorleaseoftheproperty.Requirements:Itmustbesignedallpartiesinvolved.Description:Thisattachmentisthelegallybindingdocumentthattransfersownershiporoccupancyoftheproperty.f.ClosingDocuments:Alldocumentsrelatedtotheclosingofthetransaction,includingthedeed,insurance,andanyotherrelevantdocuments.Requirements:ClosingDocumentsmustbeexecutedinaccordancewithallapplicablelawsandregulations.Theymustbedeliveredtotherelevantpartiespriortotheclosingdate.Description:說明二:BreachofContractandLiabilityDetermination:Thefollowingisadetailedlistofallpossiblebreachesofcontractandthestandardsfordeterminingliability:a.FailuretoPerform:Ifeitherpartyfailstoperformtheirobligationsunderthecontract,theyshallbeconsideredinbreach.LiabilityStandard:Thebreachingpartyshallbeliableforanydirectdamagessufferedthenonbreachingpartyasaresultofthebreach.Example:IftheBrokerageAgencyfailstolistthepropertyasagreed,theClientmaybeendtoarefundofthebrokeragefee.b.Negligence:Ifeitherpartyactsnegligentlyintheperformanceoftheirobligations,theyshallbeliableforanydamagescausedsuchnegligence.LiabilityStandard:Thenegligentpartyshallbeliableforanydamagesresultingfromthebreach,uptothefinanciallimitationspecifiedinthecontract.Example:IfaThirdPartyhiredtheBrokerageAgencydamagesthepropertywhileperformingtheirservices,
