2025年度農業(yè)科技股權轉讓合同（英文版）本合同共三部分組成，僅供學習使用，第一部分如下：2025ANNUALAGRICULTURALTECHNOLOGYTRANSFERAGREEMENTThisAgreementismadeandenteredintoon[DATE],betweenthefollowingparties:Transferor:Name:___________________________Address:___________________________RegistrationNo.:___________________ContactPerson:______________________Position:___________________________Transferee:Name:___________________________Address:___________________________RegistrationNo.:___________________ContactPerson:______________________Position:___________________________WHEREAS,theTransferoristheownerofcertainagriculturaltechnologyrights(hereinafterreferredtoas"theTechnology"),includingbutnotlimitedtointellectualpropertyrights,patents,trademarks,andknowhow,andtheTransfereeisinterestedinacquiringsuchrightsforthepurposeofpromotingagriculturaldevelopmentandincreasingefficiency;ANDWHEREAS,theTransferorandtheTransfereewishtoestablishalegalframeworkforthetransferoftheTechnology;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:1.TransferofTechnology1.1TheTransferorhereagreestotransferallrights,,andinterestinandtotheTechnologytotheTransferee.1.2TheTransferorwarrantsthatithasthefulllegalauthoritytotransfertheTechnologyandthatthetransferdoesnotviolateanythirdpartyrights.1.3TheTransfereeacknowledgesthattheTechnologyisbeingtransferredonan"asis"basisandassumesallrisksassociatedwiththeTechnology.2.TransferPriceandPayment2.1ThetransferpricefortheTechnologyshallbe[TRANSFERPRICE](hereinafterreferredtoas"theTransferPrice").2.2TheTransferPriceshallbepaidin[PAYMENTMETHOD]installments,withthefirstinstallmentof[AMOUNT]dueon[DATE],andtheremaininginstallmentstobepaidon[DATE],[DATE],and[DATE],respectively.2.3FailuretomakeanypaymentontimeshallentheTransferortoterminatethisAgreementandrecovertheTechnology.3.UseofTechnology3.1TheTransfereeshallusetheTechnologyinaccordancewithapplicablelawsandregulationsandforthepurposeofpromotingagriculturaldevelopmentandincreasingefficiency.3.2TheTransfereeshallnotsell,transfer,orassigntheTechnologytoanythirdpartywithoutthepriorwrittenconsentoftheTransferor.3.3TheTransfereeshallnotusetheTechnologyinanymannerthatmayinfringeupontherightsofanythirdparty.4.Confidentiality4.1ThepartiesagreetokeepconfidentialallinformationdisclosedtothemtheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtotechnicaldata,businessplans,andfinancialinformation.4.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.5.TermandTermination5.1ThisAgreementshallbeeffectivefrom[STARTDATE]andshallremainineffectforaperiodof[TERM]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.5.2EitherpartymayterminatethisAgreementupon[TERMINATIONNOTICE]writtennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[CUREPERIOD]daysafterreceiptofwrittennotice.6.GoverningLawandDisputeResolution6.1ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[COUNTRY].6.2AnydisputearisingoutoforinconnectionwiththisAgreementshallbesettledthroughfriendlynegotiation.Ifthepartiesfailtoreachanamicablesettlementwithin[NEGOTIATIONPERIOD]days,thedisputeshallbesubmittedto[ARBITRATIONBOARD]forarbitrationinaccordancewithitsrules.7.GeneralProvisions7.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.7.2AnyamendmentormodificationofthisAgreementshallbebindingonlyifinwritingandexecutedbothparties.7.3IfanyprovisionofthisAgreementisfoundtobeunenforceable,theremainingprovisionsshallremaininfullforceandeffect.[ENDOFFIRSTPART][STARTOFSECONDPART]8.IntellectualProperty8.1TheTransferorhereassignstotheTransfereeallrights,,andinterestinandtotheTechnology,includingbutnotlimitedtopatents,trademarks,andcopyrights.8.2TheTransfereeshallobtainandmaintainallnecessaryregistrations,licenses,andpermissionsfortheuseandexploitationoftheTechnology.9.WarrantiesandIndemnities9.1TheTransferorwarrantsthattheTechnologyisfreefromanyliens,encumbrances,orotherrestrictionsthatmayhinderthetransferoftheTechnology.9.2TheTransferoragreestoindemnifyandholdtheTransfereeharmlessfromandagainstanyandallclaims,liabilities,damages,andexpensesarisingoutoforinconnectionwiththeTechnology.10.ForceMajeure10.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,orgovernmentactions.11.Assignment11.1ThisAgreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.12.EntireAgreement12.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.[ENDOFSECONDPART][STARTOFTHIRDPART]13.Miscellaneous13.1ThisAgreementmaybeexecutedin[NUMBER]counterparts,eachofwhichshall
